RESOLUTION NO. 6610

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF A CONSENT TO ASSIGNMENT BY 'AND
BETWEEN THE CITY OF VERNON AND EMCON
ASSOCIATES

WHEREAS, The City Council of the City of Vernon adopted
7
Resolution No. 6407 on April 5, 1994, which approved and
authorized the execution of an Agreement for Contractual Services
8
9
with EMCON Associates that provided for the development of reports
under the Integrated Waste Management Act of 1989; and
WHEREAS, EMCON Associates and affiliated consulting
10

companies on December 31, 1994, merged to form EMCON, a California
Corporation, which has requested an assignment to it of the EMCON
13
14
15

Associates' Agreement; and
WHEREAS, in accordance with said Agreement, EMCON
Associates has written a letter consenting to the assignment to
EMCON; and

WHEREAS, the Director of Environmental Health has
19
recommended approval of the assignment.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the city of Vernon
hereby finds and determines that the recitals contained
hereinabove are true and correct.

SECTION 2: The City Council of the City of Vernon
27
hereby approves the assignment of the Agreement for Contractual
Services to EMCON, a California Corporation. A copy of a letter of
assignment dated February 17, 1995, has been presented to the City

council concurrently with this resolution, and the City Council
hereby orders said letter to be received and filed by the City
Clerk.
SECTION 3: The City Council of the city of Vernon
hereby authorizes the Mayor and the City Clerk to execute said
letter of assignment for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
APPROVED AND ADOPTED this 18th day of April, 1995.

As .you may already be aware, effective December 31, 1994, EMCON As~;ociates. a California
corporation, merged (along with several other sister consulting companies around tile country) into
its parent company, EMCON, a California corporation. The Federal Tax Identificiltion Number,
,for your records, is 94-1738964 effective January 1, 1995.

As a result of the merger, EMCON Associates proposes to assign your contract from EMCON
Associates to EMCON. This is an internal transaction. There are no outside companies involved
and the change will affect neither the seIVices being provided to clients nor the fmancial
composition or standing of the company in any way (EMCON is a California corporation as was
EM CON Associates). Our daily operation and the personnel assigned to handle your projects will
remain the same.
Your contract with EMCON Associates requires written consent to this transaction, Please
ack.'1owledge your consent to this assignment as required in the contract between City of Vernon
and EMCON Associates by executing a copy of this letter and returning to me in the enclosed
