A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
RENEWAL OF THE AGREEMENT FOR SATELLITE CAMPUS
OF LOS ANGELES COMMUNITY COLLEGE DISTRICT

WHEREAS, the City Council by Resolution No. 6464 on June
21, 1994, approved the Agreement for Satellite Campus of Los
Angeles Community College District, which pertains to the

operation of a community college extension campus in Huntington
9
Park to serve the cities of Bell, Bell Gardens, Cudahy, Huntington
10

Park, Maywood, South Gate, and Vernon; and
WHEREAS, the community college extension campus provides
opportunities for local residents and employees to further their
education, to improve job security and income, and to create a
more s~cure economic base in their cities; and

WHEREAS, the City of Vernon pursuant to said Agreement
provided funding for a portion of the lease of a building in
Huntington Park at a cost to the City of $2,000.00 per month or
$24,000.00 for the 1994/1995 fiscal year; and

WHEREAS, section 5 of said Agreement authorizes renewal
20

on an annual basis subject to change in the amount of funding to
be provided; and

WHEREAS, the City Administrator has recommended renewal
23
of the Agreement for Satellite Campus of Los Angeles Community
College District for a one (1) year period, effective July 1,
24

1995, but with the City's share of funding reduced to $1,500.00
per month or $18,000.00 for the 1995/1996 fiscal year; and

WHEREAS, the Director of Community Development for the

City of Huntington Park by letter dated June 5, 1995, recommended
to the Huntington Park City Council that the Agreement be renewed
and concurred in the reduction of funding by the city of Vernon on

the grounds that unexpended funds are available from the previous

year to complete the lease payment; and
WHEREAS, the continuance of the community college
6

extension campus will sUbstantially benefit the residents and
8
businesses in the City of Vernon and will provide benefits to the
9
Southeast region.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: The city Council of the City of Vernon
13 hereby finds and determines that the recitals contained
14 hereinabove are true and correct.

SECTION 2: The City Council of the City of Vernon
16 hereby approves the renewal of the Agreement for Satellite Campus
17 of Los Angeles Community College District, subject to a reduction
18 in funding to $18,000.00 for the 1995/1996 fiscal year.
19
SECTION 3: The City Clerk of the City of Vernon shall
20 certify to the passage of this resolution, and thereupon and
21 thereafter the same shall be in full force and effect.

Honorable Members:
The Finance Committee, at their meeting held April 11, 1995, voted to
reduce the lease payments for the satellite campus of East Los Angeles
College from $2,000 per month to $1,500 per month for the 1995-96
fiscal year, and the minutes were subsequently approved by the City
Council on April 18, 1995.
This has been reviewed by the City Attorney, and it is hereby
recommended that the agreement be renewed subject to the City's
reduced support in the amount of $18,000 per year on a quarterly
basis.

The Agreement for Satellite Campus of Los Angeles Community
College District which was approved last year by the City Council
was for the term July I, 1994 through June 30, 1995. The
Agreement will terminate on June 30, 1995, subject to section 5,
"Term of Agreement," which states "This Agreement shall remain in
full force and effect until June 30, 1995, and may be renewed on
an annual basis by the written consent of the parties, or any of
them, subject to any necessary revision to Exhibit A."
The above provision does not require that the Agreement be
amended in order to revise the amounts to be paid by eac~ city in
Exhibit A. The City of Vernon can refuse to renew th&).A9Ii:!QIi.ll.~-'&lf'"
or it can change the amount which it chooses to pay by sending a
notice to the other parties.
The matter should be taken to the City Council on June 20,
1995, for the adoption of a resolution providing for the approv~l
of a letter to the City of Huntington Park authorizing renewal of
the Agreement subject to payment of the amount of $18,000 per
year on a quarterly basis by the city of Vernon. The resolution
should recite the approval of the other parties to the Agreement.
You may need to have someone verify with the other parties the
changes in the contribution.

Dear'Mr. Brearley:
Last year the city entered into the above referenced agreement on
June 21, 1994. This year the City of Vernon Finance Committee,
pt their April 11, meeting approved continued participation in
arid support of said satellite campus, however they opted to
reduce the monthly support to $1,500 to be paid quarterly. The
other participating cities are aware of our reduced monetary
support.
Attached hereto for your review are copies of the current agree-
ment, the communication to the Finance Committee; and communica-
tions received from the cities of Huntington Park, Bell, and Bell
Gardens. Upon reviewing Section 2, subsection A, of the agree-
ment it appears that we may need to amend it to reflect the
reduced amount that. we are going to pay. Please prepare any
necessary paperwork (an amendment to the agreement, resolution)
for the next Redevelopment Agency meeting which is to be held on
June 20.

On May 15, 1995 the Huntington Park City Council approved the
sub-recipient agreement with the L.A. Community College District
for the continued operation of the Southeast Educational Center
(ELAC) .
The existing multi-jurisdictional agreement among the seven
southeast cities allows the City of Huntington Park to enter into
a lease agreement with Amidi Partnership and the right to renew for
at least twelve months.
The lease extension will provide the necessary space for the
continued operation of classes at the Southeast Educational Center
from July 1, 1995 to June 30, 1996.
Attached for your review are the following documents:
1) The renewal of the lease between City of Huntington Park
and Amidi Partnership
2) Letters of approval from the city of Bell and the City of
Bell Gardens to continue financial assistance for the
Southeast Educational Center.

financial commitment to the Southeast Educational Center Project
for the upcoming fiscal year 95/96. Comparable to last year, the
City of Bell Gardens has dedicated $18,000 of its Community
Development Block Grant funds towards the project,
Clarence Williams, a member of your staff, also brought to my
attention that the City of Huntington Park will be renewing its
lease agreement with Amidi Partnership for property located at 2675
ZoeAvenue, Huntington Park, the current site of our ELAC campus.
Because this lease agreement is between solely the City of
Huntington Park and Amidi Partnership, there is no legal
requirement to take this lease agreement to our City Council. The
obligations of the involved cities are specifically defined in
Section 2 of the joint agreement and basically defines the
requirements of each participating city to help cover the lease
payments on the subject property.

The ELAC Task Force is qettinq ready to draft another annual
contract. The eontrac~ will state the amounts that each city will
pay tor the lease of ~he building during the 1995-96 fiscal year.
Presently, Vernon is paying $2,000.00 per month and is the
only city using it.s general fund monies for the lease payment
assistance.
Based upon current enrollments ana lookin~ at. the' other six
cities monthly 9ontributions, I recommend that Vernon decrease its
contribution to $1,500.00 per month.
l~ this new amount is approved, we will save $6,000.00 for
the year. This ($6,000) savings may be used tor other projects of
the Southeast Community Development Corporation where they will be
recognized ana appreciated more by our elected community
representatives.

RECITALS
A.
There is no community college within the immediate
20 vicinity of Cities. The residents of the Cities often have to
21 travel several miles to attend a community colleqe.

Cities desire to locate a community college facility
23 within the immediate vicinity of Cities, so as to improve the
24 educational opportunities available to their residents and

Huntinqton Park has agreed to serve as the lead

NOW, THEREFORE, for and in consideration of the mutual
COVenants and conditions contained herein, the parties agree as
follows:
SECTION 1. Obligations of Huntinaton Park.
Subject to the obligations of Cities and LAce District
set forth in this Agreement, Huntington Park shall do the
following:
A. Huntington Park shall lease approximatelY 14,000
square feet of classroom space in the building with the right to
use common facilities on the property located at 2675 Zoe Avenue,
Huntington Park (the "Site") effective July 1, 1994, with a
termination date of JUne 30, 1995, and a right to renew the lease
for at least one year.
B. Huntinqton Park shall be responsible for quarterly
lease payments on the Site from July 1, 1994 to J~ne 30, 1995 ana
Huntington Park Shall use the financial assistance provided by the
Cities pursuant to Section 2.A hereof solely for said lease

Develop:tnent Block Grant ("CDBGIf), and no CDBG funds shall be
placed in the reserve fund.
SECTION 3. Obliqations of LAce District.
SUbject to the obligations ot Cities and Huntington Park
set forth in this Agreement, LACC District shall do the followin9:
A. LAce District shall have ELAC commence full
operation of the satellite campus at the Site on July 1, 1994.

B. The satellite campus shall be operated substantially
in accordance with the "White Paper: East Los Angeles Co1leqe
Extension" prepared by Tierra Concepts and dated November 9, 1993.

C. Courses to be offered will typically include
vocational training, English as a Second Lanquaqe, child
development, basic reading and writing, and academic courses

For the entire term of this Agreement the C'i ties and LAce
District shall maintain a Steering Committee, consisting of one
voting representative from each City, one voting representative

each of the elected members trom the 33rd Conqress~onal District,
the 26th State Senatorial District, the 50th ~tate Assembly
District, ano the 1st Supervisorial District of the County of Los
Angeles. The committee shall meet as needed, at a mutually agreed

SECTION 5. Term of Aqreement.

SECTION 8. Assianment.
The services as contained herein shall be rendered by
LACe Dist~iet through ELAC, and LACe District shall not assign or
transfer any interest in this Agreement without the prior written
consent of each of the Cities.
SECTION 9. Severability.
In the event that any cov~nant, condition or other
provision herein contained is held to be invalid, void or illegal
by any court of competent jurisdiction, the same shall be deemed
severable fro~ the remainder of this Agreement and shall in no way
affect, impair or invalidate any other covenant, condi~ion or
other provision contained herein. It such condition, covenant or
other provision shall be deemed invalid due to its scope or

SECTION 10. InterRretation.
No provision of this Aqreement is to be interpreted for

SECTION 11. Amendments.
Thip writinq, with attachments expressly referenced and

SECTION 12. Waiver.
No breach of any provision thereof can be waived unless
in writing_ waiver of anyone breach of any provision shall not
be deemed to be a waiver of any other breach of the same or any
other provision hereof.
SECTION 13. Changes.
The cities may request changes in the scope of the
services of ELAC to be performea hereunder. Such chanqes which
are mutually agreed upon by and bet~een the Cities and ELAC shall
be incorporated in written amendments to this Agreement.
SECTION 14. Compliance with Federal and Local
Reauirements.
The Parties are subject to all applicable Federal, State,
and loeal laws, including regulations and directives pertaining to
the COBG Program when COBG funds are a funding source for

1. COMPLIANCE WITH LAW~.
The Parties agree 'to be bound by applicable Federal,
State and local laW's, ordinances, re9ulationsand directives as
they pertain to the performance of this Agreement. This Agreement
is subject to and incorporates the terms of the Housing and
Community Development Act of 1974, as amended; 24 CFR Part 92; U.
s. Office of Management and Budqet (OMB) Circulars A-87, A-lIO, A-
122; tho County AUditor-controller contract Accounting and
Administration Handbook; and all amendments or successor laws,
regulations or qU~delines.

2. REVENUE DISCLOS~E ~ND RECORD RETENTION.
~

,t , LACe District and Huntington Park shall make available
for inspection and audit to the authorized representatives of the
Parties, the county of Los Angeles and HUD, or any of them, upon
request, at any time during the implementation of this Agreement
and. for a period of three (J) years thereafter, all of its books
and records relating to the operation of the project which is
funded in whole, or in part, with Federal grant monies.
J. EOUAL EMPLOYMENT OPPORTUNITY.
During the .performance of this ~greement, LACe District aqrees
as tollows:
a. LACC District and ELAC will not d'iscriminate against
any employee or applicant for employment because of race, creed,
sex, color or national origin. Each will take affirmative action
to ensure that applicants are employed, ~nd that employees are
treated durinq e~ployment, withoQt reqard to their race, creed,
sex, coler or national origin. Such action shall include, but not
be limited to the follo~ing: employment, upgrading, demotion, or
transfer; rates of payor other forms of compensation; and
selection for training, including apprenticeship.
b. LAce District ~nd ELAC will, in all solicitation or
advertisements for employees placed by or on behalf of ELAC, state
that all qualified applicants will receive consideration for
employment without regard to race, creed, sex, color or national
orig'in.
c. LAce District and ELAC will cause the foregoing
provisions to be inserted in all subcontracts for any work covered
by this Agreement so that such provisions will be binding upon each
subcontractor. provided that the foregoing provisions shall not
apply to contracts or subcontracts for standard commercial supplies
or raw materials.

the rules, regulations. and relevant orders of the Secretary of
Labor.

e. LACC District ana ELAC wi11 furnish all information
and reports required by Executive Order 11246 of September 24,
1965, and by the rules, requlations and orders of the Secretary of
Labor, or pursuant thereto, and will permit access to its books,
records and accounts by the Cities ana the Secretary of Labor for
purposes of investiqation to ascertain compliance with such ru1es,
regulations an~ orders.
" f. In the event of non-compliance by LACe District or
ELAC with the equal opportunity clauses of the Agreement or with
any such rules, requlations and oraers, this Agreement may be
canceled, terminated~ or suspended in whole or in part, and each
~y, be declared ineligible for further government contracts in
accordance with procedures authorized 1n Executive order 11246 of
September 24, 1965, and such other sanctions may be imposed and
remedies invoked as provided in Executive order 11246 of September
24, 1965, or rules, regulations, or oreer of the Secretary of
Labor, or as otherwise provided by law.
g. LAce District and ELAC will include the provisions
of paragraph (a) through (f) in every subcontract or purchase order
unless exempted by rules, regulations, or orders of the Secretary
of Labor issued pursuant to Section 204 of Executive order 11246 of
September 24, 1~65, so that such provisions will be binding upon
each subcontractor or vendor. Each will take such actions with
respect to any subcontract or purchase order as the Cities may
direct as a means of enforcing such provisions including sanctions
for non-compliance; provided, however, that in the event either
becomes involved in, or is threatened with, liti9ation with a
subcontractor or vendor as a result of such directions by the
Cities, LAce District ana/or ELAC may request the United States to
enter into such litigation to protect the interest of the United
states.
4. CIVI~ RIGHTS ACT OF 19~~.
Under Title VI of the civil Rights Act of 1964, no person
shall, on the grounds of race, creed, sex, color or national
origin, be excluded from participation in, be denied the benefits
of, or be subjected to discrimination under any program or activity
receiving federal financial assistance.

Of' 1974.
No person in the United States shall, on the groundS of

work in connection with the project be a~arded to business concerns

LAce Oistrict and ELAC, their agents, officers and
employees shall comply with all applicable Feaeral, state and
County laws and regulations governing conflict of interest.
9. MONITORING AND ASSESSMENT.
The ongoing assessment and monitoring of this. Agreement
is the responsibility of cities. Authorized representatives of the
Parties, county of Los Angeles and HUD, or any of them, shall have
the right of access to all activities and facilities operated by
Huntington Park and LAce District under this Aqreement. Facilities
shall include all files, records, and other documents related to
the performance of this Agreement.
10. LOBBYING CERTIFICATION.
LAce District and tLAC certify that:
(a) No Federal appropriated funds have been paid or will
be paid, by or on behalf of LACe District or ELAC, to any person
for influencing or attempting to influence an officer or employee
of any agency, a Member of Congress, an officer or employee of
Congress, or an employee of a Member of congress in connection with
the awarding of any Federal contract, the making of any cooperative
agreement. and the extension, continuation renewal, amendment, or
modification of any federal contract, grant, loan or cooperative
agreement. ..-
(b) If any funds other than Federal appropriated funds
have been paid or ~ill be paid to any person for influencing or
attempting to influence an officer or employee of any agency, a

approved the continuation of annual funding assistance for the
Southeast Educational Center, East Los Ange1es (ELAC)
Satellite Ca~us Facility, during Fiscal Year 1995-". The

for the upcoming fiscal year 95/'6. Comparable to last year, the
C.ity of Bell Gardens haa dedieateci $18,000 of its Comm\,lnity
Developmene Block Grant funds towards the project.

attention that the City of Huntington Park will be renewing its
lea.se agreement with Anu.di Partnership for property located at 2675
~oe .Avenue. Hunting~on Park, the current site of cur ELAC campus.
,Because this lease ag.eement is betw~en s~lel~ the City of
Hunt1ngtcn Park and Amidi Partnership, there 1$ no legal
requirement LO 'take this lease agreement to our City Council. Tb~
obligations of the in'llclved cities are specifically defined in
Section 2 of the joint agreement and basically defines the
requirements of each participating city to help caver the lease
payments an the subject property. .

Honorable Members:
The City of Vernon entered into an agreement with six neighboring
cities for a satellite campus of East Los Angeles Community College
(located in Huntington Park). This agreement will expire in June,
and the ELAC Task force is preparing to draft a new agreement.
In accordance with the agreement, Vernon currently provides $2,000
per month towards lease payments, and it is hereby recommended
that this amount be reduced to $1,500 per month for the next fiscal
year, with the savings ($6,000 annually) to be used for Southeast
Community Development Corporation projects that are needed within
the area.

SUBJECT: SOOTHEAST EDOCATIONAL CENTER/FUNDING
The ELAC Task Force is getting ready to draft another annual
contract. The contract will state the amounts that each city will
pay for the lease of the building during the 1995-96 fiscal year.
Presently, Vernon is paying $2,000.00 per month and is the
only city using its general fund monies for the lease payment
assistance.
Based upon current enrollments and looking at the other six
cities monthly contributions, I recommend that Vernon decrease its
contribution to $1,500.00 per month.
If this new amount is approved, we will save $6,000.00 for
the year. This ($6,000) savings may be used for other projects of
the Southeast Community Development Corporation where they will be
recognized and appreciated more by our elected community
representatives.

SUBJECT: Consideration of approving a lease extension with Amidi Partnership for
tbe Southeast Educational Center.
At its May 15, 1995 meeting, City Council approved a sub-recipient agreement with the
Los Angeles CommWlity College District for the continued operation of the Southeast
Educational Center at 2677 Zoe Avenue by East Los Angeles College (ELAC). The
agreement provides $36,000 in CDBG funds from the City of Huntington Park which will
be used with funds from six surrounding cities (Bell, Bell Gardens. Cudahy, Maywood,
South Gate and Vernon) to pay rent for the college space. All of the participating cities
will contribute to the project the same am.ount as last fiscal year, with the exception of
Vernon, which bas reduced its contribution from $24,000 to $18,000. However, there He
sufficient funds for the full lease payment due to a carryover of unexpended funds from
this current fiscal year.
An existing muhi-jurisdictional agreement among the above mentioned cities authorized
the City of Huntington Park to enter into a lease agreement with Amidi Partnership, with
the right to renew the lease for at least one year. Written consent from each of the
jurisdictions to extend the lease wilt be on file in the Comnnmity Development
Department. The lease extension will provide the necessary space for the continued
operation and administration of the Southeast Educational Center from July 1, 1995 to
June 30, 1996. Extension of the lease requires a written renewal notification from the City.
