A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AN AGREEMENT FOR CONSULTING ENGINEERING
SERVICES BY AND BETWEEN THE CITY OF VERNON AND
BLACK & VEATCH FOR ASSISTANCE IN A VICTORVILLE-
LUGO LINE RATING REVIEW

WHEREAS, the City of Vernon has requested firm
8
transmission service on the Victorville-Lugo 500 kV line (VLTL) to
9
schedule its entitlements in the Mead-Phoenix/Mead-Adelanto
10

Projects; and
WHEREAS, studies of the VLTL performed by the Los Angeles
Department of Water and Power and Southern California Edison
13
Company have produced different rating information and disclosed
14
potential operating constraint problems on the line; and
15
WHEREAS, the City of Vernon and Black & Veatch desire to
16
enter into a consulting engineering services agreement setting
17
forth the terms and conditions under which Black & Veatch would
18
assist the City of Vernon in a victorville-Lugo Line Rating Review
19
and an evaluation of the availability of transmission service
20
21
across the VLTL path.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The city Council of the City of Vernon does
24
hereby find and determine that the recitals contained hereinabove
25
26
are true and correct.
SECTION 2: The City Council of the city of Vernon hereby
27
approves the Agreement for Consulting Engineering Services, a copy
of which has been presented to the city Council concurrently with
28
1 this resolution, and the City Council hereby orders said Agreement
2 to be received and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby
4 authorizes the Mayor and the City Clerk to execute said Agreement
5 for, and on behalf of, the City of Vernon.
6
SECTION 4: The City Clerk of the city of Vernon shall
7 certify to the passage of this resolution and thereupon and
8 thereafter the same shall be in full force and effect.

APPROVED AND ADOPTED this 5th day of September, 1995.

Agreement
For
Consulting Engineering Services
THIS AGREEMENT, betWeen The City of Vernon, California (herein referred to
as Owner), and BLACK & VEATCH (herein referred to as Engineer), is as follows:
Article 1 -- Services to be Performed by Engineer
Engineer shall perform the Services described in Attachment A, Scope of Services,
which is attached hereto and incorporated by reference as part of this Agreement.
Article 2 -- Compensation
Owner shall pay Engineer for the performance of Services as follows: per Attachment
A.
Article 3 -- Standard of Care
Engineer shall exercise the same degree of care, skill, and diligence in the
performance of the Services as is ordinarily provided by a professional engineer
under similar circumstances.'
Article 4 -- Opinions of Cost and Schedule
Engineer's opinions of probable cost and forecast schedules shall be made on the
basis of his experience and qualifications and shall represent his best judgment as an
experienced and qualified professional engineer.
Article 5 -- Liability
Engineer shall, at no cost to Owner, re.perform services which fail to satisfy the
foregoing standard of care. Engineer's liability shall not exceed Engineer's
compensation under Article 2.
Article 6 -- Owner's Responsibilities
Owner shall supply to Engineer, either directly or indirectly from others, all available
information and data which are required by Engineer.

Article 7 -- Termination of Agreement
Owner shall have the right to terminate this Agreement for Owner's convenience
upon written notice to Engineer, and Engineer shall terminate performance of
services on a schedule acceptable to Owner. In the event of termination for Owner's
convenience, Owner shall pay Engineer for all services performed.
Article 8 -- Governing Law
This Agreement shall be governed by the laws of the state of California.
Article 9 -- Engineer's Qualification
Engineer represents that it has transmission planning experience and is qualified to
perform the services described in Attachment A.
IN WITNESS WHEREOF, the parties have executed this Agreement on the 28th
day of August, 1995.

Gentlemen:
In accordance with your request, Black & Veatch is pleased to submit
this proposal for assistance in a Victorvi1le-Lugo Line Rating Review.
This Proposal is intended to provide the Scope of Services - Tasks .
outlined in the City of'Vernon request for proposal dated August 21,
1995 (copy attached).
Black & Veatch proposes to provide the following services:
1. Evaluate the Victorville-Lugo 500 kV line (VLTL) Rating Study
- Final Report and summarize in a memorandum any relevant or
significant findings.
2. Attend up to three, one day meetings in California with the
City, LADWP and SeE to review the line ratings. These
meetings and the previous document review would also result
in a determination of wsec procedural compliance and a
determination of the appropriateness of the system
representation and study methodology used in the Rating
Study.
3. Review the available information, provided by the City, and
summarize the significant factors resulting in the VLTL line
rating variation of 1,650 MW to 1,950 MVI, along with
appropriate opinions.
4. Summarize an opinion as to the availability of transmission
service across the VLTL path.

5. Prepare testimony and testify before the Federal Energy
Regulatory Commission as required.
Black & Veatch propose to provide the services outlined above as items
one through four on a cost plus billing basis for a not-to-exceedprice
of 515,000. A standard billing schedule is attached. A not-to-exceed
price for item 5 cannot be determined at this time. An estimate of
costs for item 5 will be provided later once a better' definition of the
services required can be quantified. If this proposal is acceptable, a
standard contract agreement will be prepared and forwarded to the City
for execution.

Owner Billings
Owner shall pay Engineer for the performance of Services on a cost plus basis the sum of the following amounts.
(1) The amount of Hourly Billing Rates in accordance with the above "Schedule of Hourly Billing
Rates. for the actual time of personnel applied to the Services.
(2) An amount equal to the actual out-of-pocket cost for travel and living expenses.
(3) An amount of 10% of the amount of actual charges for personnel time under item (1) above,to
cover Engineer's internal expenses including computer usage, word processing, reproduction, long
distance telephone calls and express mailing expenses.
(4) The actual cost paid by the Engineer to third parties or subcontractors plus 7.5% of the actual
cost.
1. Black & Veatch's accounting year consists of 12 periods. for a total of 2,080 working hours per ~-ear.
2. Billing rates for 1995 are listed in the table above. Billing rates for 1996 and suhsequent years will he adjl.lSted automatically by 5% each year.
3. Billing rates will be automatically adjusted and increased by twenty five pel'tent (25%) for all time charges directly associated with the
preparation of and delivery of expen testimony.

SCOPE OF WORK
saekqround and Understanding
The city of Vernon has requested firm transmission on the
Victorville-Lugo 500 kV line ("VLTL") to schedule its entitlements
in the Mead-PhoenixjMead-Adelanto Projects. In the City of
Vernon I s initial request for firm transmission, a transmission
study performed by the Los Angeles Department of Water and Power
(lLADwP") indicated that the acceptable rating of the line was
1,650 MW, a rating which was used by LADWP to deny or limit the
request for firm transmission. Subsequently, an additional study
was completed by Southern California Edison ("SCE") which placed
the acceptable line rating at 1,950 MW. Given the latter rating
the request for firm transmission would be possible. However, both
LADWP and SCE have indicated that this line is affected by
unscheduled flows which may require that the scheduled line flows
be curtailed under heavy load conditions. The advance knowledge of
this potential operating constraint has caused the City of Vernon
to question both the acceptable rating and the availability of the
line.
The City of Vernon has requested that you provide cost information
for the following scope of services. Please provide cost not to
exceed for items 1 through 4. Price item 5 separately.
Scope of Services - Tasks
1. Evaluate the vict6rville-Lugo 500 kV Line (VLTL) Rating Study
- Final Report dated February, 1995 prepared by the System
Planning Staff of Southern California Edison Company (SCE) and
Los Angeles Depar~ent of Water and Power (LADWP).
2. Represent the Ci tyof Vernon in meetings with LADWP and SCE to
determine if the proposed rating for the VLTL is appropriate.
a. Determine that the proposed rating determination compiles
with appropriate WSCC procedures.
b. Determine that the system representation and study
methodology used is appropriate and adequate.
3. Compare study supporting proposed rating of 1,950 MW with
previous study supporting lower rating of 1,650 MW.
4. Evaluate availability of transmission service across this
path.
5. Prepare testimony and testify before Federal Energy Regulatory
Commission as required.
