A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AMENDMENT NO. 1 TO THE ENVIRONMENTAL SERVICES
AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND
ROLLINS CHEMPAK INC.

WHEREAS, the city of Vernon by Resolution No. 6624 on May

16, 1995, authorized the execution of an Environmental Services
8
Agreement with Rollins Chempak Inc. for disposal of hazardous

waste, which Agreement terminated on December 31, 1995; and
WHEREAS, the city of Vernon, through normal operations at
the City Yard, accumulates certain amounts of materials classified

as hazardous waste; and

WHEREAS, because State law imposes a limit on the storage
of such materials, the City of Vernon must arrange for the
l5
transportation and disposal of these materials by a licensed firm;

and
WHEREAS, Rollins Chempak Inc. has requested that said
l8
Agreement be renewed for the year 1996; and

WHEREAS, RollinsChempak Inc. is both licensed and

experienced in transportation and disposing of such materials.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove

are true and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves Amendment No. 1 to the Environmental Services Agreement,

a oopy of which Amendment has been presented to the City council
concurrently with this resolution, and the City Council hereby
orders said Amendment to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Amendment

for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall

certify to the passage of this resolution, and thereupon and

thereafter the same shall be in full force and effect.

RECITALS
WHEREAS, CUSTOMER and CONTRACTOR, pursuant to City
Council Resolution No. 6624 'adopted May 16, 1995, entered into an

Environmental Services Agreement for CONTRACTOR to haul, transfer,
process, treat and dispose of CUSTOMER's hazard~us waste; and
WHEREAS, said Agreement terminated on December 31, 1995;

and

WHEREAS, CUSTOMER desires to contract with CONTRACTOR for

the continued hauling, transfer, processing, treatment and

disposal of CUSTOMER's waste for the year 1996.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL PROMISES,
COVENANTS AND CONDITIONS HEREIN CONTAINED, IT IS MUTUALLY AGREED
BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

SECTION 1: CONTRACTOR agrees to continue providing the
environmental services pursuant to the terms and conditions of the
Environmental Services Agreement.
SECTION 2: The termination date of the Environmental
Services Agreement shall be December 31, 1996.

SECTION 3: All other terms, conditions, and rate

schedule~ in the Environmental Services Agreement shall remain the
same.
IN WITNESS WHEREOF, the parties hereto have caused this
AMENDMENT to be executed on the month, day and year first written
