A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A FIRM WHOLESALE POWER AGREEMENT NO. 1 AND
STIPULATION OF CHARGES FOR TRANSACTIONS BY AND
BETWEEN THE CITY OF VERNON AND ARIZONA PUBLIC
SERVICE COMPANY

WHEREAS, Arizona Public Service Company ("APS") desires
to sell to the City of Vernon from resources available to APS, and
the City of Vernon desires to purchase from APS, firm capacity and

associated energy; and
WHEREAS, APS has ownership entitlement in the Mead-
Phoenix Transmission Project, and the city of Vernon has ownership
entitlement in the Mead-Adelanto Transmission Project which are
14
estimated to be completed and operational during the first half of
15

1996, and, when operational, will establish a transmission
connection between APS and the City of Vernon at the Marketplace
Substation which will allow APS to schedule capacity and deliver
18
associated energy to Vernon; and

WHEREAS, the City of Vernon is in the process of
negotiating a Firm Bilateral Transmission Service Agreement with
Southern California Edison Company which will provide service
22
between Victorville-Lugo Midpoint and Vernon City Gate which will
23
complete a Marketplace to Vernon transmission path; and
24
WHEREAS, APS and the City of Vernon desire to enter into
25
26
a Firm Wholesale Power Agreement No. 1 setting forth the terms and
conditions under which APS will schedule capacity and deliver
27
associated energy to Vernon; and

WHEREAS, pursuant to Section 10 of said Firm Wholesale

Power Agreement No.1, APS and the City of Vernon desire to enter

into a Stipulation of Charges for Transactions.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove

are true and correct.

SECTION 2: The City Council of the City of Vernon hereby
9
approves the Firm Wholesale Power Agreement No. 1 and Stipulation

of Charges for Transactions, a copy of which has been presented to
the City Council concurrently with this resolution, and the City
Council hereby orders said Agreement and Stipulation to be
received and filed by the City Clerk.
SECTION 3: The City Council of the city of Vernon hereby

authorizes the Mayor and the City Clerk to execute said Agreement
and Stipulation for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the city of Vernon shall
certify to the passage of this resolution and thereupon and

thereafter the same shall be in full force and effect.

APPROVED AND ADOPTED this 5th day of March, 1996.
