A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OFA LETTER AGREEMENT BY AND BETWEEN THE CITY OF
VERNON AND WHITTEN & DIAMOND FOR CONSULTING
SERVICES

WHEREAS, the law offices of Whitten & Diamond specialize
7
in providing consulting services before the U.S. Congress and the
8
Federal Government; and
9
WHEREAS, the City of Vernon desires to retain the
10
consulting services of Whitten & Diamond to monitor federal
11
activities relating to certain issues on a routine basis to
12
13
14
enhance the City of Vernon's information on Washington actions and
to assist the City in following through on projects which become
available to benefit the health, safety, and public welfare of the
City of Vernon.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove

are true and correct.
SECTION 2: The City council of the City of Vernon hereby
22
approves the Letter Agreement, a copy of which has been presented
23
to the City Council concurrently with this resolution, and- the
City Council hereby orders said Letter Agreement to be received
24
25
and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Letter
26

Agreement for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall

certify to the passage of this resolution and thereupon and
4
thereafter the same shall be in full force and effect.

Dear Mr. Malkenhorst:
This is to propose that Whitten & Diamond represent the City of Vernon in
Washington, DC for the period May 1, 1996 to April 30, 1997. We propose that the scope
of work cover the following areas:
(1) Alameda Corridor Proiect: We will work with the City, the Federal
Department of Transportation and other groups to monitor funding initiatives for the
Alameda Corridor Project. We will consult on development of funding alternatives, the
roles of other participants and the best possibilities for the City of Vernon. We will build
upon the relationships the City has already established and work to continue and enhance
the City's role here in Washington.
(2) International Trade Proiects: We will work with the City to develop and
conclude international trade projects begun in recent Asia Trade Missions. We will work
with the Federal Department of Agriculture, Pacific Rim embassies, appropriate
corporations and other municipalities to help the City pursue productive trade projects and '
develop additional opportunities.
(3) Washinaton Activities: We will monitor federal activities and follow issues
on a routine basis as directed by the City. Our goal is to enhance the City's information
on Washington actions and to help the City follow through on projects which become
available.
We propose this one-year contract with compensation of $2,000 per month plus
reimbursement for out-of-pocket expenses. Expenses shall not exceed $3,000 for the year
unless agreed to by the City. If the. City asks us to work on specific projects other

than above, we will discuss fee arrangements beyond this agreement. This contract may
be terminated by either party upon 30 days' written notice.
We were very happy to work with the City of Vernon in previous years. We are
looking forward to working with you again on a continuing basis. Thank you very much for
your consideration of Whitten & Diamond.

7 Vernon adopted Resolution No.-6781 approving a Letter Agreement with
8 Whitten & Diamond dated April 11, 1996 to perform consulting services
9 to monitor federal activities•to einhance the City's information on
10 Washington actions. and various other projects; and
11 WHEREAS,-the Letter Agreements provides that the contract may
12 be terminated by either party upon 30 days' written notice; and
13 WHEREAS, City staff have determined that it is in the best.

17 THE CTTY.OF VERNON AS FOLLOWS:

22 Council of the City of Vernon hereby terminates the Letter Agreement
23 with Whitten & Diamond for consulting services- effective March 20,
24 2007. '
25 SECTION 3~: The Finance Committee Section of the City
26 Council. of the City of Vernon hereby authorizes the City Attorney to
27 provide a notice of termination to Whitten & Diamond anal to instruct
28 Whitten & Diamond. to cease.prgviding any services as of the date .of
1 the notice and not to incur any further expenses during the 30=day
2 notice period.
3 SECTION 4: The Acting City Clerk of the City of Vernon..
4 shall certify to the passage of this resolution, and thereupon and
