Resolution No. 6843 . .. 1 RESOLUTION NO. 6843 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON REPEALING RESOLUTION NO. 6842 AND APPROVING AN ALTERNATE OFFER OF SETTLEMENT WITH MODIFICATIONS IN THE LITIGATION ENTITLED CITY OF SOUTH GATE. ET AL. VS. CITY OF LOS ANGELES. ET AL., LASC NO. BC 129447, COURT OF APPEAL NO. 2ND CIV NO. B100019 4 5 6 7 WHEREAS, the cities of Compton, Lynwood, South Gate and 8 Vernon and the Association for the Mitigation of Transportation 9 Impacts composed of the above-referenced four cities and taxpayers 10 Anita o. Aviles and Edward Saenz filed a complaint in the Los 11 Angeles Superior Court against the City of Los Angeles, Port of 12 Los Angeles, Board of Harbor Commissioners of the city of Los 13 Angeles, City of Long Beach, Port of Long Beach, Board of Harbor 14 Commissioners of the City of Long Beach raising, among other issues, the validity of the Third Amendment to the Joint Powers 15 16 Agreement between Los Angeles and Long Beach, which established 17 the Alameda Corridor Transportation Authority; and 18 WHEREAS, the litigation is presently pending in the Court 19 of Appeal; and 20 WHEREAS, on August 15, 1996, the cities of Long Beach and 21 Los Angeles, and the Ports of Long Beach and Los Angeles made an 22 offer of settlement to the plaintiffs in this matter which, if 23 accepted, ~ould have settled this litigation; and 24 WHEREAS, the City of Huntington Park and SEcTA were made parties to the proposed Settlement Agreement in order to fully 25 26 implement the settlement as proposed; and 27 III 28 . . 1 WHEREAS, the City Council's approval of City of Vernon 2 Resolution No. 6842 adopted on August 15, 1996, was based upon the 3 assumption that all plaintiff cities, Huntington Park and SECTA 4 would approve such settlement without conditions; and 5 WHEREAS, the City of Lynwood's approval of such 6 August 15, 1996 offer of settlement imposed conditions upon the 7 other plaintiff cities and SECTA to make an allocation of 8 settlement funds which were described in City of Lynwood 9 Resolution No. 96-129 adopted by the City Council of the City of 10 Lynwood on August 20, 1996; and 11 WHEREAS, representatives of the cities of Huntington 12 Park, South Gate, Vernon, and Compton have expressed their 13 disapproval with Resolution No. 96-129 of the City of Lynwood; and 14 WHEREAS, the City of Vernon hereby rejects the City of 15 Lynwood's preconditions provided for in City of Lynwood Resolution 16 No. 96-129; and 17 WHEREAS, the defendants' attorney, Keesal, Young & Logan, 18 submitted an alternate offer of settlement on August 22, 1996, 19 upon the condition that said attorney will formally present said 20 alternate offer of settlement to the defendants for their formal 21 approval as soon as possible; and 22 WHEREAS, the defendants' alternate offer of settlement 23 reduced the Payment to SECTA and the Miscellaneous Settlement 24 Payment to Vernon by 20%, in order to reflect that the City of 25 Lynwood was not included in such alternate offer of settlement; 26 and 27 III 28 III -2- 1 WHEREAS, the cities believe this reduction is unequitable 2 because only 14.1% of the combined project miles is located in or 3 adjacent to the City of Lynwood; and 4 WHEREAS, the only SECTA funds directly affected by 5 Lynwood's decision to not participate in the settlement are the: 6 (1) funding for Construction Claim Committee; (2) funding for 7 Joint Project Committee and mitigation resolution (PDC); and (3) 8 funding for Job Training; and 9 WHEREAS, the Miscellaneous Settlement Payment for the 10 City of Vernon is not affected by the City of Lynwood's decision 11 to not participate in the offer of settlement; and 12 WHEREAS, the cities propose to modify such alternate 13 offer of settlement by modifying such settlement amount to reduce 14 the funds by 14.1% in the following categories: (1) funding for 15 Construction Claim Committee; (2) funding for Joint Project 16 Committee and mitigation resolution (PDC); (3) funding for job 17 training; and (4) retaining the Miscellaneous Settlement Payment 18 to Vernon without reduction. These modifications are shown on the 19 attached Exhibit "B" modified, which is incorporated herein as 20 though fully set forth at length; and 21 WHEREAS, the cities of Huntington Park, South Gate, 22 Compton and Vernon intend to approve the above-described modified 23 alternate offer of settlement conditioned upon all four cities 24 approval, NEW SECTA approval and conditioned upon the defendants' 25 approving said modified alternate offer of settlement; and 26 WHEREAS, the City Council of the City of Vernon intends 27 to repeal City of Vernon Resolution No. 6842. 28 III -3- 1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 2 CITY OF VERNON AS FOLLOWS: 3 SECTION 1: The City Council of the City of Vernon does 4 hereby find and determine that the recitals contained hereinabove 5 are true and correct. 6 SECTION 2: The City Council of the City of Vernon hereby 7 repeals Resolution No. 6842. 8 SECTION 3: The City Council of the City of Vernon hereby 9 approves the modified alternate offer of settlement (see Exhibit 10 "B" mOdified), provided that the cities of South Gate and Compton, 11 plaintiffs in the litigation entitled city of South Gate. et al. 12 vs. City of Los Angeles. et al.. LASC No. BC 129447, similarly 13 approve such modified alternate offer of settlement without 14 imposing any conditions; and further provided that the City of 15 Huntington Park and NEW SECTA approve the same modified alternate 16 offer of settlement without imposing any condition herein unless 17 the Cities of Huntington Park, South Gate, compton and Vernon and 18 NEW SECTA unanimously approve any said condition; and provided 19 further herein that the defendants formally approve said 20 settlement without imposing any changes or conditions. 21 SECTION 4: Upon receiving notification that the cities 22 of Huntington Park, South Gate, Compton, Vernon and NEW SECTA, and 23 the defendants, parties to the modified alternate offer of 24 settlement, have approved the Settlement Agreement without 25 conditions, unless any said conditions have been approved by all 26 cities, defendants and NEW SECTA, the Mayor is authorized to 27 execute the Agreement in twelve (12) counterparts. 28 SECTION 5: The City Clerk of the City of Vernon shall -4- < ., 1 certify to the passage of this resolution and thereupon and 2 thereafter the same shall be in full force and effect. 3 APPROVED AND ADOPTED this 29th day of August, 1996. ~,~P~~~~BUR 4 5 -" 6 ATT~T: H / /: "" r~ / $~~ BRUCE V.
