A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON TERMINATING THE JOINT POWERS AGREEMENT
CREATING THE SOUTHEAST CITIES TRANSPORTATION
AUTHORITY

WHEREAS, the city of Vernon, the City of Huntington Park,
7
the City of South Gate and the City of Compton desire to terminate
8
the Joint Powers Agreement creating the Southeast cities
9
Transportation Authority ("SECTA"); and
WHEREAS, Article 17 of said Joint Powers Agreement
authorizes the termination of said Agreement at any time with the
approval of two-thirds of the Members; and
WHEREAS, the City of Vernon desires to terminate the said
Joint Powers Agreement if the City of Huntington Park, the City of
south Gate and the City of Compton also terminate said Agreement;
and
WHEREAS, the City of Vernon's approval to terminate the
Joint Powers Agreement is conditioned upon the cities of
Huntington Park, South Gate and Compton also terminating said
Agreement; and
WHEREAS, the City of Vernon has been informed that the
Cities of Huntington Park, South Gate and Compton intend to take
action approving the termination of said Agreement; and
WHEREAS, the effective date of the City of Vernon's
approval of the termination of the Joint Powers Agreement shall be
the date that the fourth city approves such termination.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon does
2 hereby find and determine that the recitals contained hereinabove
3 are true and correct.

SECTION 2: The City Council of the City of Vernon hereby
5 approves the termination of the Joint Powers Agreement that
6 created SECTA, subject to the condition that the cities of
7 Huntington Park, South Gate and Compton also approve said
8 termination, and such termination shall only be effective upon the
9 day that the fourth city approves such termination.

SECTION 3: The City Council of the City of Vernon hereby
11 instructs and authorizes the City Administrator to send a
12 certified copy of this Resolution to Albert Robles, General
13 Manager of SECTA, at 11330 Bullis Road, Lynwood, California 90262
14 and to the cities of Huntington Park, South Gate, Compton and
15 Lynwood.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.

AGREEMENT TERMINATING THE
SOUTHEAST CITIES TRANSPORTATION AUTHORITY
THIS AGREEMENT is executed in the state of California by
and among the cities of Compton, Huntington Park, South Gate and
Vernon, which are organized and existing under the Constitution of
the State of California.
RECITALS
WHEREAS, the Southeast cities Transportation Authority
(hereinafter referred to as "Authority") was created by a Joint
Powers Agreement with the intent of including the cities of
Carson, Compton, Huntington Park, Lynwood, South Gate and Vernon;
and
WHEREAS, Article 4 of said Joint Powers Agreement
provided that the Agreement shall become effective when executed
and returned to the Authority by at least four cities; and
WHEREAS, the cities of Compton, Huntington Park, Lynwood,
South Gate and Vernon executed said Agreement, thereby causing the
Agreement to become effective; and
WHEREAS, Article 17 of said Joint Powers Agreement
provides that this Agreement may be terminated with the approval
of two-thirds of the members; and
WHEREAS, the cities of Compton, Huntington Park, South
Gate and Vernon have adopted resolutions terminating their
membership in said Joint Powers Agreement, which said cities
constitute two-thirds of the members of the Authority.
NOW, THEREFORE, the parties agree as follows:

SECTION 1: Pursuant to Article 17 of the Joint Powers
Agreement creating the Southeast cities Transportation Authority,
the parties hereto terminate said Joint Powers Agreement.
SECTION 2: The parties hereto authorize the General
Manager, Albert Robles, and the Authority's legal counsel, David
B. Brearley, to take all actions necessary to fully dissolve the
Authority and pay all bills of the Authority from assets available
to the Authority.
SECTION 3: EXECUTION. This Agreement may be executed in
any number of counterparts, each of which shall be an original,
but all of which shall constitute one and the same instrument.
SECTION 4: AGREEMENT COMPLETE. This Agreement
constitutes the full and complete agreement of the parties.
SECTION 5: FILING WITH THE SECRETARY OF STATE. The
General Manager of the Authority shall file a notice of this
Agreement terminating and dissolving the Authority with the office
of the California Secretary of State.
SECTION 6: EFFECTIVE DATE. This Agreement shall be
effective upon the date of the resolution of the fourth city
terminating the Agreement creating, and their participation in,
the Authority.
IN WITNESS WHEREOF, the undersigned parties hereto have
executed this Agreement on the date indicated below.

Dear Mr. Brearley: •
This Office serves as Special Counsel to the City of Lynwood insofar as its
participation in the Southeast Cities Transportation- Authority ("SECTA") and related
matters are concerned.
On or about August 30, 1996, by facsimile, you served a Notice of 'a
purported. Termination of Joint Powers Agreement Creating the Southeast Cities
Transportation Authority. The Notice of purported Termination states ,that it is based
on a vote of two-thirds of the members,. the Cities of Compton, Huntington-Park,
Southgate and Vernon. The letter- fails to state that the decision to terminate SECTA
occurred at a meeting of SECTA and further.-does not state whether such a meeting, if it
occurred at all, was duly noticed in accordance with California law.
- The City of Lynwood received no notice of such a meeting, if one in fact
did occur.
The above-described activities constitute wholesale and manifest violations
of the Ralph M. Brown Act, California Government Code § 54950, sue.

Accordingly, demand is hereby made for SECTA to cure each and every
violation of the Brown Act, above-enumerated, inter alia, by nullification of the
purported Termination thereof. Failure immediately to effect such a cure,' will leave the
City of Lynwood no alternative but to enforce the provisions of the Brown Act in court
and to avail itself of each and every remedy available to it under the Joint Powers
Agreement.

Each of the four cities of Compton, Huntington Park, South
Gate and Vernon adopted a resolution which terminated the above
referenced Joint Powers Agreement and dissolved-their
participation in the Southeast Cities Transportation Authority.
Each of the resolutions required that all four cities adopt
said resolution and made their termination effective upon the
adoption of the fourth city. The City of Vernon .adopted
.Resolution No. 6845 on August 29, 1996, and the City of Compton
also adopted a resolution terminating the Agreement. on the same
day.
Thus, all four cities have adopted a resolution which
terminated the Agreement.
Therefore, enclosed please find five extra signature pages
and an Execution Copy of the Agreement for execution by the Mayor
of your respective city, the execution of which was authorized by
Messrs.. Caldwell, George,

joint powers authority. Your city should retain the Execution

joint"powers authority now known as "NEW SECTA" which is ongoing

Dear Mr. Robles:
PLEASE TARE NOTICE that pursuant to Artcle,l7;of-- the Joint
Powers Agreement Creating the Southeast Cities Transportation
Authority (SECTA) deemed formally effective February 13, 1992.,
the Cities of Compton, Huntington Park, South Gate and Vernon
(two-thirds of the Members) have voted to terminate the Joint
Powers Agreement and, therefore, the. Joint; .Powers Agreement is
hereby terminated.

At the special meeting of the City Council of the City of Huntington Park held August 27, 1996 the
following Resolutions were adopted:
No. 96-56 terminating the Joint Powers Agreement creating the Southeast Cities Transportation
Authority;
No. 96-57 authorizing the execution of a "Joint Powers Agreement creating the new Southeast Cities
Transportation Authority", approving the membership of the City in such authority, appointing the
City's representative and alternate to the Authority's Board of Directors, and related matters; and
No. 96-58 approving a revised and/or alternate offer of settlement in the litigation entitled City of
South Gate, et al. vs. City of Los Angeles, et al., LASC No. BC 129447, court of Appeal No. 2nd CIV.
Enclosed are certified copies of the above mentioned Resolutions for your files.
