A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AMENDMENT NO. 2 TO THE ENVIRONMENTAL SERVICES
AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND
ROLLINS CHEMPAK INC.

WHEREAS, the City of Vernon by Resolution No. 6624 on May
7
16, 1995, authorized the execution of an Environmental Services
8
Agreement with Rollins Chempak Inc. for disposal of hazardous
waste, which Agreement was extended to December 31, 1995, by
9

Amendment No. 1 to the Environmental Services Agreement as
11
approved by Resolution No. 6738 on January 9, 1996; and
WHEREAS, the City of Vernon, through normal operations at
12
13
the City Yard, accumulates certain amounts of materials classified
14
as ~azardous waste; and.
15
WHEREAS, because State law imposes a limit on the storage
16
of such materials, the City of Vernon must arrange for the
transportation and disposal of these materials by a licensed firm;
17
18
and
19
WHEREAS, Rollins Chempak Inc. has requested that said
20
Agreement be renewed for the year 1997; and
21
WHEREAS, Rollins Chempak Inc. is both licensed and
22
experienced in transportation and disposing of such materials.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon does
26
hereby find and determine that the recitals contained hereinabove
27
are true and correct.

SECTION 2: The City Council of the City of Vernon hereby
2
approves Amendment No. 2 to the Environmental Services Agreement,
a copy of which Amendment has been presented to the City Council
concurrently with this resolution, and the City Council hereby

orders said Amendment to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
7 authorizes the Mayor and the City Clerk to execute said Amendment
6
8 for, and on behalf of, the City of Vernon.
9
SECTION 4: The City Clerk of the City of Vernon shall
10 certify to the passage of this resolution, and thereupon and
11 thereafter the same shall be in full force and effect.
12 APPROVED AND ADOPTED this 7th day of January, 1997.

RECITALS

WHEREAS, CUSTOMER and CONTRACTOR, pursuant to City
Council Resolution No. 6624 adopted May 16, 1995, entered into an
Environmental Services Agreement for CONTRACTOR to haul, transfer.,

process, treat and dispose of CUSTOMER's hazardous waste, and
which Agreement was scheduled to terminate on December 31, 1995;
17
and
18

WHEREAS, pursuant to City Council Resolution No. 6738,
said Agreement waS extended to December 31, 1996, by Amendment No.
20

1 to the Environmental Services Agreement; and
22
WHEREAS, CUSTOMER desires to contract with CONTRACTOR for
23
the continued hauling, transfer, processing, treatment and
24
disposal of CUSTOMER's waste for the year 1997.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL. PROMISES,
COVENANTS AND CONDITIONS HEREIN CONTAINED, IT IS MUTUALLY AGREED
BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

SECTION 1: CONTRACTOR agrees to continue providing the
environmental services pursuant to the terms and conditions of the
