Resolution No. 6906 j <.". 1 RESOLUTION NO. 6906 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR CONTRACTUAL SERVICES BY AND BETWEEN THE CITY OF VERNON AND ALBERT ROBLES 4 5 6 WHEREAS, the City of Vernon desires to retain the 7 services of a consultant to provide assistance and consultation in 8 conjunction with the Alameda Corridor Project; and 9 WHEREAS, Albert Robles is well qualified by reason of 10 education and experience to perform such services; and 11 WHEREAS, the City of Vernon and Albert Robles desire to 12 enter into an Agreement for Contractual Services. 13 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: 14 15 SECTION 1: The City Council of the City of Vernon does hereby find and determine that the recitals contained hereinabove 16 17 are true and correct. 18 SECTION 2: The City Council of the City of Vernon hereby 19 approves the Agreement for Contractual Services, a copy of which 20 has been presented to the City Council concurrently with this resolution, and the city Council hereby orders said Agreement to 21 22 be received and filed by the City Clerk. SECTION 3: The City Council of the City of Vernon hereby 23 24 authorizes the Mayor and the City Clerk to execute said Agreement 25 for, and on behalf of, the City of Vernon. 26 SECTION 4: The City Clerk of the City of Vernon shall certify to the passage of this resolution and thereupon and 27 28 thereafter the same shall be in full force and effect. Bonnie Vale Avenue pico Rivera,CA 90660 (hereinaft~r referred to as "CONSULTANT" ) 10 11 12 RECITALS: 13 wHEREAS, CITY desires to retain CONSULTANT to provide 14 assistance and consultation in conjunction with the Alameda Corridor 15 project; and 16 WHEREAS, CONSULTANT is well qualified by reason of 17 education and experience to perform such services; and , 18 WHERE~S, CONSULTANT is willing to render such professional 19 services as hereinafter defined. 20 NOW, THEREFORE, FOR AND IN CONSIDERATION OF THESE MUTUAL 21 COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO AGREE .-- 22 AS FOLLOWS: 23 SECTION 1: SCOPE OF SERVICES. 24 The services to be provided will be directed and authorized 25 in writing by the City Administrator of the CITY to assist in 26 providing advice and performing work on miscellaneous projects 27 concerning the Alameda Corridor and that said Consultant's services 28 shall be confidential. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 2: Term and Cancellation. The term of this Agreement shall be from January 1, 1997 through and including December 31, 1997. Further, both the CITY and CONSULTANT shall have the right to terminate this Agreement on thirty (30) days written notice. CITY agrees to compensate CONSULTANT for actual costs incurred prior to the cancellation of the Agreement. In the event of termination, CONSULTANT shall forthwith turn over to CITY all 'work product, documents, records and writings of whatsoever nature in connection with work performed pursuant to or in connection with this Agreement. SECTION 3: Performance. The CONSULTANT agrees that all services provided will be conducted by the principal, and that services will be performed and rendered diligently. SECTION 4: compensation. The CITY shall pay CONSULTANT as consideration for the services provided pursuant to this Agreement a mont&ly fee of THREE THOUSAND DOLLAR~ ($3,000.00) per month after submission of a written invoice by CONSULTANT to the City Administrator and approval of said invoice by the City Administrator. SECTION 5: Scope of Work. The CITY designates the City Administrator to supervise the provision of consulting services by CONSULTANT. The Parties intend that the anticipated scope of work shall be consistent with the attached Exhibit "A", Scope of Work. .-- III III -2- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 6: Other Consulting Services. In the performance of this Agreement, CONSULTANT shall abide by and conform to any and all applicable laws of the United States, the State of California, and ordinances, regulations, and policies of the CITY. Further, CONSULTANT agrees to notify the City Administrator regarding the number of hours spent providing consulting services to any other city or local public agency during the term of this Agreement wi thin one week after beginning to provide such services. SECTION 7: Capacity as Independent Contractor. Performance of CONSULTANT's services hereunder shall be in the capacity of an independent contractor and not as an officer, agent or employee of the CITY. In consideration for the compensation paid to CONSULTANT by CITY pursuant to section 4 of this agreement, CONSULTANT agrees that CITY, its officers, employees, agents, representatives and sureties shall not be liable or responsible for any benefits, including but ript limited to, workers' compensation, disability, retirement, life insurance, unemployment insurance, health or any other insurance benefits and CONSULTANT agrees that he shall not sue or file a claim, petition, or application therefore against CITY or any of CITY's officers, .- employees, agents, representatives, or sureties. SECTION 8: Notices. Neither the CITY nor CONSULTANT shall assign or transfer 12 13 its interest in this Agreement. 14 SECTION 11: Ownership. Upon request by CITY, CONSULTANT will provide assistance and consultation services for existing and proposed Alameda Corridor projects. Such .services may include research, fact gathering, verbal consultation, written recommendations, appearance at meetings, and administration of a project. RELATED SERVICES. Upon request by CITY, CONSULTANT will provide services similar to those enumerated in "A" above, for any matter which might have an effect on the Alameda Corridor project including, but not limited to: (a) (b) (c) (d) (e) (f) (g) (h) (i) Blight Housing Industry Streets, highways, and roads Traffic Planning and zoning Financing Environmental Assessment Ordinances and resolutions .'
