Resolution No. 6933 .....~ 1 RESOLUTION NO. 6933 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR MOBILE INTENSIVE CARE UNIT (MICU) PARAMEDIC AND AMBULANCE SERVICES AND USE OF CITY VEHICLE, EQUIPMENT AND FACILITIES BY AND BETWEEN THE CITY OF VERNON AND AMERICAN MEDICAL RESPONSE, INC. 4 5 6 7 8 WHEREAS, the City of Vernon has authority to provide 9 emergency medical services for persons injured in traffic and other 10 accidents, and for incapacitated persons in need of medical 11 attention in circumstances where prompt action is required; and 12 WHEREAS, the City is authorized by law to subcontract for 13 said services; and 14 WHEREAS, the city has determined that mobile intensive 15 care unit (MICU) paramedic and ambulance services are required for 16 the health and welfare of its citizens; and 17 WHEREAS, American Medical Response, Inc. (AMR) is in the business of providing MICU paramedic and ambulance services and 18 19 desires to be retained for such services as City may require; and 20 WHEREAS, AMR will utilize the City's ambulance and 21 appurtenant equipment and will house its personnel in Vernon Fire 22 Station Nos. 1, 2 or 3, as so designated by the City's Fire Chief, 23 so as to perform the services provided for herein in a prompt and 24 efficient manner; and 25 WHEREAS, Bruce V. Malkenhorst, City Administrator, has 26 recommended approval of an agreement with AMR for such services. 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: 28 --- 1 SECTION 1: The City council of the city of Vernon hereby 2 finds and determines that the recitals contained hereinabove are 3 true and correct. 4 SECTION 2: The City Council of the City of Vernon hereby approves the Agreement for Mobile Intensive Care unit (MICU) 5 6 Paramedic and Ambulance Services and Use of City Vehicle, Equipment 7 and Facilities with American Medical Response, Inc., a copy of which 8 has been presented to the ci ty Council concurrently with this 9 resolution, and the City Council hereby orders said Agreement to be 10 received and filed by the City Clerk. 11 SECTION 3: The City Council of the City of Vernon hereby 12 authorizes the Mayor and the City Clerk to execute said Agreement 13 for, and on behalf of, the City of Vernon. 14 SECTION 4: The City Clerk of the City of Vernon shall 15 certify to the passage of this resolution, and thereupon and 16 thereafter the same shall be in full force and effect. 17 APPROVED AND ADOPTED this 25th day of March, 1997. 18 ~. (hereinafter referred to as "PROVIDER" ) 8633 California Avenue South Gate, CA 90280 Telephone: (213) 567-1251 RECITALS: 14 15 16 17 18 WHEREAS, CITY has authority to provide emergency medical 19 services for persons injured in traffic and other accidents, and 20 21 for incapacitated persons in need of medical attention in circumstances where prompt action is required; and 22 WHEREAS, CITY is authorized by law to subcontract for 23 said services; and 24 WHEREAS, CITY has determined that mobile intensive care 25 unit (MICU) paramedic and ambulance services are required for the 26 health and welfare of its citizens; and 27 WHEREAS, PROVIDER is in the business of providing MICU 28 paramedic and ambulance services and desires to be retained for 1 such services as CITY may require; and 2 WHEREAS, it has been mutually agreed that PROVIDER shall 3 utilize CITY's paramedic vehicle and appurtenant equipment and 4 shall house its personnel in Vernon Fire Station Nos. 1, 2 or 3, 5 as so designated by CITY's Fire Chief, so as to perform the 6 services provided for herein in a prompt and efficient manner. 7 NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL 8 COVENANTS, THE PARTIES HERETO AGREE AS FOLLOWS: 9 SECTION 1: L~ASE OF PREMISES. 10 CITY shall permit PROVIDER to lease and occupy, subject 11 to this Agreement, space and facilities within Fire station Nos. 12 1, 2 or 3 for housing, as designated by CITY's Fire Chief. 13 (a) PROVIDER shall compensate CITY for the right to 14 occupy space within Fire station Nos. 1, 2 or 3, as designated by 15 CITY's Fire Chief, at a nominal rental of $1.00 per month, payable 16 in advance on or before the 10th day of each month. 17 (b) PROVIDER personnel shall keep said premises clean 18 and orderly at all times. 19 (c) The relationship, under this Agreement, between 20 PROVIDER and CITY's Fire Department shall be that of guest and 21 host, respectively. PROVIDER personnel shall be subordinate to 22 the Fire Station Commander on all matters relating to the station 23 maintenance, internal security, training and drills. 24 SECTION 2: LEASE OF VEHICLE. 25 CITY shall permit PROVIDER to lease and use CITY's 26 paramedic vehicle (License No. E 342042) subject to the following 27 terms and conditions: 28 (a) Said vehicle shall be used within and dedicated to -2- 1 service within CITY, except as otherwise authorized herein. 2 (b) CITY shall perform or be responsible for the expense 3 of all necessary heavy maintenance and shall supply all necessary 4 gas, oil, and supplies for said paramedic vehicle. 5 (c) PROVIDER personnel will be responsible for the 6 condition and cleanliness of said vehicle and for proper fueling 7 and servicing of said vehicle, when necessary, using reasonable 8 care while said vehicle is in their possession. Further, PROVIDER 9 shall be responsible for all damage to said vehicle caused by such 10 personnel's negligent maintenance or operation. 11 (d) PROVIDER shall compensate CITY for the lease and use 12 of said vehicle at a nominal rate of $1.00 per month payable in 13 advance on the 10th day of each month. 14 SECTION 3: CITY'S PARAMEDIC EOUIPMENT SUPPLIES, AND 15 INVENTORY. 16 CITY shall provide the paramedic equipment, supplies and 17 inventory listed and shown on Exhibit A, which is attached hereto 18 and made a part hereof by reference. Exhibit A may be revised 19 from time to time to show upgrading of equipment, supplies, and 20 inventory. 21 (a) CITY shall permit PROVIDER to use said paramedic 22 equipment, supplies, and inventory. 23 (b) PROVIDER personnel shall use and maintain said 24 paramedic equipment, supplies, and inventory in a good and proper 25 condition. 26 (c) In the event of any loss or destruction due to 27 negligence, PROVIDER will reimburse CITY the reasonable cost of 28 said items. -3- 1 (d) After termination hereof, the paramedic equipment, 2 supplies and inventory shall be returned to CITY or replaced by 3 PROVIDER. 4 SECTION 4: PROVIDER'S SPECIALIZED EOUIPMENT. 5 (a) PROVIDER shall equip CITY's paramedic vehicle and 6 each of its backup MICU paramedic ambulances with specialized 7 equipment approved by the Department of Health Services, County of 8 Los Angeles. This equipment shall include, but not be limited to, 9 electrocardiograph oscilloscope, defibrillator, portable 10 telemetry, portable suction apparatus, resuscitator, traction 11 splint, and esophageal airway except to the extent that the above- 12 indicated equipment is supplied by CITY for CITY's paramedic 13 vehicle as listed on Exhibit A. 14 (b) PROVIDER shall make available backup MICU ambulance 15 service as provided herein. Each backup MICU paramedic ambulance 16 utilized in CITY by PROVIDER must be approved by the Department of 17 Health Services, County of Los Angeles. 18 SECTION 5: MISSION AND RESPONSIBILITIES. 19 Each party hereto acknowledges and recognizes the vital 20 community services each is providing and will, as further set 21 forth in Exhibit B, which is attached hereto and made a part 22 hereof by reference, assist each other in the fulfillment of their 23 mission and responsibilities. 24 SECTION 6: PROVIDER'~ STAFF. 25 The CITY's paramedic vehicle and each MICU paramedic 26 ambulance shall be staffed with a driver and an attendant, both of 27 whom shall wear uniforms identifying such persons as employees of 28 PROVIDER. Both driver and attendant shall be trained in -4- 1 accordance with the Wedworth-Townsend Paramedic Act and shall be 2 certified by the County of Los Angeles as MICU paramedics. Both 3 shall hold a current valid ambulance driver's certificate issued 4 by the state of California. 5 SECTION 7: CITY'S DISPATCHER. 6 CITY shall utilize its dispatcher for gathering necessary 7 medical and location information and will promptly dispatch CITY's 8 paramedic vehicle and, if needed, PROVIDER's MICU paramedic 9 ambulance(s) to the scene of medical emergencies, when the need 10 for such services is determined. PROVIDER shall, in each instance 11 of an authorized call, transport the injured party to the nearest 12 available appropriate hospital or emergency medical facility 13 approved under the Los Angeles County Emergency Aid Program; 14 provided, however, that nothing stated herein shall preclude the 15 patient from specifying a different hospital or other destination. 16 SECTION 8: P~RAMEDIC SERVICES. 17 PROVIDER shall provide ambulance service using CITY's 18 paramedic vehicle or PROVIDER's MICU paramedic ambulances to all 19 places within the CITY's boundaries. PROVIDER shall respond 20 promptly and without delay on all paramedic calls received by the 21 dispatcher. 22 (a) CITY's paramedic vehicle will be committed to CITY 23 paramedic responses. 24 (b) PROVIDER shall have available a backup MICU 25 paramedic ambulance within a fifteen (15) minute response time for 26 any call within CITY's boundaries. 27 (c) If a backup MICU paramedic ambulance is unavailable, 28 PROVIDER will respond with an emergency ambulance staffed with -5- 1 Emergency Medical Technicians l's (EMT-1) on any subsequent backup 2 call. 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 (d) At such times when all PROVIDER ambulances are unavailable, PROVIDER agrees to arrange, at its own expense, for additional backup from other ambulance companies. However, it is expressly understood that PROVIDER shall have available a backup unit in accordance with paragraph (b) above and PROVIDER must provide evidence of good and sufficient cause if said service is unavailable. Failure to demonstrate proper cause shall be sufficient ground at CITY's option for immediate termination of this Agreement. (e) PROVIDER shall furnish a proper MICU paramedic ambulance in the event CITY's paramedic vehicle (License No. E 342042) is temporarily out of commission for any reason. SECTION 9: STANDBY RESPONSE TO INCIDENTS. PROVIDER shall respond on all Fire Department first alarms in the CITY and on request to all police Department incidents in the CITY. PROVIDER, at the request of the CITY, will respond on similar alarms and incidents outside the CITY involving CITY Fire or Police Department officers. (a) PROVIDER shall provide paramedic standby at all such major events or incidents. (b) CITY shall provide necessary manpower needed to assist in cases of extrication, heart attack, crowd control, and disasters as deemed necessary by CITY's Fire Chief. SECTION 10: TELEPHONE LINE. PROVIDER shall maintain a direct telephone line from its office to the Fire Department dispatcher in order to provide an -6- 1 efficient and prompt response. 2 SECTION 11: REPORTS. 3 PROVIDER agrees to be responsible for the filing, 4 accumulation, assimilation and preparation of all MICU required 5 reports arising from use of CITY's paramedic vehicle, and 6 duplicate copies of such reports will be filed with CITY's Finance 7 Director. 8 SECTION 12: INSURANCE. 9 PROVIDER shall furnish and maintain the policies of 10 insurance and proof of insurance set forth in the Insurance 11 Schedule, which is attached hereto as Exhibit C and made a part 12 hereof by reference. 13 SECTION 13: INDEMNIFICATION. 14 PROVIDER shall indemnify and hold harmless CITY and its 15 agents and employees from and against all claims, damages, losses 16 and expenses including attorney's fees arising out of or resulting 17 from the performance of the services caused in whole or in part by 18 any negligent act or omission by PROVIDER, any subcontractor of 19 PROVIDER, anyone directly or indirectly employed by any of them, 20 or anyone for whose acts PROVIDER may be held liable. 21 SECTION 14: CONTINUING EDUCATION. 22 PROVIDER agrees to maintain or make provision for a 23 continuing education program for all employed MACAW Paramedics as 24 required by the Department of Health Services, county of Los 25 Angeles. PROVIDER shall give training to CITY's firefighters in 26 assisting paramedic operations, including drills, as deemed 27 necessary by the Fire Chief. 28 III -7- 1 SECTION 15: PROVIQER'S RATES. 2 Under the terms of this Agreement, PROVIDER shall furnish 3 service to persons at rates in accordance with the Los Angeles 4 county Ordinance No. 11,806, and Ordinance amending Chapter IV, or 5 Ordinance No. 5860, or as such Ordinances are further amended, or 6 as modified by Medicare andlor Medi-Cal (see Exhibit D, which is 7 attached hereto for information, which Exhibit may be revised in 8 accordance with Los Angeles County rates from time to time). 9 SECTION 16: ~TE WAIVER FOR RESIDENTS AND EMPLOYEES OF 10 CITY. 11 PROVIDER shall provide MACAW paramedic and ambulance 12 services to CITY residents, to their immediate family members 13 residing with them, and to CITY employees located in the CITY at 14 no charge to CITY, to CITY's self-insured health plan, to the 15 resident, to their immediate family members, or to such CITY 16 employees. Nothing in this section shall prohibit PROVIDER from 17 billing any other insurance carrier providing coverage, and 18 nothing in this Agreement shall constitute a waiver of such 19 additional coverage. 20 SECTION 17: LIMITATIONS OF RATES RE COUNTY OF LOS 21 ANGELES. 22 Effective November 26, 1991, CITY entered into an 23 Emergency Ambulance Service Agreement with the county of Los 24 Angeles recognizing CITY's jurisdiction over emergency ambulance 25 service within CITY's boundaries, but on condition that CITY not 26 bill the County of Los Angeles for service to indigents. This 27 Agreement shall be subject to the terms of said agreement and 28 CONTRACTOR shall abide by said condition with respect to indigents -8- 1 which is set forth in Section 5 to said agreement, a copy of which 2 is attached hereto as Exhibit E and made a part hereof by 3 reference. 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 18: PAYMENT TQ PROVIDER. For MACAW paramedic and ambulance services, CITY agrees to pay to PROVIDER a monthly service fee by the 10th day of the month following submission of an invoice in the amount of Eighteen Thousand Two Hundred Fifty Dollars ($18,250.00). Said invoice shall be in writing and shall provide a detailed report of all calls made, location, time, names, and destination. Said payment shall be in addition to amounts collected by PROVIDER pursuant to sections 15 and 16. SECTION 19: ASSIGNMENT. PROVIDER shall not assign any portion of this Agreement or the services to be rendered hereunder without the written consent first obtained from CITY, and any assignment made contrary to the provisions of this section shall serve to terminate this Agreement at the option of CITY and shall not convey any rights to the assignee. SECTION 20: ADMINISTRATIVE IMPLEMENTATION. It is mutually agreed by both parties hereto that certain administrative details as may be desirable or necessary for the implementation of the Agreement shall be, if desired or required by either party hereto, submitted in written form to be approved by the City Attorney and City Administrator and executed on CITY's behalf by the Fire Chief. It is anticipated that such documents, if required, shall take the form of Letters of Administration. III -9- 1 SECTION 21: TERM OF AGREEMENT. 2 The term of this Agreement shall be from April 1, 1997 3 through and including July 31, 1998. In the event said Agreement 4 is not terminated prior to July 31, 1998, it shall continue on a 5 month-to-month basis thereafter and all charges and fees shall be 6 applicable on the same basis as provided for herein. If either 7 party wishes to terminate this Agreement before July 31, 1998, or 8 thereafter, such party shall give the other party a written notice 9 (registered or certified letter) at least thirty (30) days prior 10 to said termination date indicating the intent to terminate. 11 However, notwithstanding the above, CITY shall have the right to 12 unilaterally terminate said Agreement on five (5) days written 13 notice if PROVIDER is in violation of the L.A. The following matters shall be implemented by CITY and by the PROVIDER: 1. PROVIDER shall furnish the Fire Chief with a list of all certified paramedics to be employed by PROVIDER in the CITY. This list shall be kept current at all times. 2. PROVIDER shall furnish the Fire Chief with a duty roster, indicating the personnel assigned to the CITY's paramedic vehicle (Rescue Vehicle No.3, hereinafter "rescue unit"). The Fire Chief or his authorized representative, shall have the authority to verify the duty roster. 3. PROVIDER personnel shall comply with the Fire Department work schedule consisting of three twenty-four (24) hour shifts, designated "A" Shift, "B" Shift and "c" Shift. 4. PROVIDER shall supply a roster of personnel to work on each shift. Shifts are from 0700 hours to 0700 hours the next day. 5. The Fire Department Officer or Acting Officer in charge of a station shall be in charge of paramedics. Whenever PROVIDER personnel are dispatched to emergency incidents where Fire Department units are working, the personnel shall come under the command of the Fire Officer in charge of the incident. It is understood that such command does not extend to medical treatment of patient(s). B-1 EXHIBIT B 6. PROVIDER personnel shall be stationed at Fire station Nos. 1, 2 or 3, as designated by the Fire Chief. 7. The Fire Department will furnish beds, clothing lockers, and a medical supply locker. 8. PROVIDER personnel shall be responsible for their own food preparation. A refrigerator and cooking facilities are available at the Fire station. 9. PROVIDER personnel will participate in normal Fire station care and cleaning which is not related to fire conditions. Exclusion of these duties shall be at the discretion of the Fire Department Officer or Acting Officer in charge. 10. PROVIDER personnel are responsible for the daily care and maintenance (not mechanical) of the rescue unit. B. COMKUNICATIONS PROCEDURE. The Fire Department dispatcher will initiate each emergency call. The following communication procedure shall be followed: 1. An alarm to the rescue unit shall be given over the radio and paging system as follows: (i) The alarm shall consist of one (1) tone. (ii) The Fire Department apparatus and the rescue unit shall respond. (iii) The Fire Department dispatcher will then give the address, the name of business or company and, if possible, the type of incident. (iv) The rescue unit personnel will acknowledge receipt of the alarm and message by radio. B-2 2. The Fire Department dispatcher will notify PROVIDER's dispatcher of the incident over the direct telephone line. 3. If the rescue unit is in the field, PROVIDER personnel will notify the Fire Department dispatcher at the time of leaving the Fire station and immediately upon returning to the Fire station. For example, the rescue unit immediately upon arrival shall acknowledge, "Rescue No.3 on the scene,> Vernon". 4. The rescue unit shall let the Fire Department dispatcher know if it is transporting a patient, if it is enroute to a hospital, or if not transporting a patient, returning to the Fire station. 5. The rescue unit shall notify the Fire Department dispatcher when it arrives at the hospital, if possible. If due to radio reach this message cannot be received, the rescue unit shall make contact with the Fire Department dispatcher by telephone. 6. The rescue unit shall notify the Fire Department dispatcher when it is leaving the hospital and is available. 7. The rescue unit shall respond on all Fire Department first alarms in the CITY and on police Department incidents in the CITY when requested. The rescue unit, at the request of the Fire Department dispatcher, shall respond on similar alarms and incidents outside the CITY involving Fire or police Department officers. The general liability policy shall contain the following special endorsements which shall be noted on or attached to the standard certificate of insurance: 1. An endorsement naming the City of Vernon, its officers, and employees as insureds under the policy. 2.
