A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF AN AMENDMENT TO WORKERS'
COMPENSATION SELF-INSURANCE SERVICE AGREEMENT
BY AND BETWEEN THE CITY OF VERNON AND COLEN
AND LEE, INC. PROVIDING FOR AN INCREASE IN
FEES FOR THE ADMINISTRATION OF A WORKERS'
COMPENSATION SELF-INSURANCE PROGRAM

WHEREAS, the City of Vernon is self-insured in its
8
workers' compensation program; and
9
WHEREAS, by Resolution No. 5791 the City Council
approved a Workers' Compensation Self-Insurance Service Agreement
with Colen and Lee, Inc., as administrator for the City's
workers' compensation self-insurance program, and by Resolution
No. 6146 on August 18, 1992, the city Council approved an
amendment to said Service Agreement increasing the fees for the
subsequent fiscal years; and
WHEREAS, Colen and Lee, Inc., has requested an
amendment to said Service Agreement reflecting an increase from
$2,700.00 to $3,000.00 per month for the coming fiscal year; and
WHEREAS, Bruce V. Malkenhorst, City Administrator, has
recommended that said increase be approved as being fair and
reasonable, and that Colen and Lee, Inc. continue to administer
the program for the City of Vernon; and
WHEREAS, the Finance Committee approved said increase
on May 13, 1997 as being fair and reasonable.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon
hereby finds and determines that the recitals contained
hereinabove are true and correct.

SECTION 2: The City Council of the City of Vernon
2 hereby approves the Amendment to Workers' Compensation Self-
3 Insurance Service Agreement, a copy of which has been presented
4 to the City Council concurrently with this resolution, and the
5 City Council hereby orders said Amendment to be received and
6 filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon
8 hereby authorizes the Mayor and the City Clerk to execute said
9 Amendment for, and on behalf of, the City of Vernon.
11 certify to the passage of this resolution, and thereupon and
SECTION 4: The City Clerk of the City of Vernon shall
12 thereafter the same shall be in full force and effect.
13 APPROVED AND ADOPTED this 20th day of May, 1997.

AMENDMENT TO
WORKERS' COMPENSATION SELF-INSURANCE
SERVICE AGREEMENT
This AGREEMENT is entered into this 20th day of May 1997 between the
CITY OF VERNON, hereinafter referred to as the "City," and COLEN AND LEE,
INC., a referred to as the "Administrator."
WHEREAS, the City and the Administrator entered into an Agreement,
hereinafter referred to as the "Original Agreement", on September 4, 1986 for
administration of the City's Workers' Compensation Self-Insurance Program;
and
WHEREAS, the City and the Administrator desire to extend and amend the
Original Agreement;
NOW, THEREFORE, in consideration of the mutual convenants herein
contained, the City and the Administrator do hereby extend and amend the
Original and Amended Agreements as follows:
1. CONSIDERATION: Section 12 of the Original Agreement is hereby
amended to read: Effective July 1, 1997, the City shall pay the Administrator

$3,000.00 per month for ongoing services rendered under this Agreement.
Once a year thereafter, the Administrator may increase or decrease the service
fee by giving written notice of the change to the City at least sixty (60) days prior
to change.
2. ORIGINAL AGREEMENT: Except as specifically amended herein,
the terms and conditions of the Original Agreement shall remain in full force and
effect.
