A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF A SUPPLEMENT TO MASTER SERVICES CONTRACT
SCHEDULE A (ACCOUNT NUMBER 18-2024-437-877-1)
FOR INTRASTATE TRANSMISSION SERVICE BY AND
BETWEEN THE CITY OF VERNON AND SOUTHERN
CALIFORNIA GAS COMPANY

WHEREAS, the City Council of the City of Vernon adopted
8
Resolution No. 6257 on May 18, 1993, which approved a Pro Forma
9
Master Services Contract with Southern California Gas Company
10
("SoCalGas"); and
11
WHEREAS, Schedule A, a service schedule incorporated as
12
part of the Pro Forma Master Service Contract, providing
13
intrastate transportation services, dated as of August 1, 1993,
14
was executed on May 13, 1993, by Kenneth J. DeDario, Director of
15
Light and Power, pursuant to Resolution No. 5958 in order to meet
16
a deadline of the California Public utilities Department; and
17
WHEREAS, the City of Vernon and SoCalGas desire to enter
into a supplement to Schedule A to the Master Services Contract
18
19
for Intrastate Transmission Service to extend the term of the
20
Agreement for an additional two (2) years ending August 1, 1999.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
22
CITY OF VERNON,AS FOLLOWS:

SECTION 1: The City council of the City of Vernon does
24
hereby find and determine that the recitals contained hereinabove
25
are true and correct.
26
SECTION 2: The City Council of the City of Vernon hereby
27
approves the Supplement to Master Services Contract Schedule A,
28
1 Account Number 18-2024-437-877-1, a copy of which has been
2 presented to the City Council concurrently with this resolution,
3
and the City Council hereby orders said Supplement to be received
4 and filed by the City Clerk.

SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Supplement
6
7
for, and on behalf of, the City of Vernon.
8
SECTION 4: The City Clerk of the City of Vernon shall
9 certify to the passage of this resolution and thereupon and
10 thereafter the same shall be in full force and effect.

SUPPLEMENT to MASTER SERVICES CONTRACT SCHEDULE A

TInS SUPPLEl\.ffiNT dated as of July 31 , 1997 ("Supplement"), amends
the Schedule A to the Master Services Contract for Intrastate Transmission Service dated as of
August 1 , 199_3_ ("Schedule A"), as amended, between Southern California Gas
Company ("Utility") and City of Vernon ("Customer").
NOW THEREFORE, in consideration of the promises and mutual undertakings set forth
in this Supplement, the parties agree as follows:
I. The second sentence of Section I.B, Paragraph (2), of Schedule A shall be deleted
in its entirety and replaced with the following:
At the end of the existing term of this Agreement, the Agreement shall continue for an
additional term of two (2) years ("Additional Term") ending August 1 ,
1999. If Customer fails to notifY Utility of Customer's service elections before the end
of the Additional Term, the Agreement shall renew automatically with Customer
designated to receive interruptible intrastate service under Utility's Tariff Rate
Schedule GT-I (even if Customer were previously served under Tariff Rate Schedule
GT -F). Notwithstanding the foregoing, if Customer is an existing core subscription
customer at the time of renewal and fails to notifY Utility of changes in Customer's
service elections before the end of the Additional Term, the Agreement shall renew
automatically for an additional teqn of two (2) years with Customer continuing to
receive intrastate service under Utility's Tariff Rate Schedule G-CS for Customer's full
requirements.
