Resolution No. 7016 't 1 RESOLUTION NO. 7016 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR CONTRACTUAL SERVICES BY AND BETWEEN THE CITY OF VERNON AND LOUIS S. ROSENKRANTZ 4 5 6 WHEREAS, the City of Vernon desires to retain the 7 services of a consultant to provide assistance and consultation in 8 conjunction with police department matters including, but not 9 limited to training a replacement to administer polygraph exams, 10 assist new polygraph examiner, administer polygraph exams and 11 serving as a hearing examiner for contested parking tickets; and 12 WHEREAS, Louis S. Rosenkrantz is well qualified by reason 13 of education and experience to perform such services and is 14 willing to render such professional services to the City of Vernon 15 in accordance with the terms and conditions of a contractual 16 services agreement. 17 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 18 CITY OF VERNON AS FOLLOWS: 19 SECTION 1: The city Council of the city of Vernon does 20 hereby find and determine that the recitals contained hereinabove 21 are true and correct. 22 SECTION 2: The City Council of the City of Vernon hereby 23 approves the Agreement For Contractual Services, a copy of which 24 has been presented to the City Council concurrently with this 25 resolution, and the City Council hereby orders said Agreement to 26 be received and filed by the City Clerk. 27 SECTION 3: The City Council of the city of Vernon hereby 28 1 authorizes the Mayor and the City Clerk to execute said Agreement 2 for, and on behalf of, the city of Vernon. 3 SECTION 4: The City Clerk of the City of Vernon shall 4 certify to the passage of this resolution and thereupon and 5 thereafter the same shall be in full force and effect. 6 APPROVED AND ADOPTED this 2nd day of September, 1997. ~' ~B~~r Pro Tem 7 8 9 A~/~ BRUCE V. ROSENKRANTZ, an individual, dba RSL CONSULTING 13 SERVICE, (hereinafter referred to as "CONSULTANT") 14 2014 Via Solona San Clemente, CA 92673 15 RECITALS: 16 WHEREAS, Vernon desires to .retain Consultant to provide 17 assistance and consultation in conjunction with police department 18 matters including, but not limited to training a replacement to 19 administer polygraph exams, assist new polygraph examiner, 20 administer polygraph exams and serving as a hearing examiner for 21 contested parking tickets; and 22 WHEREAS, Consultant is well qualified by reason of 23 education and experience to perform such services;-and 24 WHEREAS, Consultant is willing to render such professional 25 services as hereinafter defined. 26 NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS, 27 THE PARTIES HERETO AGREE AS FOLLOWS: 28 1 SECTION l: SCOPE OF SERVICES. 2 The services to be provided will be directed and authorized 3 in writing by the City Administrator of Vernon to assist in 4 providing advice and performing work on miscellaneous projects-and 5 that said Consultant's services shall be confidential. Consultant 6 agrees to provide consulting services on an hourly basis as set 7 forth below. 8 SECTION 2: Performance. 9 The Consultant agrees that he shall perform all services 10 provided herein. 11 SECTION 3: TERM. 12 The term of this Agreement shall be from September 15, 1997 13 to December 31,.1998, provided that Consultant has not exceeded a 14 total of 960 hours of consulting services for the calendar year 1997• 15 during said time. Further, both Vernon and Consultant shall have 16 the right to terminate this Agreement on thirty (30) days written 17 notice. 18 SECTION 4: COMPENSATION. 19 Vernon shall pay Consultant as consideration for the 20 services provided pursuant to this .Agreement the hourly rate of 21 Fifty Dollars ($50.00), payable every two weeks, after submission of 22 a written invoice by Consultant to the City Administrator and 23 approval of said invoice by the City Administrator. In addition, 24 Vernon shall continue to pay the cost of health insurance for 25 Consultant and one dependent during the term of this Agreement. 26 Consultant will pay his own operating expenses. 27 28 -2- 1 SECTION 5: METHOD OF PAYMENT. 2 Vernon agrees to pay the Consultant based on the submittal 3 of an invoice to Vernon describing the services provided and the 4 hours expended in providing such services.. 5 SECTION 6: CANCELLATION. 6 Vernon reserves the right to cancel and terminate this agreement upon thirty (30) days written notice. Vernon agrees to 8 compensate Consultant for actual costs incurred prior to the 9 cancellation of the agreement. In the event of termination, 10 Consultant shall forthwith turn over to Vernon all work product; 11 documents, records and writings of whatsoever nature in connection 12 .with work performed pursuant to or in connection with this 13 Agreement. 14 SECTION 7: Ownership. 15 All writings, documents and records prepared, received, or 16 maintained by Consultant in connection with or as a result of 17 services performed for Vernon shall be and remain the property of 18 Vernon. 19 SECTION. 8: Capacity as Independent Contractor. 20 The provision of services by Consultant under this 21 Agreement shall be in the capacity of an independent contractor and 22 not as an employee of Vernon. For that reason, Consultant will not 23 receive any payment for holidays or vacations. In consideration for 24 the compensation paid to Consultant by Vernon pursuant to Section 4 25 of this Agreement, Consultant agrees that Vernon, its officers, 26 employees, agents, representatives and sureties shall not be liable 27 or responsible for any benefits except health .insurance, including, 28 but not limited to, worker's compensation, disability, retirement, -3- 1 life insurance, unemployment insurance, or any insurance benefits 2 other than health insurance. Consultant agrees that he shall not 3 sue or file a claim, petition, or application therefore against 4 Vernon or any of Vernon's officers, employees, agents, 5 representatives, or sureties. 6 SECTION 9: AMENDMENT. ~ The terms and conditions of this agreement can only be 8 amended by a written agreement between the parties hereto. 9 SECTION 10: SCOPE OF WORK. 10 Vernon designates the City Administrator to supervise the 11 provision of consulting services by Consultant. The Parties intend 12 that the anticipated scope of work shall be consistent with the 13 attached Exhibit "A", Scope of Work. .The City Administrator also 14 will ensure that Consultant does not exceed 960 hours in any 15 calendar year. 16 SECTION 11: VALIDITY. 17 In the performance of this Agreement, Consultant shall 18 abide by .and conform to any and all applicable laws of the United 19 States, the State of California, and ordinances, regulations, and 20 policies of Vernon. Further, Consultant agrees to notify the City 21 Administrator regarding -the number of hours spent providing 22 consulting services to any other city or local public agency during 23 the term of this Agreement within-one week after beginning to 24 provide such services. 25 SECTION 12: AGREEMENT. 26 Vernon and Consultant both acknowledge that this Agreement 27 is subject to the provisions of Government Code Section 21224, which 28 states in its entirety as follows: -4- 1 "A retired person may serve without reinstatement from retirement or loss or interruption of 2 benefits provided by this system upon appointment by the appointing power of a state agency or any 3 other employer either during an emergency to prevent stoppage of public business or because 4 the retired employee has skills needed in performing work of limited duration. Oison Chief of police April 16; 1998 TO: Bruce Malkenhorst, City Administrator FROM: Bruce Olson, Police Chief SUBJECT: Consultant Services Sir: I would like to recommend a change in the manner in which we utilize the consultant services provided by retired Chief Rosenkrantz. I understand there was an agreement reached between "Rosey" and our city regarding his services, and I certainly am not trying to circumvent that agreement in any way. However, since it is my understanding that Rosey has worked enough to fulfill his "quarters" requirement as it pertains to his social security benefits, and since I, and my staff, have rarely been in need of any consulting services, perhaps a change in how we use his services might be appropriate. Currently, Rosie comes in every Monday and Tuesday and spends 10 hours each day at the station. Frankly, there just isn't much for him to da He basically has two jobs that he performs. First, he does our polygraphs when needed, and he also presides over hearings on contested parking citations. In regards to the polygraphs, Lt. Jim Rodino will be graduating from the Baxter Polygraph School in two weeks and once we receive our new polygraph equipment he will be doing alt of our examinations. Rosie is under the impression that he will be needed to "consult" with Rodino about how to do the polygraph work,-but what Rosey does not understand is that the method and equipment (computerized). that will be used by Rodino will be far beyond anything Rosie has ever been exposed too. I have spoken to Rodino about this, and he assures me that he will not be in need of any guidance from Rosie in this area. I would recommend however, until our new polygraph equipment arrives, we may still use Rosie for polygraphs on an "as needed" basis. In other words we can request that he come in for one or more polygraphs on the same day and he in turn can bill the. city for thosespecific services. I am hopeful that our new equipment will arrive soon so even this type of service from Rosie will not be necessary. In regards to the parking citation hearings, I can only assume that if Rosey would still do these he could schedule them so he would only have to come in on a very limited basis. Since he began the assignment of hearing these parking matters he has only heard five cases. So you can see that these occur quite infrequently. We all. know Rosie is a very likeable individual, but my allegiance must first be with the city and next with my department. Rosie simply does not realize that he cannot continually visit with myself and other members of my department when we are trying to complete our work. We don't want to be rude out of respect for his career with our city and department, but it has gotten to the point where members of my staff have voiced their concerns regarding Rosie's visits to their work areas and the fact that he just wants to visit whether or not they are working.. Vernon and Consultant both acknowledge that this Agreement is subject to the provisions of Government Code Section ~ which states in its entirety as follows: "A retired person may serve without reinstatement from retirement or loss or interruption of benefits provided by this system upon appointment by the appointing power of a state agency or any other employer either during an emergency to -4- prevent stoppage of public business or because the retired employee has skills needed in performing work of limited duration. These appointments shall not exceed a total for .all employers of.960 hours in any calendar year, and the rate of pay for the employment shall not be less than the minimum, nor exceed that- paid by the employer to other employees performing comparable-duties."
