A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF (1) EDISON-VERNON 1997 RESTRUCTURING
AGREEMENT; (2) AMENDMENT NO. 1 TO THE EDISON-
VERNON FIRM TRANSMISSION SERVICE AGREEMENT; (3)
AMENDMENT NO. 2 TO THE EDISON-VERNON MEAD FIRM
TRANSMISSION SERVICE AGREEMENT; (4) AMENDMENT
NO. 1 TO THE EDISON-VERNON VICTORVILLE-LUGO FIRM
TRANSMISSION SERVICE AGREEMENT; (5) LAGUNA BELL-
VERNON INTERCONNECTION SERVICE AGREEMENT; (6)
EDISON-VERNON 1997 SUPPLEMENTAL RESTRUCTURING
AGREEMENT; AND (7) LETTER AGREEMENT DATED
SEPTEMBER 16, 1997

WHEREAS, in 1995 and 1996, the California Public
11
utilities Commission (lfCPUCIf) conducted the Electric Restructuring
12
Proceeding, CPUC Docket No. R94-04-031/I.94-04-032, resulting in
13
decisions providing for the restructuring of electric utility
operations in Cal{fornia; and
14
15
WHEREAS, the Federal Energy Regulatory Commission
(flFERCfI) is conducting proceedings in Docket Nos. ER96-1633, EC96-
19, and ER97-2355, which concern the terms and conditions that

will be applicable to such restructured electric utility
19
operations; and
20
WHEREAS, Assembly Bill 1890 (flAB 1890") was signed into
21
law on September 20, 1996, providing for restructuring of electric
22
utility operations in California; and
23
WHEREAS, the terms of current operating arrangements
between Southern California Edison Company ("Edison") and the City
24

of Vernon, including, but not limited to, integrated operating
26
provisions and rate schedules, are memorialized in a series of
27
agreements, settlements, and FERC filings; and

WHEREAS, Edison and Vernon have participated in extensive
settlement negotiations and desire and intend to enter into the
following agreements: (I) Edison-Vernon 1997 Restructuring
Agreement; (2) Amendment No. 1 to the Edison-Vernon Firm
Transmission Service Agreement; (3) Amendment No. 2 to the Edison-
Vernon Mead Firm Transmission Service Agreement; (4) Amendment No.
1 to the Edison~Vernon Victorville-Lugo Firm Transmission Service
Agreement; (5) Laguna Bell-Vernon Interconnection Service
Agreement; (6) Edison-Vernon 1997 Supplemental Restructuring
Agreement; and (7) Letter Agreement dated September 16, 1997, to
implement a new set of arrangements that facilitate both Edison's
and Vernon's operating arrangements under the restructu~ed
electric industry.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove
are true and correct.
SECTION 2: The City Council of the city of Vernon hereby
approves (I) the Edison-Vernon 1997 Restructuring Agreement, (2)
Amendment No. 1 to the Edison-Vernon Firm Transmission Service
Agreement; (3) Amendment No. 2 to the Edison-Vernon Mead Firm
Transmission Service Agreement; (4) Amendment No. 1 to the Edison-
Vernon Victorville-Lugo Firm Transmission Service Agreement; (5)
Lagun~ Bell-Vernon Interconnection Service Agreement; (6) Edison-
Vernon 1997 Supplemental Restructuring Agreement; and (7) Letter
Agreement dated September 16, 1997, copies of which have been
presented to the City Council concurrently with this resolution,

and the City Council hereby orders said Agreements to be received

and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Agreements

for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
7
certify to the passage of this resolution and thereupon and
8
thereafter the same shall be in full force and effect.
9
APPROVED AND ADOPTED this 16th day of September, 1997.
