""'.... .- ) 1 2 RESOLUTION NO. 7057 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR STREET SWEEPING SERVICES BY AND BETWEEN THE CITY OF VERNON AND CALIFORNIA STREET MAINTENANCE 4 5 6 WHEREAS, The city Council of the City of Vernon 7 previously authorized the advertisement for bids for Contract 8 No. 546 for Street Sweeping Services; and 9 WHEREAS, by adoption of Resolution No. 7056, the City 10 Council rejected the only bid received and ordered that such 11 services be procured by negotiated agreement; and 12 WHEREAS, the existing contract for street sweeping will 13 expire on December 31, 1997; and 14 WHEREAS, California Street Maintenance has agreed to 15 perform street sweeping services at a rate of Five Thousand Eight 16 Hundred Dollars and No Cents ($5,800.00) per month; and 17 WHEREAS, the Director of Community Services recommends 18 that the City contract with California Street Maintenance for 19 street sweeping services on a trial basis for one year, with said 20 contract subject to termination on ten (10) day's notice. 21 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 22 CITY OF VERNON AS FOLLOWS: 23 SECTION 1: The City Council of the City of Vernon does 24 hereby find and determine that the recitals contained hereinabove 25 are true and correct. 26 SECTION 2: The City Council of the City of Vernon hereby approves the Agreement for Street Sweeping Services, a copy of which has been presented to the City Council concurrently with 27 28 0... i. J 1 this resolution, and the City Council hereby orders said Agreement to be received and filed by the City Clerk. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Agreement 2 3 4 5 for, and on behalf of, the City of Vernon. GJO/mm Attachment AGREEMENT FOR STREET SWEEPING SERVICES THIS AGREEMENT FOR STREET SWEEPING SERVICES is made, entered into, executed in duplicate and to be performed iri the City of Vernon, California, as of the 16th day of December, 19.97., BY AND BETWEEN CITY OF VERNON, a municipal corporation hereinafter referred to as "City" AND California Street Maintenance. Inc. 1918 W. 169t'' Street Gardena. CA 90247 referred to as "Contractor".- , IN CONSIDERATION OF THE MUTUAL PROMISES, COVENANTS AND CONDITIONS HEREIN SET FORTH, THE PARTIES DO HEREBY AGREE AS FOLLOWS: Article 1. GENERAL Section 1. Scope of Work The Contractor will. furnish all labor, equipment-and materials and will perform all work described in the Special Provisions-and Contractor's Proposal dated December 4, 1997 attached hereto as Exhibits "A" and "B" respectively, and hereby incorporated by this reference. Section 2. Consideration The City shall pay the. Contractor for the performance of the work hereunder in accordance with the bid amounts set forth in Contractor's Proposal. Section 3. Payments (a) Monthly Progress Payments On or about the 25th day of each month, the Contractor shall submit to the City an estimate of the cumulative amount and value of the work performed by the Contractor prior to that. date and subsequent to any prior monthly .estimates. .The City shall pay the Contractor, within fifteen (15) calendar days, 900 of the said estimate reduced by: (l) amounts due to the City for equipment, services or materials furnished by -1- the City;~(2) amounts of any claims or liens, and (3) amounts required to be deducted by Federal, State or local governmental authorities. No monthly payment shall be construed as acceptance of the . work, or any portion thereof, nor shall such payment preclude the City from demanding and recovering from the Contractor such damages as may be sustained by reason of the Contractor's failure to fully perform this Contract. Section 4. Contract Documents The complete Contract includes all of the Contract Documents set forth herein, to wit: (1) this Agreement,. (2) the Special Provisions (Exhibit "A") ; (3) Contractor's Proposal (Exhibit "B") ; and (4) the Forms including the-Labor and Material Bond, the Proof of Insurance and the Workers' Compensation Certificate (Exhibit "C") . Section 5. Compliance with Provisions of Law (a) The City is a municipal corporation, a public agency of the State of California, and is subject to the provisions of its Charter, and when applicable the laws of-the State of California including the Government Code, the .Public Contract Code, and the Labor Code. It is stipulated and agreed that all applicable provisions of law are a part- of this Contract Agreement to the same extent as those set forth fully herein and .will accordingly be complied with by the Contractor. (b) The Contractor shall comply with all other provisions of law whether Federal, State, or local relating to said work. Section 6. Costs and Attorneys' Fees In any action or proceeding brought to enforce the provisions of this Contract Agreement, the court shall award reasonable costs and expenses, including attorneys' fees, to the prevailing .party. Section 7. Conflict with Plans and. Specifications Any conflict between the plans, and specifications and this Contract Agreement shall be brought to the attention of the City, which shall resolve such conflict. Section 9. .Assignment The Contractor shall not assign this Agreement or payments due hereunder. Section 10. Paragraph Headings The paragraph .headings herein are for the convenience of the parties and shall not affect the interpretation of thus Agreement. Section 11. Authority of the City's Representative The City's representative shall .decide all questions which may arise as to the quality or acceptability of materials furnished and work performed, and as to the manner of performance and rate of progress of the work, .all questions as ,to the interpretation of the plans and specifications, and all questions as to acceptable performance hereunder on the part of the Contractor.. Article 2. WAGES, HOURS and WORKING CONDITIONS Section 12. General Prevailing Rate .of Per Diem Wages The .general prevailing rates of per diem wages and. general prevailing wages for holiday and overtime work in the locality in which the work is to be .performed have-been determined. Copies of the prevailing rate of per diem wages are on'fle with-the City. .The-Contractor agrees that he, or any subcontractor under him, will not pay less than the foregoing specified prevailing rates of wages to all workers employed in the execution of this Agreement. The Contractor will post one copy of the aforesaid established prevailing rates of wages at the job site. For each calendar day or portion. thereof, and for each workman paid less than the stipulated day or portion thereof, and for each workman paid less than .the stipulated prevailing rates for such work or craft in which the workman is employed or any public work done hereunder by him, or any .subcontractor under him,-the Contractor -3- shall forfeit as penalty to the City the sum of .$25.00. Section 13. Hours. of Work (a) Eight hours labor shall constitute a legal days.work. The time of service of any worker employed on the work hereunder is limited and restricted to eight hours during any one calendar day and forty hours. during any one calendar week unless said :employee is compensated at a rate of one and one-half .times the basic rate of. pay for all times in excess of the foregoing. hours. (b) The Contractor shall keep and make available until ninety (90) calendar days after completion of this Contract Agreement an accurate record showing the name of.and actual hours worked each calendar day and each calendar week by each worker .employed by him on the work hereunder.. (c) The .Contractor shall, as a penalty to the City, forfeit $25.00 for each worker employed on the work by the Contractor or by any subcontractor for each calendar day during which such. worker is required or permitted to work more than eight hours in any one calendar. day or. forty hours in any one calendar week in violation of the provisions of this section. Section 14. Apprentices The .Contractor is responsible for complying with the .provisions of Labor: Code .Section 1777.5 dealing with the -employment of apprentices on the job site... The responsibility for compliance with said 'section for all apprenticable occupations lies with the prime the Contractor. Section 15. Discrimination The Contractor shall not ref use. to employ or promote any. . person, and shall not discriminate against any person with respect to compensation received or terms and conditions of employment, and shall not discipline or discharge any person .employed by him because of said person's race, religion, creed, color, national origin, .ancestry or sex; nor shall the Contractor refuse to accept otherwise qualified employees as indentured apprentices solely on the grounds of race, religion, creed, color, national origin, ancestry or sex. Section 16. afe .:The Contractor and all:-subcontractors shall comply with the . provisions of the Safety and Health Regulations for Cons ruction; promulgated by the U.S. Secretary of Labor under Section 107 of the "Contract Work Hours-and Safety Standards Act", as set forth in Title 29, C.F.R. and by the State of California, Division of Industrial Safety. -4- Section 17. Character. of Workers Only competent wprkers shall be employed on the work. ~ Any. person employed, who is found to be incompetent, intemperate, troublesome, disorderly or otherwise objectionable, or who .fails or refuses to perform his work properly .and acceptably, sha11 be immediately removed from the work by the Contractor and shalll not be re-employed on the work. Article 3. INSURANCE, INDEMDTIFICATION and BONDS Suction 18. .Insurance Prior to commencing work hereunder, the Contractor-shall provide the City with proof of insurance naming the City and their officers and employees as an additional-named insured on a policy or policies of insurance ,providing and maintaining the. .coverages set forth in the Insurance Schedule attached hereto. Said proof of insurance. shall also provide that said policy or pol-icier shall not be canceled or materially reduced without giving at least 30 days prior written notice to .the City. , Section 19. Indemnification The Contractor shall indemnify and hold harmless the City and its agents. and employees from and against all claims, damages, losses and expenses including attorneys' fees arising out of or resulting from the performance of the work hereunder, .provided that any such-claim., damage loss or ..expense (a) is attributable to bodily injury, sickness, disease or death of any person, inc'ludng_but not limited to persons employed by the Contracto.r.or any subcontractor, or tq injury to or destruction of .tangible property (other than the work itself) including the loss or use resulting therefrom, and- (b) is caused in whole or in part by any negligent act or omission of the Contractor, .any. subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts they may be liable. Section 20, Workers' Compensation The Contractor shall secure payment of compensation to his. employees, pursuant to Labor Code_Section 3700, and shall obtain. -employers" liability insurance as set foxth in the Tnsurance Schedule. Prior to performing the work hereunder, the Contractor shall submit to the City the Workers' Compensation Certificate set forth herein or an executed certificate of workers' compensation insurance as provided herein.. Section 21. Labor and Material Payment Bond -5- Before entering upon the performance of the work hereunder, -the Contractor shall file an approved Labor and Materiel Payment -Bond with the .City. Said bond shall begin the sum of 100% of the total amount payable by .the terms of this Agreement to the Contractor.. Said payment bond shall be in substantially the form of the payment bond attached hereto. i Article 4. PERFORMANCE Section 22. Term of Agreement The term of this Agreement shall be one (1) year, subject to termination by City at any time without cause upon ten (10) days written notice. Section 23. Force Majeure The ;Contractor shall not. be responsible for the cost of repairing or restoring damage to the work in excess of 5'0 of the Contracted amount, if the damage is determined to have been proximately caused Force Majeure provided, that the work damaged has been built in accordance with accepted and applicable building standards and he'plans and specifications of the Gty. Force Majeure shall include acts of a. public enemy, acts of the State or Federal Government, war, .riot, fires., floods, epidemics,- quarantine restrictions, strikes,. freight embargoes, unusually severe weather, acts. of God (meaning earthquakes of magnitude 3.5 or .greater bn the Richter Scale and tidal waves) and delays of subcontractors due to such causes. Section 24. Clean Up • Upon completion of the work, the Contractor shall remove :all debris and surplus materials from the work site. Section 25, Permi s and Licenses {a) The Contractor ahall apply for and procure all permits. and licenses necessary for the work except: (b) The Contractor shall give all notices necessary and ..incidental to the due and lawful prosecution of the work and shall. duly comply with the-terms and conditions of all permits and licenses. (c) The Contractor shall pay all charges and fees in connection with all .permits and licenses except those required by the following: =6- Section 26. Supervision b t1~e Contractor Before starting the work, the~Contractor shall designate, in writing, a representative who shall have complete authority to act for him. An alternate representative .may be designated. The representative or alternate shall be present at the workste whenever wor}c is niprogress. .Any order or communication given to the representative shall be deemed delivered to the .Contractor. A joint venture shall designate only one representative and-alternate. In the absence of the Contractor or his designated representative, necessary or desirable directions or instructions may be given by the City to the. superintendent or foreman having charge of the specific work to which he order applies.. Such .order shall be complied with. promptly and referred to the Contractor or hs'representatve. Section 27. Inspection of Work (a) The City shall at all 'times have access to the work during construction .and shall be: furnished with every reasonable facility for ascertaining full knowledge respecting the progress, workmanship and character of materials used and employed in the -work (b) Whenever the Contractor varies the period during which work is carried on each day, he shall give due notice to the City so that proper inspection may be provided. Any work done in the absence of the City's representative will be subject to rejection. {c) fihe inspection of the: work shall not relieve the Contractor of any of his obligations to fulfill the contract as prescribed. Defective work shall be made good, notwithstanding the fact that,_such defective work has been previously overlooked by the Agency's representative and accepted. Section 28. Correction of Defective and Unauthorized Work (a) All work which has been rejected shawl be remedied, in an acceptable-manner, and. no compensation will be allowed for such remedation-. Any extra work-done without written authority, will be considered as unauthorized. and will not-be paid... Work so .done maybe ordered removed at the Contractor's expense. (b) Upon failure by the Contractor to comply promptly with any order of the City made under the provisions of this article, .the City shall have authority to cause defective `stork to be corrected by its own forces or by another contractor, and to deduct the costs from any monies due or to become due to the Contractor. -7. Section 29. Equi mp ent The Contractor shall furnish adequate equipment and facilities to perform properly the.work in a workmanlike manner in accordance with the plans and specifications: Such equipment !and facilities must be in a good state of repair and maintained iin such tate during the progress of the work and shall meet all requirements of applicable ordinances and laws. No worn or obsolete equipment shall be used, and in no case shall the manufacturer's rating of capacity for-any equipment be exceeded. Article 5. MISCELLANEOUS Section 30. Standard Specifications The "Standard Specifications for Public Works Construction" (current. year edition), published by Building News, Inc. is hereby incorporated by this reference and made a p-art hereof as though .fully set forth at length, provided, however, in the event that said standard specifications are inconsistent with the teams of this Contract, including the special provisions attached hereto, then this Contract and-the special provisions shall be deemed controlling. - IN WITNESS WHEREOF the parties hereto have executed this Agreement or caused it to be executed as of the day, month and year first above written. The hours which sweeping shall be performed shall be approved by the. Director of Community Services .and shall be those which he determines to be the most convenient and appropriate to provide adequate street sweeping service. The Director of Community Services has the authority to change the schedule from time to time in .order to meet .the needs of the City for an adequate street weeping program. No sweeping shall be allowed after 6:00 a.m. The Contractor shall submit to the Director of Community Services for approval, his proposed sweeping .schedule and submit a report for .each change .from this schedule. For schedule of work see attached map.. Duty. of Contractor During the term of this Contract, Contractor shall sweep all paved public streets, alleys, street medians and islands within the corporate limits of the City of Vernon once a week per approved schedule. This includes all A,C. or concrete rolled curbs and-curb returns (radius). Streets which are not swept because of a holiday, will be swept the next scheduled sweeping day'. Where inclement weather, in the opinion of the Director of Community Services, prevents adherence to the regular sweeping schedule, the Contractor shall not be required to comply with the schedule. However.,- the Contractor shall perform all extra-work caused by such inclement weather without additional :charge. In the event the Contractor s_prevented from completing the sweeping as provided. in the schedule because_of equipment breakdown or reasons other than inclement weather, it shall be required to complete the sweeping service so deferred prior to the.next regular scheduled sweeping date, or give the City credit for each curb mile of work not so performed at the -rate specified in the bid. Disposal of Sweepings Contractor shall dispose of all refuse and debris collected by the sweeping operation at his expense and haul the material to legally established dumps. The Contractor can temporarily store sweepings on the lot at 'the southeast corner of Downey Road and EXHIBIT „A„ .Page 1 of 4 SPECIAL PROVISIONS Band,ni Boulevard. 'The Contractor shall remove said sweepings from the -City after each day's operation. Standards of Service i The standards of performancewhch the-Contractor is obligated to perform hereunder are. the standards which are considered to be good street sweeping practices and shall be subject to the approval of the Director of Community Services.. Equipment and Labor' The Contractor shall furnish at his. expense all labor, equipment and materials necessary for the satisfactory performances of the work. Contractor shall use standard heavy- duty street sweeping equipment as is necessary to clean the streets Qf paper, leaves, dirt, rocks and `other debris. The machinery and equipment used shall not exceed three {3) years of age and shall be properly maintained, both as to condition and appearance, so as to insure a high level of street sweeping services. The-machinery shall meet all South Coast Air Quality Management requirements. Rule 11.86, PM10-efficient street sweeping in paragraph (d)2). The definition of PM10--efficient sweeping is in paragraph (c)13). Paragraph (h)(4) contains certain. exemptions from paragraph (d)'(2) requirements. Additional Work In the event. the City desires to extend the street sweeping program to include new streets constructed after the effective .date of this Contract, then any additional sweeping which is required of the Contractor shall be paid at a rate specified in the bid. Assignment The Contractor shall not assign., sublet or lease any part ox° portion of this Contract without prior approval of the City Council. Term of Contract This contract shall be for a period of two (2) years, starting January 1, 1998. EXHIBIT "A" Page 2 of 4 SPECIAL PROVISIONS Traffic Counters The Contractor is cautioned that,, at various-times and locations, the City will temporarily install portable traffic counters of the type which are activated by vehicles crossing. over a hose placed in the roadway. If the Contractor, while in the performance of his contract duties, damages the traffic counting equipment he shall bear the entire cost for the repair of the damaged equipment. Water The City will provide the .Contractor, free of charge, water • from the City's hydrants.. The water shall be used in connection -with this contract only.. The Contractor shall furnish the City a :report at the end of each month showing the approximate quantty- of water used.. Equivalent Standby Element e The Contractor shall at all times maintain one equivalent street sweeper to be used in the event of a breakdown. Sweeping .Speed ' A special tachometer shall be installed on each sweeper which will record and make as a permanent record the actual.., driving speed of said sweeper from the speed 0 upward, or show the hours swept. The records shall be submitted to: the -City upon request. Bonds Bid bond shall be 100, Performance Bond., ..Labor and Material Bond shall be 1000 of annual contract (twelve months). Contract Extension The Contract may be extended by mutual agreement with the City and Contractor one.-year at a time. EXHIBIT "A" Page 3 of 4 SPECIAL PROVISIONS Compensation , The contractor shall be entitled to a percentage adjustment in .the bid price commencing January 1, 1999 and each year thereafter. The bid prices. will be increased or decreased !in accordance with the Department of Labor's Consumer Price. Index for the Los Angeles.-Long Beach .Metropolitan area, as published on January 1, of each year. Scope of Service Approximately 90 curb miles of street sweeping will be performed on a weekly basis. Debris Debris -will be hauled to the landfill by California Street Maintenance. CSM will pay all fees and costs associated with debris. .Insurance California Street Maintenance will maintain all necessary Liability and Workers- Compensation :insurance at all.times. Supervision All work will be supervised on a regular basis. Any complaints will be re-swept at no cost immediately. Cost The cost of these services shall be $5,800 per month or $69,600 per year. Additional Services Additional curb miles will be swept at a cost of $15.00 per curb .miles. Street sweeping will be provided when needed at an hourly rate of $65.00 per hour, 3 hour minimum. The Insurance Schedule shall be followed and insurance coverage provided in the types and. amounts shown. Since the , tandard certificate of .insurance by its terms does not constitute proof of insurance, as indicated on the Insurance Schedule either a copy of the policy or a notarized letter from the insurance underwriter or carrier verifying the .coverage. is required. Time is of the essence of this Agreement, and so the insurance schedule must be promptly submitted to an authorized insurance agent, Since an insurance endorsement providing coverage for this contract is required, it is advisable to provide a copy of this contract to the insurance agent. EXHIBIT "C" Page 1 of 7 W~RKERS' COMPENSATION CERTIFICATE The~undersgned is aware of the provisions of Sec. 3700 of i the Labor Code which requires every employer to be .insured against liability for worker's compensation or to undertake self- .insurance in accordance with the provisions of that Code, and will comply with such provisions before commencing the performance of his Agreement.
