RESOLUTION NO. 7172
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION
OF AMENDMENT NO. 1 TO THE AGREEMENT FOR
CONTRACTUAL SERVICES BY AND BETWEEN THE CITY OF
VERNON AND LOUIS S. ROSENKRANTZ, DBA RSL
CONSULTING SERVICE
WHEREAS, the City of Vernon and Louis S. Rosenkrantz, dba
RSL Consulting Service ("Rosenkrantz"), entered into an Agreement
For Contractual Services on September 2, 1997, which provided for
expiration on December 31, 1998; and
WHEREAS, the City of Vernon and Rosenkrantz desire to
amend said Agreement to modify the scope of services and medical
insurance coverage for dependents; and
WHEREAS, Section 9 of said Agreement indicates that said
Agreement can only be amended by a written agreement between the
parties.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove
are true and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Amendment No. 1 to the Agreement for Contractual
Services, a copy of which has been presented to the City Council
concurrently,with this resolution, and the City Council hereby
orders said Amendment No. 1 to be received and filed by the City
Clerk.
SECTION 3: The City Council of the City of Vernon hereby

authorizes the Mayor and the City Clerk to execute said Amendment
No. 1 for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.
APPROVED AND ADOPTED this 25th day of June, 1998.

SECTION 1: SCOPE OF SERVICES.
The services to be provided will be directed and
authorized in writing by the City Administrator
of Vernon on an "as needed" basis to assist in
providing advice and performing work on
miscellaneous projects and that said
Consultant's services shall be confidential.
Consultant agrees to provide consulting services
on an hourly basis as set forth below.
SECTION 2: Section 4 of said Agreement entitled
COMPENSATION shall be amended as follows:
SECTION 4: COMPENSATION.
Vernon shall pay Consultant as consideration for
the services provided pursuant to this Agreement
the hourly rate of Fifty Dollars ($50.00),
payable every two weeks, after submission of a
written invoice by Consultant to the City
Administrator and approval of said invoice by
the City Administrator. In addition, Vernon
shall not pay the cost of health insurance for
Consultant or any dependent during the term of
this Agreement. Consultant will pay his own
operating expenses.
SECTION 3: Section 10 of said Agreement entitled SCOPE
OF WORK shall be amended as follows:

SECTION 10: SCOPE OF WORK.
Vernon. designates the City Administrator to
supervise the provision of consulting services
by Consultant. The Parties intend that the
anticipated scope of work shall be on an "as
needed" basis. The City Administrator also will
ensure that Consultant does not exceed 960 hours
in any calendar year.
SECTION 4: In all other respects, the terms and
conditions of the Agreement For Contractual Services shall be
renewed in its entirety.
IN WITNESS WHEREOF, the parties hereto have caused this
Amendment to be executed on the month, day and year first written
above.
