RESOLUTION NO. 7179
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF VERNON APPROVING AND AUTHORIZING THE
EXECUTION OF A SOFTWARE SOURCE CODE AND
SUPPORT SERVICES AGREEMENT BY AND BETWEEN THE
CITY OF VERNON AND DAVID J. ROUPE, DBA D. J.
ROUPE & ASSOCIATES
WHEREAS, David J. Roupe, dba D. J. Roupe & Associates
("Roupe") has developed certain computer software for the City's
utility billing system and, by a Software License Agreement
approved on June 7, 1988 by Resolution No. 5524 of the City
Council of the City of Vernon, Roupe has licensed to the City of
Vernon ("City") use of the object code implementations of the
software; and
WHEREAS, City desires to enter into a software source
code and support services agreement with Roupe to continue the
development of the software; and
WHEREAS, City desires to use City employees and Roupe to
assist in the maintenance and continued development of the
software and thus has need of the source code of the software; and
WHEREAS, City desires to use Roupe to assist City in
preparing and implementing an information system master plan.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon
hereby finds and determines that the recitals contained
hereinabove are true and correct.
SECTION 2: The City Council of the City of Vernon
hereby approves a Software Source Code and Support Services
Agreement, a copy of which has been presented to the City Council

concurrently with this resolution, and the City Council hereby
orders said Agreement to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon
hereby authorizes the Mayor and the City Clerk to execute said
Agreement for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
