3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND RATIFYING THE EXECUTION OF
4 KERN RIVER'S CALIFORNIA EXPANSION
CONFIDENTIALITY AGREEMENT AND OPEN SEASON
5 ELECTION BY AND BETWEEN THE CITY OF VERNON AND
KERN RIVER GAS TRANSMISSION COMPANY

7 WHEREAS, the City of Vernon is interested in potentially
8 being a shipper on the Kern River extension pipeline and is
9 therefor interested in participating in the open season which was
10 scheduled to end on Friday, October 16, 1998; and
11 WHEREAS, Kern River Gas Transmission Company operates a
12 natural gas transmission system which transports natural gas into
13 California and has certain information related to such
14 transportation which it considers to be proprietary, confidential,
15 commercially valuable and sensitive; and
16 WHEREAS, the City of Vernon desires to participate in the
17 open season election for obtaining interstate pipeline capacity
18 for the transportation of natural gas into Southern California,
19 which would necessitate the exchange of proprietary and
20 confidential information between Kern River Gas Transmission
21 Company and the City of Vernon; and
22 WHEREAS, both the City of Vernon and Kern River Gas
23 Transmission Company want to exchange confidential information
24 under the terms and conditions of a Kern River's Southern
25 California Expansion Confidentiality Agreement.
26 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
27 CITY OF VERNON AS FOLLOWS:
28 SECTION 1: The City Council of the City of Vernon does

hereby find and determine that the recitals contained hereinabove
are true and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves and ratifies the Kern River's Southern California
Expansion Confidentiality Agreement and the open season election,
a copy of which has been presented to the City Council
concurrently with this resolution, and the City Council hereby
orders said Agreement to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon.hereby
ratifies the City Administrator's execution of said.Agreement for,
and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution and thereupon and
thereafter the same shall be in full force and effect.
