1 RESOLUTION NO. 7301 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A 4 SOFTWARE LICENSE AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND VISION SOFTWARE, INC. 5 6 WHEREAS, the Vernon Police Department has sought quotes for 7 software and hardware systems to technologically update their 8 Department in order to increase productivity, efficiency and officer 9 safety; and 10 WHEREAS, the Vernon Police Department has requested that the 11 City purchase three inter -related computer systems which will enhance 12 the Department's service to the public; and 13 WHEREAS, the computer systems consist of Mobile Computer 14 Terminals, Vision Records Management System and Computer Aided 15 Dispatch System which will be implemented in phases and concurrently, 16 as necessary; and 17 WHEREAS, the Finance Committee of the City of Vernon on 18 March 15, 1999, recommended that the Vision Software Systems, Mobile 19 Computer Terminals, related hardware, and necessary utility 20 connections be purchased by the Vernon Police Department at a cost not 21 to exceed Six Hundred Thirty Eight Thousand Nine Hundred Ninety -Seven 22 Dollars ($638,997), subject to approval by the City Attorney's office 23 of the necessary contracts; and 24 WHEREAS, the City of Vernon will require a perpetual, non- 25 transferable, non -assignable license to use certain software for its 26 Police Department; and 27 WHEREAS, Vision Software, Inc. is qualified to provide the 28 City of Vernon with certain software and service it desires; and 1 WHEREAS, the City of Vernon and Vision Software, Inc. wish to 2 enter into a Software License Agreement setting forth the terms and 3 conditions of the services to be performed and the use of the licensed 4 software. 5 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 6 CITY OF VERNON AS FOLLOWS: 7 SECTION 1: The City Council of the City of Vernon does 8 hereby find and determine that the recitals contained hereinabove are 9 true and correct. 101 SECTION 2: The City Council of the City of Vernon hereby 11 approves the Software License Agreement, a copy of which has been 12 presented to the City Council concurrently with this resolution, and 13 the City Council hereby orders said Agreement to be received and filed 14 by the City Clerk. 15 SECTION 3: The City Council of the City of Vernon hereby 16 authorizes the Mayor and the City Clerk to execute said Agreement for, 17 and on behalf of, the City of Vernon. 18 SECTION 4: The City Clerk of the City of Vernon shall 19 certify to the passage of this resolution and thereupon and thereafter 20 the same shall be in full force and effect. 21 APPROVED AND ADOPTED this 30th day of March, 1999. 22 23 EONIS C. MALKENHORST, City Clerk (SEAL) -3- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18' 19 20 21 22 23 24 25 26 27 28 r f SOFTWARE LICENSE AGREEMENT EXECUTION COPY THIS AGREEMENT is made, entered into and executed in duplicate originals either copy of which may be considered and used as an original hereof for all purposes as of this 3Oth day March, 1999, in the City of Vernon, County of Los Angeles, California BY AND BETWEEN THE CITY OF VERNON, a charter city, hereinafter referred to as the "CITY," 4305 Santa Fe Avenue Vernon, CA 90058 AND VISION SOFTWARE INC., a North Carolina Corporation authorized to conduct business in California, hereinafter referred to as the "OWNER," 5601 Barbados Blvd., Castle Hayne, No. Carolina, 28420-9000 RECITALS WHEREAS, the CITY wishes to obtain a perpetual, non- transferable, non -assignable license to use certain software for its Police Department; and WHEREAS, the CITY desires to obtain such a license from OWNER for use of the software hereinafter described; and WHEREAS, the OWNER represents that it is qualified to provide the. CITY with the license and service under this Software License Agreement (hereinafter "Agreement"). NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. DEFINITIONS The following terms, when used herein with initial capitalization, whether in the singular or the plural, shall have the meanings specified: 1 1.1 "Documentation" means one (1) user's manual. 2 1.2 "DP Professional" shall mean any individual or 3 business which supplies others with computer 4 equipment, software or professional advice regarding 5 such. Computer manufacturers, dealers, distributors, 6 retail stores, original equipment manufacturers 7 ("OEMs"), independent sales organizations ("ISOs"), 8 system integrator, software houses, and data 9 processing consultants are examples of DP 10 Professionals. 11 1.3 "Eligible Computer System" means a designated 12 computer with the Operating System/Programming 13 Language as stated on the attached "Hardware 14 Investment Summary" and its associated peripheral 15 equipment. 16 1.4 "In-house" means used only for CITY's own 17 administrative purposes. 18 1.5 "Licensed Software" means the Software with any 19 modifications or enhancements or part(s) thereof, 20 listed on the "Price Quote," Attachment "B." 21 1.6 "License Fee" means the total price of Two Hundred 22 Two Thousand Three Hundred Fifty Dollars 23 ($202,350.00). 24 1.7 "Software" means a set of instructions consisting of 25 symbolic languages, processes and logic routines in 26 machine executable form used in the operation of 27 computer equipment applied to the performance of 28 specific tasks. WX 1 1.8 "Use" means copying of all or any portion of software 2 from storage units or media into a computer or using 3 any software in the course of computer operation. 4 2. LICENSE 5 OWNER hereby grants to the CITY a perpetual, non- 6 transferable, non -assignable license to use the Licensed Software 7 identified in Attachment "B" for its in-house use upon payment of the 8 License Fee. Payment of the License Fee is solely for the right to 9 use the Licensed Software pursuant to the terms and conditions on the 10 face and attached addendum of the Agreement and does not constitute 11 the purchase of the Licensed Software or of any right or title 12 therein. 13 Use of the Licensed Software is restricted to: City of Vernon Police Department 14 Eligible Computer System 15 Operating System 16 Site Location (complete address): 4305 Santa Fe, Vernon, California 17 3. FEES 18 Grand Total Software and Hardware (Not Including California 19 Sales Taxes) Two Hundred Two Thousand Three Hundred Fifty Dollars and 20 No Cents ($202,350.00). 21 4. CONTRACT DOCUMENTS 22 The contract between the parties is comprised of this 23 Agreement, as well as the following Attachments: 24 Attachment A: Payment Schedule 25 Attachment B: Price Quote for Police CAD, RMS 26 Attachment C: Statement of Work 27 Attachment D: Hardware Specifications 28 Attachment E: Master Name Historical Summary -3- 1 S. TITLE AND OWNERSHIP 2 5.1 The Licensed Software and the original and any copies 3 thereof, in whole or in part, whether said original 4 and copies are made by OWNER, the CITY or anyone else 5 and all copyright, patent and trade secret and other 6 intellectual and proprietary rights therein are and 7 remain the valuable property of OWNER. 8 5.2 The CITY understands and agrees that aspects of the 9 Licensed Software that are OWNER trade secrets 10 include but are not limited to the following: system 11 design, modular program structure, system logic flow, 12 fine content, video and report formats, coding 13 techniques and routines, file handling and special 14 search techniques, video screen data entry handling 15 and report and/or forms generation. 16 5.3 OWNER hereby grants to the CITY the authority to make 17 copies of the Licensed Software for its own use at 18 the location specified in Section 2, page 3, and the 19 CITY agrees to include on any copies made of the 20 Licensed Software the same notices of OWNER's 21 ownership interests that appear thereon. 22 6. SCOPE OF AUTHORIZED USE 23 6.1 For the License Fee, OWNER shall furnish the CITY 24 with one (1) copy of the Licensed Software, including 25 documentation. 26 6.2 As specified in Section 2, on page three hereof, the 27 CITY is granted a perpetual, nontransferable, 28 nonassignable license to use the Software for the -4- 1 CITY's in-house use. The CITY shall not have the 2 right to sublicense the Licensed Software in any 3 manner. 4 6.3 The CITY shall not assign or otherwise transfer this 5 License or the Licensed Software or any part hereof 6 by operation of law or otherwise directly or 7 indirectly, including but not limited to any joint 8 venture or combination arrangements with any other 9 person or entity. 10 6.4 The CITY warrants that it is not a DP Professional. 11 6.5 The CITY understands and agrees that it shall not use 12 the Licensed software in any city or site except the 13 city and site designated in Section 2, on page three, 14 except that use of the Licensed Software by the 15 CITY's Mobile units outside its jurisdiction shall 16 not be prohibited. This paragraph shall not prohibit 17 any use of the Licensed Software for the purpose of 18 facilitating the CITY's use of a Regional Mobile Data 19 System operated by another law enforcement agency. 20 7. PROJECT MANAGER/TRAINERS 21 7.1 OWNER shall designate a Project Manager who shall 22 serve as the main contact person for the CITY in 23 connection with any issue arising in the performance, 24 enforcement or interpretation of the Agreement. If 25 the CITY, for whatever reason, becomes dissatisfied 26 with the designated Project Manager, the CITY may 27 request that a different Project Manager be assigned. 28 OWNER shall thereafter, within a reasonable amount of -5- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 8. time, designate a new Project Manager. 7.2 During the performance of this Agreement, OWNER will be providing trainers who will train CITY personnel in connection with the use of the Licensed Software and/or equipment which is the subject of this Agreement. If the CITY, for whatever reason, becomes dissatisfied with any of the assigned trainers, the CITY may request that a different trainer be assigned. OWNER shall thereafter, within a reasonable amount of time, replace the trainer. WARRANTY AND LIMITATION OF LIABILITY 8.1 The CITY acknowledges that the Licensed Software is of such complexity that it may have inherent defects and agrees that AS OWNER'S LIABILITY AND AS THE CITY'S REMEDY, OWNER WILL PROVIDE ALL REASONABLE PROGRAMMING SERVICES TO CORRECT DOCUMENTED CODE ERRORS WHICH OWNER'S DIAGNOSIS INDICATED WERE CAUSED BY A DEFECT IN AN UNALTERED SOURCE CODE VERSION OF THE DELIVERED LICENSED SOFTWARE. THIS IS LIMITED TO "CODE ERRORS" ONLY AND DOES NOT INCLUDE ADDITIONAL FEATURES OR ENHANCEMENTS. This nontransferable warranty is valid until one year expires. 8.2 If OWNER is unable, within 1 year, to repair or replace any product or service listed on Attachment "B" to a condition as warranted, the CITY shall be entitled to a refund of the purchase price upon return of the Licensed Software to OWNER. 8.3 OWNER shall not be liable for any loss or damage that am 1 may arise through the use of software being 2 maintained and supported hereunder, including without 3 limiting the generality of the foregoing, any 4 indirect, special or consequential damages, in 5 connection with or arising from the furnishing of 6 maintenance and support services hereunder for and 7 upon the software being used by the CITY in its 8 Department. 9 8.4 OWNER warrants that the maintenance and support 10 service hereunder shall permit the CITY to be 11 provided with a complete and usable system for its 12 Police Department. 13 8.5 The CITY understands that after the one (1) year 14 warranty period expires, a maintenance agreement must 15 be in effect or the CITY will pay by the hour for 16 continuing support. 17 8.6 OWNER represents and warrants that during and after 18 the term of this Agreement, the Licensed Programs 19 shall process dates prior to and after January 1, 20 2000, with no adverse impact on the functionality of 21 the Licensed Programs or the accuracy of any reports; 22 this date processing shall include, without 23 limitation, internal date formats that have century 24 recognition, calculations that accommodate same 25 century and multi -century formulas and date values, 26 date interface values that reflect the century and 27 calculations that accommodate the occurrence of leap 28 years. OWNER further represents and warrants that -7- 1 all date calculations will work correctly; all date 2 related calculations will recognize that date 3 containing years equal to or greater than 2000 are 4 later than dates in the 1900s. OWNER does not 5 represent that the Licensed Programs will be 6 compatible with non -OWNER defined date formats or 7 interfaces or that other third party software will 8 contain similar year 2000 capabilities. 9 9. CONFIDENTIALITY/NONDISCLOSURE 10 9.1 The CITY shall take all necessary and reasonable 11 steps to keep the Licensed Software under adequate 12 security to ensure that no unauthorized access, 13 copies or use is made thereof, and to protect the 14 confidentiality of the Licensed Software. 15 9.2 The CITY agrees to notify OWNER immediately of the 16 existence of circumstances surrounding any 17 unauthorized knowledge, possession or use of the 18 Licensed Software or any part thereof by any person 19 or entity. 20 9.3 In the event that OWNER should terminate this 21 contract of service and fails and/or refuses to offer 22 support and maintenance service for the software 23 mentioned herein to the CITY while OWNER offers such 24 service to other units of government, or OWNER shall 25 fail and/or refuse to offer support and maintenance 26 service for the software herein to the CITY whether 27 for reasons of bankruptcy, receivership, termination 28 of business or for any other reason not herein 1 mentioned, the CITY shall be entitled to receive the 2 source code system documentation. 3 9.4 Access to CITY Confidential Information. The CITY 4 may provide OWNER with, or allow OWNER access to, 5 certain information not available to the public 6 concerning the CITY, or businesses located in the 7 CITY. The information may include sensitive police 8 information, company information or such other 9 information. All such information shall be stamped 10 by CITY as "Confidential Information" and may not be 11 used to circumvent the responsibility of either party 12 to this Agreement. 13 9.5 No Disclosure of CITY Information. Except as 14 expressly permitted, OWNER shall not disclose, permit 15 the disclosure of, release, disseminate, or transfer, 16 whether orally or by any other means, any part of 17 such Confidential Information to any other person or 18 entity, whether corporate, governmental, or 19 individual, without the express prior written consent 20 of an authorized representative of the CITY. OWNER 21 shall return any written Confidential Information, 22 and all copies made of such items, to the CITY upon 23 the CITY's written request, but in any event not 24 later than the date that OWNER has performed all 25 services to be performed pursuant to this Agreement. 26 OWNER hereby agrees that such Confidential 27 Information and any documents provided may be used by 28 OWNER only as authorized by the CITY. OWNER shall cm 1 take reasonable measures to avoid any disclosure of 2 any such Confidential Information to any unauthorized 3 person. 4 9.6 Court Ordered Disclosure of CITY Information. OWNER 5 shall immediately notify the CITY of any court order 6 or subpoena requiring disclosure of Confidential 7 Information, and shall cooperate with legal counsel 8 in the appeal or challenge of any such order or 9 subpoena. Recipient may only disclose Confidential 10 Information required to be disclosed pursuant to 11 court order or subpoena after legal counsel has 12 exhausted any lawful and timely appeal or challenge. 13 9.7 In addition to any other remedies that it may have at 14 law or in equity, the CITY shall be entitled to a 15 temporary and permanent injunction by a court of 16 competent jurisdiction against any breach or 17 threatened breach of the Confidential Information 18 provisions of this Agreement. OWNER acknowledges 19 that in case of such breach or threatened breach of 20 said provisions, the CITY would have no adequate 21 remedy at law. 22 10. TERM AND TERMINATION 23 10.1 This Agreement shall be in effect for one (1) year 24 from the date that the Agreement is fully executed, 25 or until terminated as provided herein. 26 10.2 In the event of a material breach or default by the 27 CITY in the performance of this Agreement, OWNER 28 shall give written notice to the CITY specifying the -10- 1 nature and extent of the breach and the CITY shall 2 have fifteen (15) days thereafter to cure any such 3 curable breach. If such a breach is not cured within 4 said fifteen (15) day period, the termination of this 5 Agreement shall become effective on said fifteenth 6 day following said written notice. 7 10.3 In the event of a material breach or default by the 8 OWNER in the performance of this Agreement, the CITY 9 shall give written notice to the OWNER specifying the 10 nature and extent of the breach and the OWNER shall 11 have fifteen (15) days thereafter to cure any such 12 curable breach. If such a breach is not cured within 13 said fifteen (15) day period, the termination of this 14 Agreement shall become effective on said fifteenth 15 day following said written notice. 16 10.4 The provisions of Sections 8.3, 8.6 and 11 shall 17 survive any termination. 18 11. TAXES 19 11.1 The CITY shall pay any California State sales taxes 20 arising from or based upon the License Fee, this 21 Agreement or the CITY's use of the Licensed Software. 22 11.2 The CITY shall not deduct from payments to OWNER any 23 amounts paid or payable to third parties, customs, " 24 duties or taxes, however designated. 25 12. ACCEPTANCE TESTING 26 12.1 OWNER agrees that the Licensed Software and any 27 equipment OWNER provides pursuant to this Agreement 28 shall meet the standard of performance specified in -11- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 13. 20 21 2.2 23 24 25 26 27 28 12.2 GENERAL OWNER's documentation before such items are accepted by the CITY. OWNER's documentation are hereby incorporated by this reference as though set forth at length herein. An "acceptance performance period" shall begin on the date on which OWNER installs the LicensedSoftware and any equipment it provides pursuant to this Agreement, and end when such items have operated in conformance with OWNER's documentation, under OWNER's standard test procedures for a period of thirty (30) consecutive calendar days. If any such Licensed Software or equipment fails to operate in conformance with OWNER's documentation during the acceptance performance period, OWNER shall take whatever steps are necessary in order to address such operation problems. Thereafter, the acceptance performance period for the problem Licensed Software and/or equipment, shall begin anew. 13.1 The parties hereto acknowledge that each has read this Agreement, understands it, and agrees to be bound by its terms. The parties further agree that this Agreement shall not be modified, except by a written agreement signed on behalf of both parties by their respective duly authorized representatives. 13.2 If either party is required to engage in any proceedings, legal or otherwise to enforce its rights under this Agreement, the prevailing party shall be -12- 1 entitled to recover from the other, in addition to 2 any other sums due, the reasonable attorneys fees, 3 costs and necessary disbursements involved in said 4 proceedings. 5 13.3 OWNER is hereby authorized to make reasonable 6 inquiries concerning the CITY's compliance with this 7 Agreement, and the CITY shall cooperate with such. 8 13.4 Since unauthorized use or transfer of the Licensed 9 Software or any information contained therein will 10 diminish substantially the value to OWNER of the 11 trade secrets and proprietary interest that are the 12 subject of this Agreement, if the CITY breaches any 13 of its obligations with respect to limited use or 14 confidentiality of the Licensed Software, OWNER shall 15 be entitled to equitable relief to protect its 16 interest therein, including, but not limited to, 17 injunctive relief as well as money damages. 18 13.5 OWNER shall not be liable for delays in any of its 19 performance hereunder due to causes beyond its 20 reasonable control including, but not limited to, 21 acts of God. 22 13.6 If any term(s), provisions(s), or condition(s) of 23 this Agreement is held by a court of competent 24 jurisdiction to be invalid, void or unenforceable, 25 the remainder of the provisions shall remain in full 26 force and effect and in no way shall be affected, 27 impaired or invalidated. 28 13.7 This Software License Agreement, the Payment -13- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 13.8 Schedule (attached hereto as Attachment "A"); the Price Quote for Police, CAD, RMS (attached hereto as Attachment "B"); the Statement of Work (attached hereto as Attachment "C"); the Hardware Specifications (attached hereto as Attachment "D"); and the Master Name Historical Summary (attached hereto as Attachment "E") constitute an integration of the entire understanding and Agreement between OWNER and the CITY. Any representations, warranties, promises or conditions, whether written or oral, not specifically incorporated herein, shall not be binding upon either of the parties to this Agreement. Both parties acknowledge that they have not relied, in entering into this Agreement, upon any representation, warranty, promise or condition not set forth herein. To the extent OWNER will perform ongoing services under this Agreement, OWNER will remain throughout the term of the Agreement as an independent contractor. OWNER agrees that its principals and employees are not and will not become employees of the CITY while this Agreement is in effect. The CITY shall have the right to control OWNER only in so far as the results of the OWNER's services rendered pursuant to this Agreement; however, the CITY shall not have the right to control the means by which OWNER accomplishes services rendered pursuant to the Agreement except to the extent that such services -14- 1 involve the use of CITY property or Confidential 2 Information. 3 13.9 OWNER agrees that its principals and employees are 4 not entitled to the rights and benefits afforded to 5 the CITY'S employees, are not and will not become 6 employees of the CITY while this Agreement is in 7 effect. OWNER agrees that its principals and 8 employees are not entitled to the rights and benefits 9 afforded to the CITY's employees, including 10 disability and unemployment insurance, workers' 11 compensation, medical insurance or any other 12 employment benefit. OWNER is responsible for 13 providing, at its own expense, all legally required 14 disability, unemployment and other insurance, 15 workers' compensation, training, permits, and 16 licenses for itself and for its principals, employees 17 and subcontractors. 18 13.10 OWNER Not Agent. Except as the CITY may specify in 19 writing, the OWNER shall have no authority, express 20 or implied, to act on behalf of the CITY in any 21 capacity whatsoever as an agent. OWNER shall have no 22 authority, expressed or implied, pursuant to this 23 Agreement to bind the CITY to any obligation 24 whatsoever. 25 13.11 Any notices required to be given under this Agreement 26 by either party to the other may be effected by 27 personal delivery in writing or by mail, registered 28 or certified, postage prepaid with return receipt -15- 1 requested. Mailed notices must be addressed to the 2 parties at the addresses listed in this paragraph, 3 but each party may change the address by giving 4 notice in accordance with this paragraph. Notices 5 delivered personally will be deemed communicated as 6 of actual receipt; mailed notices will be deemed 7 communicated as of the day of receipt or the fifth 8 day after such notice is mailed by first class mail 9 or, the second day after such notice is mailed by 10 overnight mail. Notices transmitted by either party 11 to this Agreement to the other party shall be 12 addressed as follows: 13 OWNER: CT CORPORATION SYSTEM ATTN: Chief Executive Officer 14 818 West 7th Street Los Angeles, CA 90017 15 CITY: City of Vernon 16 Attn: City Administrator 4305 South Santa Fe 17 Vernon, CA 90058 18 13.12 This Agreement will be governed by the laws of the 19 State of California. All claims concerning the 20 validity, interpretation, or performance of any of 21 the terms and provisions of the Agreement, or any of 22 the rights or obligations of the parties hereto shall 23 be instituted and prosecuted in California, in the 24 County of Los Angeles, in accordance with the laws of 25 the State of California. 26 13.13 Assignment Prohibited. No party to this.Agreement 27 may assign any right or obligation pursuant to this 28 Agreement except with the express written consent of -16- 1 the other party. Any other attempted or purported 2 assignment of any right or obligation pursuant to 3 this Agreement shall be void and of no effect. 4 13.14 Termination. This Agreement may be terminated by the 5 CITY on thirty (30) days written notice to the OWNER. 6 The effective date of cancellation shall be after the 7 30th day after said written notice. If the customer is supplying servers, and they are no on this list, then we have to take exception to performance and reliability. Application servers that are Vision Specific can utilize an existing security Domain if one is in place. Management of the security domain is the responsibility of the customer. Vision software does not provide onsite hardware maintenance outside of our normal operational area. It is suggested that the customer purchase 24X7 "X" hr response from their hardware vendor. Vision Software will support our applications and the operating system with telephone support. If the customer has more than fifteen users then a Primary Domain Controller is highly recommended for security management. If the customer has more than one server, then a Primary Domain Controller is highly recommended for security management. It is highly recommend that a Backup Domain Controller be utilized in conjunction with a Primary Domain Controller. It is not required, but if the PDC is down, then your security system is also not functional. **The responsibility of Backup Domain can be placed on the secondary CAD server if mirrored CAD servers are going to be utilized, the same applies for RMS with mirroring. **OPTIONAL** SMS (Systems Management System) should be deployed on large sites (over 25 clients). Training and appropriate setup time is required. A MINIMUM of a ISDN line is required if Vision Software is going to manage the security domain and appropriate management $'s applied to the contract for long term management. If a peer -to -peer network solution is going to be deployed, then the customer MUST be aware of the security management for multiple users on clients. No other server services are to be operational on any Vision Specific Server solution other than the recommended per our setup and configuration guide. If the customer wants specific server services, than a addition member server must be added to the Enterprise. All SQL servers will have two hard drives and two SCSII controllers, the larger of the two drives will be for operating system, SQL server, Pagefile and Data files for both CAD/RMS applications. The secondary drive and controller will be dedicated for transactions log usage for SQL server. On all servers and member servers the recommended file system is NTFS. When utilizing a fault tolerant (cluster) server system, two network cards are required in the servers. The secondary nPtwork'card requires a dedicated protocol other that the TCP/IP transport utilized over the network. 100MB/TX Switched or Gigabit Switched networking is the preferred network backbone structure. Work group 100TX or 10BT structures can be setup off of the switched backbone. The customer is responsible for installation of all network structure. This must be certified T568B standards and reports made available. If the structure is not certified and Vision Software incurs cost evaluating the problem, the customer will be billed for time and materials. Introduction Vision Software has developed a methodology to incorporate customer legacy system data into VisionRMS, in such a way as to add significant value to the end user, while also maintaining VisionRMS' System integrity. Vision's methodology is to take existing legacy data and, using pre -defined table structures contained within industry standard PC based ASCII delimited or other XBASE database file formats, create a Microsoft SQL Server based database, consisting of normalized (historical) SQL tables which integrates with existing VisionRMS functionality. External views of the data are provided for basic searches, and generic legacy reporting using either Vision Software supplied tools or commercial off the shelf (COTS) software. `Historical Data' consists of basic attributes for specific historical events such as arrests, citations, warrants, incidents, offenses, etc., which are tied together by a name entity. Detailed information on available tables and their associated fields can be found in section III (Historical Table Structures) of this document. Historical data can be searched from within VisionRMS by various name criteria.Historical data can also be accessed from the VisionRMS database by other data applications. Customers will be responsible for providing Vision Software with the data in valid file formats. Vision Software will then, by utilizing state of the art methodologies, take the historical data, inspect it for validity, and, upon being validated, store the data, create the appropriate database and normalized data tables, and return the data, with appropriate utility programs, to the customer. The intended turn around time is anticipated to be less than 30 days. If, for whatever reason the events in the Summary tables are not properly related to the names in the Historical _Name tables, or if the customer is unable to create the appropriate data files to provide to Vision Software, Vision Software, may, for appropriate fees, be able to assist the customer in creating these files. If Vision Software is unable to mine the data off the legacy system, it is still incumbent upon the customer to supply this data to Vision Software. Vision Software will assume no liability when it comes to extracting, compiling and determining/interpreting relationships between data and data elements of third party systems. • Data. Values are placed in the Historical Tables as delivered by the customer with no further validation to the data by Vision Software. • Master Name data can be accessed and selectively imported by the user into RMS from within the MNHS program. U. File Formats & Media Each customer is solely responsible for providing the data to Vision Software. Vision Software is capable of accepting a wide range of data file formats. Magnetic tape has proven to be an unreliable transport medium, and , thus, can not longer be accepted. Vision Software will only accept data on media which is based off hard -drive or resilient drive technologies. Fields & User Defined Fields There are `User Defined' fields made available to you for each of the `Historicald Data' tables. The user - defined fields are intended for you to supplement those data fields that Vision has identified from our customer's requirements analysis. User defined fields may be divided (notionally) and viewed as separate logical fields while they are, in fact, just one field. x _ -R 5 A copious amount of storage space has been allocated, per record, for user comments and for the concatenation of legacy data fields, for which, the user finds to be of value and feels should be retained. V. Master Name Historical Summary (MNHS) Validated data will reside in a database repository accessible by a Vision Software Application called MNHS, which will provide the end user with the capability of browsing, searching, and printing their historical data.. This data will also be accessible from within VisionRMS automatically during Master Name searches and via a point and click user interface, but only in a limited manner; and, mainly for name searching and basic informational display. The capability of cutting and pasting name and address information from the Historical data into VisionRMS will exist. One record per activity will be processed. Because this MNHS repository is in a Microsoft SQL Server database, this repository can reside anywhere on the customer's network providing a current version of SQL Server is installed and running. Connectivity to the database will be achieved using standard off the shelf connectivity tools supplied with VisionRMS. The MNHS application will also be accessible via a desktop icon for each user requiring access to historical data. It will be the responsibility of the customer's system administrator to assign appropriate SQL security rights to the MNHS database and for correctly configuring client machines. Primary and secondary points -of -contact, having extensive knowledge of the customer legacy system and data, should be assigned by the customer to assist in the conversion of their data. Installation and perceived value provided by the MNHS application will depend on the ability of each individual customer to provide clean, accurate data with detailed information about that data. The database will be delivered on CD and installed onto the RMS SQL server or other designated server. The customer can expect a minimal amount of down time during the installation of the MNHS database. Future Plans Over time; the Master Name Historical Summary will become the main repository for all historical VisionRMS data. As users begin to exercise VisionRMS, data accumulation is inherent. Vision Software will be fielding archiving tools that will take live VisionRMS data and placeit into the MNHS repository to coexist with your previous legacy data. This will serve you, the customer, in two ways. Sir: For the past year the Police Department has been vigorously studying possibilities for the purchase of the above identified systems.
