Resolution No. 73031 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WA*91111"1910k,• 1 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AMENDMENT NO. 4 TO THE ENVIRONMENTAL SERVICES AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND SAFETY-KLEEN (LOS ANGELES), INC. (SUCCESSOR TO LAIDLAW ENVIRONMENTAL SERVICES OF CALIFORNIA, INC., AND ROLLINS CHEMPAK INC.) WHEREAS, the City of Vernon, through normal operations at the City Yard, accumulates certain amounts of materials classified as hazardous waste; and WHEREAS, because State law imposes a limit on the storage of such materials, the City of Vernon must arrange for the transportation and disposal of these materials by a licensed firm; and WHEREAS, the City of Vernon by Resolution No. 6624 on May 16, 1995, authorized the execution of an Environmental services Agreement ("the Agreement") with Rollins Chempak Inc. ("Rollins") for disposal of hazardous waste, which Agreement was extended to December 31, 1997, by Amendment No. 2 to the Agreement as approved by Resolution No. 6903 on January 7, 1997; and WHEREAS, Laidlaw Environmental Services of California; Inc. ("Laidlaw") acquired Rollins on or about May 15, 1997, thereby assuming Rollins' obligations under the Agreement; and WHEREAS, Amendment No. 3 to the Agreement was approved by Resolution No. 7080 on January 27, 1998, extending the term of the Agreement to December 31, 1998; and WHEREAS, effective on or about July 1, 1998, as a result of a merger involving Laidlaw's parent corporation, Laidlaw's name A , 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 was changed to Safety-Kleen (Los Angeles), Inc. ("Safety-Kleen"); and WHEREAS, Safety-Kleen has requested that the Agreement be extended for the year 1999; and WHEREAS, Safety-Kleen is both licensed and experienced in transportation and disposal of such materials. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon does hereby find and determine that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves Amendment No. 4 to the Environmental Services Agreement, a copy of which Amendment has been presented to the City Council concurrently with this resolution, and the City Council hereby orders said Amendment to be received and filed by the City Clerk. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Amendment for, and on behalf of, the City of Vernon. SECTION 4: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. The grant deed was signed by two officers of Alcoa, each identified as a vice president. We have indicated in the past that in order to best assure that a corporation is bound by an agreement with the City, the signature, requirements set forth ,in Corporations Code § 313 should be followed. These are that the first signature be by the chairman of the board, the president, or any vice president, and the second signature be by the corporate secretary, an assistant secretary, the chief financial officer, or any assistant treasurer. 'The benefit of V. following this rule is that the corporation cannot later claim that the individuals who signed on its behalf lacked authority. In the case of the grant deed from Alcoa, we allowed the item to go to the Council as a matter of accommodation. This does not mean, however, that we are prepared to do so in every instance or are changing the advice we have given in the past.
