Pursuant to our prior discussions, I am forwarding a copy of the Purchase Contract
which will be required by the City in connection with the above -referenced matter. The
Contract is fairly simple and contains terms which are consistent with the bid documents.
Please be advised that I must have the Contract executed by your company before
they can be approved by the City on Tuesday, June 15, 1999. Therefore, I request that you
review the Contract, execute both originals and send both originals, via overnight mail, to
the City to the attention of Gloria Orosco, Chief Deputy City Clerk. Once the originals are
executed by the City, one fully executed original will be returned to you for your files.
Please note that the contract requires two signatures from your company. In order to
comply with the Corporations Code, the first signature must be from either the president,
vice-president or chairman of the board. The second signature must be by either the chief
financial officer, any assistant treasurer, a corporate secretary or assistant secretary.
I thank you for your cooperation regarding this matter.
Very truly yours,

David B. Brearley,
