Resolution No. 7348N f 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 7348 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON RATIFYING THE ISSUANCE OF BID NO. 1379, ACCEPTING THE BID OF DUTHIE POWER SERVICES FOR THE PURCHASE OF A DIESEL GENERATION SET AND APPROVING AND AUTHORIZING THE EXECUTION OF THE PURCHASE CONTRACT DOCUMENTS WHEREAS, the Utilities Department of the City of Vernon is in need of a diesel generation set; and WHEREAS, based upon specifications provided by the Utilities Department, the Purchasing Department of the City of Vernon prepared Bid No. 1379, dated April 19, 1999; and WHEREAS, the Purchasing Department proceeded to solicit bids for Bid No. 1379 from three vendors; and WHEREAS, sealed bids were opened on May 4, 1999; and WHEREAS, Duthie Power Services bid a lump sum total of Thirty Thousand Six Hundred Twenty Three Dollars and No Cents ($30,623.00), not including tax, with a 1% discount of $306.23 to be deducted upon payment; and WHEREAS, Power Systems Associates ("Power Systems") bid a lump sum of Thirty Five Thousand Dollars and No Cents ($35,000.00) on Bid No. 1379; and WHEREAS, Valley Detroit Diesel Allison bid a lump sum of Thirty Three Thousand Nine Hundred Dollars and No Cents ($33,900.00) on Bid No. 1379; and WHEREAS, the Utilities Department and the Purchasing Department have reviewed the bids and have recommended that Bid No. 1379 be awarded to Duthie Power Services on the basis of its bid of $30,623.00, with a 1% discount of $306.23 to the City upon 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 payment, Duthie Power Services being the lowest responsible bidder meeting the Bid requirements. WHEREAS, on May 26, 1999, the Finance Committee reviewed the bids and the recommendation by the Utilities Department and the Purchasing Department that the bid be awarded to Duthie Power Services, and approved said recommendation. WHEREAS, the City Council of the City of Vernon desires to ratify the Purchasing Department's issuance of Bid No. 1379 to Duthie Power Services, Power Systems and Power Detroit, and to approve the recommendation to purchase the diesel generation set from Duthie Power Services. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon does hereby find and determine that the recitals contained hereinabove are true and correct. SECTION 2: The City Council hereby ratifies the Purchasing Department's issuance of Bid No. 1379, including the specifications for the Diesel Generation Set contained therein, to Duthie Power Services, Power Systems and Power Detroit. SECTION 3: The City Council hereby accepts and approves the Contract Documents for Bid No. 1379, copies of which have been presented to the City Council concurrently with this Resolution, and the City Council hereby orders said Contract Documents to be received and filed by the City Clerk. SECTION 4: The City Council of the City of Vernon does hereby award a contract for Bid No. 1379 to Duthie Power Services, authorizes the issuance of a purchase order for the purchase of -2- 1 the Diesel Generation Set from Duthie Power and authorizes the 2 Mayor and City Clerk to execute the Contract Documents on behalf 3 of the City. 4 SECTION 5: All other bids are rejected subject to 5 execution of the aforesaid contract, and the City Treasurer is 6 directed to return to any unsuccessful bidders any cashier or 7 certified checks which may have been deposited with said bids, 8 upon receipt of the executed contract with Duthie Power Systems, 9 accompanied by all required bonds and certificates. 10 SECTION 6: The City Clerk of the City of Vernon shall 11 certify to the passage of this Resolution, and thereupon and 12 thereafter the same shall be in full force and effect. 13 APPROVED AND ADOPTED this 15th day of June, 1999. 14 t 15 ILEONIS C. WHEREAS, on April 19, 1999, the City issued Bid No. 1379, which set forth specifications of the diesel generator set required by the City. WHEREAS, on May 4, 1999, Duthie Power responded to Bid No. 1379. WHEREAS, the City has accepted Duthie Power's bid and desires to purchase the diesel generation set from Duthie Power. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. Duthie Power Services agrees to sell to the City a diesel generator set which satisfies the specifications contained in City of Vernon Bid 1379, dated April 19, 1999, and which is consistent with Duthie Power's Bid of May 3, 1999 (collectively the "Bid 1 Documents"). Copies of the Bid Documents are attached hereto as Exhibit"A" and incorporated herein by reference. 2. Price. Consistent with its Bid, Duthie Power agrees to sell the diesel generator set to the City, and City agrees to purchase the diesel generator set from Duthie Power, for the total sum of Thirty Thousand Six Hundred Twenty Three Dollars and No Cents ($30,623.00), not including tax, with a 1 % discount of $306.23 to be deducted upon payment by the City. 3. Warranties. All manufacturer's warranties, and any other warranties made applicable bylaw, shall apply to the City's purchase of the above -referenced generator set. 4. Governin Law. The validity, interpretation and performance of this contract shall be controlled and construed under the laws of the State of California. 5. Notices.
