A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN
AGREEMENT FOR CONTRACTUAL SERVICES BY AND BETWEEN
THE CITY OF VERNON AND ALBERT ROBLES
WHEREAS, the City of Vernon desires to retain the services of
a consultant to provide assistance and consultation in conjunction
with issues concerning the southeast cities; and
WHEREAS, Albert Robles is well qualified by reason of
education and experience to perform such services; and
WHEREAS, the City of Vernon and Albert Robles desire to enter
into an Agreement for Contractual Services.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon does
hereby find and determine that the recitals contained hereinabove are
true and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Agreement for Contractual Services, a copy of which has
been presented to the City Council concurrently with this resolution,
and the City Council hereby orders said Agreement to be received and
filed by the City Clerk.
SECTION —a: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Agreement for,
and on behalf of, the City of Vernon.
I SECTION 4: The City Clerk of the City of Vernon shall
2 certify to the passage of this resolution and thereupon and thereafter
3 the same shall be in full force and effect.

4 THIS AGREEMENT FOR CONTRACTUAL SERVICES is made and
5 entered into this 15th day of June, 1999

8 "CITY")

12 "CONSULTANT")
13 RECITALS:
14 WHEREAS, CITY desires to retain CONSULTANT to provide
15 assistance and consultation in conjunction with issues concerning
16 the southeast cities; and
17 WHEREAS, CONSULTANT is well qualified by reason of
18 education and experience to perform such services; and
19 WHEREAS, CONSULTANT is willing to render -such
20 professional services as hereinafter defined.
21 NOW, THEREFORE, FOR AND IN CONSIDERATION OF THESE MUTUAL
22 COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO
23 AGREE AS FOLLOWS:
24 SECTION 1: SCOPE OF SERVICES.
25 The services to be provided will be directed and
26 authorized in writing by the City Administrator of the CITY to
27 assist in providing advice and performing work on miscellaneous
28 projects pertaining to issues concerning southeast cities and
that said Consultant's services shall be confidential.
SECTION 2: Term and Cancellation
The term of this Agreement shall be from June 17, 1999
through and including August 17, 1999. Further, both the CITY
and CONSULTANT shall have the right to terminate this Agreement
on thirty (30) days written notice. CITY agrees to compensate
CONSULTANT for actual costs incurred prior to the cancellation of
the Agreement. In the event of termination, CONSULTANT shall
forthwith turn over to CITY all work product, documents, records
and writings of whatsoever nature in connection with work
performed pursuant to or in connection with this Agreement.
SECTION 3: Performance.
The CONSULTANT agrees that all services provided will be
conducted by the principal, and that services will be performed
and rendered diligently.
SECTION 4: Compensation.
The CITY shall pay CONSULTANT as consideration for the
services provided pursuant to this Agreement a monthly fee of TWO
THOUSAND DOLLARS ($2,000.00) per month during months that
CONSULTANT provides such services or a proration of said
consideration for those periods of less than a month, after
submission of a written invoice by CONSULTANT to the City
Administrator and approval of said invoice by the City
Administrator.
SECTION 5: Scope of Work
The CITY designates the City Administrator to supervise
the provision of consulting services by CONSULTANT. The Parties

intend that the anticipated scope of work shall be consistent

with the attached Exhibit "A", Scope of Work.
SECTION 6: Other Consulting Services
In the performance of this Agreement, CONSULTANT shall
abide by and conform to any and all applicable laws of the United
States, the State of California, and ordinances, regulations, and
policies of the CITY. Further, CONSULTANT agrees to notify the
City Administrator regarding the number of hours spent providing
consulting services to any other city or local public agency
during the term of this Agreement within one week after beginning
to provide such services.
SECTION 7: Capacity as Independent Contractor.
Performance of CONSULTANT's services hereunder shall be
in the capacity of an independent contractor and not as an
officer, agent or employee of the CITY. In consideration for the
compensation paid to CONSULTANT by CITY pursuant to Section 4 of
this agreement, CONSULTANT agrees that CITY, its officers,
employees, agents, representatives and sureties shall not be
liable or responsible for any benefits, including but not limited
to, workers' compensation, disability, retirement, life
insurance, unemployment insurance, health or any other insurance
benefits and CONSULTANT agrees that he shall not sue or file a
claim, petition, or application therefore against CITY or any of
CITY's officers, employees, agents, representatives, or sureties.
SECTION 8: Notices.
Notices and communications concerning this Agreement
shall be sent to the following addresses:

SECTION 9: Amendment.
The terms and conditions of this Agreement can only be
amended by a written agreement between the parties hereto.
SECTION 10: ASSIGNMENT.
Neither the CITY nor CONSULTANT shall assign or transfer
its interest in this Agreement.
SECTION 11: Ownership.
All writings, documents and records prepared, received,
or maintained by CONSULTANT in connection with or as a result of
services performed for CITY shall be and remain the property of
CITY.
SECTION 12: No extra services beyond the scope of this
Agreement shall be rendered by CONSULTANT unless such extra
services shall be authorized in writing by the City Administrator
of the CITY or his designee.

The following Scope of Work defines the parameters of the
assistance
and consultation services which will be provided to

Upon request by CITY, CONSULTANT will provide assistance and

cities projects. Such services may include research, fact
gathering, verbal consultation, written recommendations,

appearance at meetings, and administration of a project.

Upon request by CITY, CONSULTANT will provide services
similar to those enumerated in "A" above, for any matter

which might have an effect on the southeast cities.

Any other services for the CITY assigned by the City
Administrator and accepted by CONSULTANT.

will require CONSULTANT to spend as an average for the full
term of the contract approximately twenty (20) hours per

week.
