RESOLUTION NO. 7479
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN
AMENDMENT NO. ONE TO THE AGREEMENT FOR PROFESSIONAL
CONSULTING SERVICES BY AND BETWEEN THE CITY OF
VERNON AND COTTON/BELAND/ASSOCIATES, INC.
WHEREAS, the City of Vernon entered into an Agreement for
Professional Consulting Services ("Agreement") dated August 16, 1999,
with Cotton/Beland/Associates, Inc. ("CBA") for the preparation of a
"Pre -Construction Survey and Mitigation Study" Report along the
Alameda Corridor pursuant to Resolution No. 7383 adopted by the City
Council of the City of Vernon on August 3, 1999; and
WHEREAS, the County of Los Angeles ("COLA"), through its
Office of the Assessor and through its Department of Public Works, has
developed and holds right and title to a GIS Ready Digital Graphics
System ("GIS") for areas throughout the COLA; and,
WHEREAS, CBA requires access to the COLA's GIS in order to
accomplish the task required by the Agreement; and
WHEREAS, in order to gain access to information provided by
GIS, COLA requires the execution of a License Agreement by the City
and the payment of a license fee of Five Hundred Twenty -Five Dollars
and Fifty -Three Cents ($525.53); and
WHEREAS, CBA has forwarded the license fee to COLA; and
WHEREAS, pursuant to Resolution No. 7478 adopted on
January 25, 2000, the City of Vernon approved entering into a License
Agreement with COLA to gain access to information provided by GIS; and
WHEREAS, under the terms and conditions of the License
Agreement with COLA, the City is required to assure that any
independent contractor which is granted access to the Product, such as

CBA, shall be informed of, and shall agree to adhere to, the terms of
the Confidentiality and Nondisclosure Agreement which is set forth as
Exhibit "B" to the License Agreement; and
WHEREAS, CBA and the City of Vernon desire to amend their
Agreement to comply with the terms and conditions of the License
Agreement pertaining to confidentiality and nondisclosure; and
WHEREAS, Samuel "Kevin" Wilson, Director of Community
Services & Water, by memo dated January 20, 2000, has recommended to
the City Administrator/City Clerk that the Agreement with CBA be
amended to includetheconfidentiality and nondisclosure language
required by COLA.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Amendment No. One to Agreement for Professional
Consulting Services, a copy of which has been presented to the City
Council concurrently with this resolution, and the City Council hereby
orders said Amendment No. One to be received and filed by the City
Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Amendment No.
One for, and on behalf of, the City of Vernon.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
