A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON AUTHORIZING THE ISSUANCE OF A REQUEST FOR
PROPOSALS FOR CONSTRUCTION AND MAINTENANCE SERVICES
FOR THE CITY'S MUNICIPAL GAS SYSTEM
WHEREAS, the City is constructing a Gas Distribution System
which, when completed, will be capable of serving all customers within
the City; and
WHEREAS, the City is interested'in obtaining proposals for
construction, maintenance and operation services for the Gas System
and
WHEREAS, the City Council does not intend to award the
contract(s) based upon the lowest responsible bidder, but will instead
analyze completely the proposals requested and will, based upon all
aspects of the proposals, including, but not limited to, the amount of
the bid and qualifications of the bidder, select appropriate
candidates for negotiation and appropriate contract(s) for the above -
referenced construction and maintenance services.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The Request for Proposals for Construction and
Maintenance Services for the City's Municipal Gas System, is hereby
approved and accepted by the City Council of the City of Vernon.
SECTION 3: The City Clerk of the City of Vernon is hereby
directed to file in his office at the City Hall of the City of Vernon

I a copy of said Request for Proposals.
2 SECTION 4: The City Clerk of the City of Vernon, or his
3 designee, is hereby directed to give notice, in writing, inviting
4 sealed proposals or bids for Construction and Maintenance Services for
5 the City's Municipal Gas System, in accordance with the Request for
6 Proposals and in accordance with this resolution.
7 SECTION 5: There being no newspaper of general circulation
8 printed, published or circulated in the City of Vernon, the City Clerk
9 is hereby directed to post said notice, or to cause the same to be
10 posted, in three of the most public places in the City of Vernon, to
11 wit: the northwest corner of 38th Street and Santa Fe Avenue, the
12 northeast corner of Leonis Boulevard and Pacific Boulevard, and on the
13 bulletin board in the lobby of the City Hall of the City of Vernon,
14 located at 4305 Santa Fe Avenue, in said City.
15 SECTION 6: The City Clerk of the City of Vernon is hereby
16 directed to post said notice forthwith and the first posting of said
17 notice shall not be less than ten (10) days before the opening of the
18 bids for the proposed contract. Said notice shall provide that sealed
19 proposals or bids will be received by the City of Vernon at the office
20 of the City Clerk of the City, at the City Hall, 4305 Santa Fe Avenue,
21 Vernon, CA 90058, until the hour of 2:00 p.m. on the 29th day of
22 February, 2000.

A. NOTICE INVITING SEALED PROPOSALS (BIDS)
NOTICE IS HEREBY GIVEN that the City of Vernon, (hereafter "City") invites and will
receive sealed proposals (bids) up to the hour of two (2) o'clock p.m. on February 29, 2000 for
the furnishing to said City of all transportation, equipment, materials, supplies and services
necessary for Construction and Maintenance Services related to the City's Gas Distribution
System. Proposals (bids) shall be submitted to:

Clerk. Said bids shall conform to and be responsive to the Bid Documents for said work as

responsible bidder. The City Staff and the Council of the City of Vernon will analyze
completely the proposals received and will, based upon all aspects of the proposals, including,
but not limited to, the amount of the bid and the qualifications of the bidder, select appropriate
candidates for negotiation of an appropriate contract(s) for the above -referenced construction and
maintenance services. The City Council of the City of Vernon reserves the right to reject any
and all bids either before or after negotiations are completed.

B. INFORMATION FOR BIDDERS
1. General
The work hereunder must be done in strict conformity with the plans and
specifications adopted and approved by the City.
2. Bid Documents
(a) The Bid Documents shall consist of the following:

(b) The City Council does not intend to award the contract(s) based solely
upon the lowest responsible bidder. The City Staff and the City
Council of the City of Vernon will analyze completely the proposals
received and will, based upon all aspects of the proposals, including,
but not limited to, the amount of the bid and the qualifications of the
bidder, select appropriate candidates for negotiation of an appropriate
contact(s) for the above -referenced construction and maintenance
services. The City Council of the City of Vernon reserves the right to
waive any and all irregularities in any bids, and to reject any and all
bids either before or after negotiations are complete.
3. License
Each bid must contain evidence of Bidder's qualifications to do business in the
State of California or covenant to obtain such qualification prior to
commencement of negotiations.
4. Proposals
(a) Bids to receive consideration shall be made in accordance with the
following instructions:
(1) Bids shall be made upon the form of proposal furnished by the
City and a part of the Bid Documents. All bids shall be properly
executed and with all items filled in; numbers shall be stated
both in writing and in figures; the signatures of all persons
signing shall be in longhand. Erasures, interlineations or other
corrections shall be authenticated by affixing next to the
correction or in the margin immediately adjacent thereto the

initial of the signator to the bid. If words and figures do not
agree, the words shall govern and the figures shall be
disregarded. If the unit price and the total amount named by a
bidder for any item are not in agreement, the unit price alone
shall be considered as representing the bidder's intention, and
the totals shall be corrected to conform thereto.
(2) Persons bidding must submit bids on: a) all of the schedules
set forth in the bid form, or b) items 1 through 5 inclusive, or c)
items 6 through 8 inclusive.
(3) Bids shall not contain any recapitulation of the work to be done.
Alternative proposals may be considered at the sole discretion
of the City of Vernon.
(b) Before submitting a bid, bidders shall carefully examine the source test
protocol, read the specifications, read all other Bid Documents, shall
visit the site of the work, shall be fully informed as to all the existing
conditions and limitations, and shall specify in the bid the amounts to
cover the cost of all items included in the Request for Proposal. No
allowance will be made because of lack of such examination or
knowledge.
(c) Bids shall be sealed in an envelope marked:

Bids shall be addressed to the City Clerk of the City of Vernon, and
shall be delivered thereto on or before the day and hour for the opening
of bids as set in the Notice Inviting Sealed Proposals (Bids), and shall
bear the name of the bidder. It is the SOLE responsibility of the bidder
to see that the bid is delivered and received in proper time. Any bid
received after that scheduled closing time for receipt of bids shall be
returned to the bidder unopened.
(a) The City shall take approximately sixty (60) days after the opening of
the bids within which to identify those candidates with whom the City
will commence negotiation of a contract(s) for the Gas Distribution
Construction and Maintenance Services, or to reject all bids.
5. Agreement and Bonds
The form of Contract which the candidate(s) who are selected as the
contractor(s) after the negotiation process, if any, will be required to execute,
will contain, but not be limited to, the following provisions/requirements:

(a) Insurance
Prior to commencing work, the Contractor shall provide the City with
proof of insurance naming the City and its consultants and each of its
directors, officers, agents, and employees as additional -named insureds
on a policy or policies of insurance providing and maintaining the
coverages set forth in the Insurance Schedule attached hereto as
Attachment 1. Said proof of insurance shall also provide that said
policy or policies shall not be canceled or materially reduced without
giving at least 30 days prior written notice to the City. Since the
standard certificate of insurance by its terms does not constitute proof
of insurance, as indicated on the Insurance Schedule either a copy of
the policy or a notarized letter from the insurance underwriter or carrier
verifying the coverage is required.
(b) Indemnification
The Contractor shall indemnify, protect, defend, and hold harmless the
City and its consultants, and each of its directors, officers, agents, and
employees from and against any and all claims, demands, losses,
damages, liabilities, fines, charges, penalties, orders, judgments, and all
costs and expenses incurred in connection therewith, including
reasonable attorney's fees and costs of defense arising, directly or
indirectly, in whole or in part, out of the services performed under the
Agreement, except to the extent arising from or caused by the sole
active negligence or willful misconduct of the City, its officers, agents,
or employees.
(c) Bond Forms and Insurance Requirements
Contractor shall furnish a Workers' Compensation Certificate in
substantially the form shown in Attachment 2 herein and shall give
both a Performance Bond and a Labor and Material Payment Bond on
the forms enclosed as Attachments 3 and 4.
6. Selection for Negotiation or Rejection of Bids
The City Council does not intend to award the contract(s) based solely upon
the lowest responsible bidder. The City Staff and City Council will analyze
each proposal completely and, based upon all aspects of the proposal, shall
select appropriate candidates for negotiations. The Contract(s) will be
awarded to the Contractor(s) that in the City's judgment, after the completion
of negotiations, can best perform the scope of services described herein. The
City reserves the right to waive any informality in bids received, or to reject
any and all bids either before or after regulations.

7. Bidders Interested in More Than One Bid
No person, firm or corporationshall be allowed to make or file, or be
interested in more than one bid for the same work, unless alternative bids are
called for. A person, firm or corporation submitting a subproposal to a bidder,
or who has quoted prices on material to a bidder, is not thereby disqualified
from submitting a subproposal or quoting prices to other bidders.
Before award of the Contract(s), any bidder upon request shall furnish a
recent statement of his financial condition and previous construction
experience or such other evidence of his qualifications, as may be required by
the City.
8. Preliminary Estimate
The preliminary estimate of quantities of work to be done and materials to be
furnished are approximately as shown in the Bid Documents, and are given as
a basis for the comparison of 'bids; the City does not expressly or by
implication agree that the actual amount of work will correspond therewith
but reserves the right to increase or decrease the quantity of any item or
portion of the work or to omit portions of the work that may be deemed
necessary or expedient by the City. The bidder shall not at any time after the
submission of the bid have any claim for damages as a result of lowering of
anticipated profits or the loss of profits because of any difference between the
quantities of work actually done and those sated in the bidding sheets.
Bidders are cautioned against unbalancing their bid by including more than a
pro-rata share of the overhead and profit in any bid item. Each bid item
should be priced to carry its pro-rata share of the cost, overhead and profit.
9. Alternate Materials
Attention is called to those portions of the specifications that allow alternate
materials. A separate schedule is provided for each alternate material allowed.
Bids will be compiled for each schedule. The final decision as to which
schedule shall be used for construction will be made by the City. Materials
and/or equipment other than those specifically called for in these documents
must be listed in the bid form along with material and/or equipment for which
they have been substituted. The installed price for such items must also be
listed.

PROJECT DESCRIPTION
This project consists of connecting residential, commercial and industrial customers to the
City of Vernon's natural gas distribution system and providing maintenance and all other
required services to ensure safe reliable operation of the City's gas distribution system, all as
more fully described within the scope of services.
Background
The City of Vernon is constructing a natural gas distribution system that, when complete,
will include approximately 44 miles of 6-inch diameter medium density polyethylene gas pipe
and 6 miles of 10-inch diameter steel pipe. The City intends to operate a natural gas
distribution utility, providing service to the approximately 900 business sites located in
Vernon. Initial operation is anticipated to begin September 1, 2000. Several of the tasks
within the Scope of Services must be underway and/or completed before the scheduled date
of initial operation.
The Vernon Gas Utility will operate its system at nominal pressures of 300 psig and 45 psig.
Two district regulator stations will feed the 45 psig distribution main network from a 300
psig distribution feeder main.
Scope of Services
CONSTRUCTION SERVICES
1. Perform initial purge and gas -up of the 45 psig and 300 psig distribution systems.
2. Perform initial leak detection survey.
3. Adjust and calibrate the two district regulator stations.
4. Install service taps from 45 psig and 300 psig distribution mains and install service
extensions from the taps to customer facilities.
5. Install meters, meter -set assemblies, including cathodic protection, as necessary.
6. Construct distribution main extensions in accordance with approved plans to include:
a. All necessary trenching or boring.
b. Installation of steel or plastic pipe.
C. Electro-fusion or welding of joints, fittings and taps.
d. Installation of valves as required.

e. Installation of regulating stations as required.
f. Cathodic protection as may be required.
7. Repair of all streets and other surface improvements necessitated by Construction
Services work.
8. Prepare monthly, weekly and daily work plans for approval. Plans are to include
assignment of people, vehicles, and equipment. Plans should forecast usage of needed
material and should identify all potential problem areas or conflicts.
9. Procure and maintain sufficient construction materials, supplies and equipment to
perform all construction projects.
MAINTENANCE SERVICES
1. Prepare annual maintenance plan for approval by the City of Vernon.
2. Maintain all gas distribution system components in accordance with the approved
maintenance plan to include, but not limited to:
a. Distribution mains
b. Service extensions
C. Meters, meter set assemblies
d. Regulating stations
e. Valves
f. Cathodic protection
3. Prepare monthly, weekly and daily work plans for approval. Plans are to include
assignment of people, vehicles, and equipment. Plans should forecast usage of needed
material and should identify all potential problem areas or conflicts.
4. Procure and maintain sufficient construction materials, supplies and equipment to
perform all required maintenance work.
5. Provide sufficient dedicated employees to insure workforce continuity.
6. Provide annual leak detection services as required by the Natural Gas Pipeline Safety
Act.
7. Comply with all federal and state safety requirements including, but not limited to the
Federal Pipeline Safety Regulations (49 CFR, Parts 190, 191, 192 and 199) and
California Public Utilities Commission General Order 112E.
8. Provide 24-hour emergency response.
9. Provide behind -the -meter services such as turn -on, adjustment, and calibration of
residential, commercial and industrial appliances.

Transmitted herewith is a copy of Resolution No. 7480. This
matter is different than usual requirements to go out to bid or
Public Work Contracts. When I reviewed the draft resolution and
spoke with our City Attorney, he advised that the Utilities
Department was responsible for preparing the Notice for the
Request for Proposals. Please keep in mind that the "Notice
must be posted ten days before the opening of the RFP.
