RESOLUTION NO. 7499
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
NON -BINDING LETTER OF INTENT TO PROMOTE BUSINESS
COMMUNICATION AND COOPERATION AMONG THE BUSINESSES
LOCATED IN THE MUNICIPAL CITY OF YUCHENG, SHANDONG
PROVINCE, CHINA, THE CITY OF VERNON, CALIFORNIA AND
THE REDEVELOPMENT AGENCY OF THE CITY OF VERNON,
CALIFORNIA
WHEREAS, representatives from the City of Vernon ("Vernon")
and the City of Vernon Redevelopment Agency ("Agency") met with
representatives of the Municipal City of Yucheng, Shandong Province,
China ("Yucheng") in September of 1999 in Shanghai to develop
communications among business located in Yucheng and businesses
located in Vernon; and
WHEREAS, representatives from Yucheng met with
representatives from the Vernon Chamber of Commerce ("Chamber"),
Vernon, the Agency and local businesses on February 10, 2000, to
promote communication and cooperation in order to develop business
relationships between business in Yucheng and businesses in Vernon;
and
WHEREAS, Yucheng, Vernon and the Agency desire to enter into
a non -binding Letter of Intent to promote cooperation and
communication between businesses in Yucheng and businesses in Vernon.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.

SECTION 2: The City Council of the City of Vernon hereby
approves the Letter of Intent, a copy of which has been presented to
the City Council concurrently with this resolution, and the City
Council hereby orders said Letter of Intent to be received and filed
by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Letter of
Intent for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
APPROVED AND ADOPTED this 15th day of February, 2000.

LETTER OF INTENT TO PROMOTE BUSINESS COOPERATION
WHEREAS, the City of Vernon ("Vernon") and the City of
Vernon's Redevelo nt Agency ("Agency") are located in California and
represent approximately 1,400 businesses in an exclusively industrial
(community; and
WHEREAS, the businesses located in Vernon manufacture textile
clothing, meat processing, food processing, and various items in
diversified fields; and
WHEREAS, the Agency, in partnership with the City of Vernon's
Chamber of Commerce ("Chamber"), have jointly sponsored business
investment seminars and trade shows in China, as well as various other
11ocations in Asia; and
WHEREAS, Vernon and its Agency are desirous of promoting trade
relations with businesses in China; and
WHEREAS, the municipal City of Yucheng, located in Shandong
JProvince, China, ("Yucheng") contains many businesses which provide a
(vibrant economic atmosphere and which Yucheng desires to encourage
(further economic development in its area; and
WHEREAS, the businesses located within Yucheng, manufacture
textile fabrics, meat processing, food processing, corn -based and
maize -based manufacturing products, such as sugar substitutes, and
1products in diversified fields; and
1 WHEREAS, Yucheng desires to cooperate with Vernon and the
2 Agency in order to develop cooperation between the businesses located

in Yucheng and the businesses located in Vernon.

NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
5
6 FORTH HEREIN:
7 SECTION 1. EFFECTIVE DATE.
8 This Agreement shall be effective on the latest date of
9 execution by either party.

SECTION 2. AGREEMENT.

A. The City and Agency hereby agree to communicate to its
12
13 industries the availability of business cooperation with the businesses
14 located in Yucheng and will assist in developing a broad based alliance
15 to assist the Vernon businesses and the Yucheng businesses to cooperate
16 on business matters on a commercially acceptable basis for the
17
respective businesses located in each community.

19 B. Yucheng hereby agrees to communicate to its industries the
20 availability of business cooperation with the businesses located in
21 Vernon and will assist in developing a broad based alliance to assist
22 the Yucheng businesses and the Vernon businesses to cooperate on'
23 business matters on a commercially acceptable basis for the respective
24
businesses located in each community.

SECTION 3. AREAS OF COOPERATION.

27 A. The import and export of products manufactured in each
28 area and assistance in developing trade leads and identifying product

1 sourcing and marketing opportunities.
2 B. The promotion, development and assistance to promote by-'

lateral investment where commercially viable.
4
C. The facilitation of technical cooperation in various
5
6 manufacturing processes and encouraging the development of joint
7 venture arrangements which are commercially viable for the businesses
8 located in each area.
9 D. Vernon and Yucheng representatives agree to continue to
10
communicate with each other and to attempt to develop opportunities for
11
the exchange of information and assistance to the businesses located in
12
13 their respective areas.
14 SECTION 4. EXECUTION.
15 The parties representatives have executed this Letter of
16 Intent as indicated below and have agreed to use their best efforts to
17
promote this cooperative arrangement in order to provide economic
18
benefits for the business communities located in their respective
19
20 areas.
