A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF VERNON GRANTING A VARIANCE TO
SHAHPOUR, MADOKHT, RAMIN, & HILDA HAKIM
FROM SECTION 26.4.2-8(C), DEVELOPMENT
STANDARDS, 'OF THE COMPREHENSIVE ZONING
ORDINANCE, FOR THE PROPERTY LOCATED AT
4255 DISTRICT BOULEVARD IN THE CITY OF
VERNON
WHEREAS, the Shahpour, Madokht, Ramin, & Hilda Hakim
currently own the property located at 4255 District Boulevard in
the City of Vernon (hereinafter referred to as "the property")
and is requesting a partial variance from Section 26.4.2-8(c),
Development Standards, of the Comprehensive Zoning Ordinance
("Zoning Ordinance"); and
WHEREAS, the property is located in the M-Zone; and
WHEREAS, although the property is currently occupied
by the applicant and will continue to be used for warehousing
and distribution which is consistent with the objectives of the
General Plan and Zoning Ordinance; and
WHEREAS, the applicant leases 1,500 square feet of
their building to Toby Egg for the distribution and wholesaling
of eggs; and
WHEREAS, Toby Egg will be notified of all the
restrictions of this variance; and
WHEREAS, the applicant has indicated that they have
not and do not propose to perform any structural alterations to
their facility which would consequently required them to come
into compliance with the frontage improvement requirements of
the current Comprehensive Zoning Ordinance; and

1 WHEREAS, the existing building on the property
2 measures approximately 17,000 square feet, and was constructed
3 with six (6) truck loading spaces, four (4) of which are
4 conforming and two (2) of which are non -conforming spaces; and
5 WHEREAS, the two (2) non -conforming truck loading
6 spaces face the rear of the facility; and
7 WHEREAS, the two (2) non -conforming truck loading
8 spaces measure ten (10) feet in width and 39.8 feet in length;
9 and
10 WHEREAS, Section 26.4.2-7 (b) of the Zoning Ordinance
11 requires two (2) truck loading spaces for buildings with a gross
12 floor area of between 8,001 and 25,000 square feet in size; and
13 WHEREAS, Section 26.4.2-8(c) of the Zoning Ordinance
14 specifies that each truck loading space shall be a minimum of
15 ten (10.) feet wide, sixty-five (65) feet long, and fifteen (15)
16 feet in height; and
17 WHEREAS, Section 26.4.6-4 (c) of the Zoning Ordinance
18 provides, in part, that a non -conforming building must comply
19 with these standards at the time of any changes in use,
20 occupancy, expansion, structural alteration of the building or
21 within five years of April 18, 1989 whichever occurs first
22 unless a variance is granted; and
23 WHEREAS, Shahpour, Madokht, Ramin, & Hilda Hakim have
24 stated that the two (2) non -conforming truck loading spaces
25 facing Maywood Avenue will be limited to trucks of 39.8 feet in
26 length or less and which will not extend into the Master Plan of
27 Street Widths dated June 16, 1992; and

WHEREAS, the Shahpour, Madokht, Ramin, & Hilda Hakim
have requested permission to use two (2) non -conforming truck
loading spaces on the property until August 19, 2009 and for a
limited purpose; and
WHEREAS, pursuant to Section 26.4.E-4(d), the City
Council may relieve an occupant of all or part of the provisions
of the off-street parking, access and loading requirements of
this ordinance; and
WHEREAS, strict application of the loading
requirements of Section 26.4 of the Zoning Ordinance would
require Shahpour, Madokht, Ramin, & Hilda Hakim to demolish a
significant portion of their building thus creating an
unreasonable financial hardship; and
WHEREAS, the existing use does not and will not
adversely affect the surrounding area because the site has
historically been used for warehousing and distribution; and
WHEREAS, Shahpour, Madokht, Ramin, & Hilda Hakim has
complied with the loading area requirements specified in this
Ordinance for the four complying truck loading spaces and has
agreed to use shorter trucks in the non -conforming truck loading
fronting Maywood Avenue to ensure that vehicles will not extend
into the street right-of-way; and
WHEREAS, Shahpour, Madokht, Ramin, & Hilda Hakim's use
of shorter trucks will not require as much space as required and
will reduce the congestion in the area; and
WHEREAS, with approval of the variance the property
will have the minimum number of truck loading spaces as required

by Section 26.4.2-7(b) of the Zoning Ordinance which will
conform to the requirements of Section 26.4.2-8(c); and
WHEREAS, the City Council has received a Staff Report
dated April 5, 2000, upon which it has relied in making the
foregoing recitals; and
WHEREAS, the City Council of the City of Vernon held a
hearing on said application for a variance on April 18, 2000;
and
WHEREAS, the strict application of the off-street
parking, access and loading requirements of the ordinance
creates an unreasonable hardship; and
WHEREAS, the existing use does and will not adversely
affect the surrounding area; and
WHEREAS, the use does not require the number of
spaces and/or area specified by this ordinance.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon
hereby finds and determines that the recitals contained herein -
above are true and correct.
SECTION 2: A variance from Section 26.4.2-8(c) of the
Comprehensive Zoning Ordinance, requiring all truck loading
spaces to be ten (10) feet wide by sixty-five (65) feet long, is
hereby granted for a portion of the property located at 4255
District Boulevard, specifically the two (2) non -conforming
truck loading spaces facing Maywood Avenue.
SECTION 3: The variance granted is subject to the
following conditions:

5 shall be limited so that no truck parked at or using the loading
6 docks shall extend into the street right-of-way and shown on the

10 debris, and prevent the off -site migration of debris.
11 4. This variance shall automatically expire at the time of
12 any expansion or structural alteration of the building, or on
13 August 19, 2009, whichever occurs first, at which time the use
14 of the parking, access or loading area(s) allowed by this
15 variance shall be discontinued unless brought into compliance
16 with all applicable standards for parking, access and loading
17 areas set forth in the Comprehensive Zoning Ordinance. It is
18 the intent of the City Council that said parking, access or
19 loading area(s) be treated in the same manner as a legal
20 nonconforming use subject to Section 26.4.E-4(b).

5. All existing and future tenants shall be notified of

23 these restrictions and a condition stating this shall be placed
24 in all future leases.
25 SECTION 4: Noncompliance with these conditions shall
26 constitute sufficient grounds for the City Council of the City
27 of Vernon to void this variance and require the application of

VARIANCE APPLICATION
April 5, 2000
The owners of the property, located at 4255 District
Boulevard in the City of Vernon, Shahpour, Madokht, Ramin,
& Hilda Hakim, have requested a variance from the
Comprehensive Zoning Ordinance Section 26.4.2-8(c),
Development Standards. The owners also occupy the property
under the name Three Star Im/Ex, Inc. ("Three Star").
The building that they occupy was constructed with
four (4) conforming truck loading spaces and two (2) non-
conforming truck loading spaces measuring 10.0 feet in
width and 39.8 feet in length. They have stated that only
vehicles of smaller lengths will be used at the two (2)
non -conforming truck loading spaces. The building is used
for warehouse, distribution and is approximately 17,000
square feet in size.
The building at 4255 District Boulevard was previously
occupied by Produce Management Service. Produce Management
Service had obtained a variance for this property on
November 1, 1994. The variance was granted with the
condition that the usage of the non -conforming loading
spaces be limited so that no truck parked at the loading

docks shall extend into the right-of-way as shown on the
Master Plan of Streets, dated June 16, 1992.
The current owners/occupants also lease 1,500 square
feet of their building to Toby Egg. Toby Egg shares the
truck loading docks with the applicant for the distribution
and wholesale of eggs. The owners have told Toby Egg not
to park large vehicles on the loading dock. Upon approval
of this variance, Toby Egg will also be made aware of the
conditions of approval and be subject to its terms.
When the previous occupant, Produce Management
Service, vacated the facility, the variance expired.
Therefore, a new variance is required. According to
Section 26.4.E-4(d), the City Council may, under certain
circumstances, relieve the occupant of all or part of the
provisions of the off-street parking, access and loading
requirements of this chapter.
Staff finds the following to be true:
a) As previously mentioned the applicant's building
was built with six (6) truck loading spaces. Two (2) of
the six (6) truck loading spaces are currently considered
non -conforming. For the building to conform with the
current Comprehensive Zoning Ordinance, a significant
portion of the building would need to be demolished. The
strict application of the off-street parking, access and

loading requirements of the ordinance at this time would
cause an unreasonable hardship to the applicant.
b) This building has been used for warehousing and
distributing in the past and despite a change in occupancy,
it continues to be used for the same purpose.
Consequently, the existing use does not and will not
adversely affect the surrounding area.
c) As previously mentioned, the applicant has stated
that only vehicles of smaller lengths will be used at the
shorter non -conforming truck loading spaces to ensure that
vehicles will not extend into the street right-of-way while
in the loading space. As long as the applicant complies
with this condition, the variance will be consistent with
the objectives of the Comprehensive Zoning Ordinance and
the General Plan and the use will not require the area
specified by this Ordinance.
Section 26.4.2-7 (b) requires two truck loading spaces
for buildings with a gross floor area of between 8,001 and
25,000 square feet in size. Section 26.4.2-7 (c) of the
Comprehensive Zoning Ordinance specifies that each loading
space shall be a minimum of 10 feet wide and 65 feet long
and Section 26.4.6-4 (c) provides that a non -conforming
building must comply with these standards within five years
of April 18, 1989 unless a variance is granted. As

previously stated, a variance had been granted to PMS
Produce.
The applicant has indicated that requiring the non-
conforming truck loading spaces to be 65 feet long by 10
feet wide would be a hardship. They have also indicated
that they have no plans for expansion or alteration of the
building configuration. The operation is in conformance
with the Zoning Ordinance and General Plan. Therefore, it
is recommended that the variance be granted with the
following conditions:
1. The applicant shall maintain a minimum of four (4)
conforming truck loading spaces on the property.
2. The usage of the non -conforming truck loading spaces
shall be limited so that no truck parked at or using
the loading docks shall extend into the street right-
of-way and shown on the Master Plan of Streets, dated
June 16, 1992.
3. The applicant shall maintain the yard clean, free of
debris, and prevent the off -site migration of debris.
4. All existing and future tenants shall be notified of
these restrictions and a condition stating this shall

Dear Ms. Davis & Ms. Benjamin:
This letter shall serve as escrow instructions from California Statewide Certified
Development Corporation in connection with the above -referenced escrow.
Please read this letter carefully as there are some unusual aspects of SBA financing,
the most obvious of which, is our need for receiut in this office of conformed copies of
recorded documents and an ALTA lenders' policy, Julv 30.1999. This is approximately
one and one-half months before the loan is funded.
Please make sure the original title policy is sent to offic and not to the SBA.
The borrower is to be charged with all expenses incurred in connection with this
escrow.

Please immediately obtain and fax to me a preliminary report, a copy of the final
settlement statement from the purchase escrow, and wiring instructions for wiring the
funds to pay off the Bank's second deed of trust. In addition, please supply me with copies of
any C&R's or other unusual items that may be exceptions to our lien.
Also, prepare a Deed of Trust and Assignment of Rents, which must contain a due -on -
sale clause as set forth below, AND the following Iangyaage:
'The Loan secured by this lien was made under a United States Small Business Administration
(SBA) nationwide program which uses tax dollars to assist small business owners. If the United
States is seeking to enforce this document, then under SBA regulations:

a) When SBA is the holder of the Note, this document and all documents evidencing or
securing this loan will be construed in accordance with federal law.
b) CDC or SBA may use local or state procedures for purposes such as filing papers, recording
documents, giving notice, foreclosing liens, and other purposes. By using these procedures,
SBA does not waive any federal immunity from local or state control, penalty, tax or
liability. No Borrower or Guarantor may claim or assert against SBA any local or state law
to deny any obligation of Borrower, or defeat any claim of SBA with respect to this Loan.
Any clause in this document requiring arbitration is not enforceable when SBA is the holder of
the Note secured by this instrument."
Additionally, the Deed of Trust must be prepared with the following information:
1. Date the Deed of Trust July 16, 1999. The Deed of Trust and other documents
must be recorded concurrently with the deeds of trust and other documents to be
recorded by California Center Bank.

"In the event of sale or transfer of all or any portion of the property described
herein, all sums remaining unpaid under the note secured by this Deed of Trust
shall become immediately due and payable at the election of the beneficiary
herein and notice of such election is hereby waived."

assigning the Deed of Trust from California Statewide Certified Development Corporation to
the U.S. Small Business Administration. Please be certain to reference the trustee's name and
the recording information from the SBA deed of trust and attach the legal description as
Exhibit "A".
Please complete the enclosed executed Requests for Notice of Default. There are two
Requests for each of the Bank's prior deeds of trust, with one notice for each going to the SBA
and one for each to California Statewide Certified Development Corporation. When you
receive them, please fill in the trustee's name and the recording information from the Bank's
deeds of trust and attach the legal description as Exhibit "A".
If, at any time prior to the recording of our documents, you discover that there
will be prior leases to which our deed of trust will be subject, contact my office
immediately so we can prepare subordination agreements.
Also, have the Borrower (Shahpour Hakim, Mandokht Hakim, Hilda Hakim and
Ramin Hakim) and the Operating Company (Three Star Import & Export, Inc.) execute the
enclosed Memorandum of Lease as appropriate. Also, please attach a property description
as "Exhibit 'A"' to it. The Memorandum needs to be completed with information from a lease
with Shahpour Hakim, Mandokht Hakim, Hilda Hakim and Ramin Hakim as Landlord/Lessor
and Three Star Import & Export, Inc. as Tenant/Lessee. This lease must have a term of at least
twenty (20) years, including options, through at least September 1, 2019. If there are no
options, please type "none" on that line. When you call the Borrower, please ask them to bring
a copy of the lease with them so they can complete the Memorandum and so you can check
it. This Lease must be subordinate to the Deed of Trust and Assignment of Deed of Trust, as
well as any other security interest in favor of the Beneficiary on the property securing the loan.
When the Deed of Trust is completed, please call Ramin Hakim at (310) 329-8000,
and instruct the Trustors to come to your office to execute it and the other documents in time
for the recording.
The SBA financing is initiated by the sale of a debenture, in this case on September
15, 1999. TM money should arrive in your escrow account that day and we expect the close
of escrow to occur by the next business day, if possible.
At the time of funding, estimated to be on September 15, 1999, funds in the amount
of $306,250.00 will be wired by Colson Services Corporation in New York to your escrow
account. Please note the amount coming into escrow and calculate the amount needed to close
as soon after you get the California Center Bank's demand as is possible. I request this as there
is sometimes a shortfall and it is helpful to notify the Borrower well in advance of the funding
so they can have time to cover it.
The difference between the loan amount ($317,000.00) and the proceeds coming into
the escrow ($306,250.00) is deducted and paid outside of escrow.

OUR INSTRUCTIONS ARE AS FOLLOWS:
Immediately. upon your receipt of the executed Deed of Trust in favor of
California Statewide Certified Development Corporation and the Assignment of Deed
of Trust in favor of the Small Business Administration:
1 . Record the above -referenced Deed of Trust and Assignment of Rents and
Assignment of Deed of Trust, concurrently with and subject to, a prior lien held by California
Center Bank in the approximate amount of $437,500.00 and a prior lien held by California
Center Bank in the approximate amount of $306,250.00.
2. Record the four Requests for Notice of Default and the Memorandum of
Lease/Subordination Agreement.
3. Provide this office with a conformed copy of the recorded documents and a
conformed copy of the settlement statement from the purchase escrow.
4. Immediately issue an ALTA Policy of Title Insurance in the amount of
$317,000.00, naming the U. S. Small Business Administration as the insured subject only
to the prior lien held by California Center Bank in the approximate amount of $437,500.00 and
a prior lien held by California Center Bank in the approximate amount of $306,250.00 and
current taxes and subject to no mechanic's, contractor's, or other liens. Please include
endorsement numbers 100, 116 and 110.1 evidencing the deletion of paragraph 10
"Liability Noncumulative" from the ALTA standard. Dre-Drinted Conditions and
Stipulations in the title policy. Please send the title policy by overnight service to this office
so that I have it no later than July 30.1999.
I must have the conformed copies, settlement statement and the title policy no later
than July 30,1999.
When the funds arrive from Colson Services (approximately September 15, 1999):
5. Obtain a 110.1 endorsement of the ALTA Policy of Title Insurance described in
paragraph 4, evidencing the deletion of the current second deed of trust in favor of California
Center Bank (in the principal amount of $306,250.00). Send the original of that
endorsement to me at my Lafayette, CA office. When you send the endorsement, 1p ease
note the Borrower's name on the reference line of your transmittal letter. We are not set up to
easily put these in the correct file when only the title number is referenced. I must have this
endorsement no later than the last weekday of September 1999.
6. When you are able to record a full reconveyance of the Second Deed of Trust in
favor of California Center Bank, to disburse the funds referenced in the following paragraph
and to issue your endorsement as described in paragraph 5, above, you are authorized to
disburse the proceeds of the SBA loan, net of costs of and demands on this escrow, to

California Center Bank.
Please be certain that there will be no delay in paying the demand of California Center
Bank and recording the full reconveyance of the Second Deed of Trust of California Center
Bank immediately upon your receipt of the SBA funds. The Borrower is responsible for
interest on the SBA loan from the date of the debenture sale. Thus, they are paying interest
both on the SBA loan and the interim financing until the interim loan is paid, and it is
obviously important that the disbursement not be delayed. If, for any reason, the second
deed of trust in favor of California Center Bank has not been reconveyed within five (5)

This memorandum of lease is made between Shahpour Hakim, Mandokht Hakim, Hilda Hakim and
Ramin Hakim ("Lessor/Landlord") and Three Star Import & Export, Inc. ("Lessee/Tenant"), who agree as
follows:
1. Term and Premises. Landlord leases to Tenant, and Tenant leases from Landlord, the real property

commencing June 1, 1999, and ending on May 30, 20 20 including —No options, on the provisions of the lease

Enclosed herewith for your information is a Notice of Public. Hearing to consider an
application for variance for the property at 4255 District Boulevard in the City of Vernon. The
applicants, Shahpaur, Madokht, Ramin, & Hilda Hakim are requesting a variance from Section
26.4.2-8(c), Development Standards, o� the Comprehensive Zoning Ordinance to allow the use of
two (2) non -conforming truck loading spaces. The non -conforming truck loading spaces face
Maywood Avenue and measure 10.0 feet in width. and 39.8 feet in length. The current
Comprehensive Zoning Ordinance requires truck loading spaces to be ten (10) feet in width and
sixty five (65) feet in length. A variance is requested to utilize these spaces with the condition
that the loading spaces will be restricted for trucks that do not extend into the public right-of-way.
A copy of the application and supporting evidence is available for public review at my
office between the hours of 7:15 a.m. and 5:15 p.m. Monday through Thursday.
You are welcome to attend the meeting on April 18, 2000 or to send written comments
prior to the meeting if you so desire.
This notice is intended for interested parties or property owners within the project area.
