A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
3 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
LETTER OF INTENT TO PROMOTE BUSINESS COOPERATION BY
4 AND BETWEEN THE CITY OF VERNON, THE REDEVELOPMENT
AGENCY OF THE CITY OF VERNON AND THE YANGPU
5 DISTRICT, SHANGHAI, CHINA

7 WHEREAS, representatives from the Redevelopment Agency of the
8 City of Vernon ("Agency") visited with representatives from the Yangpu
9 District of Shanghai during the September 1999 trade show and
10 investment seminar held in Shanghai and were able to visit two
11 businesses in the District, one specializing in apparel and the other
12 specializing in high-tech research in human genes; and
13 WHEREAS, the Yangpu District of Shanghai, one of seven
14 districts in Shanghai, contains old line industrial concerns as well
15 as some modern businesses, in addition to thirteen (13) universities
16 and research centers; and
17 WHEREAS, representatives from the Agency visited with
18 representatives of the Yangpu District and the Yangpu International
19 Chamber of Commerce in March 2000 wherein a cooperation agreement was
20 drafted to encourage businesses from both areas to cooperate with each
21 other and explore areas for improvedeconomicrelations and for
22 investment in trade; and
23 WHEREAS, representatives from the Yangpu District are
24 intending to meet with representatives from the Vernon Chamber of
25 Commerce ("Chamber"), Vernon, the Agency and local businesses on or
26 about April 20, 2000, to promote the cooperation agreement; and
27 WHEREAS, the Yangpu District, Vernon and the Agency desire to
28 enter into a Letter of Intent to promote business cooperation and

communication between businesses in Yangpu District and businesses in
Vernon; and
WHEREAS, the Letter of Intent will contribute to the
redevelopment program for Vernon, will contribute to the redevelopment
of the project area, and will benefit the health, safety, and public
welfare of Vernon.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Letter of Intent to Promote Business Cooperation, a copy
of which has been presented to the City Council concurrently with this
resolution, and the City Council hereby orders said Letter of Intent
to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Letter of
Intent for, and on behalf of, the City of Vernon.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.

9 out the California Community Redevelopment Law (Health & Safety Code
10 H 33000, et sea.) within the City of Vernon; and
11 WHEREAS, representatives from the Agency visited with
12 representatives from the Yangpu District of Shanghai during the

6 Vernon; and
7 WHEREAS, the Letter of Intent will contribute to the

11 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF

15 SECTION 2: The Agency hereby approves the Letter of Intent

SECTION 4: The Secretary of the Agency shall certify to the
