A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
3 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN
AMENDMENT NO. ONE TO THE SUBLICENSE AGREEMENT
4 (AGREEMENT NO. 0001001) BY AND BETWEEN THE CITY OF
VERNON AND DIGITAL MAP PRODUCTS, LLC

6 WHEREAS, pursuant to Resolution No. 7330 adopted by the City
7 Council of the City of Vernon on June 15, 1999, the City of Vernon
8 entered into an Agreement for Professional Consulting Services (the
9 "Agreement") dated May 18, 1999, with A.C.T. GIS, Inc. ("ACT") for the
10 development and implementation of a geographic information system
11 ("GIS") for the City; and
12 WHEREAS, pursuant to Resolution No. 7502 adopted on March 7,
13 2000, the City of Vernon entered into Amendment No. One to the
14 Agreement with ACT; and
15 WHEREAS, pursuant to Resolution No. 7525 adopted on April 18,
16 2000, the City of Vernon entered into Amendment No. Two to the
17 Agreement with ACT; and
18 WHEREAS, pursuant to Resolution No. 7501 adopted by the City
19 Council of the City of Vernon on March 7, 2000, the City of Vernon
20 entered into a Sublicense Agreement (Agreement No. 0001001) with
21 Digital Map Products, LLC ("Digital Map"), to gain access to Digital
22 Map's GIS information; and
23 WHEREAS, ACT has executed the Subuser License Agreement
24 required by Digital Map in order to utilize information from Digital
25 Map which is needed to perform the tasks required by the City of
26 Vernon; and
27 WHEREAS, the City of Vernon is in need of information
28 relating to aerial digital orthophotos of an additional area in the
I City of Bell; and
2 WHEREAS, in order to obtain said additional information,
3 Agreement No. 0001001 must be amended to include the additional cost
4 of the orthophotos.
5 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
6 CITY OF VERNON AS FOLLOWS:
7 SECTION 1: The City Council of the City of Vernon hereby
8 finds and determines that the recitals contained hereinabove are true
9 and correct.
10 SECTION 2: The City Council of the City of Vernon hereby
11 approves Amendment No. One to Sublicense Agreement (Agreement No.
12 0001001), a copy of which has been presented to the City Council
13 concurrently with this resolution, and the City Council hereby orders
14 said Amendment No. One to be received and filed by the City Clerk.
15 SECTION 3: The City Council of the City of Vernon hereby
16 authorizes the Mayor and the City Clerk to execute said Amendment No.
17 One for, and on behalf of, the City of Vernon.
18 SECTION 4: The City Clerk is hereby directed to transmit
19 four originals of the Amendment No. One to the following:

SECTION 5: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.

THIS AMENDMENT NO. TWO TO AGREEMENT FOR PROFESSIONAL
CONSULTING SERVICES (the "Amendment") is made, entered into and
executed in duplicate originals; either copy of which may be
considered and used as the original hereof for all purposes, as of
this A5 day of April, 2000.

RECITALS
WHEREAS, CITY and CONSULTANT are parties to an Agreement for
Professional Consulting Services dated May 18, 1999 (hereinafter
referred to as the "Agreement") with respect to the development and
implementation of a geographic information system ("GIS") for the
City; and
WHEREAS, CITY and CONSULTANT are parties to an Amendment No.
One to Agreement for Professional Consulting Services dated March 3,
2000 (hereinafter referred to as "Amendment No. One") that changed the
scope of the work to include a provision for three inch (3") Pixel
Orthophotos and required CONSULTANT to execute a Subuser License
Agreement required by Digital Map Products, LLC ("DMP") in order to
obtain certain information from DMP; and
WHEREAS, CITY is studying the possibility of annexing a
certain portion of property in the City of Bell and, therefore,
desires to amend the Agreement to expand the aerial digital
orthophotos to include the additional area in the City of Bell; and
WHEREAS, the additional work to be performed by CONSULTANT
will result in additional cost; and
WHEREAS, the Agreement currently provides for a termination
date of October 28, 1999; and
WHEREAS, CITY and CONSULTANT desire to amend the Agreement
to extend the term of the Agreement.
NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS,
THE PARTIES HERETO AGREE AS FOLLOWS:
SECTION 1: Section II of the Agreement entitled "Time of
Performance," is hereby amended to read as follows:
II. TIME OF PERFORMANCE. CONSULTANT's services herewith
shall be extended to October 28, 2000, unless completed
prior to that time or otherwise terminated or extended.
SECTION 2: Paragraph 1 of Section III of the Agreement
entitled "Services," is hereby amended to read as follows:

1 1. Services. In addition to the services set forth in
2 the original Agreement, CONSULTANT shall expand the aerial
3 digital orthophotos to include the additional area in the
4
City of Bell that is being considered for annexation by the
5
6 City. The CITY shall compensate the CONSULTANT in an amount
7 not to exceed One Hundred Two Thousand Five Hundred Forty-
8 One Dollars and No Cents ($102,541.00), for all services and
9 expenses to be provided under the Agreement.
10 SECTION 3: In all other respects, the terms and conditions
11 of the Agreement for Professional Consulting Services, and Amendment
12
No. One, shall remain in full force and effect.

The City currently has an Agreement with A.C.T. to provide a
G.I.S. system to the City and a Sublicense Agreement with
Digital Map Products to provide parcel data information and a
digital orthophoto.
The City is considering annexing additional area within the City
of Bell generally bounded by the Burlington Northern Santa Fe
Railroad tracks on the north, the Los Angeles River on the west,
Eastern Avenue on the east and Mansfield Way on the south.
With the possible annexation of this property, the aerial
digital orthophotos could expand to include the proposed annex
area so that we will have a consistent photo for the entire
City. The cost to provide a digital orthophoto and parcel data
for the additional area is $9,439.00. The cost would be much
higher to have this area flown and photographed at a later date.
It is hereby recommended that Amendment No. 2 to A.C.T.'s and
Amendment No. 1 to Digital Map Products' Agreements be approved
for this additional work, and resolutions prepared by the City
Attorney.

It is my understanding that the City is considering annexing

RECITALS
WHEREAS, CITY and DMP are parties to a Sublicense Agreement
(Agreement No. 0001001), dated on or about March 7, 2000 (hereinafter
referred to as the "Agreement") respecting access to parcel and right-
of-way data, property attributes, maps and orthophotos (the "Data") to
assist the CITY in the development and implementation of a geographic
information system; and
WHEREAS, on May 18, 1999, the CITY and A.C.T. GIS, Inc.
entered into an agreement for the development and implementation of a
geographic information system; and
WHEREAS, A.C.T. GIS, Inc. has executed the Subuser License
I Agreement required by DMP in order to gain access to information
2 needed from DMP; and
3 WHEREAS, on or about April 18, 2000, the CITY and its
4 consultant, A.C.T. GIS, Inc., entered into an amended Agreement for
5
Professional Consulting Services which changed the scope of the work
6
by expanding the aerial digital orthophotos to include an additional
7
8 area within the City of Bell; and
9 WHEREAS, in order to obtain this additional information from
10 DMP, the CITY needs to amend Exhibits A, B, C and D,of the Sublicense
11 Agreement with DMP relating to the cost of licensed products and the
12 cost of the digital orthophotography; and
13
WHEREAS, CITY and DMP desire to amend the Agreement to
14
include the additional cost of the aerial digital orthophotos
15
16 NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS,
17 THE PARTIES HERETO AGREE AS FOLLOWS:
18 SECTION 1: Exhibit A, entitled "Schedule of Licensed
19 Products," Exhibit B, entitled "Other Products/Services," Exhibit C,
20 entitled "Product Update Schedules," and Exhibit D, entitled
21 "Financial Summary" are hereby amended as set forth in the Exhibits A,
22
B, C and D attached hereto and incorporated herein by this reference
23
24 as though fully set forth.
25 SECTION 2: In all other respects, the terms and conditions
26 of the Sublicense Agreement shall remain in full force and effect.
