A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN EQUIPMENT PURCHASE CONTRACT BY AND BETWEEN THE
CITY OF VERNON AND SYSTEMS TECHNOLOGY ASSOCIATES,
INC. FOR COMPUTER NETWORK INFRASTRUCTURE SYSTEM
WHEREAS, the Finance Committee of the City of Vernon at its
meeting of January 17, 2000, recommended to the City Council the
retention of Systems Technology Associates, Inc. ("Systems
Technology") to assess the City's computer networking system and
evaluate the stability and reliability of the current networking
system and the proposed system for the remodeled City Hall based upon
the recommendation of the Director of Finance dated January 6, 2000;
and
WHEREAS, Systems Technology is a well -established vendor in
the area of troubleshooting and implementing complex local networking
systems; and
WHEREAS, Systems Technology prepared a Network Infrastructure)
Assessment Report dated April 2000 that identified five "High Severity)
Issues" and eleven "Medium Severity Issues" with the City's current
computer networking system, both internal and external, and made
recommendations to mitigate these issues to create a more stable and
robust network environment for the City; and
WHEREAS, based upon the recommendation of the Director of
Finance dated May 4, 2000, the Finance Committee of the City of Vernon

at its meeting of May 9, 2000, recommended to the City Council the
purchase of the necessary hardware and support services from Systems
Technology to mitigate the "High Severity Issues" identified in the
Network Infrastructure Assessment prepared by Systems Technology; and
WHEREAS, the City desires to enter into an agreement with
Systems Technology to provide the necessary hardware and support
services to mitigate the City's computer networking system problems.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Equipment Purchase Contract, a copy of which is attached
hereto as Exhibit "A" and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Contract for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send a copy of this
resolution and one fully executed Contract to:

THIS CONTRACT is made, entered into and executed in duplicate originals, either copy

WHEREAS, the City's computer networking system has been experiencing significant
problems causing excessive downtime; and
WHEREAS, Systems Technology prepared a Network Infrastructure Assessment Report
dated April 2000 (hereinafter the "Proposal"), a copy of which is attached hereto as Exhibit "A" and
made a part hereof, that identified five "High Severity Issues" and eleven "Medium Severity Issues"
with the City's current computer networking system, both internal and external, and made
recommendations to mitigate these issues to create a more stable and robust network environment for

WHEREAS, Systems Technology has advised the City that it can provide the equipment
and labor to install, test and maintain the computer network system at the City as provided for in the
Proposal; and
WHEREAS, the City desires to enter into an agreement with Systems Technology to
provide for the purchase, delivery, installation, testing, and support of new hardware and other services
necessary to implement the recommendations concerning "High Severity Issues" contained in the
Proposal; and
I WHEREAS, the Systems Technology represents that it is qualified to perform such
2 services under this agreement.
3 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
4 FORTH HEREIN:
5 1. Purchase. Systems Technology agrees to sell, deliver, install, test and
6 maintain the hardware for the City's computer network infrastructure system as set forth in the Proposal
7 respecting "High Severity Issues" as described in the Proposal attached as Exhibit "A."
8 2. Price. Consistent with its Proposal, Systems Technology agrees to sell,
9 deliver, install, test and maintain the computer network system for a sum not to exceed Fifty Thousand
10 Dollars and No Cents ($50,000.00), including tax and freight. The City agrees to pay any, additional
I I freight and delivery charges including packaging and inside delivery.
12 3. Payment Terms. The City agrees to pay Systems Technology progress
13 payments as follows:
14 A Thirty percent (30%) deposit due upon placement of the order
15 calculated as a percent of the overall purchase order, excluding sales tax.
16 B. Thirty percent (30%) due upon shipment of equipment to the job site
171 calculated as a percent of total invoice that is due and payable to Systems Technology upon shipment of
18 equipment.
19 C. Balance of the invoice amount will be invoiced upon final testing and
20 acceptance of the network system by the City and will be due net thirty (30) days based upon invoice
21 date, which invoice is usually issued within two (2) working days of shipment of the equipment.
22 All checks shall be made payable to Systems Technology and remitted to 216 Technology
23 Drive, Suite G, Irvine, CA 92618, Attn: Accounts Receivable.
24 4. Confidential Information.
25 A. Access to Confidential Information. The City may provide Systems
26 Technology with, or allow Systems Technology access to, certain information not available to the public
27 concerning, but not limited to the City, or businesses located in the City. The information may include,
28 but is not limited to, company information, taxes, sales, value of assets, utility usage, the Policy, or other

I such information. All such information shall be known as "Confidential Information" and may not be
2 used to circumvent the responsibility of either party to this Agreement.
3 B. No Disclosure. Except as expressly permitted, Systems Technology
4 shall not disclose, permit the disclosure of, release, disseminate, or transfer, whether orally or by any
5 other means, any part of such Confidential Information to any other person or entity, whether corporate,
6 governmental, or individual, without the express prior written consent of an authorized representative of
7 the City. Systems Technology shall return any written Confidential Information, and all copies made of
8 such items, to the City upon the City's written request, but in any event not later than the date that
9 Systems Technology has performed all services to be performed pursuant to this Agreement. Systems
10 Technology hereby agrees that such Confidential Information and any documents provided may be used
i 1 by Systems Technology only as authorized by the City. Systems Technology shall take reasonable
12 measures to avoid any disclosure of any such Confidential Information to any unauthorized person.
13 C. Court Ordered Disclosure. Systems Technology shall immediately
14 notify the City of any court order or subpoena requiring disclosure of Confidential Information, and
15 shall cooperate with legal counsel in the appeal or challenge of any such order or subpoena. Recipient
16 may only disclose Confidential Information required to be disclosed pursuant to court order or subpoena
17 after legal counsel has exhausted any lawful and timely appeal or challenge.
18 D. Remedies. In addition to any other remedies that it may have at law or
19 in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent
20 jurisdiction against any breach or threatened breach of the Confidential Information provisions of this
21 Agreement. Systems Technology acknowledges that in case of such breach or threatened breach of said
22 provisions, the City would have no adequate remedy at law.
23 5. Warranties. Systems Technology shall provide, at a minimum, a one (1) year
24 labor and material warranty to begin upon acceptance of the completed system by the City. All
25 manufacturers' warranties, and any other warranties made applicable by law, shall apply to the City's
26 purchase of the above -referenced cabling system.
27 6. Changes and Extra Services. The City reserves the right to request changes in
28 the services to be performed by the Systems Technology. All such changes shall be incorporated in

I written change orders executed by the City and the Systems Technology which shall specify the changes
2 ordered and the adjustment of compensation and completion time required thereof.
3 Any services added to the scope of this Contract by a change order shall be executed under
4 all applicable conditions of this Contract. No claim for additional compensation or extension of time
5 shall be recognized unless contained in a duly executed change order.
6 7. General Provisions.
7 A. Independent Contractor. At all times during the term of this Contract,
8 Systems Technology shall be an independent contractor and shall not be an employee of the City. The
9 City shall have the right to control Systems Technology only insofar as the results of Systems
10 Technology's services rendered pursuant to this Contract; however, the City shall not have the right to
11 control the means by which Systems Technology accomplishes services rendered pursuant to the
12 Contract except to the extent that such services involve the use of City property or Confidential
13 Information.
14 B. Systems Technology shall not be eligible for, nor claim any benefits
15 under, the Public Employee's Retirement System, State Unemployment Insurance, Disability Insurance,
16 Workers' Compensation Insurance, or other benefits through the City as such benefits are commonly
17 conferred upon employees of the City; provided, however, that nothing contained herein shall be
18 deemed to affect any benefits which may have accrued to the Systems Technology while employed by
19 any other public or private employer, whether prior to or after the effective date of this Agreement.
20 C. Products of Consulting. All products of consulting services, including
21 but not limited to computer software, shall become the property of the City and shall be delivered to the
22 City before the end of the performance of this Agreement. Basic notes and sketches, charts,
23 computations and other data shall be made available to City without restriction or limitation on their
24 use.
25 D. Assignment and Subcontracting Prohibited. No party to this Agreement
26 may assign or subcontract any right or obligation pursuant to this Agreement except as provided for in
27 the Proposal or with the express written consent of the other party. Any other attempted or purported
28 assignment of any right or obligation pursuant to this Agreement shall be void and of no effect.

I E. Systems Technology Not Agent. Except as the City may specify in
2 writing, Systems Technology shall have no authority, express or implied, to act on behalf of the City in
3 any capacity whatsoever as an agent. Systems Technology shall have no authority, expressed or
4 implied, pursuant to this Contract to bind the City to any obligation whatsoever.
5 F. Governing Law. The laws of the State of California shall govern the
6 rights, obligations, duties and liability of the parties to this Contract and shall also govern the
7 interpretation of this Contract.
8 G. Indemnification. Systems Technology shall indemnify, defend, protect
9 and hold the City and its officers, agents and employees, free and harmless from and against any and all
10 claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments and all costs
11 and expenses incurred in connection therewith, including reasonable attorney's fees and costs of defense
12 arising out of the services performed under this Contract, except to the extent arising from or caused by
13 the sole negligence or willful misconduct of the City, its officers, agents or employees.
14 H. Comprehensive General and Automobile Insurance. Systems
15 Technology agrees to provide insurance in the amounts and forms specified in Exhibit `B," which is
16 attached hereto and made a part hereof by reference. Comparable coverage shall be provided for each
17 subcontractor used in the performance of this Contract. Systems Technology shall submit to the City
18 documentation indicating compliance with these minimum requirements no less than one (1) day prior
19 to the beginning of performance under this Contract. Systems Technology shall not commence
20 performance of its services under this Contract until the above insurance has been obtained and proof of
21 insurance has been filed with and approved by the City.
22 I. Notices. Notices to the parties, unless otherwise requested in writing,
23 shall be sent to:

8. Entire Agreement. This Contract is the entire agreement of the parties,
Systems Technology represents that in entering into this Contract, it has not relied on any previous
representations or understandings of any kind or nature.
9. Benefit of Agreement. This Contract shall bind and benefit the parties hereto
and their heirs, successors, and permitted assigns.
IN WITNESS WHEREOF, the parties have caused this Contract to be executed by and
through their authorized officers on the date, month and year first written above.

This Report fulfills our contract with the City to assess the Network Infrastructure and to
make recommendations to stabilize the City's network environment.
This report developed by our Management and Professional Services Division identifies
the High and Medium Severity Issues uncovered in our assessment, as well as the
recommendations to mitigate these issues, thereby creating a more robust environment
for the City of Vernon.
Systems Technology Associates, Inc. wishes to thank the City Staff, in particular Carol

Executive Summary
ISSUES
The City's NT network system has, for the past few months, suffered excessive
downtime. This has been a significant problem for the E-mail system, which has
often been unavailable after weekends and first thing in the morning. The City has
retained System Technology Associates to address the following concerns:
Is the current hardware configuration and the design of the current infrastructure
adequate? If not what changes are recommended?
Is the configuration of the supporting software systems optimal? If not what
changes need to be implemented?
Does the City have personnel with the right training and qualifications for
maintenance of the network? If not what staffing additions and/or training is
recommended?
What policies and procedures should be implemented to insure that the network will
continue to be stable and robust into the future?
FINDINGS
Systems Technology Associates Inc. has been pleased to work with the City of
Vernon to assess the City's network issues and provide a solution to optimize the
network.
We have divided our findings into two (2) categories, High Severity Issues and
Medium Severity Issues. High Severity Issues must be addressed to attain a stable
network. Medium Severity Issues primarily address enhancements that will make
the network more robust with less chance of failure or loss of data.
We believe that the best solution to resolve the existing problems will require the
purchase of some new servers and other equipment. The current servers provide no
redundancy, and have little or no room for the growth of network requirements. New
servers and the reorganization of the tasks performed by the existing servers would
provide the needed redundancy, considerably higher performance, easier
maintainability, and room for growth of the network. In addition, it would make one
or more of the old servers available for an off-line testing environment.
RECOMMENDATIONS
The following lists the High and Medium Severity Issues and estimates of the costs
associated with the purchase and installation of new hardware, system maintenance,
and the time to perform other necessary tasks.
All labor calculations are based on our normal business hourly rate of $185 (8:00
A.M. to 5:00 P.M Monday -Friday). The after hours and weekend rate is $225/hour.
All times shown for STA to accomplish the tasks covered in this assessment are
estimated and actual hours will be billed. The pricing excludes daily travel charge of
$175.

HIGH SEVERITY ISSUES
Exchange Information Store
SYM PTO M
CAUSE
Currently the Exchange Information Store is experiencing unexpected file size
growth. In addition, the server runs slowly at peak times.
The Exchange Information Store is corrupted. The user message gets "stuck"
and "multiplied" in an out going queue, creating a looping environment.
CORRECTIVE ACTION
Replicate the Exchange Directory Information and rebuild the Exchange
server on a more powerful server platform. This work could be done after the
City's regular working hours to minimize server down time.
REASON FOR CORRECTIVE ACTION
A more powerful server will better handle the load of all the users, as well as
provide redundancy and versatility. Because the current client workstations
are storing all the mail messages locally, rebuilding the Exchange Server
information store would not cause any old mail messages to be erased.
NOTE: Rack -mounted Servers
Installing the servers into a rack as they are upgraded will result in a
consolidated, more manageable computer room environment. The servers can
share a monitor, keyboard, and battery backup, while only taking up the floor
space of one server. In addition, the rack is designed for optimal maintenance
of the servers and provides the recommended airflow needed for venting.

User Authentication
SYMPTOM
CAUSE
A "network blackout" is experienced, usually in the morning.
The utilization of only one Windows NT domain controller (PDC) for
authentication is causing network slowdown and disruption. The current
server is not adequately sized for serving as the Primary Domain Controller.
In addition, the second floor coaxial cable network severely limits and
occasionally disrupts the network.
CORRECTIVE ACTION
Install a new server and configure it as a Windows NT Primary Domain
Controller (PDC) to better handle the user authentication load and other
network traffic. Install and setup a server and configure it as a Backup
Domain Controller to balance the workload and provide redundancy. The BDC
could be either, one of the an existing servers or a new server (see Medium
Severity Issues). This work could be done after the City's regular working
hours to minimize server down time. Upgrade the current network
infrastructure to all twisted pair or fiber optic cable, with hubs and switches
capable of 100 Base-T speeds, today's standard.
REASON FOR CORRECTIVE ACTION
Improved network infrastructure can minimize network collisions and retries,
and provide greater capabilities for servers and workstations to communicate
with each other. A Windows NT Backup Domain Controller will increase the
capacity of the network to handle user authentication requests and other
network traffic, and provides a backup of user account information in case of
failure of the Primary Domain Controller.

Database Integrity Maintenance

CAUSE
The City experiences occasional, irretrievable loss of data.
The lack of a robust and redundant database protection scheme.
CORRECTIVE ACTION
Implement daily procedures such as database integrity checks, fragmentation
checks, and index rebuilds. Develop and implement detailed documentation
of the database schema, generation scripts, ,and database backup/restore
drills. This work could be done after the City's regular working hours to
minimize server down time.
REASON FOR CORRECTIVE ACTION
A rigorous plan as well as testing of the plan should be in place to prevent
loss of important data.

Establish a Pre -Production Environment

CAUSE
Changes are applied directly to production environment, causing unexpected
results.
CORRECTIVE ACTION
Establish and document a test/development environment to validate the
effect of changes prior to implementation into the production environment.
The acquisition of new hardware for the production servers would make the
servers that are being replaced available for a testing environment. Instruct
appropriate City personnel on the proper maintenance and use of the test
environment.
REASON FOR CORRECTIVE ACTION
There is a great risk of impairing or crashing the system if changes are made
directly to the production environment without off-line testing.

Lack of Name Resolution Schema

The City has frequently been unable to troubleshoot network problems in an
expeditious manner.
CAUSE
r Currently, the schema (layout of the database and network) is fragmented
due to numerous patches to the system and unknown software origins.
f CORRECTIVE ACTION
1
An enterprise naming resolution for the Windows Internet Name Service
(WINS) and Domain Name Service (DNS) needs to be re -configured with a
new network design. Microsoft WINS and DNS server can be installed on the
Windows NT Primary Domain Controller or the Backup Domain Controller.
This work could be done after the City's regular working hours to minimize
server down time.
` REASON FOR CORRECTIVE ACTION
A standard naming convention should be created for Servers and
Workstations. The use of WINS and DNS allows the network to grow in size
and capacity with reduced maintenance and ease of manageability.

A data backup plan should be implemented to assure redundancy exists as
part of the new network infrastructure. This will preserve user account
information in case of failure. One of the new servers will be capable of
functioning as the tape backup server.

Exchange Mailbox Backup
The MS Exchange software needs to be upgraded in order to provide mailbox -
level restore capabilities. Currently the information has to be totally restored
should the system fail. The recommendation is to install Veritas Backup Exec.
Veritas Backup Exec software will allow restoration of settings to the mailbox
level.

Network IP Management
Implement Dynamic IP address Assignment to facilitate ease in managing
changes to the environment. Currently, static IP addresses are assigned, and
must be changed periodically to accommodate changes in the network.
Dynamic addressing will automatically assign IP addresses as needed, and will
not be impacted by changes to the network.

Windows NT Domain and Workstation
Revise the current structure of managing the (13) Windows workgroups at
the department level to (1)-Windows domain that will allow them to belong to
any other workgroup allowing distribution of resource utilization across the

Change the NT server registry keys in order to optimize file sharing for the

Disaster Recovery
A disaster recovery system should be implemented based on prioritizing
mission critical servers. There are a wide variety of plans with associated
costs. They range from a simple full backup tape housed offsite, to an
identical system offsite and directly connected via leased lines or internet,
failing -over users to backup system should the primary server go down. This
topic is very important long-term, and deserves serious discussion once the
City decides what is "mission -critical", and what the City's "level of pain" is
should they go down.

System standardization will minimize configuration time, saving management
and support costs, as well as providing leverage for the City of Vernon on

OTHER CONSIDERATIONS
System Hardware Support Services
The support option quoted in this proposal for the Network Servers is 7x24 6-
Hour Call -To -Repair, which commits HP to having the system up and running
within 6 hours of the initial support call.
You may also put one or more servers on a Monday -Friday 8:00-5:00 4-Hour
response plan, which provides a service person onsite within 4 hours.
However, this service option does not guarantee that the system will be up
and running within any given time period. Substituting this support option
instead of the 7x24 6-hour Call -To -Repair quoted above would save the City
($1,221) per Network Server.
Outsourcing Server or Desktop Services
The City may want to explore the possibility of outsourcing some or all of the
desktop or network server management services. This could also involve
investigation of the opportunity for an umbrella plan for all HP and other
equipment so that the City may enjoy the economies of scale and the
convenience of one source support.
