A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN INDEMNITY AND HOLD HARMLESS AGREEMENT FOR USE OF
CITY OF VERNON FIRE ENGINE NO. 24 BY THE CITY OF
COMPTON AND RATIFYING THE LOAN OF THE CITY OF
VERNON RESERVE FIRE ENGINE TO THE CITY OF COMPTON
WHEREAS, the City of Compton Fire Department ("Compton") had
an urgent need for a fire engine for a two (2) week period of time and
requested the City of Vernon's assistance in lending a reserve fire
engine; and
WHEREAS, the Vernon Fire Department had a reserve engine,
Fire Engine No. 24, that was available and was willing to lend said
engine to Compton for a period of two (2) weeks; and
WHEREAS, in order to meet the urgent need of Compton for a
reserve fire engine, the Vernon Fire Department allowed Compton the use
of Fire Engine No. 24, subject to ratification by the City Council and
the execution of an indemnity agreement; and
WHEREAS, the City Council desires to approve and ratify the
loan of the City of Vernon reserve Fire Engine No. 24 to Compton and
desires to approve and authorize the execution of an indemnity
agreement with Compton.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves, authorizes and ratifies allowing Compton the use of City of

Vernon Fire Engine No. 24 for a period of two (2) weeks.
SECTION 3: The City Council of the City of Vernon hereby
approves the Indemnification and Hold Harmless Agreement for Use of
City of Vernon Fire Engine No. 24 by the City of Compton, a copy of
which is attached hereto as Exhibit "A" and made a part hereof.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the City Administrator to execute the Agreement for, and on
behalf of, the City of Vernon.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send a copy of this
resolution and one fully executed Agreement to:

COMPTON, CA 90221
SECTION 6: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and thereafter
the same shall be in full force and effect.

WHEREAS, the City of Compton Fire Department ("Compton") ha."" advised the
City of Vcrtnon ("Vernon") that it has an emergency need for a five engine for two (2) weeks; and
WHEREAS, the Vernon Fire Department has a rescnne engine, Fire Engine Itio. 24,
that is available for loan to Compton; and
W1-1.1 RFAS, Vernon desires to assist Compton by loaning it reserve Fire I:ngme No,
24 for a period of two (2) weeks.
NOW, THEREFORE, THE PARTIES IJERf TO DO MUTUALLY AGRWI: AS
I SET FORTH HEREIN:
1. Vernon agrees to allow the Compton to use Fire Fuginc No. 24 for a period of two
1 (2) weeks.
2. The City of Compton hereby agrees to defend, indemnify, and hold harniless the C:'it;
of Vernon its employees, officers and council members fron, any and all costs or expenses,
including rcasonablc attorney's fees arising out of any act or omission of the City of Compton or it
representatives during the use of City of Vernon Fire Engine No. 24.
3, This Agreement is the entire agreement of the parties. Compton represents that III
entering into this Agreement, it has not relied on any previous representations or understandings of
any kind or nature.
4. This Agreement may be executed in one or more counterparts, each of which shall lac
deemed an original, but all of vvhich together sliall constitute one: and the same instrument.
