ON BID NO. 1397 FOR THE REPLACEMENT AND REINSTALLATION OF PUMP EQUIPMENT AT WELL NO. 17 FOR THE COMMUNITY SERVICES AND WATER DEPARTMENT AND AUTHORIZING THE EXECUTION OF AN EQUIPMENT PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID WHEREAS, the Community Services and Water Department needs to replace and reinstall pumping equipment, including the pump, column pipe, shaft, tubing and strainer, at Well No. 17 at 4355 Downey Road in Vernon; and WHEREAS, pursuant to Resolution No. 7586 adopted by the City Council of the City of Vernon on July 26, 2000, the City Clerk was directed to give notice inviting sealed proposals or bids for'the replacement and reinstallation of pumping equipment at Well No. 17 in accordance with a Bid Proposal (Bid No. 1397); and WHEREAS, the Bid Proposal (Bid No. 1397) of the City of Vernon was approved by the City Council of the City of Vernon pursuant to Resolution No. 7586, and sealed bids were opened on August 28, 2000; and WHEREAS, the following bids were received on Bid No. 1397: Beylik Drilling bid a total of Fifty -Five Thousand Nine Hundred Eighty - Seven Dollars and No Cents ($55,987.00), including tax, and Layne Christiansen Company bid a total of Sixty -Five Thousand Nine Hundred Forty -Six Dollars and Sixty -Two Cents ($65,946.62), including tax; and WHEREAS, said bids were reviewed and approved by the Community Services and Water Department; and 1 WHEREAS, Bruce V. Malkenhorst, City Clerk, by letter dated 2 August 29, 2000, recommended that Bid No. 1397 be awarded to Beylik 3 Drilling, the lowest responsible bidder meeting the requirements of Bid 4 No. 1397. 5 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY 6 OF VERNON AS FOLLOWS: 7 SECTION 1: The City Council of the City of Vernon hereby 8 9 finds and determines that the recitals contained hereinabove are true 10 and correct. 11 SECTION 2: The City Council of the City of ,Vernon hereby 12 awards Bid No. 1397 to Beylik Drilling, Inc. and accepts and approves 13 the Equipment Purchase Contract, a copy of which is attached hereto as 14 Exhibit "A" and made a part hereof. 15 16 SECTION 3: The City Council of the City of Vernon hereby 17 authorizes the Mayor and the City Clerk to execute the Equipment 18 Purchase Contract on behalf of the City and authorizes the issuance of 19 a purchase order for the replacement and reinstallation of pumping 20 equipment at Well No. 17 pursuant to Bid No. 1397. 21 SECTION 4: The City Council of the City of Vernon hereby 22 23 directs the City Clerk, or his designee, to send a copy of this 24 resolution and one fully executed Contract to: 25 Beylik Drilling, Inc. 26 Attn: Larry Gomez 555 S. SECTION 6: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. California BY AND BETWEEN The City of Vernon (hereinafter referred to as the "City") 4305 Santa Fe Avenue Vernon, CA 90058 AND Beylik Drilling, Inc. (hereinafter referred to as "Beylik") 555 S. Harbor Blvd. La Habra, CA 90631 WHEREAS, the City needs to replace and reinstall pumping equipment, including the pump, column pipe, shaft, tubing and strainer, at Well No. 17 at 4355 Downey Road in Vernon and needs the services of a supplier to provide the parts and labor necessary to accomplish the replacement and reinstallation of the pumping equipment at Well No. 17; and WHEREAS, on August 10, 2000, the City issued Bid No. 1397 which sets forth specifications for the replacement and reinstallation of pumping equipment for Well No. 17 required by the City; and WHEREAS, on or about August 11, 2000, Beylik responded to Bid No. 1397; and WHEREAS, the City has accepted the bid of Beylik and desires to retain its services to replace and reinstall the pumping equipment 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 24 25 26 27 28 for Well No. 17. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. Beylik agrees to furnish parts and labor to replace and reinstall the pumping equipment at Well No. 17 located, at 4355 Downey Road in Vernon according to the specifications contained in the City's Bid documents dated August 10, 2000, and Beylik's Bid of August 11, 2000 (the "Bid Documents"). A copy of the Bid Documents are attached hereto as Exhibit "A" and incorporated herein by reference. 2. Price. Consistent with its Bid, Beylik agrees to provide parts and labor for the replacement and reinstallation of pumping equipment at Well No. 17 for the total sum of Fifty -Five Thousand Nine Hundred Eighty -Seven Dollars and No Cents ($55,987.00), tax included. 3. Payment Terms. The City agrees to pay Beylik a total of Fifty -Five Thousand Nine Hundred Eighty -Seven Dollars and No Cents ($55,987.00), tax included, for parts and labor associated with the replacement and reinstallation of the pumping equipment at Well No. 17 pursuant to an invoice provided by Beylik. 4. Warranties. Beylik shall provide, at a minimum, a one (1) year labor and material warranty to begin upon acceptance of the replacement and reinstallation by the City. All manufacturers' warranties, any warranties typically provided by Beylik, and any other warranties made applicable by law shall apply to the parts and labor provided by Beylik to complete the work performed on the pumping equipment at Well No. 17. - 2 - 1 5. Governing Law. The validity, interpretation and 2 performance of this contract shall be controlled and construed under 3 the laws of the State of California. 4 6. Notices. At all times during the 15 term of this Contract, Beylik shall be an independent contractor and 16 shall not be an employee of the City. The City shall have the right 17 to control Beylik only insofar as the results of Beylik's services 18 rendered pursuant to this Contract; however, the City shall not have 19 the right'to control the means by which Beylik accomplishes services 20 rendered pursuant to the Contract except to the extent that such 21 services involve the use of City property or Confidential Information. 22 B. Beylik Not Agent. Except as the City may 23 specify in writing, Beylik shall have no authority, express or 24 implied, to act on behalf of the City in any capacity whatsoever as an 25 agent. Beylik shall have no authority, expressed or implied, pursuant 26 to this Contract to bind the City to any obligation whatsoever. 27 28 3 - I C. Indemnification. Beylik shall indemnify, 2 defend, protect and hold the City and its officers, agents and 3 employees, free and harmless from and against any and all claims, 4 demands, losses, damages, liabilities, fines, charges, penalties, 5 orders, judgments and all costs and expenses incurred in connection 6 therewith, including reasonable attorney's fees and costs of defense 7 arising out of the services performed under this Contract, except to 8 the extent arising from or caused by the sole negligence or willful. 9 misconduct of the City, its officers, agents or employees. 10 D. Comprehensive General and Automobile Insurance. 11 Beylik agrees to provide insurance in the amounts and forms specified 12 in Exhibit "B," which is attached hereto and made a part hereof by 13 reference. Comparable coverage shall be provided for each 14 subcontractor used in the performance of this Contract. Beylik shall 15 submit to the City documentation indicating compliance with these 16 minimum requirements no less than one (1) day prior to the beginning 17 of performance under this Contract. Beylik shall not commence 18 performance of its services under this Contract until the above 19 insurance has been obtained and proof of insurance has been filed with 201 and approved by the City. 21 8. CONFIDENTIAL INFORMATION. 22 A. Access to Confidential Information. The City may 23 provide Beylik with, or allow Beylik access to, certain information 24 not available to the public concerning the City, or businesses located 25 in the City. The information may include company information, taxes,. 26 sales, value of assets, or other such information. All such 27 information shall be known as "Confidential Information." 28 - 4 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 B. No Disclosure. Except as expressly permitted, Beylik shall not disclose, permit the disclosure of, release., disseminate, or transfer, whether orally or by any other means, any part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Beylik shall return any written Confidential Information, and all copies made of such items, to the City upon the City's written request, but in any event not later than the date that Beylik has performed all services to be performed pursuant to this Agreement. Beylik hereby agrees that such Confidential Information and any documents provided may be used by Beylik only as authorized by the City. Beylik shall take reasonable measures to avoid any disclosure of any,such Confidential Information to any unauthorized person. C. Court Ordered Disclosure. Beylik shall immediately notify the City of any court order or subpoena requiring disclosure of Confidential Information, and shall cooperate with legal counsel in the appeal or challenge of any such order or subpoena. Recipient may only disclose Confidential Information required to be disclosed pursuant to court order or subpoena after legal counsel has exhausted any lawful and timely appeal or challenge. D. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Agreement. Entire Agreement. This Contract is the entire agreement of the parties. Beylik represents that in entering into this Contract, it has not relied on any previous representations or understandings of any kind or nature. 10. Benefit of Agreement. This Contract shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. The City requests that the contractor provide firm estimates on the items listed below. If there are other items that you feel will be necessary to ensure the proper operation of the well, please include these items on a separate sheet. In addition, each bid shall include specifications of types of parts to be used as replacement parts. Wherever possible, replacement parts shall made by the same manufacturer as the original equipment. The City of Vernon requires that the contractor who is awarded this work provide a one year warranty on all work performed during the project. Any pump failures that result from leaks in the shaft tubing, premature bearing failure, or other causes related to the work performed by the contractor shall be repaired at no cost to the City. A written statement of warranty must accompany your bid sheets. Attached you will find Bid Specifications and Request for Quotation forms. The submittal of any incomplete forms will automatically disqualify the bidder from the bid process. At all times during the 15 term of this Contract, Beylik shall be an independent contractor and 16 shall not be an employee of the City. The City shall have the right 17 to control Beylik only insofar as the results of Beylik's services 18 rendered pursuant to this Contract; however, the City shall not have 19 the right'to control the means by which Beylik accomplishes services 20 rendered pursuant to the Contract except to the extent that such 21 services involve the use of City property or Confidential Information. 22 B. Beylik Not Agent. Except as the City may 231 specify in writing, Beylik shall have no authority, express or 24 implied, to act on behalf of the City in any capacity whatsoever as an 25 agent. Beylik shall have no authority, expressed or implied, pursuant 26 to this Contract to bind the City to any obligation whatsoever. 27 28 / 3 - a 1 C. Indemnification. Beylik shall indemnify, 2 defend, protect and hold the City and its officers, agents and 3 employees, free and harmless from and against any and all claims, 4 demands, losses, damages, liabilities, fines, charges, penalties, 5 orders, judgments and all costs and expenses incurred in connection 6 therewith, including reasonable attorney's fees and costs of defense 7 arising out of the services performed under this Contract, except to 8 the extent arising from or caused by the sole negligence or willful 9 misconduct of the City, its officers, agents or employees. 10 D. Comprehensive General and Automobile Insurance. 11 Beylik agrees to provide insurance in the amounts and forms specified 12 in Exhibit "B," which is attached hereto and made a part hereof by 13 reference. Comparable coverage shall be provided for each 14 subcontractor used in the performance of this Contract.. Beylik shall 15 submit to the City documentation indicating compliance with these 16 minimum requirements no less than one (1) day prior to the beginning 17 of performance under this Contract. Beylik shall not commence 18 performance of its services under this Contract until the above 19 insurance has been obtained and proof of insurance has been filed with 20 and approved by the City. 21 8 CONFIDENTIAL INFORMATION, 22 A. Access to Confidential Information. The City may 23 provide Beylik with, or allow Beylik access to, certain information 24 not available to the public concerning the City, or businesses located 25 in the City. The information may include company information, taxes, 26 sales, value of assets, or other such information. All such 27 information shall be known as "Confidential Information." 28 4 t 1 B. No Disclosure. Except as expressly permitted, 2 Beylik shall not disclose, permit the disclosure of,. release, 3 disseminate, or transfer, whether orally or by any other means, any 41 part of such Confidential Information to any other person or entity, 5 whether corporate, governmental, or individual, without the express 6 prior written consent of an authorized representative of the City. 7 Beylik shall return any written Confidential Information, and all 8 copies made of such items, to the City upon the city's written 9 request, but in any event not later than the date that Beylik has 10 performed all services to be performed pursuant to this Agreement. 11 Beylik hereby agrees that such Confidential Information and any 12 documents provided may be used by Beylik only as authorized by the 13 City. Beylik shall take reasonable measures to avoid any disclosure 14 of any such Confidential Information to any unauthorized person. 15 C. Court- Ordered Disclosure. Beylik shall 16 immediately notify the City of any court order or subpoena requiring 17 disclosure of Confidential Information, and shall cooperate with legal 18 counsel in the appeal or challenge of any such order or subpoena. 19 Recipient may only disclose Confidential Information required to be 20 disclosed pursuant to court order or subpoena after legal counsel has 21 exhausted any lawful and timely appeal or challenge. 22 D. Remedies. In addition to any other remedies that 23 it may have at law or in equity, the City shall be entitled to a 24 temporary and permanent injunction by a court of competent 25 jurisdiction against any breach or threatened breach of the 26 Confidential Information provisions of this Agreement. Entire Agreement. This Contract is the entire agreement of the parties. Beylik represents that in entering into this Contract, it has not relied on any previous representations or understandings of any kind or nature. 10. Benefit of Agreement. This Contract shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. Based on the original bid specifications, the Community Services and Water Department is requesting two changes: • The first change consists of changing the request for stainless steel line shafts to C-1045 carbon based line shafts. • The second change involves additional work of cleaning out the perforations along the entire length of the casing. The new total cost for the entire bid is $54,057.00 which is approximately $1,930.00 lower than the original bid. It is hereby recommended that the agreement with Beylik Drilling be amended to include the two revisions for Well No. 17 at a new cost of $54,057.00.
