Resolution No. 76241 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 7624 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND THE COUNTY OF LOS ANGELES FOR SYNCHRONIZATION OF TRAFFIC SIGNALS ALONG SANTA FE AVENUE WHEREAS, construction of the Alameda Corridor Project by the Alameda Corridor Transportation Authority ("ACTA") has presented traffic circulation and management issues for the City; and WHEREAS, due to the fact that the City of Vernon is primarily an industrial City, there is a higher percentage of truck traffic on its arterials; and WHEREAS, the County of Los Angeles ("County") and the Los Angeles County Metropolitan Transportation Authority ("MTA") have entered into a Memorandum of Understanding Number P0004221 to help address the local and regional circulation issue by allocating funding to synchronize traffic signals on Santa Fe Avenue; and WHEREAS, Santa Fe Avenue is on the Highway Element of the City of Vernon's General Plan and the County's Highway Plan; and WHEREAS, the City of Vernon is interested in installing a central traffic control system, a camera monitoring system, closed circuit television cameras, and fiber optic communications, and to modify the traffic signals on Santa Fe Avenue from 25th Street/26th Street to 55th Street (the "Project"), which is entirely within the City of Vernon; and 1 2 3 4 5 6 7 8 9' 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, on August 8, 2000, the City Council of the City of Vernon adopted Resolution No. 7587 approving Contract No. 552, Traffic Signal Synchronization, and going out to bid; and WHEREAS, the County and the City are interested in a cooperative effort to include certain modifications to synchronize the traffic signals at the intersections of Santa Fe Avenue with 25th Street/26th Street, 27th Street, 28th Street, 37th Street, 38th Street., Vernon Avenue, Pacific Boulevard/ Vernon Avenue, 48th Street, Fruitland Avenue, and 55th Street in the Project; and WHEREAS, the City is willing to perform the preliminary engineering and contract administration, construction inspection and engineering, equipment and system testing, traffic signal timing, utility engineering and relocation and traffic detour for the Project; and WHEREAS, the total cost of the Project is estimated to be $695,000.00; and WHEREAS, both the County and the City are interested in entering into a cooperative agreement regarding the Project with the County contributing $486,000.00 toward the cost of the Project utilizing MTA grant funds and other County funds and the City's share being approximately $209,000.00; and WHEREAS, ACTA is providing an additional $500,000.00 towards the Project so that Santa Fe Avenue and Soto Street signals can be synchronized in their entirety; and WHEREAS, the City of Vernon and the County desire to enter into a cooperative agreement. SECTION 2: The City Council of the City of Vernon hereby approves the Agreement,,a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Agreement for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to transmit two fully executed Agreements to• County of Los Angeles Department of Public Works (File PD-2) Attn: Harry W. MALKENHORST, City Clerk 12 (SEAL) 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 4 - EXHIBIT A AGREEMENT THIS AGREEMENT, made and entered into by and between the CITY OF VERNON, a municipal corporation in the County of Los Angeles, hereinafter referred to as "CITY," and the COUNTY OF LOS ANGELES, a political subdivision of the State of California, hereinafter referred to as "COUNTY": WITNESSETH WHEREAS, Santa Fe Avenue is on the Highway Element of CITY'S General Plan and on COUNTY'S Highway Plan; and WHEREAS, CITY proposes to install a central traffic control system, a camera monitoring system, closed-circuit television cameras, and fiber optic communications, and modify the traffic signals on Santa Fe Avenue between 25th Street/26th Street and 55th Street, which work is hereinafter referred to as "PROJECT'; and WHEREAS, as part of PROJECT, CITY and COUNTY propose to include the necessary traffic signal modifications to synchronize the traffic signals at the intersections of Santa Fe Avenue with 25th Street/26th Street, 27th Street, 28th Street, 37th Street, 38th Street, Vernon Avenue, Pacific BoulevardNernon Avenue, 48th Street, Fruitland Avenue, and 55th Street, as described in Attachment A of this AGREEMENT, which work shall be hereinafter referred to as "MODIFICATIONS"; and WHEREAS, MODIFICATIONS are consistent with the scope of work for the synchronization of traffic signals on Santa Fe Avenuewithin CITY pursuantto Memorandum of Understanding Number P0004221 between COUNTY and the Los Angeles County Metropolitan Transportation Authority (MTA); and WHEREAS, PROJECT is entirely within the jurisdictional limits of CITY; and WHEREAS, PROJECT is of general interest to CITY and COUNTY; and WHEREAS, CITY is willing to perform the preliminary engineering and contract administration, construction inspection and engineering, equipment and system testing, traffic signal timing, utility engineering and relocation, and traffic detour for PROJECT; and WHEREAS, CITY is willing to include MODIFICATIONS in PROJECT; and WHEREAS, the "COST OF PROJECT' includes the costs of preliminary engineering, construction contract, contract administration, construction inspection and engineering, equipment and system testing, traffic signal timing, utility engineering and relocation, and traffic detour for PROJECT, as more fully set forth herein; and WHEREAS, COUNTY has obtained grant funds from the MTA up to a maximum of Four Hundred Thirty-five Thousand and 00/100 Dollars ($435,000.00) and will provide matching funds up to a maximum of Fifty-one Thousand and 00/100 Dollars ($51,000.00) to finance a portion of the COST OF PROJECT; and -2- WHEREAS, COUNTY is willing to utilize the MTAgrantfunds and COUNTY matching funds to provide a fixed contribution of Four Hundred Eighty-six Thousand and 00/100 Dollars ($486,000.00) toward the COST OF PROJECT; and WHEREAS, CITY is willing to finance the remaining COST OF PROJECT in excess of COUNTY's contribution; and ' WHEREAS, the total COST OF PROJECT is currently estimated to be Six Hundred Ninety-five Thousand and 00/100 Dollars ($695,000.00), with MTA grant funds of Four Hundred Thirty-five Thousand and 00/100 Dollars ($435,000.00), COUNTY matching funds of Fifty-one Thousand and 00/100 Dollars ($51,000.00), and the CITY's share being Two Hundred Nine Thousand and 00/100 Dollars ($209,000.00); and WHEREAS, such a proposal is authorized and provided for by the provisions of Section 6500 et seq. of the Government Code and Section 1680-1684 of the California Streets and Highways Code. NOW, THEREFORE, inconsideration of the mutual benefits to be derived by CITY and COUNTY and of the promises herein contained, it is hereby agreed as follows: (1) CITY AGREES: a. To perform the preliminary engineering, contract administration, construction inspection and engineering, equipment and system testing, traffic signal timing, utility engineering and relocation, and traffic detour for PROJECT. b. To include MODIFICATIONS in PROJECT. C. To finance the COST OF PROJECT that is in excess of COUNTY'S fixed contribution of Four Hundred Eighty-six Thousand and 00/100 Dollars ($486,000.00). d. To prepare the necessary environmental document and make the required environmental finding. e. To advertise PROJECT for construction bids, to inform COUNTY of the content of the bids received, to award the construction contract after approval by COUNTY, and to administer the construction contract. f. To furnish COUNTY with information on all contract change orders for PROJECT and obtain COUNTY'S prior approval of all such contract change orders, subject to paragraph (2) d., below. g. To administerthe design and construction of PROJECT in accordance with all regulations and requirements of MTA relating to the expenditure of Proposition C Local Return funds and Proposition C twenty-five percent (25%) -3- Discretionary funds. CITY'S records for PROJECT shall be open to inspection and subject to audit and reproduction by the COUNTY and MTA, or any of their duly authorized representatives, and shall be retained by the CITY fora period not less than seven (7) years after final payment to contractor(s) for PROJECT. h. To ensure that COUNTY and all officers and employees of COUNTY are named as additional insured parties underthe construction contractor's(s) Contractor's General Liability and automobile insurance policies. To furnish COUNTY, within one hundred twenty (120) calendardays afterfinal acceptance of PROJECT and not laterthan sixty (60) calendar days priorto the funding lapsing date as specified in paragraph (3) i., below, a final accounting of the actual total PROJECT costs, including an itemization of actual unit costs and actual contract quantities; and all labor, equipment, material, consultant services, indirect, and miscellaneous costs; and other administrative and overhead costs required for CITY'S performance as specified in paragraph (1) a., above. To submit invoices to COUNTY for the actual expenditures incurred by CITY for COUNTY'S portion of the COST OF PROJECT by April 30, 2003, subject to paragraph (3) i., below. k. Upon completion of PROJECT, to accept full and complete ownership of PROJECT, and responsibility for PROJECT, and to maintain in good condition and at CITY expense all improvements constructed as part of PROJECTwithin CITY'S jurisdiction and to maintain timing of traffic signals on Santa Fe Avenue between 25th Street/26th Street and 55th Street that supports optimum synchronization of traffic signals on Santa Fe Avenue. (2) COUNTY AGREES: a. To secure and obtain MTA g rant funds to be used to finance a portion of COST OF PROJECT. b. To contribute a fixed sum of Four Hundred Eighty-six Thousand and 00/100 Dollars ($486,000.00) toward the COST OF PROJECT using MTA grantfunds and COUNTY matching funds and subject to paragraph (3) i., below. The actual COST OF PROJECT and COUNTY'S portion of the COST OF PROJECT are to be determined by a final accounting of PROJECT costs. C. To pay CITY, following the opening of construction bids for PROJECT and upon demand by CITY, sufficient funds to finance a portion of COST OF PROJECT, up to a maximum contribution of Four Hundred Eighty-six Thousand and 00/100 Dollars ($486,000.00). Said demand will consist of a billing invoice prepared by CITY. Q d. To review construction bids, the proposed award amount for PROJECT, and any change orders for PROJECT and provide written approval, or other response, within twenty (20) calendar days of presentation by CITY. COUNTY'S approval may only be withheld for good reason and in good faith. If COUNTY'S response is not received within said twenty (20) calendar days, CITY may proceed with PROJECT or change orders. e. To authorize CITY to represent COUNTY in all negotiations pertaining to the advertisement of PROJECT for construction bids, award, and administration of the construction contract, and in all things necessary and proper to complete PROJECT. (3) IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS: a. PROJECT shall include MODIFICATIONS b. COUNTY'S contribution shall only pay forthose eligible items of work included in the MTA'S Signal Synchronization and Bus Speed Improvements Program guidelines. C. The "COST OF PROJECT," as referred to in this AGREEMENT, shall consist of the costs of preliminary engineering, construction contract, contract administration, construction engineering and inspection, utility relocation, traffic detour, final signing and striping, equipment and system testing, and all other work and materials necessary to construct PROJECT in accordance with the approved plans and shall include currently effective percentages added to total salaries, wages, and equipment costs to cover overhead, administration, and depreciation in connection with any or all of the aforementioned items. d. The cost of "preliminary engineering," as referred to in this AGREEMENT, shall consist of the costs of environmental documentation; geometric investigation; preparation of plans, specifications, and cost estimates; utility engineering; and all other necessary work prior to advertising of PROJECT for construction bids and shall include currently effective percentages added to total salaries, wages, and equipment costs to cover overhead, administration, and depreciation in connection with any and all of the aforementioned items. e. The cost of the "construction contract," as referred to in this AGREEMENT, shall consist of the actual payments to the construction contractor for PROJECT. If, based upon the final accounting, COUNTY'S fixed contribution exceeds COST OF PROJECT, as set forth in paragraph (2) c., above, CITY shall refund the difference to COUNTY. g. During construction of PROJECT, CITY shall furnish an inspector or other representative to perform the functions of an inspector. COUNTY may also -5- furnish, at no cost to CITY, an inspector or other representative to inspect construction of PROJECT. COUNTY shall have no obligation to inspect PROJECT and no liability shall be attributable as a result of COUNTY'S inspection or failure to inspect. Said inspectors shall cooperate and consult with each other, but the orders of CITY inspectorto the contractor or any other person in charge of construction shall prevail and be final, and the CITY inspector shall be responsible for the proper inspection of PROJECT as needed. h. COUNTY shall not be liable for any costs for PROJECT that do not conform to the regulations and requirements of MTA, as referred to in paragraph (1) g., above. i. The MTA grant funds to be used to finance a portion of COST OF PROJECT are subject to lapse on June 30, 2003. The financial obligations of COUNTY pursuant to this AGREEMENT are conditional upon COUNTY'S obtaining reimbursement from the MTA pursuant to Memorandum of Understanding Number P0004221 between COUNTY and the MTA. CITY shall complete PROJECT and final accounting of PROJECT and submit final invoice, if any, prior to April 30, 2003. This AGREEMENT may be amended or modified only by mutual written consent of COUNTY and CITY. k. Box 1460 Alhambra, CA 91802-1460 Neither COUNTY nor any officer or employee of COUNTY shall be responsible for any damage or liability occurring by reason of any act or omission on the part of CITY under or in connection with any work, authority, or jurisdiction delegated to, assumed by, or determined to be the responsibility of CITY under this AGREEMENT. It is also understood and agreed that, pursuant to Government Code, Section 895.4, CITY shall fully indemnify, defend, and hold COUNTY harmless from any liability imposed for injury (as defined by Government Code, Section 810.8) occurring by reason of any act or omission on the part of CITY under or in connection with any work, authority, or jurisdiction delegated to or determined to be the responsibility of CITY under this AGREEMENT. Where liability for injury (as defined by Government Code, Section 810.8) is sought to be imposed under Section 830, et seq., of the Government Code for a dangerous condition of property owned by or underthe control of CITY, CITY shall fully defend, indemnify, and hold COUNTY harmless from any and all liability arising from such dangerous condition. M. Neither CITY nor any officer or employee of CITY shall be responsible for any damage or liability occurring by reason of any act or omission on the part of COUNTY under or in connection with any work, authority, or jurisdiction delegated to or determined to be the responsibility of COUNTY under this AGREEMENT. It is also understood and agreed that, pursuant to Government Code, Section 895.4, COUNTY shall fully indemnify, defend, and hold CITY harmless from any liability imposed for injury (as defined by Government Code, Section 810.8) occurring by reason of any act or omission on the part of COUNTY under or in connection with any work, authority, or jurisdiction delegated to or determined to be the responsibility of COUNTY under this AGREEMENT. n. As part of the original Memorandum of Understanding with the Alameda Corridor Transportation Authority (ACTA), ACTA will reimburse the City for costs for this project up to $500,000.00. The County of Los Angeles had scheduled traffic synchronization of Santa Fe Avenue in 2003 and it was determined that it was in the best interest of all parties if the County allowed the City to administer the project in order to expedite the construction. This project will aide in moving traffic that is presently being diverted from the Corridor onto Soto Street and Santa Fe Avenue. The County is proposing to contribute $486,000.00 toward the cost utilizing Los Angeles County Metropolitan Transportation Authority Grant Funds towards the project and the City presently has the project out for bid. Submitted, herewith is the Agreement by and between the City of Vernon and the County of Los Angeles for approval. It is hereby recommended that the attached Agreement be approved. ACTA as provided the City with $500,000.00 towards this project However, the City learned that the County had scheduled synchronization of Santa Fe Avenue in 2003. It was determined that it would be in the best interests of all parties if the County funded that portion of the signal synchronization project in Vernon, and allowed the City to administer the project in order to expedite the construction. It was our hope that the project could be completed prior to ACTA commencing their . construction. Unfortunately it took the County over one year to draft an Agreement. Nevertheless it is better to have the construction performed sooner than later, and it will aide in moving traffic that is presently being diverted from the corridor onto Soto Street and Santa Fe Avenue. The County is proposing to contribute $486,000.00 toward the cost utilizing Los Angeles County Metropolitan Transportation Authority Grant Funds towards the project. The City currently has this project out for bid. Therefore it is recommended that the attached Cooperative Agreement be approved. As part of the original Memorandum of Understanding with the Alameda Corridor Transportation Authority (ACTA), ACTA will reimburse the City for costs for this project up to $500,000.00. The County of Los Angeles had scheduled traffic synchronization of Santa Fe Avenue in 2003 and it was determined that it was in the best interest of all parties if the County allowed the City to administer the project in order to expedite the construction. This project will aide in moving traffic that is presently being diverted from the Corridor onto Soto Street and Santa Fe Avenue. The County is proposing to contribute $486,000.00 toward the cost utilizing Los Angeles County Metropolitan Transportation Authority Grant Funds towards the project and the City presently has the project out for bid. It was determined that it would be in the best interestsof all parties if the County funded that portion of the signal synchronization project in Vernon, and allowed the City to administer the project in order to expedite the construction. It was our hope that the project could be completed prior to ACTA commencing their . construction. Unfortunately it took the County over one year to draft an Agreement. Nevertheless it is better to have the construction performed sooner than later, and it will aide in moving traffic that is presently being diverted from the corridor onto Soto Street and Santa Fe Avenue.
