A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING THE ISSUANCE OF NOTES, BONDS OR
OTHER EVIDENCE OF INDEBTEDNESS FOR CROWN POLY, INC.
BY THE CALIFORNIA STATEWIDE COMMUNITIES DEVELOPMENT
AUTHORITY
WHEREAS, the City Council of the City of Vernon adopted
Resolution No. 7434 on November 2, 1999, approving an Amended and
Restated Joint Exercise of Powers Agreement ("Agreement"), in order to
become a member of the California Statewide Communities Development
Authority (the "Issuer"), a joint powers authority; and
WHEREAS, Crown Poly, Inc. (the "Borrower"), which is located
in the City of Vernon, has submitted a Land, Building and Equipment
Program (LBEP) Application to the Issuer requesting funding of real
and personal property, including equipment, to be used as, or as a
part of, a manufacturing facility that manufacturers plastic bags, to
be located at one or more of the following addresses: 5500 Alameda
St., Vernon, CA, 3015 E. 25 th St., Vernon, CA, 3136 Washington Blvd.,
Vernon, CA, 3170 Washington Blvd., Vernon, CA, 3200 Washington Blvd.,
Vernon, CA, 3240 Washington Blvd., Vernon, CA, 3250 Washington Blvd.,
Vernon, CA, 3270 Washington Blvd., Vernon, CA, 3375 Slauson Ave.,
Vernon, CA, 4400-4444 Pacific Blvd., Vernon, CA, 5600 Alameda St.,
Vernon, CA, 4160 Bandini Blvd., Vernon, CA, 4415 Bandini Blvd.,
Vernon, CA, 4505 Bandini Blvd., Vernon, CA, 4651 Bandini Blvd., Vernon

WHEREAS, the Issuer in its inducement resolution (the
("Inducement Resolution") attached hereto as Exhibit "A" has proposed
to issue its notes, bonds or any other evidence of indebtedness of the

Issuer (the "Obligations") in an aggregate principal amount not
expected to exceed Nine Million Dollars ($9,000,000) pursuant to the
California Industrial Development Financing Act, Section 91500 et
seq., of the Government Code of the State of California, as amended
and supplemented (the "Act"); and
WHEREAS, the project to be financed by the Obligations
consists of the acquisition, construction, rehabilitation and
improvement of property, including real and personal property, to be
used as, or as a part of, a manufacturing facility (the "Project") as
described in the Inducement Resolution; and
WHEREAS, the Issuer has requested that the City of Vernon
approve the issuance of the Obligations in order to satisfy the public
approval requirement of Section 147(f) of the Internal Revenue Code of
1986, as amended (the "Code"), the requirements of Section 9 of the
Amended and Restated Joint Exercise of Powers Agreement (the
"Agreement"), dated as of June 1, 1988, and the public agency approval
requirement of Section 91530(f) of the Government Code of the State of
California, as amended; and
WHEREAS, on November 28, 2000, a Notice of Public Hearing was
I published in the Metropolitan News -Enterprise, a newspaper of general
circulation in the City of Los Angeles; and
WHEREAS, the City of Vernon held a public hearing on
December 12, 2000, providing a reasonable opportunity for persons to
comment on the issuance of the Obligations and the Project; and
WHEREAS, it is intended that this resolution shall constitute
the approval of the issuance of the Obligations required by Section
147(f) of the Code, Section 9 of the Agreement and Section 91530(f) of
the Government Code of the State of California.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the issuance of the Obligations for the purposes of Section
147(f) of the Code, Section 9 of the Agreement and Section 91530(f) of
the Government Code of the State of California.
SECTION 3: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to transmit a certified copy
of this Resolution to:

WHEREAS, the California Statewide Communities Development Author+*, (the "Issuer") is
authorized and empowered by the provisions of Title 1, Division 7, Chapter 5 of the Government Code of
the State of California to issue its Obligations pursuant to the California Industrial Development
Financing Act, as amended and supplemented (the "Act"), for the purpose of financing certain costs of a
project, as that term is defined in the Act; and
WHEREAS, the Borrower desires to acquire, construct, rehabilitate and improve property,
including real and personal property, to be used as, or as a part of, a manufacturing facility (the
"Project"); and
WHMAS, the Borrower is willing to acquire, construct, rehabilitate and improve the Project
upon the issuance by the Issuer of the Obligation to finance the Project pursuant to the Act; and
WHEREAS, the Borrower has heretofore submitted, and this Commission has accepted, an
application requesting financing for the Project; and
WHEREAS, the Issuer may not issue the Obligation to finance the Project until this Commission
makes certain determinations with respect to public benefits and qualification of the Project as required
by the Act; and
WHEREAS, this Commission has carefully considered and discussed the information contained
in the Borrower's application and other information necessary to make such determinations; and

WHEREAS, this Commission desires to induce the Borrower to commence acquisition,
construction, rehabilitation and improvement of the Project at the earliest possible time so as to produce
the public benefits set forth herein; and
WHEREAS, the Issuer, in the course of assisting the Borrower in the financing of the Project,
expects that the Borrower has paid or may pay certain expenditures (the "Reimbursement Expenditures")
in connection with the Project within 60 days prior to the adoption of this Resolution and prior to the
issuance of the Obligation for the purpose of financing costs associated with the Project on a long-term
basis; and
WHEM,AS, the Issuer reasonably expects that the Obligation in an amount not expected to
exceed the Maximum Principal Amount will be issued and that certain of the proceeds of the Obligation
may be used to reimburse the Reimbursement Expenditures; and
WHEREAS, Section 1.103-8(axS) and Section 1.150-2 of the Treasury Regulations require the
Issuer to declare its reasonable official intent to reimburse prior expenditures for the Project. with
proceeds of a subsequent borrowing;
NOW, THEREFORE, the. Commission of the California Statewide Communities Development
Issuer does hereby resolve as follows:

Section 3. It is the present intent of the Issuer to issue, at one time or from time to time, the
Obligation (the interest of which is intended to be exempt from federal income taxation) when permitted
to do so under the Act in the amount not to exceed the Maximum Principal Amount to finance certain
costs of the Project.

Section 4. This Resolution is being adopted by the Issuer for purposes of establishing
compliance with the requirements of Section 1.103-8(ax5) and Section 1.150-2 of the Treasury
Regulations. In that regard, the Issuer hereby declares its official intent to use proceeds of indebtedness
to reimburse the Reimbursement Expenditures. Notwithstanding the foregoing, this resolution does not
bind the Issuer to Awake any expenditure, incur any indebtedness, or proceed with the financing of the
Project.
Section S. This resolution shall take effect immediately upon its passage.
PASSED AND ADOPTED by the California Statewide Communities Development
Authority this 10`h day of October, 2000.

Crown Poly, Inc. (CPI), a manufacturer of plastic bags, located at
4160 Bandini Boulevard is requesting Equipment Only Purchase Program
(EOPP) financing. CPI is planning to expand its operation and spend
$1.5 million in new manufacturing equipment at a tax-exempt rate for

assist California Communities with providing the funds of $9 million.
There would be no cost to the City and it is hereby recommended to
support CSCDA in the "tax-exempt obligations" funding not to exceed $9

SUBJECT: CROWN POLY STAFF REPORT - TAX-EXEMPT OBLIGATIONS
Crown Poly, Inc. (CPI), located at 4160 Bandini Blvd,
Vernon, CA 90023, is requesting Equipment Only Purchase Program
(EOPP) financing. CPI is a California, C Corporation,
incorporated in October 1991. Ebrahim Simhaee is 100% principal
owner. CPI's principal business activity is manufacturing of
plastic produce bags. CPI has developed a "PULL-N-PAK" Bagging
System, which incorporates a patented dispenser and patented
bag. CPI is also the only manufacturer in the U.S. with
consistent export business of produce bags to five continents.
CPI is seeking to purchase $1.5 million in new
manufacturing equipment at a tax-exempt rate for the year 2000.
The equipment consists of (2) blown film extrusion and
conversion production lines for the manufacture of plastic bags
and plastic bags. In 2001, CPI is looking to, construct a $7.5
million manufacturing facility for expansion purposes.
CPI is requesting bids to finance the equipment at a tax-
exempt rate for a period of seven years. Proposals less than a
seven-year term will be considered.
All Industrial Development Bonds in the State of California
require bond volume cap allocation to finance at a tax-exempt
rate. California Communities has received additional volume cap
allocation for the Equipment program. The transaction cannot
fund until December 19, 2000 this is the scheduled funding
approval meeting by the California Industrial Development
Financing Advisory Committee. California Statewide Communities
Development Authority (CSCDA) will assist in filing an
application in the year 2001 for the new $7.5 million facility.
Funding is expected in June 2001. In any event, the City of
Vernon has no financial responsibility for this bond financing.
It is recommended that we support the CSCDA issuance of
"tax-exempt obligations" to CPI for their expansion needs.

If any portion of the funds are spent on a location other
than listed above, the interest on the obligations will become
taxable and subject to audit. Doug Nuttall is aware of the
restrictions and possible penalties of these funds and he has
informed me that they will accept the penalties if they cannot
negotiate on one of the sites as listed above. I have also
informed Mr. Nuttall that the City of Vernon/Redevelopment
Agency is not required to or shall be responsible in assisting
Crown Poly to secure a site for their proposed expansion.
As stated in the Notice of Public Hearing, the Obligations
will be paid entirely from repayments by the Borrower (Crown
Poly) under the Loan Agreement. Neither the faith and credit
nor any taxing power of the City of Vernon, the Issuer, the
State of California (the "State") or any other political
corporation, subdivision or agency of the State is pledged to
the payment of the principal of or premium, if any, or interest
on the Obligations, nor shall the City of Vernon, the State or
any other political corporation, subdivision or agency of the
State be liable or obligated to pay the principal of or premium,
if any, or interest on the Obligations.

Crown Poly, Inc. (CPI), a manufacturer of plastic bags, located at
4160 Bandini Boulevard is requesting Equipment Only Purchase Program
(EOPP) financing. CPI is planning to expand its operation and spend
$1.5 million in new manufacturing equipment at a tax-exempt rate for
the year 2000, and in 2001 they are forecasting to construct a $7.5
million manufacturing facility. Funding is available through The
California Communities, a public agency; however, the transaction
cannot be funded before November 28, 2000.
California Statewide Communities Development Authority (CSCDA) will
assist California Communities with providing the funds of $9 million.
There would be no cost to the City and it is hereby recommended to
support CSCDA in the "tax-exempt obligations" funding not to exceed $9
million to CPI for equipment and the construction of the new facility.
