A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF MIDWAY FORD ON BID NO.
1400 FOR THE PURCHASE OF A 2001 FORD CROWN VICTORIA
LX SEDAN FOR THE FIRE DEPARTMENT AND APPROVING AND
AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE
CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER
RESPECTING SAID BID

WHEREAS, the Fire Department is in need of a new Ford Crown
Victoria LX to replace the existing Fire Chief's vehicle; and
WHEREAS, pursuant to Resolution No. 7661 adopted by the City
Council of the City of Vernon on November 21, 2000, the City Clerk was
directed to give notice inviting sealed proposals or bids for the
1purchase of a new Ford Crown Victoria LX in accordance with a Bid
Proposal (Bid No. 1400); and
WHEREAS, the Bid Proposal (Bid No. 1400) of the City of Vernon
was approved by the City Council of the City of Vernon pursuant to
Resolution No. 7661, and sealed bids were opened on December 18, 2000;
land
WHEREAS, the following bids were received on Bid No. 1400:
Midway Ford bid a total of Twenty -Five Thousand Five Hundred Forty -Two
Dollars and No Cents ($25,542.00), including tax; Miracle Ford bid a
total of Twenty -Six Thousand Nine Hundred Fifty -Four Dollars and
Twenty -Five Cents ($26,954.25) (subject to a $500 discount if paid net
30 days), including tax; Wondrie-s Ford bid a total of Twenty -Seven
Thousand Eight Hundred Eighty -Five Dollars and No Cents ($27,885.00)
(subject to a $300 discount if paid net 30 days), including tax; and
WHEREAS, said bid was reviewed and approved by the Fire

Department; and
WHEREAS, Bruce V. Malkenhorst, City Administrator/City-Clerk,
by letter dated December 26, 2000, recommended that Bid No. 1400 be
awarded to Midway Ford, the lowest responsible bidder meeting the
requirements of Bid No. 1400.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
awards Bid No. 1400 to Midway Ford and accepts and approves the Vehicle'
Purchase Contract, a copy of which is attached hereto as Exhibit "A"
and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute the Vehicle Purchase
Contract on behalf of the City and authorizes the issuance of a
purchase order for the purchase of a 2001 Ford Crown Victoria LX Sedan
pursuant -to Bid No. 1400.
SECTION 4: The City Council oftheCity of Vernon hereby
directs the City Clerk, or his designee, to send a copy of this
resolution and one fully executed Contract to:

SECTION 5: All other bids in connection with Bid No. 1400 are
rejected, subject to execution of the aforesaid contract documents from
Midway Ford, accompanied by all required certificates.
SECTION 6: The City Clerk of the City of Vernon shall certify
to the passage of this resolution, and thereupon and thereafter the
same shall be in full force and effect.

15 WHEREAS, on December 4, 2000, the City issued Bid No. 1400
16 which sets forth specifications for the 2001 Ford Crown Victoria LX
17 :Sedan required by the City; and
18 WHEREAS, on December 12, 2000, Midway responded to Bid No.
19 1400; and
20 WHEREAS, the City has accepted Midway's bid and desires to
21 purchase the 2001 Ford Crown Victoria LX Sedan from Midway.
22 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
23 FORTH HEREIN:
24 1. Purchase. Midway agrees to sell to the City a 2001
25 Ford Crown Victoria LX Sedan, that meets the specifications contained
26 in City of Vernon Bid No. 1400, dated December 4, 2000, and that is
27 consistent with Midway's Bid of December 12, 2000 (collectively
28 referred to as the "Bid Documents"). A copy of the Bid Documents are
attached hereto as Exhibit "A" and incorporated herein by reference
2. Price. Consistent with its Bid, Midway agrees to
sell and deliver, subjecttofinal inspection by the City, a 2001 Ford
Crown Victoria LX ,Sedan for the total sum of Twenty -Five Thousand Five
Hundred Forty -Two Dollars and No Cents ($25,542.00), including sales
tax.
3. Payment Terms. The City agrees to pay Midway a total
of Twenty -Five Thousand Five Hundred Forty -Two Dollars and No Cents
($25,542.00), for the purchase of the 2001 Ford Crown Victoria LX
Sedan within thirty (30) days net of receipt of the vehicle.
4. Warranties. Midway shall provide,at a minimum, a
one (1) year labor and material warranty to begin upon acceptance of
the 2001 Ford Crown Victoria LX Sedan by the City. All manufacturers'
warranties, and any other warranties made applicable by law, shall
apply to the City's purchase of the above -referenced vehicle.
5. General Provisions.
A. Governing Law. The laws of the State of
California shall govern the rights, obligations, duties and liability
of the parties to this Contract and shall also govern the
interpretation of this Contract.
B. Notices. Notices to the parties, unless otherwise
requested in writing, shall be sent to:

WHEREAS, the City is in need of a Vehicle for its

3. Payment Terms. The City agrees to pay CONTRACTOR a total of

4. Warranties. CONTRACTOR shall provide, at a minimum, a one (1) year labor
and material warranty to begin upon acceptance of the by the City. All
manufacturers' warranties, and any other warranties made applicable by law, shall apply to the City's
purchase of the above -referenced Vehicle.
5. General Provisions.
A. Governing Law. The laws of the State of California
shall govern the rights, obligations, duties and liability of the
parties to this Contract and shall also govern the interpretation of
this Contract.
B. Notices. Notices to the parties, unless otherwise requested in writing,
shall be sent to:
