Resolution No. 76931 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 7693 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A CONTRACT BY AND BETWEEN THE CITY OF VERNON AND ROLLS- ROYCE ENGINE SERVICES-OAKLAND INC., FOR THE OVERHAUL OF TURBINE NO. 7 WHEREAS, on October 17, 2000, the City Council of the City of Vernon adopted Resolution No. 7650 approving a Contract with Rolls- Royce Engine Services -Oakland Inc. ("Rolls Royce") to inspect, disassemble, clean.and provide a cost estimate regarding the overhauling of the City's two gas turbines; and WHEREAS, Rolls-Royce has provided the City with a cost estimate of approximately Eight Hundred Thousand Dollars and No Cents ($800,000.00) to perform the overhaul of Turbine No. 7; and WHEREAS, the City needs to complete the overhaul of Turbine No. 7 in order to ensure that Turbine No. 7 is fully operational by June 1, 2001; and WHEREAS, on January 16, 2001, the Finance Committee approved the recommendation of Bruce V. Malkenhorst, Director of Finance, dated January 9, 2001, that the City proceed with the overhaul of the turbine and that an equipment service agreement be executed with Rolls-Royce to perform the overhaul for Turbine No. 7; and WHEREAS, the City Council finds that, based upon the above, Rolls-Royce is the most qualified vendor to provide the services and supplies necessary for the overhaul of Turbine No. 7; and WHEREAS, the City Council of the City of Vernon has determined) that, pursuant to the provisions of Subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 proceed with the overhaul of Turbine No. 7 and to contract for the necessary overhauling service as soon as possible. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Contract with Rolls-Royce, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Rolls-Royce Engine Services -Oakland Inc. (hereinafter 13 referred to as "Rolls-Royce") 7200 Earhart Road 14 Oakland, CA 94621-4504 15 16 WHEREAS, in October of 2000, the City and Rolls-Royce entered 17 into a Contract whereby Rolls-Royce was toperform the first stage of 1$ overhauling the City's two gas turbines; and 19 WHEREAS, Rolls-Royce was to inspect, disassemble, clean and 20 provide a cost estimate regarding the overhauling of the two gas 21 turbines; and 22 WHEREAS, Rolls-Royce has now provided the City with the cost 23 estimate of overhauling one of the gas turbines, engine number 7; and 24 WHEREAS, the City needs to complete the overhaul this gas 25 turbine to ensure the availability of the turbine for the summer of 26 2001; and 27 WHEREAS, the City has informed Rolls-Royce and Rolls-Royce 28 has acknowledged that the City requires that engine number 7 be in - 1 - 1 the City's possession by May 1, 2001 so that the City can ensure that 2 it is fully operational by June 1, 2001; and 3 WHEREAS, Rolls-Royce has represented that it is a reliable 4 vendor and has expertise in performing the overhauling the gas 5 turbines and can comply with the City's time schedule; and 6 WHEREAS, Rolls-Royce desires to provide the necessary parts 7 and labor to perform the overhaul of this gas turbine according to the 8 City's specifications. 9 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 10 FORTH HEREIN: 11 1. Scope of Work. Rolls-Royce agrees to inspect, 12 disassemble, clean and overhaul one of the City's gas turbines (engine 13 number 7) according to the Proposal submitted to the City on January 14 4, 2001, a copy of which is attached hereto as Exhibit "A" and 15 incorporated herein by reference. 16 2. Time of Performance. Rolls-Royce's services as 17 identified herein shall commence upon the signing of this Agreement 18 and shall be completed by May 1, 2001, unless terminated or extended. 19 3. Price. Consistent with its Proposal, Rolls-Royce 20 agrees to perform the work set forth in the approximate sum of Seven 21 Hundred, Ninety -One Thousand, Six Hundred Forty -Six Dollars.and 22 Twenty-four Cents ($791,646.24), plus tax. 23 4. Payment Terms. The City agrees to pay Rolls-Royce 24 for parts and labor associated with the overhaul of engine number 7. 25 The work and parts shall be invoiced in a manner consistent with the 26 Proposal and will be in an amount not to exceed Seven Hundred, Ninety- 27 One Thousand, Six Hundred Forty -Six Dollars and Twenty-four Cents 28 ($791,646.24) plus tax. 2 - 1 5. Warranties. Rolls-Royce shall provide, at a minimum, 2 a one (1) year or 2,000 running hour labor and material warranty to 3 begin upon acceptance of the overhaul by the City. All manufacturers' 4 warranties, any warranties typically provided by Rolls-Royce, and any 5 other warranties made applicable by law shall apply to the parts and 6 labor provided by Rolls-Royce to complete the overhaul of one of the 7 City's two gas turbines. 8 6. Governing Law. The validity, interpretation and 9 performance of this contract shall be controlled and construed under 10 the laws of the State of California. 11 7. Notices. Notices to the parties, unless otherwise 12 requested in writing, shall be sent to: 13 City: THE CITY OF VERNON 14 ATTN: BRUCE V. At all times during the 21 term of this Contract, Rolls-Royce shall be an independent contractor 22 and shall not be an employee of the City. The City shall have the 23 right to control Rolls-Royce only insofar as the results of Rolls 24 Royce's services rendered pursuant to this Contract; however, the City 25 shall not have the right to control the means by which Rolls-Royce 26 accomplishes services rendered pursuant to the Contract except to the 27 extent that such services involve the use of City property or 28 Confidential Information. - 3 - r I 1 B. Rolls-Royce Not Agent. Except as the City may- 2 specify in writing, Rolls-Royce shall have no authority, express or 3 implied, to act on behalf of the City in any capacity whatsoever as an 4 agent. Rolls-Royce shall have no authority, express or implied, 5 pursuant to this Contract to bind the City to any obligation 6 whatsoever. 7 C. Indemnification. Rolls-Royce shall indemnify, 8 defend, protect and hold the City and its officers, agents and 9 employees, free and harmless from and against any and all claims, 10 demands, losses, damages, liabilities, fines, charges, penalties, 11 orders, judgments and all costs and expenses incurred in connection 12 therewith, including reasonable attorney's fees and costs of defense 13 arising out of the services performed under this Contract, except to 14 the extent arising from or caused by the sole negligence or willful 15 misconduct of the City, its officers, agents or employees. 16 D. Comprehensive General and Automobile Insurance. 17 Rolls-Royce agrees to provide insurance in the amounts and forms 18 specified in Exhibit "B, which is attached hereto and made apart 19 hereof by reference. Comparable coverage shall be provided for each 20 subcontractor used in the performance of this Agreement. Rolls-Royce 21 shall submit to the City documentation indicating compliance with 22 these minimum requirements no less than one (1) day prior to the 23 beginning of performance under this Agreement. Rolls-Royce shall not 24 commence performance of its services under this Agreement until the 25 above insurance has been obtained and proof of insurance has been 26 filed with and approved by the City. 27 9. Recitals. All recitals are incorporated by 28 reference. - 4 - 10. Entire Agreement. This Contract is the entire agreement of the parties. Rolls-Royce represents that in entering into this Contract, it has not relied on any previous representations or understandings of any kind or nature.. 11. Time of the Essence. Time is of the essence of this agreement and of each and every provision hereof. The waiver by the City of any breach or breaches hereof shall not be deemed, nor shall the same constitute, a waiver of any subsequent breach or breaches. 12. Risk of Loss. The risk of loss shall not pass to the City until the City actually receives the overhauled engine at the Vernon Power Plant. 13. Attorneys' Fees. In the event that it becomes necessary for either party to this Agreement to enforce any of the provisions of this Agreement, the parties agree that a court of competent jurisdiction may determine and fix reasonable attorney's fees to be paid to the successful litigant. 14. Benefit of Agreement.
