A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
CONTRACT BY AND BETWEEN THE CITY OF VERNON AND ROLLS-
ROYCE ENGINE SERVICES-OAKLAND INC., FOR THE OVERHAUL
OF TURBINE NO. 6
WHEREAS, on October 17, 2000, the City Council of the City of
Vernon adopted Resolution No. 7650 approving a Contract with Rolls-
Royce Engine Services -Oakland Inc. ("Rolls Royce") to inspect,
disassemble, clean and provide a cost estimate regarding the
overhauling of two of the City's gas turbines; and
WHEREAS, on January 17, 2001, the City Council of the City of
Vernon adopted Resolution No. 7693 approving a Contract with Rolls
Royce to overhaul Turbine No. 7; and
WHEREAS, Rolls-Royce has provided the City with a cost
estimate of Seven Hundred Sixty -Five Thousand Seven Hundred Forty -Two
Dollars and Sixty -Four Cents ($765,742.64), plus tax, to perform the
overhaul of Turbine No. 6; and
WHEREAS, the City needs to complete the overhaul of Turbine
No. 6 in order to ensure that Turbine No. 6 is fully operational by
June 1, 2001; and
WHEREAS, on March 20, 2001, the Finance Committee approved the
recommendation of Bruce V. Malkenhorst, Director of Finance, dated
March 15, 2001, that the City proceed with the overhaul of the turbine
and that an equipment service agreement be executed with Rolls-Royce to
perform the overhaul for Turbine No. 6; and
WHEREAS, the City Council finds that, based upon the above,
Rolls-Royce is the most qualified vendor to provide the services and
supplies necessary for the overhaul of Turbine No. 6; and

WHEREAS, the City Council of the City of Vernon has determined
that, pursuant to the provisions of Subsection (a) of Section 2.27 of
the Vernon City Code, it is in the public interest and necessity to
proceed with the overhaul of Turbine No. 6 and to contract for the
necessary overhauling service as soon as possible.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Contract with Rolls-Royce, a copy of which is attached
hereto as Exhibit "A" and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Contract for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Contract to:
Rolls-Royce Engine Services -Oakland Inc.

same shall be in full force and effect.

THIS AGREEMENT is made, entered into and executed in
duplicate originals, either copy of which may be considered and used
as the original hereof for all purposes, as of this day of March
2001, in the City of Vernon, County of Los Angeles, California

referred to as "Rolls-Royce")

WHEREAS, in October of 2000, the City and Rolls-Royce entered
into a Contract whereby Rolls-Royce was to perform the first stage of
overhauling the City's two gas turbines; and
WHEREAS, Rolls-Royce was to inspect, disassemble, clean and
provide a cost estimate regarding the overhauling of the two gas
turbines; and
WHEREAS, on January 17,2001, the City approved and adopted
Resolution No. 7693, whereby the City contracted with Rolls-Royce for
the overhauling of gas turbine engine number 7; and
WHEREAS, Rolls-Royce has now provided the City with the cost
estimate of overhauling gas turbine engine number 6; and
WHEREAS, the City needs to complete the overhaul this gas
turbine to ensure the availability of the turbine for the summer of
2001; and

1 WHEREAS, the City has informed Rolls-Royce and Rolls-Royce
2 has acknowledged that the City requires engine number 6 to be in the
3 City's possession by May 1, 2001 so that the City can ensure that it
4 is fully operational by June 1, 2001; and
5 WHEREAS, Rolls-Royce has represented that it is a reliable
6 vendor and has expertise in performing the overhauling the gas
7 turbines and can comply with the City's time schedule; and
8 WHEREAS, Rolls-Royce desires to provide the necessary parts
9 and labor to perform the overhaul of this gas turbine according to the
10 City's specifications.
11 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
12 FORTH HEREIN:
13 1. Scope of Work. Rolls-Royce agrees to inspect,
14 disassemble, clean and overhaul one of the City's gas turbines (engine
15 number 6) according to the Proposal submitted to the City on February
16 22, 2001, a copy of which is attached hereto as Exhibit "A" and
17 incorporated herein by reference.
18 2. Time of Performance. Rolls-Royce's services as
19 identified herein shall commence upon the signing of this Agreement
20 and shall be completed by May 1, 2001, unless terminated or extended.
21 3. Price. Consistent with its Proposal, Rolls-Royce
22 agrees to perform the work set forth in the approximate sum of Seven
23 Hundred, Sixty -Five Thousand, Seven Hundred Forty -Two Dollars and
24 Sixty-four Cents ($765,742.64), plus tax.
25 4. Payment Terms. The City agrees to pay Rolls-Royce
26 for parts and labor associated with the overhaul of engine number 6.
27 The work and parts shall be invoiced in a manner consistent with the
28 Proposal and will be in an amount not to exceed Seven Hundred, Sixty-

1 Five Thousand, Seven Hundred Forty -Two Dollars and Sixty-four Cents
2 ($765,742.64), plus tax.
3 5. Warranties. Rolls-Royce shall provide, at a minimum,
4 a one (1) year or 2,000 running hour labor and material warranty to
5 begin upon acceptance of the overhaul by the City. All manufacturers'
6 warranties, any warranties typically provided by Rolls-Royce, and any
7 other warranties made applicable by law shall apply to the parts and
8 labor provided by Rolls-Royce to complete the overhaul of one of the
9 City's two gas turbines.
10 6. Governing Law. The validity, interpretation and
11 performance of this contract shall be controlled and construed under
12 the laws of the State of California.
13 7. Notices. Notices to the parties, unless requested in
14 writing, shall be sent to:

21 8. General Provisions.
22 A. Independent Contractor. At all times during the
23 term of this Contract, Rolls-Royce shall be an independent contractor
24 and shall not be an employee of the City. The City shall have the
25 right to control Rolls-Royce only insofar as the results of Rolls-
26 Royce's services rendered pursuant to this Contract; however, the City
27 shall not have the right to control the means by which Rolls-Royce
28 accomplishes services rendered pursuant to the Contract except to the

1 extent that such services involve the use of City property or
2 Confidential Information.
3 B. Rolls-Royce Not Agent. Except as the City may
4 specify in writing, Rolls-Royce shall have no authority, express or
5 implied, to act on behalf of the City in any capacity whatsoever as an
6 agent. Rolls-Royce shall have no authority, express or implied,
7 pursuant to this Contract to bind the City to any obligation
8 whatsoever.
9 C. Indemnification. Rolls-Royce shall indemnify,
10 defend, protect and hold the City and its officers, agents and
11 employees, free and harmless from and against any and all claims,
12 demands, losses, damages, liabilities, fines, charges, penalties,
13 orders, judgments and all costs and expenses incurred in connection
14 therewith, including reasonable attorney's fees and costs of defense
15 arising out of the services performed under this Contract, except to
16 the extent arising from or caused by the sole negligence or willful
17 misconduct of the City, its officers, agents or employees.
18 D. Comprehensive General and Automobile Insurance.
19 Rolls-Royce agrees to provide insurance in the amounts and forms
20 specified in Exhibit "B," which is attached hereto and made a part
21 hereof by reference. Comparable coverage shall be provided for each
22 subcontractor used in the performance of this Agreement. Rolls-Royce
23 shall submit to the City documentation indicating compliance with
24 these minimum requirements no less than one (1) day prior to the
25 beginning of performance under this Agreement. Rolls-Royce shall not
26 commence performance of its services under this Agreement until the
27 above insurance has been obtained and proof of insurance has been
28 filed with and approved by the City.

1 9. Recitals. All recitals are incorporated by
2 reference.
3 10. Entire Agreement. This Contract is the entire
4 agreement of the parties. Rolls-Royce represents that in entering
5 into this Contract, it has not relied on any previous representations
6 or understandings of any kind or nature.
7 11. Time of the Essence. Time is of the essence of this
8 agreement and of each and every provision hereof. The waiver by the
9 City of any breach or breaches hereof shall not be deemed, nor shall
10 the same constitute, a waiver of any subsequent breach or breaches.
11 12. Risk of Loss. The risk of loss shall not pass to the
12 City until the City actually receives the overhauled engine at the
13 Vernon Power Plant.
14 13. Attorneys' Fees. In the event that it becomes
15 necessary for either party to this Agreement to enforce any of the
16 provisions of this Agreement, the parties agree that a court of
17 competent jurisdiction may determine and fix reasonable attorney's
18 fees to be paid to the successful litigant.
19 14. Benefit of Agreement. This Contract shall bind and
20 benefit the parties hereto and their heirs, successors, and permitted
21 assigns.

a. The general liability policy shall contain the following special endorsements that shall be noted on or
17 attached to the standard certificate of insurance:

1. An endorsement naming the City of Vernon, its officers, and employees as additional insureds
19 under the policy.
2. An endorsement providing the City of Vernon thirty (30) days notice of cancellation or material
20 reduction of coverage.
21 3. An endorsement providing coverage for all operations under this Agreement.
4. Such other endorsement as may be required by addendum hereto.

b. In addition to the standard certificate of insurance, proof of general and professional liability coverage
23 shall be furnished in the form checked below. Certification of the following proofs by the insurance
24 agent or broker will not be accepted:
25 X For each policy, a notarized letter from the underwriter or carrier certifying that the coverage and
statements in the standard certificate of insurance (attached thereto) are true and correct and that
26 the signatory is an officer authorized to so certify.
