ONE TO AGREEMENT FOR MOBILE INTENSIVE CARE UNIT PARAMEDIC AND AMBULANCE SERVICES AND USE OF CITY VEHICLE, EQUIPMENT AND FACILITIES BY AND BETWEEN THE CITY OF VERNON AND AMERICAN MEDICAL RESPONSE, INC. - WHEREAS, on March 25, 1997, the City Council of the City of Vernon adopted Resolution No. 6933 approving and authorizing the execution of an Agreement for Mobile Intensive Care Unit (MICU) Paramedic and Ambulance Services and Use of City Vehicle, Equipment and Facilities ("Agreement") with American Medical Response, Inc. ("AMR") which has been continuing on a month -to -month basis since July 31, 1998; and WHEREAS, pursuant to the Agreement, AMR was to make available a backup MICU paramedic ambulance within a fifteen (15) minute response time for any call within the City of Vernon's boundaries; and WHEREAS, the Vernon Fire Department has determined that a backup basic life support emergency ambulance staffed with Emergency Medical Technicians (EMT 1A) responding to calls in the City that do not require the paramedic level of service would benefit the health and welfare of its citizens and maintain a high level of paramedic service to the City; and WHEREAS, the City of Vernon and AMR desire to amend the Agreement to change the manner in which AMR responds to calls for emergencies and to extend the term of the Agreement; and e 1 WHEREAS, by letter dated April 12, 2001, Bruce V. 2 Malkenhorst, City Administrator/City Clerk, has recommended that an 3 amendment to the Agreement be approved and executed. 4 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 5 CITY OF VERNON AS FOLLOWS: 6 SECTION 1: The City Council of the City of Vernon hereby 7 finds and determines that the recitals contained hereinabove are true 8 and correct. 9 SECTION 2: The City Council of the City of Vernon hereby 10 approves Amendment No. One to Agreement for Mobile.Intensive Care Unit 11 Paramedic and Ambulance Services and Use of City Vehicle, Equipment 12 and Facilities with AMR, a copy of which is attached hereto as Exhibit 13 "A" and made a part hereof. 14 SECTION 3: The City Council of the City of Vernon hereby 15 authorizes the Mayor and the City Clerk to execute said Amendment for, 16 and on behalf of, the City of Vernon. 17 SECTION 4: The City Council of the City of Vernon hereby 18 directs the City Clerk, or his designee, to send one fully executed 19 Amendment to: 20 American Medical Response, Inc. 21 Attn. (hereinafter referred to as "Provider") is 20101 Hamilton Avenue Suite 300 16 Torrance, California 90502 (310) 851-7000 17 RECITALS 18 � \ 19 WHEREAS, the City and PROVIDER are parties to an Agreement 20 dated April, 1997 hereinafter referred to as the "Agreement") with 21 respect to Mobile Intensive Care Unit (MICU) paramedic and ambulance 22 Services in the City; and 23 WHEREAS, pursuant to the Agreement, PROVIDER was required to 24 make available a backup MICU paramedic ambulance available within a 25 fifteen (15) minute response time for any call within CITY'S 26 boundaries; and 27 WIiEREAS, the City has determined that in order to maintain a 28 high level of paramedic service to the City, that PROVIDER should have 1 to Id t 'ON XUA 0A110 muna3 wd i0: i i 3ni 1003-Lt-add Z a backup basic life support emergency ambulance staffed with Emergency 2 Medical Technicians (EMT 1A) to respond to calls in the City that do 3 not require the paramedic level of service; and 4 WHEREAS, PROVIDER is willing to provide such an emergency 5 ambulance respond to calls that do not require paramedic levels of 6 service under the same terms and conditions that are currently set 7 f orth in ,the Agreement; and a WHEREAS, the Agreement has an initial term that was scheduled 9 to end on July 1, 1991, and then to continue on a month -to -month 10 basis; and 11 WHEREAS, the City and PROVIDER desire to amend the Agreement 12 to change the manner in which provider responds to calls for 13 emergencies and to extend the term of the Agreement. J.4 NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS, 15 THE PARTIES HERETO AGREE AS FOLLOWS: 16 SECTION 1; Section 7 of the Agreement shall be amended to read as follows: 18 CITY' S DISPATC11ER. CITY shall utilize it dispatcher for 19 gathering necessary medical and location information and will promptly 20 dispatch CITY'S paramedic vehicle and PROVIDER's MICU paramedic 21 ambulance(s) to the scene of medical emergencies, when the need for 22 such services is determined. PROVIDER shall, in each instance of an 23 authorized call, -transport the injured party to the nearest available 24 appropriate hospital or emergency medical facility approved under the 25 Los Angeles County Emergency Aid Program; provided, however, that 26 nothing stated herein shall preclude the patient from Specifying a 27 different hospital or other destination. 28 2 ?1O 'd I ON W.a 0A 110 OQNUM WV 10 :11 M 1002—L I AN i SECTION 2: Section s of the Agreement shall be amended to read as follows: 3 PARAMEDIC SERVICES. PROVIDER shall provide ambulance service 4 using CITY'S paramedic vehicle or PR.OVIDER's MICU paramedic ambulances 5 to all places within the cITY's boundaries. PROVIDER shall also 6 provide an emergency ambulance staffed with Emergency Medical 7 Technicians (EMT's). PROVIDER shall respond promptly and without 8 delay on all paramedic calls received by the dispatcher. 9 (a) CITY's paramedic vehicle will be committed to CITY 10 paramedic_responses. 11 (b) PROVIDER shall have available a backup MICU paramedic 12 ambulance within a fifteen (15) minute response time for any call 13 within CITY's boundaries. 14 (c) If a backup MICU paramedic ambulance is unavailable 7.5 PROVIDER will respond with an emergency ambulance staffed with 16 Emergency Medical Technicians 1's (EMT-1) on any subsequent backup 17 call. EMT ambulance will arrive to Calls within 15 minutes for 90% of 18 the calls. 19 (d) At such times when all PROVIDER ambulances are 20 unavailable, PROVIDER agrees to arrange, at its own expense, for 21 additional backup from other ambulance companies. However, it is 22 expressly understood that PROVIDER shall have available a backup unit 23 in accordance with paragraph (b) and PROVIDER must provide evidence of 24 good and sufficient cause if said service is unavailable. SECTION 3: Section 21 of the Agreement shall be amended to read as follows: TERM OF AGREEMENT. The term of this Agreement shall be from April 18, 2001 through and including April 18, 2002. In the event said Agreement is not terminated prior to April 18, 2002, it shall be automatically renewed for an additional one (1) year term and will continue to be automatically renewed each year thereafter according to the same terms and conditions currently existing under the Agreement, including charges and fees, unless otherwise mutually agreed to by the City and PROVIDER. If either party wishes to terminate this Agreement before April 18, 2002, or thereafter, such party shall give the other party a written notice (registered or certified letter) at least thirty (30) days prior to said termination date indicating the intent to terminate. However, notwithstanding the above, City shall have the right to unilaterally terminate said Agreement on five (5) days written notice if PROVIDER is in violation of the L.A. County MICU Rules and Regulations or any other terms and conditions of this Agreement.
