RESOLUTION NO. 7768
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF MIDWAY FORD ON BID NO.-
1406 FOR THE PURCHASE OF A FORD F450 UTILITY TRUCK
FOR THE COMMUNITY SERVICES AND WATER DEPARTMENT AND
APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE
PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE
ORDER RESPECTING SAID BID
WHEREAS, the Community Services and Water Department is in
need of a new Ford F450 Utility Truck to replace Unit. No. 168; and
WHEREAS, pursuant to Resolution No. 7733 adopted by the City
Council of the City of Vernon on March 21, 2001, the City Clerk was
directed to give notice inviting sealed proposals or bids for the
purchase of a new Ford F450 Utility Truck in accordance with a Bid
Proposal (Bid No. 1406); and
WHEREAS, the Bid Proposal (Bid No. 1406) of the City of Vernon
was approved by the City Council of the City of Vernon pursuant to
Resolution No. 7733, and sealed bids were opened on May 8, 2001; and
WHEREAS, the following bids were received on Bid No. 1406
Midway Ford bid a total of Seventy -Seven Thousand Three Hundred
Seventy -Nine Dollars and Twenty -Eight Cents ($77,379.28), tax not
included; and Golden State Truck Center bid a total of Eighty -Two
Thousand Six Hundred Twenty -Seven Dollars and Fifty -Two Cents
($82,627.52), tax not included; and
WHEREAS, said bid was reviewed and approved by the Community
Services and Water Department; and
WHEREAS, Bruce V. Malkenhorst, City Administrator/City Clerk,
by letter dated May 16, 2001, recommended that Bid No. 1406 be awarded

1 to Midway Ford, the lowest responsible bidder meeting the requirements
2 of Bid No. 1406.
3 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
4 OF VERNON AS FOLLOWS:
5 SECTION 1: The City Council of the City of Vernon hereby
6 finds and determines that the recitals contained hereinabove are true
7 and correct.
8 SECTION 2: The City Council of the City of Vernon hereby
9 awards Bid No. 1406 to Midway Ford and accepts and approves the Vehicle
10 Purchase Contract, a copy of which is attached hereto as Exhibit "A"
11 and made a part hereof.
12 SECTION 3: The City Council of the City of Vernon hereby
13 authorizes the Mayor and the City Clerk to execute the Vehicle Purchase
14 Contract on behalf of the City and authorizes the issuance of a
15 purchase order for the purchase of a Ford F450 Utility Truck pursuant
16 to Bid No. 1406.
17 SECTION 4: The City Council of the City of Vernon hereby
18 directs the City Clerk, or his designee, to send a copy of this
19 resolution and one fully executed Contract to:

23 SECTION 5: All other bids in connection with Bid No. 1406 are

rejected, subject to execution of the aforesaid contract documents from

26 Midway Ford, accompanied by all required certificates.
27 SECTION 6: The City Clerk of the City of Vernon shall certify
28 to the passage of this resolution, and thereupon and thereafter the

VEHICLE PURCHASE CONTRACT
THIS CONTRACT is made, entered into and executed in duplicate
originals, either copy of which may be considered and used as the
original hereof for all purposes, as of this day of May, 2001,
in the City of Vernon, County of Los Angeles; California

(hereinafter referred to as
the "City")

referred to as "Midway")

WHEREAS, the City is in need of a Ford F450 utility truck for
the Community Services and Water Department's meter crew to replace
Unit No. 168; and
WHEREAS, on April 23, 2001, the City issued Bid No. 1406
which sets forth specifications for the Ford F450 XL Utility Truck
required by the City; and
WHEREAS, on May 7, 2001, Midway responded to Bid No. 1406;
and
WHEREAS, the City has accepted Midway's bid and desires to
purchase the Ford F450 XL Utility Truck from Midway.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
1. Purchase. Midway agrees to sell to the City a 2001
Ford F450 in -stock vehicle, that meets the specifications contained in
City of Vernon Bid No. 1406, dated April 23, 2001, and that is

consistent with Midway's Bid of May 7, 2001 (collectively referred to
I as the "Bid Documents"). A copy of the Bid Documents are
2 attached hereto as Exhibit "A" and incorporated herein by reference
3 2. Price. Consistent with its Bid, Midway agrees to
4 sell and deliver, subject to final inspection by the City, a 2001 Ford
5 F450 XL Utility Truck for the total sum of Seventy -Seven Thousand
6 Three Hundred Seventy -Nine Dollars and Twenty -Eight Cents
7 ($77,379.28), without sales tax.
8 3. Payment Terms. The City agrees to pay Midway net
9 twenty (20) days for chassis after delivery to Royal Truck Body the
10 sum of Twenty -Eight Thousand Eight Hundred Nineteen Dollars and No
11 Cents ($28,819.00) and the balance after completion of work at Royal
12 Truck Body and City's inspection and approval, for the purchase of the
13 2001 Ford F450 XL Utility Truck within twenty (20) days net of receipt
14 of the vehicle.
15 4. Warranties. Midway shall provide, at a minimum, a
16 one (1) year labor and material warranty to begin upon acceptance of
17 the 2001 Ford F450 LX Utility Truck by the City. All manufacturers'
18 warranties, and any other warranties made applicable by law, shall
19 apply to the City's'purchase of the above -referenced vehicle.
20 5. General Provisions.
21 A. Governing Law. The laws of the State of
22 California shall govern the rights, obligations, duties and liability
23 of the parties to this Contract and shall also govern the
24 interpretation of this Contract.
25 B. Notices. Notices to the parties, unless otherwise
26 requested in writing, shall be sent to:

6. Entire Agreement. This Contract is the entire
agreement of the parties. Midway represents that in entering into
this Contract, it has not relied on any previous representations or
understandings of any kind or nature.
7. Benefit of Agreement. This Contract shall bind and
benefit the parties hereto, their heirs, successors, and permitted
assigns.
IN WITNESS WHEREOF, the parties have caused this Contract to
be executed by and through their authorized officers on the date,
month and year first written above.
