RESOLUTION NO. 7775
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AGREEMENT FOR THE PURCHASE OF TWO (2) COMBUSTION
TURBINES BY AND BETWEEN THE CITY OF VERNON AND
ALSTOM POWER INC.
WHEREAS, the City of Vernon ("Vernon") owns and operates its
own electric generation and distribution system for use by its
11inhabitants; and
WHEREAS, over the past few years there has been a statewide
increase in the demand for electricity and a shortage in supply; and
WHEREAS, Vernon has been exploring possible alternatives to
increase the generation capacity of its electric system in order to
meet the City's growing energy needs; and
WHEREAS, the Vernon Utilities Department has been studying
the development of a Combined Cycle Power Plant (the "Project") for
purposes of installing additional generating capacity that is capable
of yielding cost effective, efficient and reliable electricity to meet
its goals, while meeting Federal, State and local environmental and
siting requirements; and
WHEREAS, Vernon has sought proposals for the purchase of two
combustion turbines that may be used as part of the Project; and
WHEREAS, Alstom Power Inc. ("Alstom") submitted a proposal
to Vernon dated April 18, 2001; and
WHEREAS, Alstom and Vernon entered into negotiations between
May 16, 2001 and May 18, 2001 regarding the purchase of the units and
certain services related to such purchase; and
WHEREAS, Vernon's Utilities Department has determined that

the development of the Project and the purchase of the generation units
from Alstom will assist Vernon in meeting its short and long term
electricity goals and is in the public interest; and
WHEREAS, the City Council desires to approve the Agreement
for the purchase of the two (2) combustion turbines with Alstom; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of Subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to proceed with the Combined Cycle Power Plant Project and
to enter into an Agreement with Alstom.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Agreement for the purchase of two (2) combustion
turbines, a copy of which has been presented to the City Council
concurrently with this resolution, and the City Council hereby orders
said Agreement to be received and filed by the City Clerk.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Agreement for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Agreement to:

1 SECTION 5: The City Clerk of the City of Vernon shall
2 certify to the passage of this resolution, and thereupon and
3 thereafter the same shall be in full force and effect.
