REGARDING THE MALBURG GENERATING STATION PROJECT WHEREAS, the Utilities Department of the City of Vernon has determined that the City needs to purchase two (2) 13.8 kV-66kV step-up transformers for the simple -cycle phase of the Malburg Generating Station Project (the "Project"); and WHEREAS, since the Utilities Department determined that the expedited purchase of the step-up transformers for the Project will assist Vernon in meeting its short and long term electricity goals and is in the public interest, staff sought informal quotes for the purchase of the two (2) 13.8 kV-66kV step-up transformers; and WHEREAS, on July 18, 2001, the Finance Committee recommended that the City Council approve the recommendation of Bruce V. Malkenhorst, the Director of Finance, dated July 12, 2001, that the bid for the transformers be awarded to Delta Star, Inc. based on cost of ownership and that an equipment purchase contract be approved and executed; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with Delta Star, Inc. for the purchase of the two (2) 13.8 kV-66kV step-up transformers for the Project. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Equipment Purchase Contract with Delta Star, Inc., a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. SECTION 4 The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Delta Star, Inc. Attn. MALKENHORST, City Clerk - 3 - EXHIBIT 0 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 EQUIPMENT PURCHASE CONTRACT THIS AGREEMENT is made, entered into and executed in duplicate originals, either copy of which may be considered and used as the original hereof for all purposes, as of this day of July 2001, in the City of Vernon, County of Los Angeles, California BY AND BETWEEN The City of Vernon (hereinafter referred to as the "City") 4305 Santa Fe Avenue Vernon, CA 90058 DELTA STAR, INC. (hereinafter referred to as "Delta Star") 270 Industrial Road San Carlos, CA 94070 WHEREAS, the City's Utilities Department has determined that the City is in need of certain equipment as part of its endeavor to increase the City's electric generation capacity; and WHEREAS, Delta Star has advised the City that it can provide the equipment required by the City; and WHEREAS, the City desires to enter into an agreement with Delta Star to provide for the purchase of two (2) 13.2 kV-66 kV step-up transformers for the Malburg Generating Station Project; and WHEREAS, Delta Star represents that it is qualified and capable of providing the type of equipment the City requires and is willing to do so on the terms and conditions set forth below. 1 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. Delta Star agrees to sell and deliver two (2) 13.2 kV-66 kV step-up transformer as set forth and described in detail in the Proposal, a copy of which is attached hereto as Exhibit "A" and incorporated herein by reference. 2. Time of Performance. Delta Star's performance as identified herein shall commence upon the signing of this Agreement and shall be completed by Delta Star, unless terminated or extended. 3. Price. Delta Star agrees to sell and deliver two (2) 13.2 kV-66 kV step-up transformers in the amount of Three Hundred Sixty -Six Thousand One Hundred Ten Dollars and No Cents ($366,110.00) each, plus seismic calculations in the sum of Three Thousand Five Hundred Dollars and No Cents ($3,500.00), for the total sum of Seven Hundred Thirty -Five Thousand Seven Hundred Twenty Dollars and No Cents ($735,720.00), excluding tax. 4. Payment Terms. The City agrees to pay Delta Star progress payments as follows: after delivery of the equipment and acceptance by the City, Delta Star shall invoice the City. The City agrees to pay Delta Star for the full amount of the equipment within thirty (30) days after the City's testing and acceptance of the equipment and the City's receipt of an invoice from Delta Star. 2 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 5. Change and Extra Services. The City reserves the right to request changes in the equipment design, delivery dates, or additions to or deletions from the equipment purchased from Delta Star. All such changes shall be incorporated in written change orders executed by the City and Delta Star that shall specify the changes ordered and the adjustment of prices, delivery schedules and warranties. Any equipment or services added to this Agreement, under this section,`' shall be executed under all applicable conditions of this Agreement. No claim for additional compensation or extension of time shall be recognized unless contained in a duly executed change order. 6. Cancellation/Default. A. This Agreement may be terminated by the City for its convenience upon fifteen (15) days prior written notice and upon payment of reasonable and proper termination charges, including, but not limited to, all costs incurred or committed prior to the effective date of notice of termination and all charges incurred by Delta Star in connection with the termination, plus reasonable overhead and profit. B. In the event that Delta Star commits a breach of a material condition of this Agreement, the City shall notify Delta Star in writing of said breach and if Delta Star has not cured or begun reasonable efforts to cure after fifteen (15) days of receipt of said notice, and fails to diligently pursue corrective action, then the City shall have the right to cancel this Agreement. Delta Star shall be responsible foranydirect costs 3 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 due to the City's re -procurement of the equivalent of the equipment 'or services cancelled from Delta Star. 7. Confidential Information. A. Access to Confidential Information. The City may provide Delta Star with, or allow Delta Star access to, certain information not available to the public concerning, but not limited to the City, or businesses located in the City. The information may include, but is not limited to, company information, taxes, sales, value of assets, utility usage, or other such information. All such information shall be known as "Confidential Information" and may not be used to circumvent the responsibility of either party to this Contract. B. No Disclosure. Except as expressly permitted, Delta Star shall not disclose, permit the disclosure of, release, disseminate, or transfer, whether orally or by any other means, any .part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Delta Star shall return any written Confidential Information, and all copies made of such items, to the City upon the City's written request, but in any event not later than the date that Delta Star has performed all services to be performed pursuant to this Contract. Delta Star hereby'agrees that such Confidential Information and any documents provided may be used by Delta Star only as authorized by the City. Delta Star shall take 4 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 lb 17 18 19 20 21 22 23 24 25 26 27 28 reasonable measures to avoid any disclosure of any such Confidential Information to any unauthorized person. C. Court Ordered Disclosure. Delta Star shall immediately notify the City of any court order or subpoena requiring disclosure of Confidential Information, and shall cooperate with legal counsel in the appeal or challenge of any such order or subpoena. Recipient may only disclose Confidential Information required to be disclosed pursuant to court order or subpoena after legal counsel has exhausted any lawful and timely appeal or challenge. D. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Contract Delta Star acknowledges that in case of such breach or threatened breach of said provisions, the City would have no adequate remedy at law. 8. Warranties. Delta Star warrants title to the equipment purchased hereunder and any part thereof to be free of any claim of any security interest, lien or any encumbrance. Delta Star also warrants that the equipment will be delivered new and shall be free from defects in material and workmanship for the warranty period of twelve months from operation. All manufacturers' warranties, any warranties typically provided by Delta Star, and any other warranties made applicable by law shall apply to the parts and labor provided by Delta Star. 5 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 9. Compliance with Laws. Delta Star shall strictly observe and comply with all applicable federal, state, and local laws, ordinances and regulations governing this sale, including but not limited to any permit or license requirements of the United States Department of Commerce, as well as any laws of the United States of America. 10. Governing Law. The validity, interpretation and performance of this Agreement shall be controlled and construed under the laws of the State of California as enacted and in force at the time this Agreement is fully executed. 11. Forum Selection. Any action brought relating to this Agreement shall be brought and held exclusively in a State Court in the County of Los Angeles, California. 12. Notices. At all times during the term of this Agreement, Delta Star shall be an independent contractor and shall not be an employee of the City. The City shall have the right to control Delta Star only insofar as the results of Delta Star services rendered pursuant to this Agreement; however, the City shall not have the right to control the means by which Delta Star accomplishes services rendered pursuant to the Agreement except to the extent that such services involve the use of City property or Confidential Information. B. Delta Star Not Agent. Except as the City may specify in writing, Delta Star shall have no authority, express or implied, to act on behalf of the City in any capacity whatsoever as an agent. Delta Star shall have no authority, express or implied, pursuant to this Agreement to bind the City to any obligation whatsoever. C. Indemnification. Delta Star shall indemnify, defend, protect and hold the City and its officers, agents and employees, free and harmless from and against any and all claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments and all costs and expenses incurred in connection therewith, including reasonable attorney's fees and costs of defense arising out of the services performed under this Agreement, except to the extent arising from or caused by the sole negligence or willful misconduct of the City, its officers, agents or employees r 1 D. Delta Star shall submit to the City documentation indicating compliance with these minimum requirements no less than one (1) day prior to the beginning of performance under this Agreement. Delta Star shall not commence performance of its services under this Agreement until the above insurance has been (obtained and proof of insurance has been filed with and approved by the City. E. Assignment and Subcontracting Prohibited. No party to this Agreement may assign or subcontract any right or obligation pursuant to this Agreement without the express written consent of the other party. Any other attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. F. Entire Agreement. This Agreement constitutes the complete and final expression of the agreement of the parties and is intended as a complete and exclusive statement of the terms of their agreements and supersedes all prior and contemporaneous offers, promises, representations, negotiations, discussions, communications and agreements which may have been made in connection with the subject matter hereof. All exhibits are incorporated by reference. Delta Star represents that in entering into this Agreement, it has not relied on any previous representations or understandings of any kind or nature. G. Partial Invalidity. Wherever possible, each provision hereof will be interpreted in such manner as to be effective and valid under applicable law, but in case any one or more of the provisions contained herein will, for any reason, be held to be invalid, illegal or unenforceable in any respect, such provision will be ineffective to the extent, but only to the extent, of such invalidity, illegality or unenforceability without invalidating the remainder of such invalid, illegal or unenforceable provision or provisions or any other provision hereof, unless such a construction would be unreasonable or contrary to the intent of the parties as expressed in this Agreement. H. Time of the Essence. Time is of the essence in the performance of this Agreement and of each and every provision hereof. The waiver by the City of any breach or breaches hereof shall not be deemed, nor shall the same constitute, a waiver of any subsequent breach or breaches. I. Risk of Loss. Attorneys' Fees. In the event that it becomes necessary for either party to this Agreement to enforce any of the provisions of this Agreement, the parties agree that a court of competent jurisdiction may determine and fix reasonable attorney's fees to be paid to the successful litigant. K. Benefit of Agreement. This Agreement shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. L. Force Majeure. Neither party shall be considered to be in default in any of its obligations under this Agreement when a failure of performance shall be due to an uncontrollable force. The terms "uncontrollable force" shall mean any cause beyond the control of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightening, epidemic, war, riot, civil disturbance or disobedience, labor dispute, labor material shortage, sabotage, federal, state, or municipal action, statute, ordinance, or regulation, embargoes or the United States Government or any other government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise to due diligence has been unable to overcome. Either party rendered unable to fulfill any of its obligations under this Agreement by reason of an uncontrollable force, shall give written notice within five (5) business days of such fact to the other party and shall exercise due diligence to remove such inability with all reasonable dispatch. 10 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18' 19 20 21 22 23 24 25 26 27 28 M. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Agreement, or with respect to any other matters arising in connection with this Agreement, shall not be deemed a waiver with respect to subsequent default or other Imatter. N. Amendment. All changes or modifications to this Agreement shall be in a writing stating that it is an amendment to this Agreement and shall be signed by both parties or their duly authorized agents. This Agreement shall not be modified through course of dealing, usage or trade. STANDARD TRANSFORMER WARRANTY FIVE YEAR LIMITED WARRANTY Delta Star, Inc. warrants to the purchaser that the transformer, together with all parts included in the original purchase, is free of defects in workmanship and materials. This warranty extends to all parts manufactured by the seller, Delta Star, Inc., for 60 months after shipment from the factory. All other component parts are warranted for one year, or for the period covered by the original equipment manufacturer's warranty, whichever is longer. This warranty covers any defects and malfunction of the transformer except that which may occur because of vandalism, improper installation, handling, operation, or for any cause other than defects in workmanship and materials . ' The method and extent of repairs to be made rests solely with Delta Star. During the warranty period transportation costs are included. This warranty does not cover the cost of removal from the site and reinstallation after repair, and costs resulting from the moving of structures or associated equipment are excluded. SHORT-CIRCUIT TEST DATA FOR POWER TRANSFORMERS INTRODUCTION Higher fault currents available on modern power systems produce correspondingly higher stresses on transformers subjected to through faults. In the early 70's, Delta Star, Inc. decided to tackle the problem of short-circuit forces head on. Design practices were incorporated that would produce transformers with least ampere turn unbalance and hence minimum short-circuit forces under fault conditions, use of construction materials with high mechanical strength such as high density precompressed pressboard and stringent quality control. Although the field experience showed that Delta Star transformers met the challenge of operation on present power systems, a program of testing transformers for short-circuit withstand capacity was initiated as early as 1973. This has been an ongoing program with Delta Star to short-circuit test its transformers to prove that the power transformers are designed and constructed to withstand maximum forces produced due to through fault conditions on todays' power systems. The unit in this continuous short-circuittest effortwas E-7103, a 15/20/25/28 MVA, OA/FA/FA,138-12A7Y/7.2 kV with load tap changer. The unit was short-circuit tested at Brown Boveri (BBC) Power Laboratory, 1 Chalfont, Pennsylvania on Septermber 4, 1981. SUMMARY The load tap changer power transformer, E-7103, successfully passed the short-circuit test based on the following: 1. The short-circuit test was performed at BBC without any problem. 2. The unit passed all ANSI Standard dielectric tests. 3. The unit was disassembled and did not show any visible damage or deformation anywhere. 4. The film was taken during short-circuit test from the high voltage winding, did not indicate any movement. DISCUSSION 1. Short -Circuit Test tv 2.1 The Short -Circuit Test procedure consisted of the following. A. Core Loss and Excitation Test B. Load Loss Test, Resistance, Ratio Test C. Impedance Test D. Short -Circuit Test (ANSI STD. C57.12.90-1980) a. Each phase of the transformer was subjected to a total of six (6) tests satisfying the symmetrical current requirements and two of these tests on each phase has also been satisfied by the asymmetrical current requirements. b. The de -energized tap changer was in "E" position and the LTC was in "8R" position. 2.3 The transformer was equipped with observation ports for visual observation during test and also for the movie cameras. A. One camera was pointing to the top part of the high voltage coil, "A" phase. ■ ■ ib. B. The second camera was pointing towards the tap section of the high voltage coil, "A" phase. 2.4 The unit was returned from Chalfont, Pennsylvania to the factory in San Carlos, California. During the 6000 mile round-trip truck shipment (San Carlos, CA - Chalfont, PA - San Carlos, CA), the unit incurred no shipping damage. 3. Factory Test 3.1 After arrival of the unit it went through factory tests which consisted of the following: A. Ratio B. Core Loss and Excitation C. Impedance Test D. Impulse Test E. Induced Voltage Tests F. Applied Voltage Tests 3.2 After passing all the tests, the unit was completely disassembled. 4. Dismantling the Unit During disassembly, an inspection was performed and critical points were. examined carefully. The inspection results were excellent since no damage or deformation of any kind was visible. Pictures were taken individually of the coils and can be seen in Exhibit A. Observation Ports and Camera Windows The transformer tank was equipped with 6 Plexiglas openings, four (4) for lights and two (2) for the cameras. See Exhibit B. The observation ports were located so that the top section (top ten discs) and the tap section (center of the high voltage coil) could be easily observed. After each short-circuit test shot, the films were replaced and a visual inspection was carried out. During the test, no floating or loose particles were observed. CONCLUSION The unit was a standard production design and was manufactured along with other units. As mentioned earlier (Summary), the unit E-7103 passed the short-circuit test without any damage. Tests at BBC were witnessed by George J. Reitter and Ravi Rahangdale. Films were reviewed by BBC staff and James Prasad, Chris N. Pany and George J. Reitter. Untanking, disassembly and inspection were carried out by Nelson Friesen, Chris N. Pany, George J. Reitter and C. J. Kalra. - OTHER SHORT-CIRCUIT TESTS 1999 F-6352/53 Two (2) 25 HZ single phase 132KV - 12.KV 4.7 impedance railroad power supply transfomers for New Jersey Transit were also included in the continuous short-circuit test effort. 1984 38-54 As an ongoing program to short-circuit test our transformers, a 2500 KVA, 3-phase, 13200 volts Delta with taps to 480Y/277 volts was successfully short-circuit tested per ANSI C57.12.90 on April 24, 1984 at General Electric Co. Laboratory in Philadelphia, PA. This design uses rectangular core and coils which are used on our small power, network, sub -surface, and padmounted transformers. Delta Star, inc. previously has short-circuit tested one of the industry's most difficult types of transformers, namely Auto -transformers. Auto -transformers, in general, see much move severe fault conditions due to lower impedances This is one of the reasons why such a good operating service record exists today. 1977. E-6709 A 15 MVA 138 kV - 69 kV Auto -transformer (with tertiary) passed short-circuit tests at the Flaming Gorge Dam Switch Yard, Bureau of Reclamation. The tests included: Phase -to -phase fault at tap position, three phase short at tap position 3, three phase short at tap position 5, and single phase A phase to ground at tap position 3. Conclusion: The transformer low voltage impulse comparison showed only slight change and impedance change as less than 0.2%. The transformer is still in operation. 1973 D-5415 A 15/20/25 MVA, 115kV to 69 kV Autotransformer (without a tertiary) was short-circuit tested at the Bonneville Power Administration. Similar tests, as in 1977, were conducted and the low voltage impulse comparison showed slight change and impedance change as less than 2%. These bushings can be mounted verti- cally and tilted up to 60 degrees from the vertical without the use of an external reservoir. Arrester Application The DynaVar arrester is described by its maximum continu- ous line -to -ground operating voltage (MCOV). The arrester's most important application criterion is the maximum voltage which can be continuously applied. For effectively grounded neutral systems, any DynaVar arrester with MCOV equal to maximum line -to -neutral kV is the normal application. For example, a 138 kV system usually has a maximum line -to -line continuous voltage of 145 kV rms. 145 kV divided by gives 84 kV line -to -ground voltage. The appropriate DynaVar arrester for this application is the DynaVar 84, with MCOV of 84 kV. For ungrounded or impedance grounded systems, the gapless DynaVar arrester's temporary overvoltage capability is used. For applications where a ground fault is expected to be removed within 30 minutes, the minimum MCOV is maximum system line -to -line voltage divided by 1.25. These capabilities assume the energy discharge takes place within one minute. Discharge of the maximum energy can be repeated many times provided there is sufficient cooling time to keep arrester temperature at reasonable levels. The indicated current levels are not an arrester limitation, but are related to the indicated energy capability. Calculations based on the conservative assumption that the entire line length is charged to maximum surge voltage are easily made, and the values obtained seldom exceed the considerable energy capability of the DynaVar arrester. Temporary Overvoltage Capability DynaVar arresters are gapless and consist of a column of metal - oxide blocks connected between line and ground. The blocks can withstand.a significant power frequency overvoltage for a limited time, depending on the magnitude of any immediately preceding surge duty. This duty can be the result of switching surges on higher voltage lines, or from other sources. The energy discharge capability is found in the above table. The temporary overvoltage capability can be determined from this curve. Polymer Housed Arresters (Type PVI and PVN) Description The Type PVI & PVN arresters contain the same high -quality metal -oxide varistors used in other Ohio Brass DynaVar arresters which have operated successfully since 1981. They have all the MOV advantages such as high temporary overvoltage capability, contamination resistance, improved surge -duty capability and excellent protective characteristics. In the unlikely event of arrester failure, violent fragmentation of porcelain is eliminated. Instead, the higher available fault currents may cause splits or tears in the polymer rubber housing while the internal fiberglass wrap restrains the valve elements. Weight is greatly reduced compared to conventional porce- lain -housed designs. Installation is simplified because with the reduced weight, a patented, single housing design can be utilized for all arrester voltage ratings. The small diameter line end terminal hardware permits closer phase -to -phase and phase -to -ground spacings useful in modem compact substation designs and on mobile trans- former applications. ESP' Weathershed Material The arrester housing is made of ESP silicone alloy weathershed material that has been successful in field operations for over a decade. The improved ESP housing resists tracking from surface leakage currents and the housing contour provides exceptional leakage distance. The housing sections are mechanically secured to provide a housing suitable for high pressure hot -washing in locations where contamination is severe and routine station mainte- nance includes washing procedures. Construction The housing consists of one or more molded sections which are mechanically secured into one continuous length for all arrester voltage ratings. The base of the arrester is equipped with a factory installed casting which provides the conven- tional 8.75 inch diameter bolt circle customarily provided with intermediate and the 10 inch diameter bolt circle for station class surge arresters. The varistor column is centered and restrained in alignment with tightly woven fiberglass filament strands impregnated with epoxy resin. The interstices between the stranding are filled with a silicone dielectric compound so the design is free of air and moisture. The fiberglass stranding construction provides fault withstand capability in excess of the require- ments of IEEE/ANSI C62.11-1993. Benefits The PVI and PVN arresters have many additional benefits that are included with the polymer housing. • A PVI or PVN arrester unit are less than half the weight of an equivalent porcelain -housed arrester. Internal Ionization — RIV must be equal to or less than 10- microvolts above background with an applied voltage of 1.05 times MCOV and less than 50-microvolts with an applied voltage of 1.25 times MCOV. DeDario, Director of Utilities KPI11— SUBJECT: Malburg Generating Station Project Transformers The following bids were received for two (2) 13.8 kV-66 kV step-up transformers for the Malburg Generating Station Project: Alstom $769,074 Delta Star, Inc. $735,720 Elco Industries $792,000 GE $701,000 Pauwels Transformers $750,717 Siemens $679,496 Waukesha Electric $664,400 I recommend awarding the bid to Delta Star, Inc. and that an equipment purchase contract be approved and executed and a purchase order issued. This recommendation is based on cost of ownership for a 30-year life which includes initial cost, losses, and delivery time (See attached evaluation sheets). These transformers are required for the simple -cycle phase of this project. Two (2) more transformers will be awarded in the near future for the combined cycle phase of the project.
