REGARDING THE MALBURG GENERATING STATION PROJECT WHEREAS, the Utilities Department of the City of Vernon has determined that the City needs to purchase one skid package with three (3) compressor motor units, and all appurtenant equipment, for the Malburg Generating Station Project (the "Project"); and WHEREAS, since the Utilities Department determined that the expedited purchase of the skid package with all appurtenant equipment for the Project will assist Vernon in meeting its short and long term electricity goals and is in the public interest, staff sought informal quotes for the purchase of the skid package; and .WHEREAS, on August 21, 2001, the Finance Committee recommended that the City Council approve the recommendation of Bruce V. Malkenhorst, the Director of Finance, dated August 15, 2001, that the bid for the three (3) compressors be awarded to Gas Packagers, Inc. and that an equipment purchase contract be approved and executed; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with Gas Packagers, Inc. for the purchase of the skid package with three (3) compressor motor units for the Project. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Equipment Purchase Contract with Gas Packagers, Inc., a copy of which is attached hereto as Exhibit "A" and made a part' hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. - SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Gas Packagers, Inc. (hereinafter referred to as "Gas Packagers") 1509 East 58th Avenue Denver, CO 80216-1528 RECITALS WHEREAS, the City's Utilities Department has determined that the City is in need of certain equipment as part of its endeavor to increase the City's electric generation capacity; and WHEREAS, Gas Packagers has advised the City that it can provide the equipment required by the City; and WHEREAS, the City desires to enter into an agreement with Gas Packagers to provide for the purchase of one skid package with three compressor motor units, and all appurtenant equipment, for the Malburg Generating Station Project; and WHM;REAS, Gas Packagers represents that it is qualified and capable of providing the type of equipment the City requires and is willing to do so on the terms and conditions set forth below. It is understood and agreed that in the event of 10 a conflict: between the Proposal and this Agreemont, the terms of. this 11 Agreement shall prevail, 12 2. Time of Performance. 13 Gas Packagers' performance as identified herein shall 141 commence upon the signing of this Agreement and shall be completed by 151 Gas Packagers, unless terminated or extended. 16 3. Price. 17 Gas Packagers agrees to sell and deliver the equipment 18 described in its Proposal in the amount of Five Hundred Twenty -Six 19 Thousand Fight Hundred Seventy -Five Dollars and No Cents ($526,875.00), 20 excluding freight and taxes. 21 4. Rument Terms. 22 The City agrees to pay Gas Packagers progress payments upon ?3 the receipt of invoices following the occurrence of certain activities. 24 Forty percent (40%) of the total purchase price will be due upon 25 receipt of an invoice following the submittal of general arrangement 26 drawings. forty percent (40%) of the total purchase price will be due 27 upon receipt of an invoice for the compressor frame. The 2 final. ten percent (10 0 ) of the total purchase price will be due upon 3 receipt of an invoice after the successful conformance of the equipment 4 or sixty (60) days after delivery of the equipment and acceptance by 5 the City, whichever occurs first. The City agrees to pay Gas Packagers 6 within thirty (30) days after the city's receipt of an invoice from Gas 7 Packagers. 8 5. Change and Extra Services. dThe City reserves the right to request changes in the 10 equipment design, delivery dates, or additions to or deletions from the 11 equipment purchased from Gas Packagers. All such changes shall be 12 incorporated in written change orders executed by the City and Gas 131 Packagers that shall specify the changes ordered and the adjustment of 14 prices, delivery schedules and warranties. Any equipment or services 15 added to this Agreement, under this section, shall be executed under 16 all applicable conditions of this Agreement. No claim for additional 17 compensation or extension of time shall be recognized unless contained 18in a duly executed change order. 19 6. Cancellation/Default. 20 In the event that Gas Packagers commits a breach of a 21 material condition of this Agreement, the City shall notify Gas 22 Packagers in writing of said breach and if Gas Packagers has not cured 23 or begun reasonable efforts to cure after fifteen (15) days of receipt; 24 of said notice, and fails to diligently pursue corrective action, then 25 the City shall have the right to cancel this Agreement. A. access to Confidential Information. The City may provide Gas Packagers with, or allow Gas Packagers access to, certain information not available to the public concerning, but not limited to the City, or businesses located in the City. -The information may include, but is not limited to, company information, taxes, sales, value of assets, utility usage, or other such information. All such information shall be known as "Confidential Information" and may not be used to circumvent the responsibility of either party to this Contract. B. No Disclosure. Except as expressly permitted, Gas Packagers shall not disclose, permit the disclosure of, release, dissominato, or transfer, whether orally or by any other means, any part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Gas Packagers shall return any written Confidential Information, and all copies made of such items, to the City upon the City's written request, but in any event not later than the date that Gas Packagers has performed all services to be performed pursuant to this Contract. Gas Packagers hereby agrees that such Confidential Information and any documents provided may be used by Gas Packagers only as authorized by the City. Gas Packagers shall take reasonable measures to avoid any disclosure of any such Confidential Information to any unauthorized person. . C. Court Ordered Disclosure. Gas packagers shall immediately notify the City of any court order or subpoena requiring disclosure of Confidential Information, and shall cooperate with legal counsel in tho appeal or challenge of any such order or subpoena, - 4 - AUG-22-2001 WED 03:25 PM EDUARDO OLIVO FAX NO. 1 P. > 00/14. 1 Recipient may only disclose Confidential Information required to be disclosed pursuant to court order or subpoena after legal counsel has 3 exhausted any lawful and timely appeal or challenge. 4 D. Remedies. In addition to any other remedies that it may 5 have at law or in equity, the City shall be entitled to a temporary and 6 permanent injunction by a court of competent jurisdiction against any 7 breach or threatened breach of the Confidential Information provisions 8 of this Contract. Gas Packagers acknowledges that in case of such 9 breach or threatened breach of said provisions, the City would have no to adequate remedy at law. 11 $. Warranties. 12 Gas Packagers warrants title to the equipment purchased 13 hereunder and any part thereof to be free of any claim of any security 14 interest, lien or any encumbrance. Gas Packagers also warrants that 3.5 the equipment will be delivered new and shall be free from defects in 1G material and workmanship for the warranty period of twelve (12) months 17 after startup or fifteen (15) months after shipment, whichever occurs 18 first. All manufacturers' warranties, any warranties typically provided 1.9 by Gas Packagers, and any other warranties made applicable by law shah. 20 apply to the parts and labor provided by Gas Packagers. 21 9. Governing Law. 2 The validity, interpretation and performance of this 3 Agreement shall be controlled and construed under the laws of the State 4 of California as enacted and in force at the time this Agreement is 5 fully executed. 5 11. Forum Selection. 7 Any action brought relating to this Agreement shall be a brought and held Exclusively in a State Court in the Country of Los 9 Angeles, California. 10 -12. Independent Contractor. 211 At all times during the term of this Agreement, Gas Packagers 22 shall be an independent contractor and shall not be an employee of the 23 City. Gas Packagers Not went . 3 Except as the City may specify in writing, Gas Packagers 4 shall have no authority, express or implied, to act on behalf of the 5 City in any capacity whatsoever as an agent. Gas Packagers shall, have 6 no authority, express or implied, pursuant to this Agreement to bind 7 the City to any obligation whatsoever, 8 C . Indemnification, 9 Gas Packagers shall indemnify, defend, protect and hold the to City and its officers, agents and employees, free and harmless from and 11 against any and all claims, demands, losses, damages, liabilities, 12 fines, charges, penalties, orders, judgments and all costs and expenses 13 incurred in connection therewith, including reasonable attorney's fees 14 and costs of defonse arising out of the services performed under this 151 Agreement,, except to the extent arising from or caused by the 15 I negligonce or willful misconduct of the City, its officers, agents or 17 employees. 18 D. Comprehensive General and Automobile Insurance. 19 Gas Packagers agrees to provide insurance during the entire 201 term of the Agreement, in the amounts and forms specified in Exhibit 21 "D," which is attached hereto and made a part hereof by reference. The 22 general liability policy shall, contain an endorsement naming the City 23 of Vernon, its officers and employees as additional insureds, an 24 endorsement providing the City of Vernon thirty (30) days notice of 25 cancellation or material reduction of coverage, and an endorsement 26 providing coverage for all operations under this Agreement. Gas 4 Packagers shall submit to the City documentation indicating compliance 5 with these minimum requirements no less than one (1) day prior to the 6 beginning of performance under this Agreement. Gas Packagers shall not 7 commence performance of its services under this Agreement until. the 8 above insurance has been obtained and proof of insurance has been filed 9 with and approved by the City. 10 " E. Assignment and Subcontracting Prohibited. 11 No party to this Agreement may assign or subcontract any 12 right or obligation pursuant to this Agreement without the express 13 written consent of the other party. Any other attempted or purported 14 assignment of any right or obligation pursuant to this Agreement shall 7.5 bo void and of no effect, 16 F. Entire Agreement. 17 This Agreement constitutes the complete and final expression 18 of the agreement of the parties and is intended as a complete and 19 exclusive statement of the terms of their agreements and supersedes all 20 prior and contemporaneous offers, promises, representations, 21 negotiations, discussions, communications and agreements which may have 22 been made in connection with the subject matter hereof. All exhibits 23 are incorporated by reference. Gas Packagers represents that in 24 entering into this Agreement, it has not relied on any previous 28 representations or understandings of any kind or Mature. 26 G. Time of, the Essence. 10 Time is of the essence in the performance of this Agreement 13. and of each and every provision hereof. The waiver by the City of any 12 breach or breaches hereof shall not be deemed, nor shall the same 13 c011st-itut-o, a waiver of any subsequent breach or breaches. 1.4 1. The terms "uncontrollable 2 force" shall mean any cause beyond the control of the party affected, 3 including, but not restricted to, flood, earthquake, storm, fire, 4 lightening, epidemic, war, riot, civil disturbance or disobedience, 5 labor dispute, labor material shortage, sabotage, federal, state, or 6 municipal action, statute, ordinance, or regulation, embargoes or the 7 united States Government or any other government, which by exercise of a due diligence such party could not reasonably have been expected to g avoid and by exercise to due diligence has been unable to overcome, 10 Bithor party rendered unable to fulfill any of its obligations under i 11 this Agreement by reason of an uncontrollable force, shall give written! 12 not-icc within five (5) business days of such fact to the other party 13 and shall exercise due diligence to remove such inability with all 14 reasonable dispatch. 15 M. Waiver. 16 Any waiver at any time by either party of its rights with 17 respect to a default under this Agreement, or with respect to any other 181 matters arising in connection with this Agreement:, shall not be deemed 19 a waiver with respect to subsequent default or other matter. 20 N. Amendment. 21 All changes or modifications to this Agreement shall be in a 22 writing stating that it is an amendment to this Agreement and shall be 23 signed by both panties or their duly authorized agents. As applicable, all components shall be boxed, capped, plugged or otherwise suitably prepared in a manner that will prevent loss and protect them against dirt, rust, weather, entrance of foreign matter or other damage during transit, pre -erection storage and field handling. Shipping protection shall be adequate for up to 3 month's field storage. As a minimum, each container shall be permanently marked with an identification number, a list of its contents and the Buyer's purchase order number. 14.0 CLEANING, FINISHING, AND PAINTING All surfaces, except interior surfaces of any pressure parts, shall be thoroughly cleaned of all mill scale, grease, weld spatter, slag, and other foreign matter in accordance with Seller's standard practice. All non stainless steel equipment shall be painted in accordance with the manufacturers standard. 15.0 SPECIAL TOOLS AND DEVICES One (1) complete set of special tools and lifting devices, including any metric wrenches required for operation and maintenance of the equipment furnished under this Specification, shall be furnished with the equipment in a separate container clearly identified with the name of the equipment and the Buyer's contract number. These tools and devices shall be in anew and unused condition on delivery. 16.0 SPARE PARTS The Supplier shall furnish a recommended spare parts list with prices within 30 days of issuance of a Purchase Order. 17.0 PERFORMANCE TESTING 9 Following installation of all equipment supplied under this Contract, and at a mutually agreed upon time, the fuel gas compressors may be thoroughly tested by the Buyer in accordance with API I I and attendant standards. The results of these tests will establish each unit's performance and will be used to determine Contract compliance. The Seller may be present during these tests. 18.0 TECHNICAL DIRECTION OF INSTALLATION The Supplier shall quote its standard daily rates for installation and startup assistance. 19.0 DOCUMENTATION Documentation shall be submitted as indicated on that attached Vendor Data sheet Table. Documentation delivery is critical to the execution of this project.: Timely submittals are required. In addition to other design drawings and data, Seller shall provide a complete listing of interface connections indicating, as a minimum, description, reference drawing, size and pressure rating, design pressures and temperature, and maximum operating pressures, temperatures, and flow rates. In August 2002, the Utilities Department received your authorization to approve the attached change order for our contract with Gas Packagers, Inc. (GPI) for the purchase of one skid package with three gas compressor units, and all pertinent equipment for the Malburg Generating Station Project (MGSP). The MGSP was intended to be constructed in two phases: a simple cycle unit first and then converted to combined cycle operation. The original schedule contemplated installing the skid package much sooner, i.e. a short storage time on site. Since the current schedule contemplate storage of the skid package for longer than six months, GPI has recommended a nitrogen purge of the system to prevent corrosion at a cost of $2,760. This changes the total contract price from $526,875 to $529,635. I recommend approval and ratification of the attached change order with Gas Packagers, Inc. The unit is now done and basically ready for shipment. However, one issue came up during inspection while testing last Friday and it was about long term storage requirements. To my understanding the compressor might be sitting for apprximately 6+ months prior to be started up and what we typically recommend is to purge the complete compressor unit with Nitrogen. I promised to work up a cost adder for providing a Nitrogen purge prior to shipment. GPI will purge the unit and pressurize it with N2. When the unit arrives the jobsite a bank of Nitrogen cylinders (provided by end user) should be located and hooked up to the unit for a small flow of Nitrogen to the unit in the storage period. Basically we ask for two things, a Nitrogen purge and a hook up of the electrical main motor's space heaters. The need for continuous flow of N2 to the unit is the fact that each compressor can not be sealed tight in the drive shaft area. A small leak will always be present at the crankshaft drive side. The advantage of a Nitrogen purge is that no air and humidity can enter into the system, by pressurizing with N2 the compressor will stay free of corrosion. The entire system gets filled with N2 so all internal piping and the compressor internals are in an inert gas atmosphere. In the event you select us to arrange for a unit with Nitrogen purge we will need to provide as a minimum: Blindflanges, gaskets and bolts for PSV 2"-150# Outletconnections.(3 sets). Blindflanges, gaskets and bolts for Inlet, Outlet and by-pass valve connections, 8"-300# (4 sets). 3 pcs. covers for crankcase breathers on the compressors. Nitrogen cylinders to provide purge at GPI (In the field the client needs to provide Nitrogen cylinders for contionous N2 supply to the unit) Needle valves for Purge Inlet and outlet connections. The delivery impact will be approximately 2 weeks, i.e. a ship date of 9/13/02 is what we most likely will have if you select to set the unit up for N2 purge. The total cost impact to arrange for N2 purge at GPI would be $ 2,760.00 Please let us know by end of business day Wednesday 8/28/02 if you select to go for this option. (We will need to get parts ordered and Nitrogen available for this option). Please let me know if you need more time than 1 day to make a decision for this matter.
