RESOLUTION NO. 7835
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
ONE-YEAR EXTENSION OF CONTRACT NO. 443 (2001/2002)
BY AND BETWEEN THE CITY OF VERNON AND SIGNAL
MAINTENANCE, INC.
WHEREAS, Contract No. 443, Traffic Signal Maintenance
Agreement (the "Contract"), was awarded to Signal Maintenance, Inc., by
Resolution No. 4830 on August 6, 1981, for a term of five years from
September 1, 1981 to August 31, 1986; and
WHEREAS, the Contract provided for annual cost increases
based on the Consumer Price Index and for annual extensions thereof
after August 31, 1986; and
WHEREAS, the Contract has been extended annually since August
31, 1986, and has included cost adjustments with the last extension
approved by Resolution No. 7609 on August 22, 2000,
granting a five percent (5%) adjustment in the monthly and labor rates,
leaving the equipment rate at the existing rate for that period; and
WHEREAS, the Contract expired on August 31, 2001, unless
extended, and Signal Maintenance, Inc. has requested a one-year
extension with a cost increase; and
WHEREAS, the Director of Community Services & Water has
recommended that the Contract be extended and has verified that Signal
Maintenance, Inc. is eligible for an increase based on the Consumer
Price Index.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true

and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Extension of Contract No. 443, 2001/2002, a copy of which
is attached hereto as Exhibit "A" and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute the Extension of
Contract No. 443 for, and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Extension to:
Signal Maintenance, Inc.
Attn: Rodney Mathis, President

Anaheim, CA 92806
SECTION 5: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and thereafter
the same shall be in full force and effect.

EXTENSION OF CONTRACT NO. 443
(2001/2002)
That certain contract entered into by and between the City of
Vernon and Signal Maintenance, Inc. from September 1, 1981 to
August 31, 1986, and which has been extended annually thereafter, is
hereby extended for a one (1) year period from September 1, 2001
through August 31, 2002, according to Section 16 of the Special
Provisions of said Contract.
According to Section 12 of the Special Provisions of said
Contract entitled "Compensation," Signal Maintenance, Inc. is granted
a price adjustment in accordance with the Consumer Price Index ("CPI")
for January 1 to December 31, 2001, at seventy-five percent (750) of
such CPI published September 1, 2001, which adjustment is calculated
as follows: September 1, 2001 = 3.8% x 750 2.85%.
In all other respects, the terms and conditions of the
Traffic Signal Maintenance Agreement (Contract No. 443) shall remain
in effect.
IN WITNESS WHEREOF, the parties hereto have caused this
Extension to be executed as of this day of September, 2001, in
the City of Vernon, California.
