2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 7859 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN EQUIPMENT PURCHASE AND SERVICES CONTRACT BY AND BETWEEN THE CITY OF VERNON AND MARLEY COOLING TECHNOLOGIES WHEREAS, the Utilities Department of the City of Vernon has determined that the City needs to purchase one (1) cooling tower and all appurtenant equipment and services necessary to achieve a fully functional cooling tower system for the Malburg Generating Station Project (the "Project"); and WHEREAS, since the Utilities Department determined that the expedited purchase of the cooling tower with all appurtenant equipment and services for the Project will assist Vernon in meeting its short and long term electricity goals and is in the public interest, staff sought informal quotes for the purchase of the cooling tower system; and WHEREAS, the following bids were received on the cooling tower: GEA Integrated Cooling Technologies bid a total of Seven Hundred Twelve Thousand Thirty -Five Dollars and No Cents ($712,035.00) (including tax and freight) and Marley Cooling Technologies bid a total of Seven Hundred Eleven Thousand Dollars and No Cents ($711,000.00) (including tax and freight); and WHEREAS, the bids were reviewed by the Utilities Department; and WHEREAS, by letter dated October 31, 2001, Bruce V. Malkenhorst, City Administrator/City Clerk, recommended that the bid for the cooling tower system be awarded to Marley Cooling Technologies . r t 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and that an equipment purchase contract be approved and executed; and WHEREAS, the historical company name of Marley Cooling Technologies is Marley Cooling Tower Company; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with Marley Cooling Tower Company, for the purchase of the cooling tower system for the Project. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Equipment Purchase Contract with Marley Cooling Tower Company, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Marley Cooling Tower Company Attn. MALKENHORST, City Clerk 12 13 (SEAL) 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 4 - EXHIBIT 0 t 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 EQUIPMENT PURCHASE AND SERVICES CONTRACT THIS CONTRACT is made, entered into and executed in duplicate originals, either copy of which may be considered and used as the 28th original hereof for all purposes, as of this-21-st day of November 2001, in the City of Vernon, County of Los Angeles, California BY AND BETWEEN The City of Vernon (hereinafter referred to as the "City") 4305 Santa Fe Avenue Vernon, CA 90058 AND RECITALS Marley Cooling Tower Company (hereinafter referred to as "Marley") 7401 West 129th Street Overland Park, KS 66213 WHEREAS, the City's Utilities Department has determined that the City is in need of certain equipment and services as part of its endeavor to increase the City's electric generation capacity; and WHEREAS, on October 11, 2001, Marley provided the City with a proposal to provide the equipment and services required by the City; and WHEREAS, Marley has advised the City that it can provide said equipment and services; and WHEREAS, the City desires to enter into an agreement with Marley to provide for the purchase, design, delivery, unloading and erection of one (1) Cooling Tower system as specified in City of Vernon Malburg Generating Station Project Specification No. D-CLG-TWR; and WHEREAS, Marley represents that it is qualified and capable of providing the type of equipment and services the City requires and 1 is willing to do so on the terms and conditions set forth below. 2 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 3 FORTH HEREIN: 4 1. Purchase. 5 Marley agrees to design, sell, deliver, unload and install 6 one (1) Cooling Tower and provide the start-up and training services 7 and accessories required to provide a fully functional Cooling Tower 8 system as set forth and described in detail in the Proposal, a copy of which is attached hereto as Exhibit "A" and incorporated herein by 9 reference and the "City of Vernon Malburg Generating Station Project 10 Specification No. D-CLG-TWR," conformed October 25, 2001, a copy of 11 which is attached hereto as Exhibit "B" and incorporated herein by 12 reference. It is understood and agreed that in the event of a conflict 13 between the Proposal and this Contract, the terms of this Contract 14 shall prevail. 15 2. Time of Performance. 16 Marley's performance, as identified herein, shall commence 17 upon the signing of this Contract, and shall be completed unless 18 otherwise terminated or extended. Marley shall complete the 19 2003. installation of the cooling tower unit by July, 20 3. Price. 21 Marley agrees to design, sell, deliver, unload and install 22 the one (1) Cooling Tower described in its Proposal for the base cos 23 of Six Hundred Thirty-four .Thousand and Nine Hundred Dollars and No 24 Cents ($634,900.00), which includes materials, freight for delivery FOB 25 applicable Jobsite, installation and labor, sound attenuation, and all 26 taxes, customs, and duties. Marley also agrees to provide the 27 fire protection system and following options: the closed head dry pipe 28 - 2 - 1 20 minute fire wall for the sum of Seventy Six Thousand and One Hundred 2 Dollars and No Cents ($76,100.00), including all applicable taxes. The 3 total amount to be paid to Marley under this Contract is Seven Hundred 4 Eleven Thousand Dollars and No Cents ($711,000.00). 5 4. Payment Terms. 6 The City agrees to pay Marley progress payments net 30 days 7 after receipt of invoices following the occurrence of certain 8 activities: 9 Fifteen percent (15%) of the total contract price after 10 submittal of outline drawings and load data; and 11 Eighty-five percent (85%) of the total contract price will be, 12 will be due upon receipt of an invoice for delivery of the equipment to 13 the City and/or the performance of labor. 14 5. Delivery. 15 The materials needed to construct the cooling tower unit will 16 be shipped and the installation will be conducted throughout the term 17 of this Contract. All materials will be delivered to the City's 18 jobsite in advance of the time they are needed and the delivery will 19 not impede the construction of the cooling tower unit. 20 6. Change and Extra Services. 21 The City reserves the right to request changes in the 22 equipment design, delivery dates, or additions to or deletions from the 23 equipment purchased from Marley. All such changes shall be 24 incorporated in written change orders executed by the City and Marley rdered and the adjustment of prices, 25 that shall specify the changes o 26 delivery schedules and warranties. Any equipment or services added to 27 this Contract, under this section, shall be executed under all f this Contract. No claim for additional 28 applicable conditions o 3 - 1 compensation or extension of time shall be recognized unless contained 2 in a duly executed change order. 3 7. Cancellation/Default. 4 A. This Contract may be terminated by the City for its 5 convenience upon fifteen (15) days prior written notice and upon 6 payment of reasonable and proper termination charges, including all 7 costs incurred or committed prior to the effective date of notice of 81 termination and all charges incurred by Marley in connection with the 91 termination, plus reasonable overhead and profit. 101 B. In the event that Marley commits a breach of a material 11 condition of this Contract, the City shall notify Marley in writing of 12 said breach and if Marley has not cured or begun reasonable efforts to 13 cure after fifteen (15) days of receipt of said notice, and fails to 141 diligently pursue corrective action, then the City shall have the right 15 to cancel this Contract. Marley shall be responsible for any direct 16 costs due to the City's re -procurement of the equivalent of the 17 equipment of services cancelled from Marley. 18 8. Confidential Information. 19 A. Access to Confidential Information. The City may 20 provide Marley with, or allow Marley access to, certain information not 21 available to the public concerning, but not limited to the City, or 22 businesses located in the City. The information may include, but is 23 not limited to, company information, taxes, sales, value of assets, 24 utility usage, or other such information. All such information shall 25 be known as "Confidential Information" and may not be used to 26 circumvent the responsibility of either party to this Contract. 27 B. No Disclosure. Except as expressly permitted, Marley 28 shall not disclose, permit the disclosure of, release, disseminate, or - 4 - 1 transfer, whether orally or by any other means, any part of such 2 Confidential Information to any other person or entity, whether 3 corporate, governmental, or individual, without the express prior 4 written consent of an authorized representative of the City. Marley 5 shall return any written Confidential Information, and all copies made 6 of such items, to the City upon the City's written request, but in any 7 event not later than the date that Marley has performed all services to 8 be performed pursuant to this Contract. Marley hereby agrees that such 9 Confidential Information and any documents provided may be used by 10 Marley only as authorized by the City. Marley shall take reasonable 11 measures to avoid any disclosure of any such Confidential Information 12 to any unauthorized person. 13 C. Court Ordered Disclosure. Marley shall immediately 14 notify the City of any court order or subpoena requiring disclosure of 15 Confidential Information, and shall cooperate with legal counsel in the 16 appeal or challenge of any such order or subpoena. Recipient may only 17 disclose Confidential Information required to be disclosed pursuant to 18 court order or subpoena after legal counsel has exhausted any lawful 19 and timely appeal or challenge. 20 D. Remedies. In addition to any other remedies that it may 21 have at law or in equity, the City shall be entitled to a temporary and 22 permanent injunction by a court of competent jurisdiction against any 23 breach or threatened breach of the Confidential Information provisions 24 of this Contract. Marley acknowledges that in case of such breach or 25 threatened breach of said provisions, the City would have no adequate 26 remedy at law. 27 9. Warranties. 28 Marley warrants title to the equipment purchased hereunder - 5 - 1 and any part thereof to be free of any claim of any security interest, 2 lien or any encumbrance. Marley also warrants that the equipment, will 3 be delivered new and shall be free from defects in material and q workmanship for the warranty period of eighteen (18) months after date 5 of shipment of the equipment to the site or twelve (12) months from the 6 date of'completion of the erection of the cooling tower, whichever 7 occurs sooner. All manufacturers' warranties, any warranties typically ey, and any other warranties made applicable by law g provided by Marl g shall apply to the parts and labor provided by Marley. 10 10. Compliance with Laws. 11 Marley shall strictly observe and comply with all applicable 12 federal, state, and local laws, ordinances and regulations governing 13 this sale, including but not limited to any permit or license 14 requirements of the United States Department of Commerce, as well as 15 any laws of the United States of America in force at the time this 16 Contract is fully executed. 171 11. Governing Law. 18 The validity, interpretation and performance of this Contract 19 shall be controlled and construed under the laws of the State of 20 California as enacted and in force at the time this Contract is fully 21 executed. 22 12. Forum Selection. 23 Any action brought relating to this Contract shall be brought 24 and held exclusively in a State Court in the County of Los Angeles, 25 California. 26 13. Notices. 27 Notices to the parties, unless otherwise requested in 28 writing, shall be sent to: - 6 - City: THE CITY OF VERNON 1 ATTN: BRUCE V. Independent Contractor. 8 At all times during the term of this Contract, Marley shall 9 be an independent contractor and shall not be an employee of the City. 10 The City shall have the right to control Marley only insofar as the 11 results of Marley services rendered pursuant to this Contract; however, 12 the City shall not have the right to control the means by which Marley 13 accomplishes services rendered pursuant to the Contract except to the 14 extent that such services involve the use of City property or 15 Confidential Information. 16 B. Marley Not Agent. 17 Except as the City may specify in writing, Marley shall have 18 no authority, express or implied, to act on behalf of the City in any 19 capacity whatsoever as an agent. Marley shall have no authority, 20 express or implied, pursuant to this Contract to bind the City to any 21 obligation whatsoever. 22 C. Indemnification. 23 Marley shall indemnify, defend, protect and hold the City and 24 its officers, agents and employees, free and harmless from and against 25 any and all claims, demands, losses, damages, liabilities, fines, 26 charges, penalties, orders, judgments and all costs and expenses 27 incurred in connection therewith, including reasonable attorney's fees 28 - 7 - 1 and costs of defense arising out of the services performed at the 2 jobsite in Vernon under this Contract, except to the extent arising 3 from or caused by the negligence or willful misconduct of the City, its 4 officers, agents or employees. 5 D. Comprehensive General and Automobile Insurance. 6 Marley agrees to provide insurance in the amounts and forms 7 specified in Exhibit "C," which is attached hereto and made a part 8 hereof by reference. Comparable coverage shall be provided for each 9 subcontractor used in the performance of this Contract. Marley shall 10 submit to the City documentation indicating compliance with these 11 minimum requirements no less than one (1) day prior to the beginning of 12 performance under this Contract. Marley shall not commence performance 13 of its services under this Contract until the above insurance has been 14 obtained and proof of insurance has been filed with and approved by the 15 City. 16 E. Assignment and Subcontracting Prohibited. 17 No party to this Contract may assign or subcontract any right 18 or obligation pursuant to this Contract without the express written 19 consent of the other party, except that Marley may subcontract for the 20 installation of the fire protection system. Any other attempted or 21 purported assignment of any right or obligation pursuant to this 22 Contract shall be void and of no effect. 23 F. Entire Agreement. 24 This Contract constitutes the complete and final expression 25 of the agreement of the parties and is intended as a complete and of their agreements and supersedes all 26 exclusive statement of the terms 27 prior and contemporaneous offers, promises, representations, 28 negotiations, discussions, communications and agreements which may have �s� 1 been made in connection with the subject matter hereof. All exhibits 2 are incorporated by reference. Marley represents that in entering into 3 this Contract, it has not relied on any previous representations or 41 understandings of any kind or nature. 5 G. Partial Invalidity. 6 Wherever possible, each provision hereof will be interpreted 7 in such manner as to be effective and valid under applicable law, but 8 in case any one or more of the provisions contained herein will, for 9 any reason, be held to be invalid, illegal or unenforceable in any P 10 respect, such provision will be ineffective to the extent, but only to 11 the extent, of such invalidity, illegality or unenforceability without 12 invalidating the remainder of such invalid, illegal or unenforceable 13 provision or provisions or any other provision hereof, unless such a 14 construction would be unreasonable or contrary to the intent of the 15 parties as expressed in this Contract. 16 H. Time of the Essence. 17 Time is of the essence in the performance of this Contract 18 and of each and every provision hereof. The waiver by the City of any 19 breach or breaches hereof shall not be deemed, nor shall the same 20 constitute, a waiver of any subsequent breach or breaches. 21 I. Risk of Loss. 22 Title and risk of loss or damage shall pass to the City and 23 delivery shall be deemed to be complete upon delivery FOB jobsite or 24 upon moving into storage at the City's request, whichever occurs first. 25 J. Attorneys' Fees. 26 In the event that it becomes necessary for either party to 27 this Contract to enforce any of the provisions of this Contract, the 28 parties agree that a court of competent jurisdiction may determine and 9 - 1 fix reasonable attorney's fees to be paid to the successful litigant. 2 K. Benefit of Agreement. 3 This Contract shall bind and benefit the parties hereto and 4 their heirs, successors, and permitted assigns. 5 L. Force Majeure. 6 Neither party shall be considere.d to be in default in any of 7 its obligations under this Contract when a failure of performance shall g be due to an uncontrollable force. The terms "uncontrollable force" 9 shall mean any cause beyond the control of the party affected, 10 including, but not restricted to, flood, earthquake, storm, fire, 111 lightening, epidemic, war, riot, civil disturbance or disobedience, 121 labor dispute, labor material shortage, sabotage, federal, state, or 131 municipal action, statute, ordinance, or regulation, embargoes or the United States Government or any other government, which by exercise of 1411 15 due diligence such party could not reasonably have been expected to 16 avoid and by exercise to due diligence has been unable to overcome. 171 Either party rendered unable to fulfill any of its obligations under 18 this Contract by reason of an uncontrollable force, shall give written 19 notice within five (5) business days of such fact to the other party Dand shall exercise due diligence to remove such inability with all 21 reasonable dispatch. 22 M. Waiver. 23 Any waiver at any time by either party of its rights with 24 respect to a default under this Contract, or with respect to any other 25 matters arising in connection with this Contract, shall not be deemed a 26 waiver with respect to subsequent default or other matter. 27 N. This Contract shall not be modified through course of dealing, usage or trade.
