ON BID NO. 1409 FOR THE PURCHASE OF 39 ALSTOM CIRCUIT BREAKERS AND APPROVING AND AUTHORIZING THE EXECUTION OF AN EQUIPMENT PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID WHEREAS, the Utilities Department needs thirty-nine (39) Alstom Circuit Breakers to replace the existing 66 kV circuit breakers currently in operation at various substations located throughout the City because of the increased fault current required by the new generators for the Malburg Generating Station Project; and WHEREAS, on September 19, 2001, the City Council of the City of Vernon adopted Resolution No. 7834 directing the City Clerk to give notice inviting sealed proposals or bids for the purchase of the thirty-nine (39) Alstom Circuit Breakers in accordance with Specification No. ST-CB-1-2001 (Bid No. 1409); and WHEREAS, City of Vernon Specification No. ST-CB-1-2001 (Bid No. 1409) was approved by the City Council of the City of Vernon pursuant to Resolution No. 7834, and sealed bids were opened on October 22, 2001; and WHEREAS, the following bids were received on Bid No. 1409: Alstom USA Inc. (c/o McAvoy & Markham Engineering & Sales Co., its sales representative), bid a total of Thirty -One Thousand Five Hundred Thirty Dollars and No Cents ($31,530.00) per unit (excluding tax); ABB (Asea Brown Boveri Power T & D Company, Inc.), c/o WESCO Distribution, bid a total of Thirty -One Thousand Eight Hundred Forty -Five Dollars and No Cents ($31,845.00) per unit(excluding tax); and Siemens Power Transmission & Distribution, Inc. bid a total of Twenty -Nine Thousand 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Four Hundred Ninety -Five Dollars and No Cents ($29,495.00) per unit (excluding tax); and WHEREAS, the bids were reviewed by the Utilities Department; and WHEREAS, the bid of Siemens Power Transmission & Distribution, Inc. was for twenty-nine (29) Siemens Circuit Breakers which do not meet the Department's specifications and requirements; and WHEREAS, the Utilities Department advises that Alstom USA Inc. is the only vendor who can provide the Alstom Circuit Breakers that meet the Department's specifications and requirements; and WHEREAS, by letter dated October 31, 2001, Bruce V. Malkenhorst, City Administrator/City Clerk, recommended that Bid No. 1409 be awarded to Alstom USA Inc., the lowest responsible bidder meeting the requirements of Bid No. 1409. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby awards Bid No. 1409 to Alstom USA Inc. and accepts and approves the Equipment Purchase Contract, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute the Equipment Purchase Contract on behalf of the City and authorizes the issuance of a purchase order for the thirty-nine (39) Alstom Circuit Breakers - 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 pursuant to Bid No. 1409. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Alstom USA Inc. Attn: Todd J. Irwin, Marketing Engineer One AEG Place Charleroi, PA 15022 SECTION 5: All other bids in connection with Bid No. 1409 are rejected, subject to execution of the aforesaid contract documents from Alstom USA Inc. accompanied by all required certificates. SECTION 6: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. ("McAvoy"), ALSTOM's sales representative, 21 submitted a bid for thirty-nine (39) Alstom DTI-72.5 F1, 3 Pole, 1200 22 A, 66 kV Nominal Voltage Rated 40 KA Symmetrical Interrupting 23 Capability, Spring Operated, Frame Mounted, Outdoor SF6 Circuit 24 Breaker per City of Vernon Specification No. ST-CB-1-2001, dated July 25 31, 2001; and 26 WHEREAS, the City desires to purchase the thirty-nine (39) 27 Outdoor Circuit Breakers referenced above from ALSTOM. 28 1 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 2 FORTH HEREIN: 3 1. Purchase. ALSTOM agrees to sell to the City a total 41 of thirty-nine (39) Alstom DT1-72.5 F1, 3 Pole, 1200 A, 66 kV Nominal 5 Voltage Rated 40 KA Symmetrical Interrupting Capability, Spring 6 Operated, Frame Mounted, Outdoor SF6 Circuit Breaker per City of 7 Vernon Specification No. ST-CB-1-2001, dated July 31, 2001, as 8 identified in ALSTOM's October 19, 2001 bid and which meet the 9 specifications contained in City of Vernon Bid No. 1409, dated October 10 2, 2001 (collectively referred to as the "Bid Documents"). A copy of 11 the Bid Documents are attached hereto as Exhibit "A" and incorporated 12 herein by reference. 13 2. Time of Performance. Alstom's performance as 14 identified herein shall commence upon the signing of this Contract and 15 shall be completed by Alstom, unless terminated or extended pursuant 16 to the terms of this Contract. 17 3. Price. Consistent with its bid, ALSTOM agrees to 18 sell and deliver to 2715 E. 50th Street, Vernon, California the 19 thirty-nine (39) Outdoor Circuit Breakers referenced above to the City 20 at a unit price of $31,530.00, and the City agrees to purchase said 21 Outdoor Circuit Breakers from ALSTOM for the total sum of One Million 22 Two Hundred Twenty -Nine Thousand Six Hundred Seventy Dollars and No 23 Cents ($1,229,670.00) U.S. Dollars, not including tax. 24 4. Payment Terms. The City agrees to pay Alstom one 25 hundred percent (100%) of the total contract price, net thirty days, 26 after delivery and acceptance of the equipment by the City FOB jobsite 27 and receipt of an invoice from Alstom. 28 / / / -2- 1 5. Change and Extra Services. The City reserves the 2 right to request changes in the equipment design, delivery dates, or 3 additions to or deletions from the equipment purchased from Alstom. 4 All such changes shall be incorporated in written change orders 5 executed by the City and Alstom that shall specify the changes ordered 6 and the adjustment of prices, delivery schedules and warranties. Any 7 equipment or services added to this Contract, under this section, 8 shall be executed under all applicable conditions of this Contract. 9 No claim for additional compensation or extension of time shall be 10 recognized unless contained in a duly executed change order. 11 6. Cancellation/Default. 12 A. This Contract may be terminated by the City for its 13 convenience upon fifteen (15) days prior written notice and upon 14 payment of reasonable and proper termination charges, including, but 15 not limited to, all costs incurred or committed prior to the effective 16 date of notice of termination and all charges incurred by Alstom in 17 connection with the termination, plus reasonable overhead and profit. 18 B. In the event that Alstom commits a breach of a 19 material condition of this Contract, the City shall notify Alstom in 20 writing of said breach and if Alstom has not cured or begun reasonable 21 efforts to cure after fifteen (15) days of receipt of said notice, and 22 fails to diligently pursue corrective action, then the City shall have 23 the right to cancel this Contract. Alstom shall be responsible for 24 any direct costs due to the City's re -procurement of the equivalent of 25 the equipment or services cancelled from Alstom. 26 7. Confidential Information. 27 A. Access to Confidential Information. The City may 28 provide Alstom with, or allow Alstom access to, certain information -3- 1 not available to the public concerning, but not limited to the City, 2 or businesses located in the City. The information may include, but 3 is not limited to, company information, taxes, sales, value of assets, 4 utility usage, or other such information. All such information shall 5 be known as "Confidential Information" and may not be used to 61 circumvent the responsibility of either party to this Contract. 7 B. No Disclosure. Except as expressly permitted, Alstom 8 shall not disclose, permit the disclosure of, release, disseminate, or 9 transfer, whether orally or by any other means, any part of such 10 Confidential Information to any other person or entity, whether 11 corporate, governmental, or individual, without the express prior 12 written consent of an authorized representative of the City. Alstom 13 shall return any written Confidential Information, and all copies made 14 of such items, to the City upon the City's written request, but in any 15 event not later than the date that Alstom has performed all services 16 to be performed pursuant to this Contract. Alstom hereby agrees that 17 such Confidential Information and any documents provided may used 18 by Alstom only as authorized by the City. Alstom shall take 19 reasonable measures to avoid any disclosure of any such Confidential 20 Information to any unauthorized person. 21 C. Court Ordered Disclosure. Alstom shall immediately 22 notify the City of any court order or subpoena requiring disclosure of 23 Confidential Information, and shall cooperate with legal counsel in 24 the appeal or challenge of any such order or subpoena. Recipient may 25 only disclose Confidential Information required to be disclosed 26 pursuant to court order or subpoena after legal counsel has exhausted 27 any lawful and timely appeal or challenge. 28 / / / -4- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18''. 19 20 21 22 23 24 25 26 27 28 D. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Contract. Alstom acknowledges that in case of such breach or threatened breach of said provisions, the City would have no adequate remedy at law. 8. Warranties. ALSTOM shall provide, a five (5) year labor and material warranty to begin upon installation of the Outdoor Circuit Breakers by the City and which shall not exceed sixty-six (66) months after delivery. All manufacturers' warranties, any warranties typically provided by ALSTOM and any other warranties made applicable by law shall apply to the City's purchase of the Outdoor Circuit Breakers. Alstom warrants title to the equipment purchased hereunder and any part thereof to be free of any claim of any security interest, lien or any encumbrance. Alstom also warrants that the equipment will be delivered new and shall be free from defects in material and workmanship for the warranty period. 9. Compliance with Laws. Alstom shall strictly observe and comply with all applicable federal, state, and local laws, ordinances and regulations governing this sale, including but not limited to any permit or license requirements of the United States Department of Commerce, as well as any laws of the United States of America. 10. Governing Law. The validity, interpretation and performance of this Contract shall be controlled and construed under the laws of the State of California. -5- 1 11. Forum Selection. Any action brought relating to this 2 Contract shall be brought and held exclusively in a State Court in the 3 County of Los Angeles, California. 4 12. Notices. Independent Contractor. 14 At all times during the term of this Contract, Alstom shall 15 be an independent contractor and shall not be an employee of the City. 16 The City shall have the right to control Alstom only insofar as the 17 results of Alstom services rendered pursuant to this Contract; 18 however, the City shall not have the right to control the means by 19 which Alstom accomplishes services rendered pursuant to the Contract 20 except to the extent that such services involve the use of City 21 property or Confidential Information. 22 B. Alstom Not Agent. 23 Except as the City may specify in writing, Alstom shall have 24 no authority, express or implied, to act on behalf of the City in any 25 capacity whatsoever as an agent. Indemnification. Alstom shall indemnify, defend, protect and hold the City and l its officers, agents and employees, free and harmless from and against any and all claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments and all costs and expenses incurred in connection therewith, including reasonable attorney's fees and costs of defense arising out of the services performed under this Contract, except to the extent arising from or caused by the sole negligence or willful misconduct of the City, its officers, agents or employees. D. Comprehensive General and Automobile Insurance. Alstom agrees to provide insurance in the amounts and forms specified in Exhibit "B," which is attached hereto and made a part hereof by reference. Comparable coverage shall be provided for each subcontractor used in the performance of this Contract. Alstom shall submit to the City documentation indicating compliance with these minimum requirements no less than one (1) day prior to the beginning of performance under this Contract. Alstom shall not commence performance of its services under this Contract until the above insurance has been obtained and proof of insurance has been filed with and approved by the City. E. Assignment and Subcontracting Prohibited. No party to this Contract may assign or subcontract any right or obligation pursuant to this Contract without the express written consent of the other party. Entire Agreement. This Contract constitutes the complete and final expression of the agreement of the parties and is intended as a complete and exclusive statement of the terms of their agreements and supersedes all prior and contemporaneous offers, promises, representations, negotiations, discussions, communications and agreements which may have been made in connection with the subject matter hereof. All exhibits are incorporated by reference. Alstom represents that in entering into this Contract, it has not relied on any previous representations or understandings of any kind or nature. G. Partial Invalidity. Wherever possible, each provision hereof will be interpreted' in such manner as to be effective and valid under applicable law, but in case any one or more of the provisions contained herein will, for any reason, be held to be invalid, illegal or unenforceable in any respect, such provision will be ineffective to the extent, but only to the extent, of such invalidity, illegality or unenforceability without invalidating the remainder of such invalid, illegal or unenforceable provision or provisions or any other provision hereof, unless such a construction would be unreasonable or contrary to the intent of the parties as expressed in this Contract. H. Time of the Essence. Time is of the essence in the performance of this Contract and of each and every provision hereof. The waiver by the City of any breach or breaches hereof shall not be deemed, nor shall the same constitute, a waiver of any subsequent breach or breaches. I. Risk of Loss. Title and risk of loss or damage shall pass to the City and -8- 1 delivery shall be deemed to be complete upon delivery FOB jobsite or 2 upon moving into storage at the City's request, whichever occurs _ . 3 first. 41 J. Attorneys' Fees. 5 In the event that it becomes necessary for either party to 6 this Contract to enforce any of the provisions of this Contract, the 7 parties agree that a court of competent jurisdiction may determine and 8 fix reasonable attorney's fees to be paid to the successful litigant. 9 K. Benefit of Agreement. 10 This Contract shall bind and benefit the parties hereto and 11 their heirs, successors, and permitted assigns. 12 L. Force Majeure. 13 Neither party shall be considered to be in default in any of 14 its obligations under this Contract when a failure of performance 15 shall be due to an uncontrollable force. The terms "uncontrollable 16 force" shall mean any cause beyond the control of the party affected, 17 including, but not restricted to, flood, earthquake, storm, fire, 18 lightening, epidemic, war, riot, civil disturbance or disobedience, 19 labor dispute, labor material shortage, sabotage, federal, state, or 20 municipal action, statute, ordinance, or regulation, embargoes or the 21 United States Government or any other government, which by exercise of 22 due diligence such party could not reasonably have been expected to 23 avoid and by exercise to due diligence has been unable to overcome. 24 Either party rendered unable to fulfill any of its obligations under 25 this Contract by reason of an uncontrollable force, shall give written 26 notice within five (5) business days of such fact to the other party 27 and shall exercise due diligence to remove such inability with all 28 reasonable dispatch. 3M 11/07/2001 WED 09:33 FAX 724 483 7771 ALSTON USA INC QOi2/012 M. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Contract, or with respect to any other matters arising in connection with this Contract, shall not be deemed a waiver with respect to subsequent default or other matter. N. Amendment. All changes or modifications to this Contract shall be in a writing stating that it is an amendment to this Contract and shall be signed by both parties or their duly authorized agents. This Contract shall not be modified through course of dealing, usage or trade.
