Resolution No. 7881I 4 1 2 3 4 5 R 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 7881 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN EQUIPMENT PURCHASE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND GE INDUSTRIAL SYSTEMS WHEREAS, the Utilities Department of the City of Vernon has determined that the City needs to purchase three (3) 3000A 13.8 KV breakers (the "Circuit Breakers") to protect the two (2) gas turbine generators and the steam generator for the Malburg Generating Station Project (the '"Project"); and WHEREAS, since the Utilities Department determined that the expedited purchase of the Circuit Breakers for the Project will assist Vernon in meeting its short and long term electricity goals and is in the public interest, staff sought informal quotes for the purchase of the Circuit Breakers; and WHEREAS, the following bids were received on the Circuit Breakers: Alstom Transmission and Distribution bid a total of One Hundred Ninety -One Thousand One Hundred Thirty -Nine Dollars and No Cents ($191,139.00); Asea Brown Boveri bid a total of One Hundred Forty -Four Thousand Eight Hundred Ninety -Five Dollars and No Cents ($144,895.00); General Electric Industrial Systems bid a total of One Hundred Thirteen Thousand Five Hundred Seventy -Four Dollars and No Cents ($113,574.00); Pederson Power Products bid a total of One Hundred Forty -Eight Thousand Eight Hundred Sixty Dollars and No Cents ($148,860.00); and Powell Electrical Manufacturing Company bid a total of One Hundred Fifty -Nine Thousand one Hundred Fifty -Two Dollars and No Cents ($159,152.00); and WHEREAS, the bids were reviewed by the Utilities Department; 1 2 3 4 5 6 7 8 9 Im 11 12 13 14' 15" 16 17 18 19 20 21 22 23 24 25 26 27 28 t and WHEREAS, on December 11, 2001, the Finance Committee recommended that the City Council approve the recommendation of Bruce V. Malkenhorst, Director of Finance, dated December 5, 2001, that the bid be awarded to General Electrical Industrial Systems, that an equipment purchase contract be approved and executed and that a purchase order be issued; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with GE Industrial Systems, for the purchase of the Circuit Breakers for the Project NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION l: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2 The City Council of the City of Vernon hereby approves the Equipment Purchase Contract with GE Industrial Systems, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby; authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. GE agrees to sell and deliver the three (3) Circuit Breakers as set forth and described in detail in the Proposal, a copy of which is attached hereto as Exhibit "A" and incorporated herein by reference and the "Specification For Generator Circuit Breakers 'City of 'Vernon 120 MW Combined Cycle Power Plant, Specification No. E-PCB" dated' September 4, 2001, as revised September 6, 2001, a copy of which is attached hereto as Exhibit "B" and incorporated herein by reference• It is understood and agreed that in the event of a conflict between the Proposal and this Contract, the terms of this Contract shall prevail. 2. Time of Performance. GE's performance, as identified herein, shall commence upon the signing of this Contract, and shall be completed unless otherwise terminated or extended. 3. Price. GE agrees to sell and deliver the three (3) Circuit Breakers described in its Proposal for the unit price of Thirty -Five Thousand Seven Hundred Fifteen Dollars and No Cents ($35,715.00) each for a total of One Hundred Seven Thousand One Hundred Forty -Five Dollars and No Cents ($107,145.00), plus Four Thousand Two Hundred Eighty -Six Dollars and No Cents ($4,286.00) for the 24-month extended warranty, plus shipping and freight of Two Thousand One Hundred Forty -Three`' Dollars and No Cents ($2,143.00) for a total amount of One Hundred - 2 - I Thirteen Thousand Five Hundred Seventy -Four Dollars and No Cents 2 ($113,574.00) to be paid GE under this Contract 3 4 Payment Terms. 4 The City agrees to pay GE progress payments net 30 days after 5 receipt of invoices following the occurrence of certain activities: 6 - Thirty percent (30%) of the total contract price after 7 submittal of drawings for approval; and 8 Seventy percent (70%) of the total contract price will be 9 will be due upon receipt of an invoice for delivery of the equipment to 10 the City. 11 5. Delivery. 12 The delivery dates of the Circuit Breakers will be mutually 13 decided. All materials will be delivered to the City`s jobsite in 14 advance of the time they are needed. 25 6. Change and Extra Services 16 The City reserves the right to request changes in the 17 delivery dates, or additions to or deletions from the equipment 18 purchased from GE. All such changes shall be incorporated in written. 19 change orders executed by the City and GE that shall specify the 20 changes ordered and the adjustment of prices, delivery schedules and 21 warranties. Any equipment or services added to this Contract, under 22 this section, shall be executed under all applicable conditions of this 23 Contract. No claim for additional compensation or extension of time 24 shall be recognized unless contained in a duly executed change order. 25 7. Cancellation/Default. 26 A. This Contract may be terminated by the City for its 27 convenience upon fifteen (15) days prior written notice and upon 28 payment of reasonable and proper termination charges, including all - 3 - 4 I costs incurred or committed prior to the effective date of notice of 2 termination and all charges incurred by GE in connection with the 3 termination, plus reasonable overhead and profit. 4 In the event that GE commits a breach of -a material condition 5 of this Contract, the City shall notify GE in writing of said breach 6 and if GE has not cured or begun reasonable efforts to cure after 7 fifteen (15) days of receipt of said notice, and fails to diligently 8 pursue corrective action, then the City shall have the right to cancel 9 this Contract. GE shall be responsible for any direct costs due to the 10 City's re -procurement of the equivalent of the equipment cancelled from 11 GE. 12 8. Confidential Information. 13 A. Access to Confidential Information. The City may 14 provide GE with, or allow GE access to, certain information not 15 available to the public concerning, but not limited to the City, or 16 businesses located in the City. The information may include, but is 17 not limited to, company information, taxes, sales, value of assets, 18 utility usage, or other such information. All such information shall 19 be known as "Confidential Information" and may not be used to 20 circumvent the responsibility of either party to this Contract. 21 B. No Disclosure. Except as expressly permitted, GE shall 22 not disclose, permit the disclosure of, release, disseminate, or 23 transfer, whether orally or by any other means, any part of such 24 Confidential Information to any other person or entity, whether 25 corporate, governmental, or individual, without the express prior 26 written consent of an authorized representative of the City. GE shall 27 return__:any written Confidential Information, and all copies made of 28 such items, to the City upon the city's written request, but in any 4 1 2 3 4 5 6 7 8 9 10 11 12 13 14, 15' 16 17 18 19 20 21 event not later than the date that GE has performed all services to be performed pursuant to this Contract. uB nerepy agLGtl."5. --c - a --- Confidential Information and any documents provided may beusedby GE only as authorized by the City. GE shall take reasonable measures to avoid any disclosure of any such Confidential Information to any unauthorized person, B. Court Ordered Disclosure. GE shall immediately notify the City of any court order or subpoena requiring disclosure of Confidential Information, and shall cooperate with legal counsel in the appeal or challenge of any such order or subpoena. Recipient may only disclose Confidential Information required to be disclosed pursuant to court order or subpoena after legal counsel has exhausted any lawful mil 24 and timely appeal or challenge. C. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Contract. GE acknowledges that in case of such breach or threatened breach of said provisions, the City would have no adequate remedy at law. 9. Warranties. GE warrants title to the equipment purchased hereunder and any part thereof to be free of any claim of any security interest, lien or any encumbrance. GE also warrants that the equipment will be 25 delivered new and shall be free from defects in material and 26 workmanship for the warranty period of twelve (12) months from 27 energtxAtion or eighteen (18) months from .shipment from factory, 28 whichever comes first. This standard warranty may be extended for an - 5 - Y I additional twenty-four (24) month period under the extended warranty 2 provisions. 3 10. Compliance with Laws. 4 GE shall strictly observe and comply with all applicable 5 federal, state, and local laws, ordinances and regulations governing 6 this sale, including but not limited to any permit or license 7 requirements of the United States Department of Commerce, as well as 8 any laws of the United States of America in force at the time this 9 Contract is fully executed. 101 11. Governing Law. 11 The validity, interpretation and performance of this Contract 12 shall be controlled and construed under the laws of the State of 13 California as enacted and in force at the time this Contract is fully 14 executed. 15 12 Forum Selection. 16 Any action brought relating to this Contract shall be brought 17 and held exclusively in a State Court in the County of Los Angeles, 18 California. 19 13. General Provisions. A. Independent Contractor. At all times during the term of this Contract, GE shall be an independent contractor and shall not be an employee of the City. The City shall have the right to control GE only insofar as the results of GE services rendered pursuant to this Contract; however, the City shall not have the right to control the means by which GE accomplishes services rendered pursuant to the Contract except to the extent that such services involve the use of City property or Confidential Information. B. GE Not Agent. Except as the City may specify in writing, GE shall have no authority, express or implied, to act on behalf of the City in any capacity whatsoever as an agent. GE shall have no authority, express or implied,.pursuant to this Contract to bind the City to any obligation whatsoever. C. Indemnification. GE shall indemnify, defend, protect and hold the City and its officers, agents and employees, free and harmless from and against any and all claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments and all costs and expenses incurred in connection therewith, including reasonable attorney's fees and costs of defense arising out of the services performed at the jobsite in Vernon under this Contract, except to the extent arising from or caused by the negligence or willful misconduct of the City, its officers, agents or employees. D. Comprehensive General and Automobile Insurance. GE agrees to provide insurance in the amounts and forms - 7 - 21 3 4 5 6 7 8 91 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 21 2E specified in Exhibit "C," which is attached hereto a ' nd made a part hereof by reference. Comparable coverage shall be provided for each subcontractor used in the performance of this Contract. GE shall submit to the City documentation indicating compliance with these minimum requirements no less than one (1) day prior to the beginning of performance under this Contract. GE shall not commence performance of its services under this Contract until the above insurance has been obtained and proof of insurance has been filed with and approved by the City. E. Assignment and Subcontracting Prohibited. No party to this Contract may assign or subcontract any right or obligation pursuant to this Contract without the express written consent of the other party, except that GE may subcontract for the installation of the fire protection system. Any other attempted or purported assignment of any right or obligation pursuant to this Contract shall be void and of no effect. F. Entire Agreement. This Contract constitutes the complete and final expression of the agreement of the parties and is intended as a complete and exclusive statement of the terms of their agreements and supersedes. all prior and contemporaneous offers, promises, representations, negotiations, discussions, communications and agreements which may have been made in connection with the subject matter hereof. All exhibits are incorporated by reference. GE represents that in entering into this Contract, it has not relied on any previous representations or understandings of any kind or nature. G. Partial Invalidity. Wherever possible, each provision hereof will be interpreted k r 1 2 3 4 5 6 7 RI i 9 10 11 12 13 14 15 16 17 181' 19 20 21 22 23 24 25 26 27 2E in such manner as to be effective and valid under applicable law, but in case any one or more of the provisions contained herein will, for any reason, be held to be invalid, illegal or unenforceable in any respect, such provision will be ineffective to the extent, but only to the extent, of such invalidity, illegality or unenforceability without invalidating the remainder of such invalid, illegal or unenforceable provision or provisions or any other provision hereof, unless such a construction would be unreasonable or contrary to the intent of the parties as expressed in this Contract. H. Time of the Essence. Time is of the essence in the performance of this Contract and of each and every provision hereof. The waiver by the City of any breach or breaches hereof shall not be deemed, nor shall the same constitute, a waiver of any subsequent breach or breaches. I. Risk of Loss. Title and risk of loss or damage shall pass to the City and delivery shall be deemed to be complete upon delivery FOB jobsite or upon moving into storage at the city's request, whichever occurs first. J. Attorneys' Fees. In the event that it becomes necessary for either party to this Contract to enforce any of the provisions of this Contract, the parties agree that a court of competent jurisdiction may determine and fix reasonable attorney's fees to be paid to the successful litigant. K. Benefit of Agreement. This Contract shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. L. Force Majeure. Neither party shall be considered to be in default in any of - 9 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 its obligations under this Contract when a failure of performance shall be due to an uncontrollable force. The terms "uncontrollable force" shall mean any cause beyond the control of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightening, epidemic, war, riot, civil disturbance or disobedience, labor dispute, labor material shortage, sabotage, federal, state, or municipal action, statute, ordinance, or regulation, embargoes or the United States Government or any other government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise to due diligence has been unable to overcome. Either party rendered unable to fulfill any of its obligations under this Contract by reason of an uncontrollable force, shall give written. notice within five (5) business days of such fact to the other party and shall exercise due diligence to remove such inability with all reasonable dispatch. M. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Contract, or with respect to any other matters arising in connection with this Contract, shall not be deemed a waiver with respect to subsequent default or other matter. N. Amendment. All changes or modifications to this Contract shall be in a writing stating that it is an amendment to this Contract and shall be signed by both parties or their duly authorized agents. This Contract. shall not be modified through course of dealing, usage or trade.
