3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
4 PROFESSIONAL AND TECHNICAL SERVICES AGREEMENT
5 (0001001SV) BY AND BETWEEN THE CITY OF VERNON AND
DIGITAL MAP PRODUCTS

7 WHEREAS, the City of Vernon desires to retain the services
8 of a professional consulting company for the development and
9 implementation of a geographic information system ("GIS") in order to
10 increase the efficiency of City operations; and
11 WHEREAS, Digital Map Products ("Digital Map") is an
12 authorized Sublicensor of products owned by third parties pertaining
13 to parcel and right-of-way data, property attributes, maps and
14 orthophotos; and
15 WHEREAS, Digital Map has provided data to :Vernon in the past
16 relating to a GIS implementation plan; and
17 WHEREAS, the City's staff has determined that Digital Map
18 possesses the technical knowledge necessary to develop and implement a
19 GIS for the City of Vernon; and
20 WHEREAS, the City of Vernon is also required to execute a
21 sublicense agreement with Digital Map in order to gain access to
22 information to be provided by Digital Map; and
23 WHEREAS, by letter dated December 13, 2001, Bruce V.
24 Malkenhorst, City Administrator/City Clerk, recommended that a
25 Professional and Technical Services Agreement (0001001SV) be approved
26 and executed with Digital Map; and
27 WHEREAS, the City Council of the City of Vernon has
28 determined that, pursuant to the provisions of subsection (a) of

Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an agreement with Digital Map for professional
and technology services.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
land correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Professional and Technical Services Agreement (OOO1001SV)
with Digital Map, a copy of which is attached hereto as Exhibit "A"
and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Agreement for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed

Agreement 0001001SV
This Agreement is made and entered into as of December 19, 2001, by and between
the City of Vernon (hereinafter referred to as the "City"), and Digital Map Products (hereinafter
referred to as the "Consultant").
The City and the Consultant agree as follows:
RECITALS
A. The City does not have the personnel able and/or available to perform the
services required under this Agreement; and
B. The City desires to contract for the Professional and Technical Work Program
as described in the Consultant's Scope of Work, attached as Attachment A and incorporated
herein by this reference ("Scope of Work"), and
C. Consultant warrants to the City possession of the qualifications, experience and
facilities to perform properly and timely the services under this Agreement; and
D. The City desires to contract with Consultant to perform the services as
described above.
NOW, THEREFORE, the City and the Consultant agree as follows:
1.0 SCOPE OF SERVICES. The Consultant agrees to provide the services and
perform the tasks set forth in the Recitals Section of this Agreement and as more fully set forth in
Attachment "A" to this Agreement. The services and tasks may be amended from time to time
by way of a written directive from the City Administrator.
2.0 CITY AGENT. The City Administrator, or in his absence the Assistant to the
City Administrator, for the purposes of this Agreement is the agent for the City; whenever
approval or authorization is required by the City. The Consultant understands that only the City
Administrator, or in his absence, the Assistant to the City Administrator, has the authority to
provide that approval or authorization.
10 COMPENSATION FOR SERVICES. The City shall pay the Consultant for
professional services rendered and costs incurred pursuant to this Agreement in the total amount
of $236,740.00. 50 % of the line item task amount shall be due and payable upon the start date
of the line item task. The remaining 50%.shall be paid upon uncontested completion, to the
satisfaction of the City, of the line item task in the Scope of Work in Attachment A according to
the schedule in Attachment A. All fees shall be paid by the city within 30 days of the receipt of
an invoice by the consultant.
DMP shall complete optional Technical Services for conversion of the Electrical Maps at no
additional charge if this Agreement and the accompanying agreement for the CityGIS
Subscription is signed and the City makes a down payment of $35,511.00, 15% of the total
professional services amount due before December 31, 2001. The down payment will be applied
to all invoices for progress payments and subscriptions until the entire amount is accounted for.
4.0 CONFLICT OF INTEREST. The Consultant represents that no City
employee or official has a material financial interest in Consultant's business. During the term
of this Agreement and/or as a result of being awarded this contract, the Consultant shall not
offer, encourage or accept any financial interest in the Consultant's business by any City
employee or official.
5.0 GENERAL TERMS AND CONDITIONS.
5.1 Non -Discrimination. The Consultant shall not discriminate as to race,
creed, gender, color, national origin, or sexual orientation in the performance of its services and
duties pursuant to this Agreement, and will comply with all applicable laws, ordinances and
codes of the federal, State, County, and City governments.
5.2 Insurance. The Consultant shall submit to the City certificates indicating
compliance with the following minimum insurance requirements no less than one (1) day prior to
beginning of performance under this Agreement:
(a) Workers Compensation Insurance as required by law. The
Consultant shall require all subcontractors similarly to provide such compensation insurance for
their respective employees.
(b) Comprehensive general and automobile liability insurance
protecting the Consultant in amounts not less than $1,000,000 for personal injury to any one
person, $1,000,000 for injuries arising out of one occurrence, and $500,000 for property damages
or a combined single limit of $1,000,000. Each such policy of insurance shall:
(c) Be issued by a financially responsible insurance company or companies
admitted and authorized to do business in the State of California or which is
approved in writing by City.
(d) Name and list as additional insured the City, its officers and employees.
(e) Specify its acts as primary insurance.
(f) Contain a clause substantially in the following words: "It is hereby understood
and agreed that this policy shall not be canceled nor materially changed except
upon thirty (30) days prior written notice to the City of such cancellation or
material change."
(g) Cover the operations of Consultant pursuant to the terms of this Agreement.

5.3 Indemnification. The Consultant agrees to hold harmless, indemnify and
defend the City, its employees, agents, and affiliates, for any and all loss or liability of any nature
whatsoever arising out of or in any way connected with Counsel's performance of this
agreement, including loss or liability caused by the City's negligence, except loss or liability
caused by the City's sole willful conduct or active negligence.
5.4 Compliance With Applicable Law. The Consultant and the City shall
comply with all applicable laws, ordinances and codes of the Federal, State, County and City
governments.
5.5 Independent Contractor. This Agreement is by and between the City
and Consultant and is not intended, and shall not be construed, to create the relationship of
agency, servant, employee, partnership, joint venture or association, as between the City and
Consultant. Consultant shall be an independent contractor, and shall have no power to incur any
debt or obligation for or on behalf of the City. Neither the City nor any of its officers or
employees shall have any control over the conduct of Consultant, or any of Counsel's
employees, except as herein set forth, and Consultant expressly warrants not to, at any time or in
any manner, represent that he, or any of his agents, servants or employees are in any manner
employees of the City, it being distinctly understood that Consultant is and shall at all times
remain to the City a wholly independent contractor and Consultant's obligations to the City are
solely such as are prescribed by this Agreement.
5.6 Copyright. Consultant acknowledges that to the extent permitted by law,
all work products described in Attachment A, Scope of Services, was, is and will be a "work
made for hire," that the City is the author of the work product and that ownership of copyright in
regard to the work product is vested in City. To the extent that the work product is not a "work
made for hire" with copyright ownership vesting automatically in City, Consultant hereby
expressly assigns all rights in and to the work product to City. The Consultant recognizes City as
Copyright owner and will execute additional documents if requested without additional
compensation.
5.7 Legal Construction.
(a) This Agreement is made and entered into in the State of California
and shall in all respects be interpreted, enforced and governed under the laws of the State of
California.
(b) This Agreement shall be construed without regard to the identity of
the persons who drafted its various provisions. Each and every provision of this Agreement shall
be construed as though each of the parties participated equally in the drafting of same, and any
rule of construction that a document is to be construed against the drafting party shall not be
applicable to this Agreement.
(c) The article and section, captions and headings herein have been
inserted for convenience only, and shall not be considered or referred to in resolving questions of
interpretation or construction.

5.8 Counterparts. This Agreement may be executed in counterparts and as
so executed shall constitute an Agreement which shall be binding upon all parties hereto.
5.9 Final Payment Acceptance Constitutes Release. The acceptance by
Consultant of the final payment made under this Agreement shall operate as and be a release of
the City from all claims and liabilities for compensation to Consultant for anything done,
furnished, or relating to Counsel's work or services. Acceptance of payment shall be any
negotiation of the City's check or the failure to make a written extra compensation claim within
ten (10) calendar days of the receipt of that check. However, approval or payment by the City
shall not constitute, nor be deemed, a release of the responsibility and liability of Consultant, his
employees, sub -consultants and agents for the accuracy and competency of the information
provided and/or work performed; nor shall such approval or payment be deemed to be an
assumption of such responsibility or liability by the City for any defect or error in the work
prepared by Consultant, his employees, sub -consultants and agents.
5.10 Files. All files of the Consultant pertaining to the City shall be and shall
remain the property of the City. The Consultant will control the physical location of such files
during the term of this agreement and shall be entitled to retain copies of such files upon
termination of this agreement.
5.11 Waiver; Remedies Cumulative. Failure by a party to insist upon the
performance of any of the provisions of this Agreement by the other party, irrespective of the
length of time for which such failure continues, shall not constitute a waiver of such party's right
to demand compliance by the other party in the future. No waiver by a party of a default or
breach of the other party shall be effective or binding upon such party unless made in writing by
such party, and no such waiver shall be implied from any omissions by a party to take any action
with respect to such default or breach. No express written waiver of a specified default or breach
shall affect any other default or breach, or cover any other period of time, other than any default
or breach and/or period of time specified. All of the remedies permitted or available to a party
under this Agreement, or at law or in equity, shall be cumulative and alternative, and invocation
of any such right or remedy shall not constitute a waiver or election of remedies with respect to
any other permitted or available right of remedy.
5.12 Mitigation of Damages. In all such situations arising out of this
Agreement, the parties shall attempt to avoid and minimize the damages resulting from the
conduct of the other party.
5.13 Partial Invalidity. If any provision in this Agreement is held by a court
of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions will
nevertheless continue in full force without being impaired or invalidated in any way.

5.14 Attorneys' Fees. The parties hereto acknowledge and agree that each will
bear his or its own costs, expenses and attorneys' fees arising out of and/or connected with the
negotiation, drafting and execution of the Agreement, and all matters arising out of or connected
therewith except that, in the event any action is brought by any party hereto to enforce this
Agreement, the prevailing party in such action shall be entitled to reasonable attorneys' fees and
costs in addition to all other relief to which that party or those parties may be entitled.
5.15 Entire Agreement. This Agreement constitutes the whole agreement
between the City and Consultant, and neither party has made any representations to the other
except as expressly contained herein. Neither party, in executing nor performing this Agreement
is relying upon any statement or information not contained in this Agreement. Any changes or
modifications to this Agreement must be made in writing appropriately executed by both the City
and Consultant.
5.16 Notices. Any notice required to be given hereunder shall be deemed to
have been given by depositing said notice in the United States mail, postage prepaid, and
addressed as follows:

5.17 Warranty Of Authorized Signatories. Each of the signatories hereto
warrants and represents that he or she is competent and authorized to enter into this Agreement
on behalf of the party for whom he or she purports to sign.

Fire Department
The integration of feature data sets related to the Fire department will be based on data sets
provided by the City of Vernon Fire Department. All discrepancies and anomalies related to the
data will be identified and submitted to the Fire Department for clarification.

Scanning of Source Documents
DMP will have the engineering as -built drawings scanned and de -speckled to reduce any
extraneous pixel residue on the image to improve the legibility on the computer screen.
Approximately 1,200 original engineering drawings will be scanned and indexed. The drawings
will be scanned at 300 dpi and linked to the appropriate feature. This task will not only preserve
the City's as-builts drawing library in a secure digital format in the event of fire or other
emergency, but will also provide a powerful search mechanism, integration with City GIS map
data, and desktop access to the drawings for City staff located in various departments. As a
result, having the drawings information readily available, in an efficient format on a daily basis,
will enhance productivity and efficiency of staff.
DMP will capture and index the following fields for each drawing.

GEO- Referencing
DMP will GEO- Reference the scanned drawings to the parcel base map allowing City, staff to
view the scanned image as it is represented in its geographical location and coordinates. This
method will give critical and detailed information regarding a facility, as it is represented within
the parcel base and assisting City staff to provide quality public service to contractors and
emergency services..

Submitted herewith are a Professional and Technical Services Agreement
and a Service Subscription and Sublicense Agreement, by and between,
the City of Vernon and Digital Map Products, LLC.
The City is requesting to continue the pursuance of a GIS Software
program with a new vendor, DMP, in order to increase the efficiency
and abilities of city operations. Initially, the City agreed to house
this type of a system fully in-house with dedicated staff. However,
the designated staff member has since resigned, and it has been
identified that the required knowledge, time, and resources would
exceed that of DMPs' services if we were to continue with the existing
system implementation plan. DMP was selected by a City formed GIS
Committee consisting of representatives from each department.
The cost for services are the following:

Professional and Technical Services
Agreement 0001001SV
This Agreement is made and entered into as of December 19, 2001, by and between
the City of Vernon (hereinafter referred to as the "City"), and Digital Map Products (hereinafter
referred to as the "Consultant").
The City and the Consultant agree as follows:
RECITALS
A. The City does not have the personnel able and/or available to perform the
services required under this Agreement; and
B. The City desires to contract for the Professional and Technical Work Program as
described in the Consultant's Scope of Work, attached as Attachment A and incorporated herein
by this reference ("Scope of Work"), and
C. Consultant warrants to the City possession of the qualifications, experience and
facilities to perform properly and timely the services under this Agreement; and
D. The City desires to contract with Consultant to perform the services as
described above.
NOW, THEREFORE, the City and the Consultant agree as follows:
1.0 SCOPE OF SERVICES. The Consultant agrees to provide the services and
perform the tasks set forth in the Recitals Section of this Agreement and as more fully set forth in
Attachment "A" to this Agreement. The services and tasks may be amended from time to time
by way of a written directive from the City Administrator.
2.0 CITY AGENT. The City Administrator, or in his absence the Assistant to the
City Administrator, for the purposes of this Agreement is the agent for the City; whenever
approval or authorization is required by the City. The Consultant understands that only the City
Administrator, or in his absence, the Assistant to the City Administrator, has the authority to
provide that approval or authorization.
3.0 COMPENSATION FOR SERVICES. The City shall pay the Consultant for
professional services rendered and costs incurred pursuant to this Agreement in the total amount
of $236,740.00. 50 % of the line item task amount shall be due and payable upon the start date
of the line item task. The remaining 50% shall be paid upon uncontested completion, to the
satisfaction of the City, of the line item task in the Scope of Work in Attachment A according to
the schedule in Attachment A. All fees shall be paid by the City within 30 days of the receipt of
an invoice by the consultant.
DMP shall complete optional Technical Services for conversion of the Electrical Maps at no
additional charge if this Agreement and the accompanying agreement for the CityGIS
Subscription is signed and the City makes a down payment of $35,511.00, 15% of the total
professional services amount due before December 31, 2001. The down payment will be applied
to all invoices for progress payments and subscriptions until the entire amount is accounted for.
4.0 CONFLICT OF INTEREST. The Consultant represents that no City
employee or official has a material financial interest in Consultant's business. During the term
of this Agreement and/or as a result of being awarded this contract, the Consultant shall not
offer, encourage or accept any financial interest in the Consultant's business by any City
employee or official.
5.0 GENERAL TERMS AND CONDITIONS.
5.1 Non -Discrimination. The Consultant shall not discriminate as to race,
creed, gender, color, national origin, or sexual orientation in the performance of its services and
duties pursuant to this Agreement, and will comply with all applicable laws, ordinances and
codes of the federal, State, County, and City governments.
5.2 Insurance. The Consultant shall submit to the City certificates indicating
compliance with the following minimum insurance requirements no less than one (1) day prior to
beginning of performance under this Agreement:
(a) Workers Compensation Insurance as required by law. The
Consultant shall require all subcontractors similarly to provide such compensation insurance for
their respective employees.
(b) Comprehensive general and automobile liability insurance
protecting the Consultant in amounts not less than $1,000,000 for personal injury to any one
person, $1,000,000 for injuries arising out of one occurrence, and $500,000 for property damages
or a combined single limit of $1,000,000. Each such policy of insurance shall:
(c) Be issued by a financially responsible insurance company or companies
admitted and authorized to do business in the State of California or which is
approved in writing by City.
(d) Name and list as additional insured the City, its officers and employees.
(e) Specify its acts as primary insurance.
(f) Contain a clause substantially in the following words: "It is hereby understood
and agreed that this policy shall not be canceled nor materially changed except
upon thirty (30) days prior written notice to the City of such cancellation or
material change."
(g) Cover the operations of Consultant pursuant to the terms of this Agreement.

5.3 Indemnification. The Consultant agrees to hold harmless, indemnify and
defend the City, its employees, agents, and affiliates, for any and all loss or liability of any nature
whatsoever arising out of or in any way connected with Counsel's performance of this
agreement, including loss or liability caused by the City's negligence, except loss or liability
caused by the City's sole willful conduct or active negligence.
5.4 Compliance With Applicable Law. The Consultant and the City shall
comply with all applicable laws, ordinances and codes of the Federal, State, County and City
governments.
5.5 Independent Contractor. This Agreement is by and between the City
and Consultant and is not intended, and shall not be construed, to create the relationship of
agency, servant, employee, partnership, joint venture or association, as between the City and
Consultant. Consultant shall be an independent contractor, and shall have no power to incur any
debt or obligation for or on behalf of the City. Neither the City nor any of its officers or
employees shall have any control over the conduct of Consultant, or any of Counsel's
employees, except as herein set forth, and Consultant expressly warrants not to, at any time or in
any manner, represent that he, or any of his agents, servants or employees are in any manner
employees of the City, it being distinctly understood that Consultant is and shall at all times
remain to the City a wholly independent contractor and Consultant's obligations to the City are
solely such as are prescribed by this Agreement.
5.6 Copyright. Consultant acknowledges that to the extent permitted by law,
all work products described in Attachment A, Scope of Services, was, is and will be a "work
made for hire," that the City is the author of the work product and that ownership of copyright in
regard to the work product is vested in City. To the extent that the work product is not a "work
made for hire" with copyright ownership vesting automatically in City, Consultant hereby
expressly assigns all rights in and to the work product to City. The Consultant recognizes City as
Copyright owner and will execute additional documents if requested without additional
compensation.
5.7 Legal Construction.
(a) This Agreement is made and entered into in the State of California
and shall in all respects be interpreted, enforced and governed under the laws of the State of
California.
(b) This Agreement shall be construed without regard to the identity of
the persons who drafted its various provisions. Each and every provision of this Agreement shall
be construed as though each of the parties participated equally in the drafting of same, and any
rule of construction that a document is to be construed against the drafting party shall not be
applicable to this Agreement.
(c) The article and section, captions and headings herein have been
inserted for convenience only, and shall not be considered or referred to in resolving questions of
interpretation or construction.

(d) Whenever in this Agreement the context may so require, the
masculine gender shall be deemed to refer to and include the feminine and neuter, and the
singular shall refer to and include the plural.
5.8 Counterparts. This Agreement may be executed in counterparts and as
so executed shall constitute an Agreement which shall be binding upon all parties hereto.
5.9 Final Payment Acceptance Constitutes Release. The acceptance by
Consultant of the final payment made under this Agreement shall operate as and be a release of
the City from all claims and liabilities for compensation to Consultant for anything done,
furnished, or relating to Counsel's work or services. Acceptance of payment shall be any
negotiation of the City's check or the failure to make a written extra compensation claim within
ten (10) calendar days of the receipt of that check. However, approval or payment by the City
shall not constitute, nor be deemed, a release of the responsibility and liability of Consultant, his
employees, sub -consultants and agents for the accuracy and competency of the information
provided and/or work performed; nor shall such approval or payment be deemed to be an
assumption of such responsibility or liability by the City for any defect or error in the work
prepared by Consultant, his employees, sub -consultants and agents.
5.10 Files. All files of the Consultant pertaining to the City shall be and shall
remain the property of the City. The Consultant will control the physical location of such files
during the term of this agreement and shall be entitled to retain copies of such files upon
termination of this agreement.
5.11 Waiver; Remedies Cumulative. Failure by a party to insist upon the
performance of any of the provisions of this Agreement by the other party, irrespective of the
length of time for which such failure continues, shall not constitute a waiver of such party's right
to demand compliance by the other party in the future. No waiver by a party of a default or
breach of the other party shall be effective or binding upon such party unless made in writing by
such party, and no such waiver shall be implied from any omissions by a party to take any action
with respect to such default or breach. No express written waiver of a specified default or breach
shall affect any other default or breach, or cover any other period of time, other than any default
or breach and/or period of time specified. All of the remedies permitted or available to a party
under this Agreement, or at law or in equity, shall be cumulative and alternative, and invocation
of any such right or remedy shall not constitute a waiver or election of remedies with respect to
any other permitted or available right of remedy.
5.12 Mitigation of Damages. In all such situations arising out of this
Agreement, the parties shall attempt to avoid and minimize the damages resulting from the
conduct of the other party.
5.13 Partial Invalidity. If any provision in this Agreement is held by a court
of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions will
nevertheless continue in full force without being impaired or invalidated in any way.

5.14 Attorneys' Fees. The parties hereto acknowledge and agree that each will
bear his or its own costs, expenses and attorneys' fees arising out of and/or connected with the
negotiation, drafting and execution of the Agreement, and all matters arising out of or connected
therewith except that, in the event any action is brought by any party hereto to enforce this
Agreement, the prevailing party in such action shall be entitled to reasonable attorneys' fees and
costs in addition to all other relief to which that party or those parties may be entitled.
5.15 Entire Agreement. This Agreement constitutes the whole agreement
between the City and Consultant, and neither party has made any representations to the other
except as expressly contained herein. Neither party, in executing nor performing this Agreement
is relying upon any statement or information not contained in this Agreement. Any changes or
modifications to this Agreement must be made in writing appropriately executed by both the City
and Consultant.
5.16 Notices. Any notice required to be given hereunder shall be deemed to
have been given by depositing said notice in the United States mail, postage prepaid, and
addressed as follows:

Fire Department
The integration of feature data sets related to the Fire department will be based on data sets provided by
the City of Vernon Fire Department. All discrepancies and anomalies related to the data will be identified
and submitted to the Fire Department for clarification.

Scanning of Source Documents
DMP will have the engineering as -built drawings scanned and de -speckled to reduce any
extraneous pixel residue on the image to improve the legibility on the computer screen.
Approximately 1,200 original engineering drawings will be scanned and indexed. The drawings will be
scanned at 300 dpi and linked to the appropriate feature. This task will not only preserve the City's as-
builts drawing library in a secure digital format in the event of fire or other emergency, but will also
provide a powerful search mechanism, integration with City GIS map data, and desktop access to the
drawings for City staff located in various departments. As a result, having the drawings information
readily available, in an efficient format on a daily basis, will enhance productivity and efficiency of staff.

Honorable Members:
Submitted herewith are a Professional and Technical O .Services Agreement
and a Service Subscription and Sublicense Agreement, by and between,
the City of Vernon and Digital Map Products, LLC.
The City is requesting to continue the pursuance of a GIS Software
program with a new vendor, DMP, in order to increase the efficiency
and abilities of city operations. Initially, the City agreed to house
this type of a system fully in-house with dedicated staff. However,
the designated staff member has since resigned, and it has been
identified that the required knowledge, time, and resources would
exceed that of DMPs' services if we were to continue with the existing
system implementation plan. DMP was selected by a City formed GIS
Committee consisting of representatives from each department.
The cost for services are the following:
1. Professional and Technical Services
2. Annual Subscription Fee for 5 years- $236,0.00

In addition, as additional employees utilize the GIS software, it may be required to increase the internet bandwidth at an increased monthly
cost of approximately $120.00 and a one time cost of approximately
$700.00 for hardware.

This has been reviewed by the City Attorney and Assistant to the City
Administrator, and it is hereby recommended that the Professional and
Technical Services Agreement and a Service Subscription and Sublicense
Agreement, by and between, the City of Vernon and Digital Map
Products, LLC. be approved and executed, and that a Resolution be
adopted.
