A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AMENDMENT NO. TWO TO THE AGREEMENT FOR PROFESSIONAL
CONSULTING SERVICES BY AND BETWEEN THE CITY OF
VERNON AND PARSONS ENGINEERING SCIENCE, INC. AND
RATIFYING THE EXECUTION OF AN AUTHORIZATION FOR
ADDITIONAL WORK
WHEREAS, the City of Vernon is in the process of developing
the Malburg Generating Station Combined Cycle Power Plant (the
"Project") for the purpose of installing additional generating
capacity; and
WHEREAS, on June 20, 2001, the City Council of the City of
Vernon adopted Resolution No. 7790 approving and authorizing the
execution of an Agreement for Professional Consulting Services (the
"Agreement") with Parsons Engineering Science, Inc. ("Parsons"); and
WHEREAS, on September 19, 2001, the City Council of the City
of Vernon adopted Resolution No. 7831 approving and authorizing the
execution of an Amendment No. One to the Agreement ("Amendment One")
with Parsons; and
WHEREAS, environmental permitting support is needed to
complete the Application for Certification ("AFC") for submission to
the California Energy Commission ("CEC") and the Permit to Construct
application and other license applications for submission to the South
Coast Air Quality Management District ("AQMD") for the Project; and
WHEREAS, in order to meet the urgent need for the
environmental permitting support, on January 14, 2002, the City
Administrator executed a Letter of Authorization to Parsons for
additional work to validate a verbal authorization given on

January 11, 2002, subject to ratification by the City Council; and
WHEREAS, on January 11, 2002, the AQMD issued a "Letter of
Completeness" to the City signifying that all eleven (11) of the
City's permit applications that were filed with the AQMD are complete
and can be processed for approval, thereby satisfying a major
condition of the City's AFC filed with the CEC; and
WHEREAS, in accordance with Sections 6 and ll.G of the
Agreement, the City of Vernon and Parsons desire to amend the
Agreement to incorporate changes to the scope of services and the
adjustment of compensation and completion time required therefor; and
WHEREAS, the City Council desires to approve and ratify the
Letter of Authorization for additional air quality work for the
Project; and
WHEREAS, by letter dated January 17, 2002, Bruce V.
Malkenhorst, City Administrator/City Clerk, has recommended that a
second amendment to the Agreement be approved and executed.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
land correct.
SECTION 2: The City Council of the City of Vernon hereby
approves and ratifies the execution of the Letter of Authorization to
(Parsons, a copy of which is attached hereto as Exhibit "A" and made a
1part hereof.
SECTION 3: The City Council of the City of Vernon hereby
approves the Amendment No. Two to the Agreement for Professional
Consulting Services with Parsons, a copy of which is attached hereto

as Exhibit "B" and made a part hereof.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Amendment for,
and on behalf of, the City of Vernon.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Amendment to:

Dear Mr. Nand:
This letter shall serve as authorization to Parsons Engineering
Science, Inc. ("Parsons") to undertake the work tasks described
in Table l attached to this letter.
All work tasks undertaken by Parsons shall be as needed by the
City at the direction of authorized City personnel. All the
terms and conditions of the existing City contract with Parsons
for the MGS Project remain in full force and effect.
The remuneration to Parsons for the work tasks authorized herein
in attached Table 1 shall not exceed the amounts enumerated in
said Table 1. If the City requires less work from Parsons for

Commission ("CEC") and a Permit to Construct application for

WHEREAS, Section 6 of the Agreement allows for changes and

additions to the services to be performed by Consultant, the scope of

amendments and modifications to the Agreement.

NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET

FORTH HEREIN:

SECTION 1: In addition to the services outlined in the

SCOPE OF SERVICES section in the Agreement and Amendment No. One,
13
Consultant shall be available to perform the services as detailed in
14
Exhibit "A" which is attached hereto and incorporated herein by
15
reference. All such work tasks undertaken by Consultant shall be on
16
an as -needed basis and shall be completed at the direction of the
17
City.

SECTION 2: In addition to the compensation to be paid to
19
Consultant under the Agreement and Amendment No. One, the City will
20
pay Consultant on a time -and -materials basis, according to the hourly
21
rates set forth in Table 5-2 of the Agreement, for tasks performed
22
pursuant to Section 1 above. The total amount paid to Consultant for
23
each task shall not exceed the estimated amount for that task that is
24
set forth in Exhibit "A." Further, the total amount to be paid to
25
Consultant under this Amendment No. Two shall not exceed Three Hundred
26
Ninety -One Thousand Dollars and No Cents ($391,000.00).

SECTION 3: In all other respects, the terms and conditions
28
of the Agreement shall remain in full force and effect.

The Director of Utilities is requesting that an amendment to the
existing agreement with Parsons Engineering Science, Inc., be approved
to include consulting services for the completion of the following
permit applications that are needed for the implementation of the
Malburg Generating Station Project:

I recommend approval of the attached Amendment No. Two To The Agreement For Professional
Consulting Services By And Between The City of Vernon And Parsons Engineering Science,
Inc. for environmental permitting support for the Malburg Generating Station Project. This
Amendment provides for consultant services to complete the Application for Certification (AFC)
for the California Energy Commission (CEC) and the Permit to Construct for the South Coast
Air Quality Management District (SCAQMD). These services are for a not to exceed cost of
$391,000. This Amendment has been reviewed by the City Attorney.
I also recommend ratification of the January 14, 2002 execution of the Authorization For

NOW,, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
SECTION 1: Section 1 of the Agreement entitled SCOPE OF
SERVICES is hereby amended to read as follows:
Consultant shall perform the scope of services as detailed in
Exhibit "A" which is attached hereto and incorporated herein by
reference. In addition, Consultant will prepare and submit the
responses to requests for data adequacy by the CEC after the'AFC`for
the Project is submitted.
SECTION 2: Section 2 of the Agreement entitled PROGRESS
REPORTS is hereby amended to read as follows:
Consultant shall provide written progress reports, as
requested by the City, in order to advise the City, as quickly as
possible, of significant milestones or conclusions that will assist
the City in making progress toward the completion of the AFC and the
permitting process of the Project. Consultant shall also meet with
City staff, upon City's request, or as needed, in order to provide
reports or information concerning the services being performed by
Consultant under this Agreement.

SECTION 3: Section 3 of the Agreement entitled TIME OF
PERFORMANCE is hereby amended to read as follows:
Consultant's services shall commence upon complete execution
of the Agreement and shall continue until the Scope of Services as
provided for in Section l hereinabove are completed, unless the
Agreement is terminated.
SECTION 4: Section 4 of the Agreement entitled COMPENSATION
is hereby amended to read as follows:
A. Consulting Costs. The City will compensate
Consultant for assistance in the preparation of the AFC and the Permit
to Construct as part of the CEC Siting Process pursuant to
Consultant's cost estimate contained in Exhibit "A." The total amount
to be paid to.Consultant under this Agreement shall not exceed Two
Hundred Eighty -Three Thousand Five Hundred Dollars and No,.Cents
($283, 500.00)
B. Other Expenses. The Consulting Costs identified in
4A above include the "Other Direct Costs" which are identified "in
Exhibit "A." Any other expenses not identified in the Proposal ,may
only be billed if advance written approval has been obtained from the
City Administrator.
SECTION 5: In all other respects, the terms and conditions
of the Agreement shall be renewed in its entirety.
