Resolution No. 79071 RESOLUTION NO.' 7907 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF 4 AN AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES 5 BY AND BETWEEN THE CITY OF VERNON AND DMJM+HARRIS 6 7 WHEREAS, the City of Vernon is in the process of improving 8 the I-710 Atlantic/Bandini Interchange (the "Project") and, as part of 9 the Project, an extension of 26th Street over Atlantic and down to 10 Bandini to provide a bypass road is needed; and 11 WHEREAS, on March 31, 2001, the City Council of the City of 12 Vernon adopted Resolution 7732 approving a State Transportation 13 Improvement Programs letter agreement with the Metropolitan 14 Transportation Authority to secure the obligation of funds for the 15 Project; and 16 WHEREAS, on April 18, 2001, the City Council of the City of 17 Vernon adopted Resolution No. 7748 adopting the Final Environmental 18 Impact Report for the Project; and 19 WHEREAS, on May 23, 2001, the City Council of the City of 20 Vernon adopted Resolution No. 7770 approving a Cooperative Agreement 21 with the State of California, acting by and through its Department of 22 Transportation ("Caltrans") setting forth the terms and conditions 23 under which the Project will be developed, designed and financed; and 24 WHEREAS, the City of Vernon has received an "Authorization 25 to Proceed" notice from Caltrans to enter into an agreement with a 26 design engineering firm to assist the City in the 26th Street Extension 27 Project, a copy of which is attached hereto as Exhibit "A" and made a 28 part hereof; and t y , 1 WHEREAS, staff sought proposals from qualified consultants 2 to produce plans, specifications and estimates for the 26th Street 3 Extension Project; and _4 WHEREAS, the Community Services & Water Department advises 5 that DMJM+HARRIS is the most qualified consultant that meets the 6 Department's specifications and requirements; and 7 WHEREAS, by letter dated January 31, 2002, Bruce V. 8 Malkenhorst, the City Administrator/City Clerk, recommended that a 9 professional consulting services agreement be entered into with 10 DMJM+HARRIS at a cost not to exceed Four Hundred Forty -Seven Thousand 11 Sixty -Seven Dollars and No Cents ($447,067.00), excluding costs for 12 additional services should the existing pump station be deemed 13 inadequate by a pending hydrology study; and 14 WHEREAS, the City Council of the City of Vernon has 15 determined that, pursuant to the provisions of subsection (a) of 16 Section 2.27 of the Vernon City Code, it is in the public interest and 17 necessity to enter into a consulting agreement with DMJM-HARRIS. 18 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 19 CITY OF VERNON AS FOLLOWS: 20 SECTION 1: The City Council of the City of Vernon hereby 21 finds and determines that the recitals contained hereinabove are true 22 and correct. 23 SECTION 2: The City Council of the City of Vernon hereby 24 approves the Agreement for Professional Consulting Services with DMJM- 25 HARRIS, a copy of which is attached hereto as Exhibit "B" and made a 26 part hereof. 27 SECTION 3: The City Council of the City of Vernon hereby 28 authorizes the Mayor and the City Clerk to execute said Agreement for, y 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and on behalf of, the City of Vernon. ' SCOPE OF SERVICES. 6 Consultant shall perform the design phase services as 7 outlined in the Proposal, which is attached hereto as Exhibit "A" 8 and incorporated herein by reference as though fully set forth. 9 The design phase services consist of: Task 1 - Project Management, 10 Task 2 - Design Concept Approval, Task 3 - Preliminary Design 11 Reports, Task 4 - Draft PS&E, Task 5 - Final Draft PS&E, and Task 6 12 - Final PS&E. Consultant shall provide said services at the time, 13 place, and in the manner specified in the Proposal, subject to the 14 direction of the City, as may be provided through its staff from 15 time to time. It is understood and agreed that in the event of a 16 conflict between the Proposal and this Agreement, the terms of this 17 Agreement shall prevail. 18 II. TIME OF PERFORMANCE. 19 Consultant's services herewith shall commence upon the 20 full execution of this Agreement, shall remain in force from the 21 effective date, and shall expire upon completion according to the 22 Proposal and acceptance by the City, unless terminated according to 23 Section VIII.6. of this Agreement or extended upon the written 24 agreement of both parties to this Agreement. Completion of the 25 services to be performed by Consultant is expected to be no later 26 than October 31, 2002. 27 III. COMPENSATION. 28 The City shall reimburse the Consultant for the actual - 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 costs (labor and other direct costs) incurred by the Consultant in the performance of the work under this Agreement, in an amount not to exceed Four Hundred Forty Seven Thousand Sixty -Seven Dollars and No Cents ($447,067.00). Actual costs shall not exceed the estimated wage rates and other costs set forth in the Consultant's Proposal or Exhibit "A." The City shall compensate Consultant in the manner and in the amounts specified in the cost schedule set 'forth in the Proposal for Tasks 1 - 6. If, at any time, Consultant Iestimates the cost of performing the services described in Exhibit "A" will exceed the budget for such services including approved additional compensation, Consultant shall notify the City immediately in writing indicating the additional amount necessary to complete the service. Any costs incurred by Consultant in excess of the aforesaid limitation without the express written consent of the City shall be at Consultant's own risk. IV. METHOD OF PAVMFNT Within thirty (30) days after the last day of any month in which services have been performed or costs incurred hereunder, Consultant shall submit an invoice to the City stating the amount !due Consultant. Invoices shall contain an itemization of the tasks and subtasks performed, directly related job expenses, subcontractor charges incurred by Consultant for which compensation is due, and an estimate of the percentage completed for each milestone, task or subtask. Consultant shall be responsible for paying any subcontractors used in the performance of this Agreement. Subcontractors shall not bill the City directly. The City shall independently review each invoice submitted by the Consultant to determine if said invoice is in - 3 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 compliance with all provisions of this Agreement. All Consultant costs and expenses and any subcontractor costs and expenses must be in accord with the Contract Cost Principles and Procedures of the Federal Acquisition Regulations System, 48 CFR, Chapter 1, Part 31, et seq., Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Governments, 49 CFR Part 18. Any costs and expenses for which payment has been made to Consultant and/or Consultant's subcontractors that are determined by subsequent audit to be unallowable are subject to repayment by Consultant and/or Consultant's subcontractors to the City. The eligibility requirements for subcontractor cost and expenses, as described in this section, must be contained in all subcontracts of Consultant. Further, all subcontracts of Consultant must include a provision mandating reimbursement of City for any costs for which payment has been made that are determined to be unallowable by subsequent audit. In the event that the City disputes any costs or expenses in any invoice, the City shall notify Consultant within thirty (30) days of receipt by the City of said invoice. The City shall process the undisputed portions of said invoice. Payment to the Consultant for services performed pursuant to this Agreement shall not be deemed to waive any deficiencies in services performed by Consultant. V. CHANGES AND EXTRA SERVICES. The City reserves the right to request changes in the services to be performed by Consultant. All such changes shall be incorporated in written change orders executed by the City and - 4 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Consultant that shall specify the changes ordered and the adjustment of compensation and completion time required thereof. Any services added to the scope of this Agreement by a change order shall be executed under all applicable conditions of (phis Agreement. No claim for additional compensation or extension of time shall be recognized unless contained in a duly executed 11change order. VI. CONFIDENTIAL INFORMATION. 1. Access to Confidential Information. The City may provide Consultant with certain information not legally subject to public disclosure concerning the City, or businesses located in the City. Such information shall be known as "Confidential Information" and may not be used to circumvent the responsibility of either party to this Agreement. 2. No Disclosure. Except as expressly permitted, Consultant shall not disclose, permit the disclosure of, release, disseminate, or transfer, whether orally or by any other means, any part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Consultant shall return any written Confidential Information, and all copies made of such items, to the City upon the City's written request, but in any event not later than the date that Consultant has performed all services to be performed pursuant to this Agreement. Consultant hereby agrees that such Confidential Information and any documents provided may used by Consultant only as authorized by the City. Consultant shall take reasonable measures to avoid any disclosure of any such - 5 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Confidential Information to any unauthorized person. 3. Court Ordered Disclosure. Consultant shall immediately notify the City of any court order or subpoena requiring disclosure of Confidential Information, and shall cooperate with the City's legal counsel in responding to any such order or subpoena. Consultant may only disclose such Confidential Information after legal counsel has exhausted any lawful and timely appeal or challenge. 4. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Agreement. Consultant acknowledges that in case of such breach or threatened breach, the City would have no adequate remedy at law. VII. INDEMNITY AND INSURANCE. 1. Indemnification of City. Consultant shall indemnify, defend, protect and hold the City and its officers, agents and employees, free and harmless from and against any and all claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments, and all costs of defense to the extent arising, directly or indirectly, in whole and in part, out of the negligent services or willful misconduct performed under this Agreement, except to the extent arising from or caused by the active negligence or willful misconduct of the City, its officers, agents or employees. 2. Insurance. Prior to commencing work hereunder, Consultant shall provide the City with proof of insurance providing - 6 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and maintaining the coverage and endorsements set forth in the Insurance Schedule attached hereto as Exhibit "B" and made a part hereof by reference. Said proof of insurance shall also provide that said policy or policies shall not be cancelled or reduced in liability limits without giving at least thirty (30) days prior written notice to the City. VIII. GENERAL PRnvTRTnMq 1. Independent Contractor. At all times during the term of this Agreement, Consultant shall be an independent contractor and shall not be an employee of the City. The City shall have the right to control Consultant only insofar as the results of Consultant's services rendered pursuant to this Agreement; however, the City shall not have the right to control the means by which Consultant accomplishes services rendered pursuant to the Agreement except to the extent that such services involve the use of the City's property or Confidential Information. 2. Consultant Not Agent. Except as the City may specify in writing, Consultant shall have no authority, express or implied, to act on behalf of the City in any capacity whatsoever as an agent. Consultant shall have no authority, expressed or implied, pursuant to this Agreement to bind the City to any obligation whatsoever. 3. Products of Consulting. a. All products of consulting services, including but not limited to those identified as "deliverables" in the Proposal shall become the property of the City and the original copies shall be delivered to the City before the end of the performance of this Agreement. Copies of all computer and manual - 7 - 1 2 3 4I 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Idatabases, maps, photographs, designs, design surveys, plans, drawings, reports, progress reports, cost estimates, meeting notes, meeting agendas, visuals, presentation materials, correspondence, notifications, legal descriptions, plats, parcel closures and the resident engineer's pending file shall be made available to the City. Any reuse of Consultant prepared documents, other than for the specific purpose intended hereunder, will be at the City's sole risk and without liability or legal exposure to Consultant or its subcontractor. City shall indemnify and hold harmless Consultant from all claims, damages, losses and expenses including attorney's fees arising or resulting from such reuse. b. All samples shall remain the property of the City, and the City shall promptly at its cost remove and lawfully dispose of samples, cuttings and hazardous materials, unless otherwise agreed in writing. If appropriate, Consultant shall preserve samples obtained for the project for not longer than sixty (60) days after the issuance of any document that includes the data obtained from those samples. 4. Consultant's Books and Records. a. Consultant shall maintain any and all documents and records demonstrating or relating to Consultant's performance of services pursuant to this Agreement. Consultant shall maintain any and all ledgers, books of account, invoices, vouchers, canceled checks, or other documents or records evidencing or relating to work, services, expenditures and disbursements charged to the City pursuant to this Agreement. Any and all such documents or records shall be maintained in accordance with generally accepted accounting principles and shall be sufficiently - 8 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 complete and detailed so as to permit an accurate evaluation of the services provided by Consultant pursuant to this Agreement. Any and all such documents or records shall be maintained for not less than four years from the date of final payment made in accordance with this Agreement and to the extent required by laws relating to audits of public agencies and their expenditures. b. Any and all records and documents required to be maintained pursuant to this section shall be made available for inspection, audit and copying, at any time during regular business hours, upon written request by the City or its designated representatives or representatives of any governmental entity, including the Federal Highway Administration and Caltrans, that is providing funding for the City's project, if a portion of such funding is used to compensate Consultant hereunder. Copies of such documents or records shall be provided directly to the City for inspection, audit and copying when it is practical to do so; otherwise, unless an alternative is mutually agreed upon, such documents and records shall be made available at Consultant's address indicated for receipt of notices in this Agreement. C. Where the City has reason to believe that any of the documents or records required to be maintained pursuant to this section may be lost or discarded due to dissolution or termination of Consultant's business, the City may, by written request, require that custody of such documents or records be given to the requesting party and that such documents and records be maintained by the requesting party. Access to such documents and records shall be granted to the City, as well as to its successor - in -interest and authorized representatives. - 9 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 5. Assignment and Subcontracting Prohibited. With the exception of the work to be performed by Associated Engineers, Lin Consulting Group, Ninyo & Moore, and Melendez Partners Design, Consultant may not assign or subcontract any right or obligation pursuant to this Agreement except with the express written consent of the City. Any other attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. 6. Termination. This Agreement may be terminated by the City without cause on fifteen (15) days written notice to Consultant. Upon termination of this Agreement, all property belonging to the City which is in the Consultant's possession, shall be returned to the City. Consultant shall furnish to the City a final invoice for work performed and expenses incurred by Consultant, prepared as set forth in Section IV of this Agreement. This final invoice shall be reviewed and paid in the same manner as set forth in Section IV of this Agreement. 7. Notices. Notices to the parties, unless` otherwise requested, in writing shall be sent to the addresses listed on the first page of this Agreement. 8. Recitals. All recitals are incorporated by reference. 9. Entire Agreement. This Agreement constitutes the complete and final expression of the agreement of the parties and is intended as a complete and exclusive statement of the terms of their agreements and supersedes all prior and contemporaneous offers, promises, representations, negotiations, discussions, communications and agreements which may have been made in 10 1 2 3 4 5 6 7 ME 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 connections with the subject matter hereof. All exhibits are incorporated by reference. Consultant represents that in entering into this Agreement, it has not relied on any previous representations or understandings of any kind or nature. 10. Governing Law. The validity, interpretation and performance of this Agreement shall be controlled and construed under the laws of the State of California as enacted and in force at the time this Agreement is fully executed. 11. Benefit of Agreement. This Agreement shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. 12. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Agreement, or with respect to any other matters arising in connection with this Agreement, shall not be deemed a waiver with respect to subsequent default or other matter. 13. Amendment. All changes or modifications to this Agreement shall be in writing stating that it is an amendment to this Agreement and shall be signed by both parties or their duly authorized agents. This Agreement shall not be modified through course of dealing, usage or trade. IX. HAZARDOUS MATERIALS. Consultant shall have no responsibility for the discovery, presence, handling, removal or disposal of, or exposure of persons to hazardous materials in any form at the project site (s) . X. CONSTRUCTION MEANS AND METHODS. Nor shall Consultant be responsible for the supervision of City's construction contractors, subcontractors or any of their employees, agents and representatives of such contractors, or for inspecting machinery, construction equipment and tools used and employed by contractors and subcontractors on City's equipment and tools used and employed by contractors and subcontractors on City's construction projects. In no event shall Consultant have the right to stop the work of any of City's construction contractors or subcontractors. In no event shall Consultant be liable for the acts or omissions of any construction contractors who are not retained by Consultant, their subcontractors, any of their agents or employees, or any other persons or entities performing any work related to this project, or for the failure of any of them to carry out construction work under contract with City. XI. RESPONSIBILITY FOR CONSTRUCTION ESTIMATE. Since Consultant has no control over local conditions, the cost of labor, materials, equipment or services furnished by others, or over competitive bidding or market conditions, Consultant can not guarantee that the construction contractor's (bids or the actual cost to the City will be the same as the Consultant's projected construction cost. This plan will also include a schedule for milestone completion and hour breakdown for each task and subtask. We will prepare a PMP and submit to the City for review within 2 weeks after the notice to proceed. The PMP will include a Master Schedule in the Critical Path Method (CPM) schedule fonnat, developed with. Microsoft Project and/or Primevara software using the Precedence Diagram Method (PDM). The PMP will also include: • Work items and deliverables identified in accordance with a Work Breakdown Structure (WBS). • A list of deliverables with the means to substantiate project delivery. • The order, sequence, and interdependence of significant work items including data gathering, preliminary engineering, surveys, design, drafting, utilities, review periods and other relevant project activities • Work items of other third parties or agencies, such as right-of-way, utility relocations (if known) which may affect the design activities. • Referencing of work items to identify performing parties. • The dollar value or work hour loaded of work items to show the effort required to perform the work. • A brief narrative that explains. the basis of logic and estimated duration and dollar/hour value for activities. Deliverables Three copies of Project Implementation Plan 1.2 Quality Control/Quality Assurance Plan: It is our understanding that as a separate contract the City will hire a consultant to review the deliverables. Caltrans will only review the tie-ins of the project. However, this in no way will relieve the design consultant of maintaining internal quality control and quality assurance standards and procedures. DMJM+HARRIS will submit a quality control/quality assurance plan for this project within 30 days of receipt of the notice to proceed. DMJM+HARRIS will establish a Quality Control (QC) Program and maintain a quality assurance plan in effect during performance of the services under this agreement. To ensure that the plans, design, specifications, estimates, calculations, reports, and other documents submitted under the agreement are complete, constructible, accurate, checked and proofread to meet professional engineering practices in effect at the time of execution with the Agreement, and of a quality acceptable to the City of Vernon, DMJM+HARRIS will perform services in conformance and in compliance with the Caltrans' Local Agency regulations, policies, procedures, manuals, and standards as applicable to this project. DMJM+HARRIS's quality assurance plan will include the following quality control elements to be followed in the preparation of plans, specifications, and estimates for the project: • Calculations will be independently checked. • Plans will be checked, corrected, and back checked. • Pertinent project related correspondence and memoranda will be routed to affected personnel and then bound in appropriate project files. Deliverables • One draft and three final copies of Quality Control/Quality Assurance Plan. 1.3 Monthly Progress Status Reports and Schedule Updates: DMJM+HARRIS will prepare monthly progress reports that will include an update of key milestone delivery schedules and percent completion of each task worked on during that period. At the close of each month, DMJM+HARRIS will report the progress of the work and update the schedule accordingly. Progress will be based on actual work accomplished such as number of drawings or deliverables completed or estimated progress toward completion. DMJM+HARRIS will submit copies of a monthly Progress Report to the City consisting of a written narrative, a status Bar Chart and Planned and Actual Progress. The following will be addressed: • The narrative report will describe overall progress. of the work, provide a critical path analysis. discuss significant problems and present proposed corrective action and show the status of major changes. • The schedule reports will include tabular reports for completed work items, in -progress work items and for work items scheduled to start in the next 30 days. • Percent complete and total float shall be reported for each activity. Percent complete will be based on drawing count or equivalent wherever applicable. • The planned and actual progress updated. • If the latest completion time for a significant work item does not fall within the time allowed by the Project Master Schedule included with the Project Management Plan, the sequence of work and/or duration will be revised through concurrent operations, additional staffing or overtime, until the resultant schedule indicates that all significant project completion dates will be met. The status of project tasks, derived from the Master Schedule in the Project Management Plan and agreed to by the City, will be referenced to the original planned date, forecast date and actual date. The target (base) schedule shall be displayed on the bar chart for all activities. Assumptions • DMJM+HARRIS will develop logic driven CPM using Primavera or MS Project. • Monthly Progress Reports will be prepared to coincide with monthly invoices. • Progress Report will discuss work completed during the report period, work to be performed during the next period, and percent complete of each task identified in this scope of work. • Critical issues that affect timely completion of design will be identified in the reports. • Overall progress of work, critical issues, and schedule will be discussed at the Project Development Team meeting. • Progress report will be submitted within 10 days of the month end closing. Deliverables •. Monthly Progress Reports 1.4 Project Development Team (PDT) meetings: Work under this task will include coordination and attendance at monthly PDT meetings. DMJM+HARRIS will prepare meeting notes for distribution and track design contract action items. DMJM+HARRIS will also prepare phone logs and other pertinent documents. Assumptions • The list ofPDT members will be established by the City of Vernon at the inception of the project. • A total of 8 PDT meetings will be required for this project. Deliverables • Meeting Notes • Meeting Agendas • Visuals, presentation materials 1.5 Presentations and Visuals: DMJM+HARRIS will provide presentation material, mapping and/or visual aids needed for presentations to City Council, community groups, political representatives and/or the public at4arge. Assumptions DWM+HARRIS will assist City staff with City Council, community and public outreach meetings in a support role. • Colored maps and CADD drawings will be sufficient. • No physical models or photosimulations are expected. • 3-D computer generated images for the proposed project will not be necessary. • A total of one presentation to the City Council will be made. Deliverables • Presentation Visuals Task 2 — Design Concept Approval (DCA) 2.1 Data Collection and Review of Existing Information: DMJM+HARRIS will obtain any new information received after the PR approval from the City and review all existing data and information to the project location. In addition DMJM+HARRIS will review the electronic design files that were used in the Project Report. Upon completion of this review, DMJM+HARRIS will prepare a list of required additional data. Potential sources for existing data include the City of Vernon, BNSF railroad, and Caltrans. Assumptions • DMJM+HARRIS will use PR drawings. 2.2 Agency Coordination: DMJM+HARRIS will coordinate closely with Caltrans and the City for proper conformance at the tie-ins at the intersection of First Street and Atlantic Boulevard. Assumptions • A total of four coordination meetings have been assumed for this project. Deliverables DMJM Page 3 of 14 9/4/01 • Meeting agendas, and minutes 2.3 Surveys and Mapping: DMJM+HARRIS' Subconsultant, Associated Engineers (AE) will include horizontal and vertical control, roadway cross -sections, control for geotechnicai investigations. AE will perform the following services: Control Survey and Base Data Review • Coordinate with City, and Caltrans for project limits and survey control. • Research of existing maps, records and field notes. • Monument recovery (includes replacement of obliterated monuments from record ties where available). • Survey Control Monument densification: Set additional durable monuments in the project work area to be used for horizontal and vertical control for design surveys and future construction activities. Aerial Topographical Mapping • Utilize the project mapping and DTM files prepared by DMJM+HARRIS at the .PR stage. Design Surveys • Roadway cross -sections at 15 meter intervals, at tie-in areas. • Locate surface features of existing utilities; tie and dip accessible inlets and manholes. • Geotechnicai boring location surveys during this mobilization. Deliverables: • Results of design surveys in metric 3D-DGN, DTM, and ASCII formats. 2.4 Geometric Approval Drawings: DMJM+HARRIS will prepare Geometric Approval Drawings (GAD) at 1:500 scale for the extension of 26t' Street. The GAD will be prepared for the preferred alternative of the approved PR and will include existing topographic and pianimetric mapping, approximate right of way acquisition lines, center lines, number of lanes and lane widths, typical sections, and horizontal and vertical geometry for the street centerline. GAD will also identify required Temporary Construction Easement (TCE) for the project. DMJM+HARRIS will submit the GAD to the City for review and presenting to the City for approval. Assumptions • GAD will build on the approved PR preferred alternative. Deliverables Five copies of GAD 2.5 Bridge Structure Type Selection: DMJM+HARRIS has already conducted the Advanced Planning Study for the bridge and will review the study further to decided on a selection type. DMJM+HARRIS will produce General Bridge Plan presenting three alternatives. A cost estimate will also be prepared for this submittal. Assumptions • Bridge design will be in accordance with Caltrans bridge design standards. • Seismic design will be for maximum credible earthquake and follow collapse prevention concept. DMJM Page 4 of 14 914/01 Deliverables • Type Selection Report • General Bridge Plan • Cost Estimate 2.6 Stage Construction Plan: This task has been eliminated during the contract negotiations Deliverables None. 2.7 Utility Base Map: DMJM+HARRIS Subconsultant, Associated Engineers (AE), will prepare a constraint map using a composite topographic base map for the study area using the information of the PR plans. AE will research existing utilities from available mapping, including utilities within the study area, and plot on the above constraints map. A-E will verify utility data to establish which utilities and their respective owners are affected or in conflict with the project. Other sources for identifying existing utilities are: • As -built construction drawings (as available) • Los Angeles County, Caltrans, and City's right of way utility files for prior projects • Field review As needed AE will contact affected utility owners to request. the most current information on their 'facilities. Contact may require visiting their offices and providing preliminary. design plans to help establish limits. AE will update utility plans based on record data collected from all available sources. The plans shall Identify utilities by name and shall be accompanied by a corresponding table of information about each utility including but not limited to; location, description, owner, type of conflict, impact, mitigation requirements, etc. AE will provide the Utility owners with 1:500 scale plans. DMJM+HARRIS will submit to the City and Project Development Team preliminary utility plans for approval of proposed project design parameters used to determine all potential utility conflicts. Deliverables Existing utility location base map 2.8 GAD Adjudication Meeting: DMJM+HARRIS will submit the GAD and other deliverables of Task 2 to the City for review. Upon receipt of the City's review comments, we will set up an adjudication meeting to discuss any conflicting comment. The resolved comments will be incorporated in the Draft PS&E package of Task 4 or the reports on Task 3. Deliverables Minutes of the GAD adjudication meeting. Task 3 — Preliminary Design Reports 3.1 Drainage Report: DMJM+HARRIS will conduct a preliminary evaluation of the existing drainage system in the project area. This study will address drainage flow patterns, outflows, capacities and deficiencies of the existing system. An analysis will be conducted to determine the impacts of this project on the natural drainage patterns. This analysis will incorporate the use of available information from the City, Caltrans. Federal Emergency Management Agency (FEMA) and Los Angeles County Flood Control District. We will prepare a preliminary drainage report utilizing data from prior hydrology/drainage investigations in the area and field investigations. DMJM+HARRIS will analyze existing drainage basins and summarize changes In drainage patterns that will occur from the proposed improvements. Included in the report will be recommendations for off -site and on -site improvements such as structures needed, inlet and outlet locations, erosion control measures DMJM Page 5 of 14 9/4101 and other storm drainage controls, including modifications to the existing pump station located on the south side of Atlantic Boulevard. The drainage study will also provide for a catch basin at the existing asphalt ditch where the new bridge sits. A draft copy of the Drainage Study will be presented to the City for review and comment. The final report will be prepared by incorporating the City's review comments. Assumptions System and Flow rates for existing facilities will be available from the City. Deliverables Draft and final Drainage Report 3.2 Pump Station Evaluation Report: DMJM+HARRIS will perform a detailed study to determine the capacity of the existing station located near the Atlantic Boulevard undercrossing. We will coordinate closely with the City and Los Angeles County Flood Control District to obtain the criteria for the design and applicable standards. DMJM+HARRIS will check the capacity of the existing pump versus the maximum demand as specified in the drainage report. If the capacity does not meet the demand, we will provide recommendations to improve the pump station. Several alternatives will be proposed in the report and the preferred solution will be recommended. DMJM+HARRIS will submit a draft copy of the report to the City for review. The final report will be prepared by incorporating the review comments. Assumptions No construction drawing for the pump station improvements will be prepared under this task. 3.3 Geotechnical Investigations & Reports: DMJM+HARRIS' Subconsultants, Ninyo & Moore (N&M) will provide the geotechnical investigation for the project. • N&M will review the readily available geologic maps, published literature, stereoscopic aerial photographs, in-houseinformation, soil reports, and reports and/or plans provided by the City. • N&M will perform project coordination, including scheduling of field activities and obtaining encroachment permits to drill our borings, and attendance at meetings with the project team, as needed, to provide geotechnicai input. • N&M will perform a site visit to locate proposed borings for utility clearance, and attend the on -site meeting with representatives of various utilities. • N&M will also perform a subsurface. evaluation consisting of the excavation, logging and sampling of eleven hollow stem auger borings. Approximately three borings will be drilled to depths of up to approximately 25 meters or refusal for the bridge foundations. Approximately - four borings will be drilled to depths of up to approximately 10 meters or refusal for the retaining structures and embankment fills. The remaining four borings will be drilled to depths of approximately 1.5 meters in the proposed roadway to evaluate the pavement section. The borings will be continuously logged and sampled at selected intervals for laboratory testing. Laboratory testing on selected samples will evaluate in -situ moisture and density, shear strength, expansion index, sand equivalent, soluble sulfate and chlorides, sieve analysis. Atterberg limits, resistivity and pH, consolidationtcollapse characteristics, and R value. Geotechnical Design Report DMJM Page 6 of 14 914/01 N&M will perform data compilation and engineering analysis of the information obtained from the background review, subsurface evaluation, and laboratory testing. Our engineering analyses will include the analysis of seismic design criteria, liquefaction and groundwater conditions, collapsible soils, anticipated embankment settlement, fill embankment stability (both static and pseudo -static), geologic/geotechnicai constraints, recommendations for pavement structural section; temporary excavation and shoring, over excavation, fill placement and relative compaction of fill, and corrosion potential of the subsurface soils. • N&M will prepare a draft and final Geotechnical Design Report (GDR). The Geotechnical Design Report will be prepared in metric and in accordance with Caltrans "Guidelines for Geotechnical Design Reports." After Caltrans and the other agencies have reviewed our draft report, comments will be addressed and the GDR will be finalized. Foundation Report N&M will compile data and engineering analysis of the information obtained from the background review, subsurface evaluation, and laboratory testing. Our engineering analyses will include the analysis of seismic design criteria, corrosion potential of the soils at the bridge and retaining wall locations, foundation types and footing elevations for the bridge and retaining walls, allowable bearing capacities, groundwater conditions, anticipated fill settlement and evaluation of differential settlement between the bridge structure and approaches, and other design criteria for the bridge and retaining wall foundations. N&M will prepare a draft and a final Foundation Report. The Foundation Report and Log of Test Boring sheet(s) will be prepared in will be prepared in metric and in accordance with the Caltrans "Bridge Design Aids Manual," the "OSFB Information and Procedure Guide," and Caltrans "Guidelines for Foundation Recommendations and Reports! The report will provide recommendations for the design and construction of the bridge foundations and retaining walls. In addition, liquefaction, corrosion, and special design considerations will be addressed. Subsequent to review of our draft report by Caltrans and other agencies, comments will be addressed and the bridge foundation report will be finalized. Assumptions • This scope does not include any sampling, testing, or chemical analysis of hazardous materials, should they be encountered. These services can be provided, if requested, as an additional scope of work. • The exploratory fieldwork for the Geotechnical Design Report and Foundation Report will be performed concurrently with one field mobilization: effort. • Traffic control will not be required for this project and that there will be no restrictions on the time -of -day the fieldwork can be performed. • Caltrans encroachment permits and any other permits required for right -of -entry to any portion of the site for performance of our fieldwork will be provided, at no cost. i • The fieldwork will not encroach on railroad right-of-way and that encroachment permits from the railroad will not be required. We have also assumed that railroad flagging protection will not be required for this project. Task 4 - Draft PS&E (65%) DMJ M Page 7 of 14 9/4/01 4.1 Title Sheet: DMJM+HARRIS will prepare a title sheet according to the City standard format. The title sheet will include vicinity and location map of the project, and a key map and line index of all drawings. Assumptions • One title sheet will be prepared for this project. 4.2 General Notes: DMJM+HARRIS will include the latest version of the City's required General Notes in these Plans. Construction notes and other necessary notes will also be Included in these sheets. Assumptions • it is anticipated that three sheets will be required for the notes. 4.3 Typical Cross Sections: DMJM+HARRIS will prepare typical cross sections representing the extension of the 26`" Street. This sheet will also include pavement structural section and other necessary details at the project limits to join existing pavements. Assumptions • it is anticipated that one typical section sheet will be prepared for this project. 4.4 Street Improvement Plans: DMJM+HARRIS will incorporate the comments received from the City on the GAD to prepare the draft street improvement plans. These plans will include centerline geometry, curve information for centerline and the curbs, width of existing and proposed segments of the street, existing and proposed right of way lines, profile of the centerline and top of the curbs, and stationing of the centerline throughout the project. It will also provide top of the foundation and top of the wall elevations of proposed retaining walls. The typical section of the retaining walls will be provided in the construction details. Assumptions • Two sheets of street improvement plans have been estimated for this project. 4.5 Construction Details: DMJM+HARRIS will prepare necessary construction details for the construction of the extension of 26"' Street. The scale of the details will vary depending on the nature of the detail. Assumptions • Three construction detail sheets have been estimated for this project. 4.6 Drainage Plan: DMJM+HARRIS will prepare drainage plans for the extension of 26"' Street. The plans will provide location of proposed ditches and include necessary details for any drainage structure. No modifications to the existing storm drains on 26"' Street are anticipated for the project. Assumptions • No modifications to the existing storm drain systems on 26"' Street are included in this project. • A total of three drainage plan details are estimated for this project. 4.7 Pump Station Plans: Since the impacts to the existing pump station is not known at this time, and the improvements may range from upgrading the pump(s) to building a completely new facility, DMJM+HARRIS will prepare a separate scope of work for this task based on the recommendation of the pump station evaluation report discussed in Task 3.2. 4.8 Stage Construction & Traffic Handling Plan: This task has been eliminated during the contract negotiations. DMJM+HARRIS will provide provisions in the specification for the contractor to prepare the traffic handling and stage construction plans and obtain city approval prior to the construction. DMJM Page 8 of 14 9/4/01 4.9 Construction Area Sign Plans: DMJM+HARRIS will prepare a construction area sign plan to provide the advance warning signs for vehicles entering the construction zone on Atlantic and Bandini Boulevards. Caltrans standards will be followed for the format of these plans. Assumptions One plan sheet for the construction area sign has been estimated for the project. 4.10 Signing and Stripping Plan: DMJM+HARRIS' Subconsuitant, LIN Consulting Inc. (LCI) will design the signing & stripping for the project. The scope will include: Signing and stripping design will be provided for the new 26h Street and First Street. • Bandini Boulevard will also be reviewed and designed to ensure proper striping transitions and adequate signing are provided. Assumptions • Two sheets of signing & striping are included for this task. 4.11 Traffic Signal and Lighting: A new traffic signal at the intersection of First Street and Bandini Boulevard will be designed by LCI. The design tasks of the new traffic signal will involve: • Field check — LCI will conduct field check to verify the existing conditions at the intersection and to identify potential power feed points for the new traffic signal. • Traffic signal design — The design will be prepared in a scale of 1:200 and depict the required traffic signal equipment, conduits, conductors, and pull boxes. Pole schedule, conductor schedule, phasing diagram, details, and project notes will be completed as well. • Traffic signal interconnect — The traffic signal interconnect will be designed along Bandini Boulevard between the new traffic signal at First Street and the existing traffic signal at Atlantic Boulevard. Assumptions • One traffic signal plan will be prepared for the project 4.12 Street Lighting Plan: Roadway lighting design plans will be prepared by our Subconsultant, LCI, at the area where impacted by the proposed new roadway along 2e Street and First Street. The roadway lighting plans involve: Illumination level calculation — Illumination level will be calculated for the proposed lighting design. Illumination level in foot-candles at every 10' interval will be plotted. Lighting Illumination level requirements will be based on the City's and Caltrans' requirements for city streets and the entrance to the future NB entrance ramp. Voltage drop calculation — Voltage drop calculation will ensure proper conductor size is used on the design. • Roadway lighting design — The design will depict the installation of new lighting standards, luminaires, conduits, conductors, and pull boxes. Wiring diagrams, lighting control diagrams, and project notes will be developed to enhance the constructability of the design. • Coordinate with the City's utility staff on the power feed points and electrical services for the proposed roadway lighting. Assumptions • Two lighting plans and two detail sheets are estimated for this project. DMJM Page 9 of 14 9/4/01 4.13 Utility Plans: As described in task 3.1, the utility owners will provide existing utility information. AE will verify this information and obtain additional existing utility information as required. Owner approved verification plans (2 sets minimum for each utility) will be formally transmitted to utility owners accompanied by *verification letter" to owner. Upon .receipt of the utility owners' verifications, high and low risk facilities as well as longitudinal encroachments shall be identified. If no conflicts are determined the utility owner shall be notified in writing by a "no conflicts" letter. AE will indicate on the updated utility verification plans all points or locations that require positive identification and determination as to "physical" and high -risk facility conflicts affecting the proposed project. All locations for potholing potential "physical" conflicts will be shown. These plans will be submitted to the Owner for their review and approval. The Owner will review the pothole location plans for conformance with established uniform policies and procedures for the identification, location and installation or relocation of high and low risk underground facilities within project right of way. The approved utility verification plans with potholing requirements identified for each utility will be formally transmitted to the respective utility owner in the quantities specified, but not less than 2 sets, plus 2 sets for the Owner. AE will coordinate with the Owner's Utility Coordinator prior to the performance of pot -holing surveys. AE will provide for horizontal and vertical location work that conforms to the Caltrans' 'manual on high & low risk underground facilities within project right of.way. AE will obtain the final survey results on all required utilities for use in preparation of the utility conflict maps. AE will confirm with utility owners that the pot -holing effort will be done on the date specified in the verification plan transmittal and re -confirm this date within a minimum of 2 weeks of the potholing effort. Assumptions • The City will provide a contractor to perform the actual pot holing and AE will provide surveyors to obtain information on the exposed utilities. Deliverables: • Utility Plans • Copy of miscellaneous correspondences and notifications 4.14 Irrigation Plans: This task has been eliminated during the contract negotiations. 4.15 Right of Way Engineering: DMJM+HARRIS subconsultant, AE, will prepare legal descriptions and plats for the affected parcels by the project. The City will prepare property appraisal and will proceed with the acquisition process. • AE will obtain copies of title reports.and landnet survey and property base map from the City. • Based on the improvement drawings AE will obtain right-of-way requirements and compute acquisition parcel closures and areas. • AE will also prepare legal descriptions and plats for proposed acquisitions. Deliverables; • Legal descriptions, plats and parcel closures. 4.16 Bridge Plans: At the draft PSBE level the Structures submittal will comprise of a complete set of design drawings including all "unchecked details". The bridge design will be based on the approved Bridge General Plan and Structure Type. All the bridge design will be performed in accordance with the latest Caitrans bridge design criteria. DMJM Page 10 of 14 9/4/01 The following publications shall be used as design criteria: "Bridge Design Specifications", "Seismic Design Criteria% California Department of transportation, Division of Structures current edition. 'Bridge plans shall be prepared in accordance with "Bridge Design Detail Manual", "Bridge Design Aids Manual", and "Bridge Memo to Designers", California Department of, Transportation, Division of Structures. Foundation boring and subsurface investigation recommendations will be used for bridge and retaining design. The bridge foundation report will recommend the type of foundation support required (spread footings or piles) and footing elevations. The unit bearing values for footing and/or piles and pile tip elevations for pile foundations would be set forth in the report. Information regarding ground water conditions, slope stability, nature of materials, liquefaction potential, seismic design parameters will be in accordance with Caltrans seismic design criteria. The structural design calculations will be prepared in a report format. It will include: r Title Page identifying Project Name, Bridge Name, and Bridge Number • Table of Contents • List of Appendices • Design Parameters and its Applicable Codes • Various subsections covering each aspect of structure design • References and Bibliography • Appendices listing all computer output and quantity estimates DMJM+HARRIS will prepare the bridge plans containing the following items: • General Plan • Deck Contours • Foundation Plan • Abutment Layout • Abutment Details • Bent Layout • Bent Details • Typical Sections • Girder Layout • Girder Reinforcement • Miscellaneous Details • Log of Test Borings 4.17 Specifications: DMJM+HARRIS will prepare special provisions to amend the standard specifications. Special provisions will be prepared in two different sections for this project. Section one will be the roadway special provision. It will be based on the "Standard Specifications for Public Works Construction" (GREENBOOK) and "Additions and Amendments to the Standard Specifications for Public Works (GRAYBOOK), 2000 Edition. Section two will cover the Bridge Construction and will be based on the 1999 edition of "Caltrans Standard Specifications DMJM+HARRIS will merge these two sections and prepare one set of special provisions for a complete project. 4.18 Quantities and Cost Estimates: DMJM+HARRIS will prepare detailed quantity take off for all construction items corresponding to the standard specifications and consistent with the special provisions. DMJM will prepare the construction cost estimates for the calculated quantities. 4.19 Adjudication Meeting: DMJM+HARRIS will submit a complete draft PS&E package to the City for review. Upon receiving the review comments, DMJM+HARRIS will set up an adjudication meeting to review the comments with the City and the plan checkers. The City will arbitrate the conflicting comments from different reviewers. Task 6 - Final PS&E 6.1 Final PS&E Submittal: DMJM+HARRIS will incorporate the comments received from the final draft PS&E and prepare the Final PS&E and submit to the City for approval and advertisement. 6.2 Resident Engineers File: DMJM+HARRIS will compile a Resident Engineers File that will include items of interest and need for the RE staff such as: • Relevant design calculations • Field notes • Design survey data • Relevant correspondence Worksheets developed for the material quantity takeoffs necessary for cost estimating. • Supply design and construction information required by permit agencies. Deliverables • RE Pending file Task 7- Pre -Bid Phase 7.1 Review Contract Documents for Construction Contract Management/ Administration! Coordination Issues: DMJM+HARRIS will review the portions of the contract documents pertaining to the contract's general requirements. Included are the contract's scope and the control of the work, changes, control of materials, utilities, prosecution, progress and acceptance of the work, responsibilities of the contractor, facilities and measurement and payment. These items are generally considered "boiler plate". The purpose of this review is to insure conditions unique to this contract are recognized and addressed. Task 8- Bid and Award Phase DMJM Page 12 of 14 9/4/01 8.1 Assist in Review and Analysis of Bids: DMJM+HARRIS will Assist the City in review and analysis of bids. The scope of work for the CM staff on this task consist of providing the City with recommendations concerning compliance with various bid document requirements such as MBE/DBEIDVBE participation, unbalanced bids, and submittal of required documentation. Task 9- Construction Phase 9.1 Construction Management/Resident Engineer: DMJM+HARRIS will provide a Construction Manager/Resident Engineer for the project. it is our opinion that this individual will be required full time during the initial phase of the contract. Once the contractor is mobilized and the majority of submittals have been made this individual's time will be reduced to approximately 20 hours per week. This cost effective staffing is possible because of the outstanding nature of other members of the field staff. Should additional hours be required, the RE will be available to meet our commitment of providing the appropriate level of management and administration. 9.2 Provide Inspector. DMJM+HARRIS will provide one full time inspector with the experience to inspect both bridge and roadway items of work. He will be supplemented on an as needed basis to inspect unique items such as electrical work. In addition, we will provide a highly qualified SWPPP inspector on an as needed basis. 9.3 Coordinate soils and materials testing: The DMJM+HARRIS inspector and RE will coordinate soils and materials testing. Both individuals are fully familiar with the quality control/quality assurance requirements contained in both CALTRANS and Public Works standard specifications 9.4 Provide and coordinate construction surveys: Surveying performed by the CM staff and sub - consultants will be coordinated through the use of survey request forms. The RE and Inspector will be particularly sensitive to re -staking. A portion of -the Pre -Bid document review will focus on the contactual language regarding surveys, staking and re -staking. 9.5 Review and process shop drawings, traffic control plans, schedules and other submittals: The CM staff will work with the design team to establish time frames for the review of various submittals. The CM staff will then establish a tracking log to insure timely responses are received. The submittal log and the status of submittals will be an item on the weekly contractor meetings. The submittal log along with an aging report will be part of the monthly report submitted to the City. 9.6 Prepare for the City's review and approval Change Orders, Pay Requests and other contractual documentation: The CM staff will work closely with the City to define formats for Change Orders, Pay Requests and other contractual documentation. As with submittals, a log will be established and maintain to insure timely responses to these issues. The CM staff will also insure all required reviews of these documents are accomplished. The status of these items will also be incorporated in our monthly reports. 9.7 Review and process contractor generated documentation such as Requests for Information: The timelines of responses to Requests for Information (RFIs) is frequently the basis for delay claims. To minimize this potential issue, the CM team wilt implement a multiple track response plan to insure input from all affected agencies is received as quickly as possible. An RFI log will be established to monitor response times. When possible, RFIs will be responded to by the field staff with the concurrence of the engineer the same day as received. 9.8 Prepare and maintain Daily Diaries, Weekly and Monthly reports, photos and logs: We recognize the critical nature of historic documentation on a construction project. The RE will be responsible for all documentation including photographs and videotape taking during construction. Project documentation is one of the key items DMJM+HARRIS Corporate staff reviews during field visits. 9.9 Coordinate with City, CALTRANS, utilities, property owners and local agencies: Coordination with all affected parties will be a key issue during both design and construction. p M J M Page 13 of 14 9/4/01 Property Owners effected by the construction will need to be continuously advised of progress and pending work to minimize the impact on their day-to-day operations. In addition the likelihood of aPhase 2 construction contract being underway prior to completion of Phase t dramatically increases the need for coordination and communication. The RE will host periodic coordination meetings at the job site. He will also be available to meet at the City as necessary. 9.10 Prepare necessary reports, notices of completion, etc: The RE will remain with the project through contract closeout. This phase of the work would typically take less than 5% of the project schedule and the follow-up documentation are frequently the most difficult part of the job. The RE is committed to remain on the project until all required actions are completed. 9.11 Oversee construction on behalf of the City: This task represents our commitment to the City of Vernon to act as an extension of the City staff to complete this project in a timely, cost effective manner. The costs associated with this task include the indirect costs related to the administration of our contract with the City. We are committed to providing the City with accurate data concerning the budget and schedule for the management of the construction contract as well as status of construction. Consultant shall perform the design phase services as outlined in the Proposal, which is attached hereto as Exhibit "A" and incorporated herein by reference as though fully set forth. The design phase services consist of: Task 1 - Project Management, Task 2 Design Concept Approval, Task 3 - Preliminary Design Reports, Task 4 - Draft PS&E, Task 5 - Final Draft PS&E, and Task 6 - Final PS&E. Consultant shall provide said services at the time, place, and in the manner specified in the Proposal, subject to the direction of the City, as may be provided through its staff from time to time. It is understood and agreed that in the event of a conflict between the Proposal and this Agreement, the terms of this Agreement shall prevail. II. TIME OF PERFORMANCE. Consultant's services herewith shall commence upon the full execution of this Agreement, shall remain in force from the effective date, and shall expire upon completion according to the Proposal and acceptance by the City, unless terminated according to (Section VIII.6. of this Agreement or extended upon the written agreement of both parties to this Agreement. Completion of the services to be performed by Consultant is expected to be no later than October 31, 2002. III. COMPENSATION. The City shall reimburse the Consultant for the actual - 2 - costs (labor and other direct costs) incurred by the Consultant in the performance of the work under this Agreement, in an amount not to exceed Four Hundred Forty Seven Thousand Sixty -Seven Dollars and No Cents ($447,067.00). Actual costs shall not exceed the estimated wage rates and other costs set forth in the Consultant's Proposal or Exhibit "A." The City shall compensate Consultant in the manner and in the amounts specified in the cost schedule set forth in the Proposal for Tasks l - 6. If, at any time, Consultant estimates the cost of performing the services described in Exhibit "A" will exceed the budget for such services including approved additional compensation, Consultant shall notify the City immediately in writing indicating the additional amount necessary to complete the service. Any costs incurred by Consultant in excess of the aforesaid limitation without the express written consent of the City shall be at Consultant's own risk. IV. METHOD OF PAYMENT. Within thirty (30) days after the last day of any month in which services have been performed or costs incurred hereunder, Consultant shall submit an invoice to the City stating the amount due Consultant. Invoices shall contain an itemization of the tasks and subtasks performed, directly related job expenses, subcontractor charges incurred by Consultant for which compensation is due, and an estimate of the percentage completed for each milestone, task or subtask. Consultant shall be responsible for paying any subcontractors used in the performance of this Agreement. Subcontractors shall not bill the City directly. All Consultant costs and expenses and any subcontractor costs and expenses must be in accord with the Contract Cost Principles and Procedures of the Federal Acquisition Regulations System, 48 CFR, Chapter 1, Part 31, et seq., Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Governments, 49 CFR Part 18. Any costs and expenses for which payment has been made to Consultant and/or Consultant's subcontractors that are determined by subsequent audit to be unallowable are subject to repayment by Consultant and/or Consultant's subcontractors to the City. The eligibility requirements for subcontractor cost and expenses, as described in this section, must be contained in all subcontracts of Consultant. Further, all subcontracts of Consultant must include a provision mandating reimbursement of City for any costs for which payment has been made that are determined to be unallowable by subsequent audit. In the event that the City disputes any costs or expenses in any invoice, the City shall notify Consultant within thirty (30) days of receipt by the City -of said invoice. The City shall process the undisputed portions of said invoice. Payment to the Consultant for services performed pursuant to this Agreement shall not be deemed to waive any deficiencies in services performed by Consultant. V. CHANGES AND EXTRA SERVICES. The City reserves the right to request changes in the services to be performed by Consultant. All such changes shall be incorporated in written change orders executed by the City and - 4 - Consultant that shall specify the changes ordered and the adjustment of compensation and completion time required thereof. Any services added to the scope of this Agreement by a change order shall be executed under all applicable conditions of this Agreement. No claim for additional compensation or extension of time shall be recognized unless contained in a duly executed change order. VI. CONFIDENTIAL INFORMATION. 1. Access to Confidential Information. The City may 'provide Consultant with certain information not legally subject to public disclosure concerning the City, or businesses located in the City. Such information shall be known as "Confidential Information" and may not be used to circumvent the responsibility of either party to this Agreement. 2. No Disclosure. Except as expressly permitted, Consultantshallnot disclose, permit the disclosure of, release, disseminate, or transfer, whether orally or by any other means, any part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Consultant shall return any written Confidential Information, and all copies made of such items, to the City upon the City's written request, but in any event not later than the date that Consultant has performed all services to be performed pursuant to this Agreement. Consultant hereby agrees that such Confidential Information and any documents provided may be used by Consultant only as authorized by the City. Court Ordered Disclosure. Consultant shall immediately notify the City of any court order or subpoena requiring disclosure of Confidential Information, and shall cooperate with the City's legal counsel in responding to any such order or subpoena. Consultant may only disclose such Confidential Information after legal counsel has exhausted any lawful and timely appeal or challenge.` 4. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Agreement. Consultant acknowledges that in case of such breach or threatened breach, the City would have no adequate remedy at law. VII. INDEMNITY AND INSURANCE. 1. Indemnification of City. Consultant shall indemnify, defend, protect and hold the City and its officers, agents and employees, free and harmless from and against any and all claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments, and all costs of defense to the extent arising, directly or indirectly, in whole and in part, out of the negligent services or willful misconduct performed under this Agreement, except to the extent arising from or caused by the active negligence or willful misconduct of the City, its officers, agents or employees. 2. Insurance. Prior to commencing work hereunder, Consultant shall provide the City with proof of insurance providing 6 - t s 1• and maintaining the coverage and endorsements set forth in the 2 Insurance Schedule attached hereto as Exhibit "B" and made a part 3 hereof by reference. Said proof of insurance shall also provide 4 that said policy or policies shall not be cancelled or reduced in 5 liability limits without giving at least thirty (30) days prior 6 written notice to the City. 7 VIII. GENERAL PROVISIONS 8 1. Independent Contractor. At all times during 9 the term of this Agreement, Consultant shall be an independent 10 contractor and shall not be an employee of the City. The City it shall have the right to control Consultant only insofar as the 12 results of Consultant's services rendered pursuant to this 13 Agreement; however, the City shall not have the right to control 14 the means by which Consultant accomplishes services rendered 15 pursuant to the Agreement except to the extent that such services 16 involve the use of the City's property or Confidential Information. 17 2. Consultant Not Agent. Except as the City may 18 specify in writing, Consultant shall have no authority, express or 19 implied, to act on behalf of the City in any capacity whatsoever as 20 an agent. Consultant shall have no authority, expressed or 21 implied, pursuant to this Agreement to bind the City to any 22 obligation whatsoever. 23. 3. Products of Consulting. 24 a. All products of consulting services, 25 including but not limited to those identified as "deliverables" in 26 the Proposal shall become the property of the City and the original 27 copies shall be delivered to the City before the end of the 28 performance of this Agreement. Copies of all computer and manual 7 22 23 24 25 26 27 28 1 databases, maps, photographs, designs, design surveys, plans, drawings, reports, progress reports, cost estimates, meeting notes, meeting agendas, visuals, presentation materials, correspondence, notifications, legal descriptions,plats, parcel closures and the resident engineer's pending file shall be made available to the City. Any reuse of Consultant prepared documents, other than for the specific purpose intended hereunder, will be at the City's sole risk and without liability or legal exposure to Consultant or its subcontractor. City shall indemnify and hold harmless Consultant from all claims, damages, losses and expenses including attorney's fees arising or resulting from such reuse. b. All samples shall remain the property of the City, and the City shall promptly at its cost remove and lawfully dispose of samples, cuttings and hazardous materials, unless otherwise agreed in writing. If appropriate, Consultant shall preserve samples obtained for the project for not longer than sixty (60) days after the issuance of any document that includes the data obtained from those samples. 4 Consultant's Books and Records. a. Consultant shall maintain any and all documents and records demonstrating or relating to Consultant's performance of services pursuant to this Agreement. Consultant shall maintain any and all ledgers, books of account, invoices, vouchers, canceled checks, or other documents or records evidencing or relating to work, services, expenditures and disbursements charged to the City pursuant to this Agreement. Any and all such documents or records shall be maintained in accordance with generally accepted accounting principles and shall be sufficiently - 8 - l� 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 complete and detailed so as to permit an accurate evaluation of the services provided by Consultant pursuant to this Agreement.Any and all such documents or records shall be maintained for not less than four years from the date of final payment made in accordance with this Agreement and to the extent required by laws relating to audits of public agencies and their expenditures. b. Any and all records and documents required to be maintained pursuant to this section shall be made available for inspection, audit and copying, at any time during regular business hours, upon written request by the City or its designated representatives or representatives of any governmental entity, including the Federal Highway Administration and Caltrans, that is providing funding for the City's project, if a portion of such funding is used to compensate Consultant hereunder. Copies of such documents or records shall be provided directly to the City for inspection,- audit and copying when it is practical to do so; otherwise, unless an alternative is mutually agreed upon, such documents and records shall be made available at Consultant's address indicated for receipt of notices in this Agreement. C. Where the City has reason to believe that any of the documents or records required to be maintained pursuant to this section may be lost or discarded due to dissolution 'or termination of Consultant's business, the City may, by written request, require that custody of such documents or records be given to the requesting party and that such documents and records be maintained by the requesting party. Access to such documents and records shall be granted -to the City, as well as to its successor - in -interest and authorized representatives. - 9 - r . 1' 5. Assignment and Subcontracting Prohibited. With 2 the exception of the work to be performed by Associated Engineers, 3 Lin Consulting Group, Ninyo & Moore, and Melendez Partners Design, 4 Consultant may not assign or subcontract any right or obligation 5 pursuant to this Agreement except with the express written consent 6 of the City. Any other attempted or purported assignment of any 7 right or obligation pursuant to this Agreement shall be void and of 8 no effect. 9 6. Termination. This Agreement may be terminated 10 by the City without cause on fifteen (15) days written notice to 11 Consultant. Upon termination of this Agreement, all property 12 belonging to the City which is in the Consultant's possession, 13 shall be returned to the City. Consultant shall furnish to the 14 City a final invoice for work performed and expenses incurred by 15 Consultant, prepared as set forth in Section IV of this Agreement. 16 This final invoice shall be reviewed and paid in the same manner as 17 set forth in Section IV of this Agreement. 18 7. Notices. Notices to the parties, unless 19 otherwise requested, in writing shall be sent to the addresses 20 listed on the first page of this Agreement. 21 8. Recitals. All recitals are incorporated by 22 reference. 23 9. Entire Agreement. This Agreement constitutes 24 the complete and final expression of the agreement of the parties 25 and is intended as a complete and exclusive statement of the terms 26 of their agreements and supersedes all prior and contemporaneous 27 offers, promises, representations, negotiations, discussions, 28 communications and agreements which may have been made in 10 connections with the subject matter hereof. All exhibits are incorporated by reference. Consultant represents that in entering into this Agreement, it has not relied on any previous representations or understandings of any kind or nature. 10. Governing Law. The validity, interpretation and performance of this Agreement shall be controlled and construed under the laws of the State of California as enacted and in force at the time this Agreement is fully executed. 11. Benefit of Agreement. This Agreement shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. _12. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Agreement, or with respect to any other matters arising in connection with this Agreement, shall not be deemed a waiver with respect to subsequent default or other matter. 13. Amendment. All changes or modifications to this Agreement shall be in writing stating that it is an amendment to this Agreement and shall be signed by both parties or their duly authorized agents. This Agreement shall not be modified through course of dealing, usage or trade. IX. HAZARDOUS MATERIALS. Consultant shall have no responsibility for the discovery, presence, handling, removal or disposal of, or exposure of persons to hazardous materials in any form at the project site (s) . X. CONSTRUCTION MEANS AND METHODS. Consultant shall not have control or charge of and shall not be responsible for the actual construction means, methods, techniques, sequences or procedures, or for safety measures, precautions and programs including enforcement of Federal and State safety requirements, implemented in connection with construction work performed by City's construction contractors. Nor shall Consultant be responsible for the supervision of City's construction contractors, subcontractors or any of their employees, agents and representatives of such contractors, or for inspecting machinery, construction equipment and tools used and employed by contractors and subcontractors on City's equipment and tools used and employed by contractors and subcontractors on City's construction projects. In no event shall Consultant have the right, to stop the work of any of City's construction contractors or subcontractors. In no event shall Consultant be liable for the acts or omissions of any construction contractors who are not retained by Consultant, their subcontractors, any of their agents or employees, or any other persons or entities performing any work related to this project, or for the failure 'of any of them to carry out construction work under contract with City. XI. RESPONSIBILITY FOR CONSTRUCTION ESTIMATE. Since Consultant has no control over local conditions, the cost of labor, materials, equipment or services furnished by others, or over competitive bidding or market conditions, Consultant can not guarantee that the construction contractor's bids or the actual cost to the City will be the same as the Consultant's projected construction cost. TOTAL FEE: $28,400 Scope of Work a I EXHIBIT "A" SCOPE OF WORK Task 1 — Project Management 1.1 Project Management Plan (PMP): A detailed plan for project management will include coordination with appropriate agencies to ensure timely completion of the PS & E package. This plan will also include a schedule for milestone completion and hour breakdown for each task and subtask. We will prepare a PMP and submit to the City for review within 2 weeks after the notice to proceed. The PMP will include a Master Schedule in the Critical Path Method (CPM) schedule format, developed with. Microsoft Project and/or Primevara software using the Precedence Diagram Method (PDM). The PMP will also include: • Work items and deliverables identified in accordance with a Work Breakdown Structure (WBS). • A list of deliverables with the means to substantiate project delivery. • The order, sequence, and interdependence of significant work items including data gathering, preliminary engineering, surveys, design, drafting, utilities, review periods and other relevant project activities Work items of other third parties or agencies, such as right-of-way, utility relocations (if known) which may affect the design activities. • Referencing of work items to identify performing parties. The dollar value or work hour loaded of work items to show the effort required to perform the work. • A brief narrative that explains. the basis of logic and estimated duration and dollar/hour value for activities. Deliverables • .Three copies of Project Implementation Plan 1.2 Quality Control/Quality Assurance Plan: It Is our understanding that as a separate contract the City will hire a consultant to review the deliverables. Caltrans will only review the tie-ins of the project. However, this in no way will relieve the design consultant of maintaining Internal quality control and quality assurance standards and procedures. DMJM+HARRIS will submit a quality control/quality assurance plan for this project within 30 days of receipt of the notice to proceed. DMJM+HARRIS will establish a Quality Control (QC) Program and maintain a quality assurance plan in effect during performance of the services under this agreement. To ensure that the plans, design, specifications, estimates, calculations, reports, and other documents submitted under the agreement are complete, constructible, accurate, checked and proofread to meet professional engineering practices in effect at the time of execution with the Agreement, and of a quality acceptable to the City of Vernon, DMJM+HARRIS will perform services in conformance and in compliance with the Caltrans' Local Agency regulations, policies, procedures, manuals, and standards as applicable to this project. DMJM+HARRIS's quality assurance plan will include the following quality control elements to be followed in the preparation of plans, specifications, and estimates for the project: • Calculations will be independently checked. • Plans will be checked, corrected, and back checked. • Pertinent project related correspondence and memoranda will be routed to affected personnel and then bound in appropriate project files. DMJM Page 1 of 14 9/4/01 1 • Where several drawings show different work in the same area, means will be provided to avoid conflicts and misalignments in both new and existing improvements. • Plans will be marked clearly as being checked, signifying that the preparation of the material followed the quality control plan established for the project. T Deliverables • One draft and three final copies of Quality Control/Quality Assurance Plan. 1.3 Monthly Progress Status Reports and Schedule Updates: DMJM+HARRIS will prepare monthly progress reports that will Include an update of key milestone delivery schedules and percent completion of each task worked on during that period. At the close of each month, DMJM+HARRIS will report the progress of the work and update the schedule accordingly. Progress will be based on actual work accomplished such as number of drawings or deliverables completed or estimated progress toward completion: DMJM+HARRIS will submit copies of a monthly Progress Report to the City consisting of a written narrative, a status Bar Chart and Planned and Actual Progress. The following will be addressed: • The narrative report will describe overall progress. of the work, provide a critical path analysis. discuss significant problems and present proposed corrective action and show the status of major changes. • The schedule reports will include tabular reports for completed work items, in -progress work items and for work items scheduled to start in the next 30 days. • Percent complete and total float shall be reported for each activity. Percent complete will be based on drawing count or equivalent wherever applicable. • The planned and actual progress updated. • If the latest completion time for a significant work item does not fall within the time allowed by the Project Master Schedule Included with the Project Management Plan, the sequence of work and/or duration will be revised through concurrent operations, additional staffing or overtime, until the resultant schedule indicates that all significant project completion dates will be met. The status of project tasks, derived from the Master Schedule in the Project Management Plan and agreed to by the City, will be referenced to the original planned date, forecast date and actual date. The target (base) schedule shall be displayed on the bar chart for all activities. Assumptions • DMJM+HARRIS will develop logic driven CPM using Primavera or MS Project. •, Monthly Progress Reports will be prepared to coincide with monthly invoices. • Progress Report will discuss work completed during the report period, work to be performed during the next period, and percent complete of each task identified in this scope of work. • Critical Issues that affect timely completion of design will be identified in the reports. • Overall progress of work, critical issues, and schedule will be discussed at the Project Development Team meeting. • Progress report will be submitted within 10 days of the month end closing. Deliverables • Monthly Progress Reports 1.4 Project Development Team (PDT) meetings: Work under this task will include coordination and attendance at monthly PDT meetings. DMJM+HARRIS will prepare meeting notes for distribution and track design contract action items. The following will be accomplished for the PDT meetings: DMJM Page 2 of 14 9/4/01 • -DMJM+HARRIS will attend monthly project development team (PDT) meetings with the City of Vernon to discuss work progress, schedule and related issues in order to exchange information, discuss and resolve issues, and to maintain progress of the project. • DMJM+HARRIS will attend progressmeetings, design reviews, design coordination meetings, workshops, and other meetings with team members, and other organizations as may be necessary to accomplish project objectives. • DMJM+HARRIS will prepare exhibits, map display, handouts, etc., required for presentations. DMJM+HARRIS will prepare minutes of all progress and project meetings in a format approved by the City of Vernon and make distribution of the minutes to the City of Vernon, and other attendees or organizations as required. DMJM+HARRIS will also prepare phone togs and other pertinent documents. Assumptions • The list ofPDT members will be established by the City of Vernon at the inception of the project. • A total of 8 PDT meetings will be required for this project. , Deliverables • Meeting Notes • Meeting Agendas • _.Visuals, presentation materials 1.5 Presentations and Visuals: DMJM+HARRIS will provide presentation material, mapping and/or visual aids needed for presentations to City Council, community groups, political representatives and/or the public at -large. Assumptions DMJM+HARRIS will assist City staff with City Council, community and public outreach meetings in a support role. • Colored maps and CADD drawings will be sufficient. • No physical models or photosimulations are expected. • 3-D computer generated images for the proposed project will not be necessary. • A total of one presentation: to the City Council will be made. Deliverables • Presentation Visuals Task 2 — Design Concept Approval (DCA) 2.1 Data Collection and Review of Existing information: DMJM+HARRIS will obtain any new information received after the PR approval from the City and review all existing data and information to the project location. In addition DMJM+HARRIS will review the electronic design files that were used in the Project Report. Upon completion of this review, DMJM+HARRIS will - prepare a list of required additional data. Potential sources for existing data include the City of Vernon, BNSF railroad, and Caltrans. Assumptions • DMJM+HARRIS will use PR drawings. 2.2 Agency Coordination: DMJM+HARRIS will coordinate closely with Caltrans and the City for proper conformance at the tie-ins at the intersection of First Street and Atlantic Boulevard. Assumptions • A.total of four coordination meetings have been assumed for this project. Deliverables DMJM Page 3 of 14 9/4/01 • Meeting agendas, and minutes 2.3 Surveys and Mapping: DMJM+HARRIS' Subconsuitant, Associated Engineers (AE) will include horizontal and vertical control, roadway cross -sections, control for geotechnical investigations. AE will perform the following services: Control Survey and Base Data Review 2.4 2.5 • Coordinate with City, and Caitrans for project limits and survey control. • Research of existing maps, records and field notes. • Monument recovery (includes replacement of obliterated monuments from record ties where available). • additional durable monuments in the project Survey Control Monument densification: Set work area to be used for horizontal and vertical control for design surveys and future construction activities. Aerial Topographical Mapping • Utilize the project mapping and DTM files prepared by DMJM+HARRIS at the PR stage. Design Surveys • Roadway cross -sections at 15 meter intervals, at tie-in areas. • Locate surface features of existing utilities; tie and dip accessible inlets and manholes. • Geotechnicai boring location surveys during this mobilization. Deliverables: • Results of design surveys. in metric 3D-DGN, DTM, and ASCII formats. Geometric Approval Drawings: DMJM+HARRIS will prepare Geometric Approval Drawings (GAD) at 1:500 scale for the extension of 26' Street. The GAD will be prepared for the preferred alternative of the approved PR and will include existing topographic and planimetric mapping, approximate right of way acquisition lines, center lines, number of lanes and lane widths, typical sections, and horizontal and vertical geometry for the street centerline. GAD will also identify required Temporary Construction Easement (TCE) for the project. DMJM+HARRIS will submit the GAD to the City for review and presenting to the City for approval. Assumptions • GAD will build on the approved PR preferred alternative. Deliverables Five copies of GAD Bridge Structure Type Selection: DMJM+HARRIS has already conducted the Advanced Planning Study for the bridge and will review the study further to decided on a selection type. DMJM+HARRIS will produce General Bridge Plan presenting three aitematives. A cost estimate will also be prepared for this submittal. Assumptions • Bridge design will be in accordance with Caitrans bridge design standards. • Seismic design will be for maximum credible earthquake and follow collapse prevention concept. "1 Page 4 of 14 9/4/01 Deliverables Type Selection Report General Bridge Plan Cost Estimate 2.6 Stage Construction Plan: This task has been eliminated during the contract negotiations Deliverables None. ' 2.7 Utility Base Map: DMJM+HARRIS Subconsultant, Associated Engineers (AE), will prepare a constraint.map using a composite topographic base map for the study area using the information of the PR plans. AE will research existing utilities from available mapping, including utilities within the study area, and plot on the above constraints map. A E will verify utility data to establish which utilities and their respective owners are affected or in conflict with the project. Other sources for identifying existing utilities are: ' o As -built construction drawings (as available) Los Angeles County, Caitrans, and City's right of way utility files for prior projects Field review As needed AE will contact affected utility owners to request. the most current information on their "facilities. Contact may require visiting their offices and providing preliminary design plans to help establish limits. AE will update utility plans based on record data collected from all available sources. The plans shall identify utilities by name and shall be accompanied by a corresponding tion owner, table of information. about each utility including but not limited to; location, description, type of conflict, impact, mitigation requirements, etc. AE will provide the Utility owners with 1:500 scale plans. DMJM+HARRIS will submit to the City and Project Development Team preliminary utility plans for approval of proposed project design parameters used to determine all potential utility conflicts. Deliverables Existing utility location base map 2.8 GAD Adjudication Meeting: DMJM+HARRIS will submit the GAD and other deliverables of Task 2 to the City for review. Upon receipt of the City's review comments, we will set up an adjudication meeting to discuss any conflicting comment. The resolved comments will be incorporated in the Draft PS&E package of Task 4 or the reports on Task 3. Deliverables • Minutes of the GAD adjudication meeting. Task 3 — Preliminary Design Reports 3.1 Drainage Report: DMJM+HARRIS will conduct a preliminary evaluation of the existing drainage system in the project area. This study will address drainage flow patterns, outflows, capacities and deficiencies of the existing system. An analysis will be conducted to determine the impacts of this project on the natural drainage patterns. This analysis will incorporate the use of available information from the City, Caitrans, Federal Emergency Management Agency (FEMA) and Los Angeles County Flood Control District. We will prepare a preliminary drainage report utilizing data from prior hydrology/drainage investigations in the area and field Investigations. DMJM+HARRIS will analyze existing drainage basins and summarize changes in drainage patterns that will occur from the proposed improvements. Included In the report will be recommendations for off -site and on -site improvements such as structures needed, inlet and outlet locations, erosion control measures DMJM Page 5 of 14 9/4/41 and other storm drainage controls, including modifications to the existing pump station located on the south side of Atlantic Boulevard. The drainage study will also provide for a catch basin at the existing asphalt ditch where the new bridge sits. 1 A draft copy of the Drainage Study will be presented to the City for review and comment. The final report will be prepared by incorporating the City's review comments. Assumptions • System and Flow rates for existing facilities will be available from the City. Deliverables Draft and final Drainage Report 3.2 Pump Station Evaluation Report: DMJM+HARRIS will perform a detailed study to determine the capacity of the existing station located near the Atlantic Boulevard undercrossing. We will coordinate closely with the City and Cos Angeles County Flood Control District to obtain the criteria for the design and applicable standards. DMJM+HARRIS will check the capacity of the existing pump versus the maximum demand as specified in the drainage report. If the capacity does not meet the demand,me will provide recommendations to improve the pump station. Several alternatives will be proposed in the report and the preferred solution will be recommended. DMJM+HARRIS will submit a draft copy of the report to the City for review. The final report will be prepared by incorporating the review comments. Assumptions • No construction drawing for the pump station improvements will be prepared under this task. 3.3 Geotechnical Investigations & Reports: DMJM+HARRIS' Subconsultants, Ninyo & Moore (N&M) will provide the geotechnicai investigation for the project. N&M'wiil review the readily available geologic maps, published literature, stereoscopic aerial photographs, in-house information, soil reports, and reports and/or plans provided by the City N&M will perform project coordination, including scheduling of field activities and obtaining encroachment permits to drill our borings, and attendance at meetings with the project team, as needed, to provide geotechnicai Input. • N&M will perform a site visit to locate proposed borings for utility clearance, and attend the on -site meeting with representatives of various utilities. • N&M will also perform a subsurface. evaluation consisting of the excavation, logging and sampling of eleven hollow stem auger borings. Approximately three borings will be drilled to depths of up to approximately 25 meters or refusal for the bridge foundations. Approximately four borings will be drilled to depths of up to approximately 10 meters or refusal for the retaining structures and embankment fills. The remaining four borings will be drilled to depths of approximately 1.5 meters in the proposed roadway to evaluate the pavement section. The borings will be continuously logged and sampled at selected intervals for laboratory testing. Laboratory testing on selected samples will evaluate In -situ moisture and density, shear strength, expansion index, sand equivalent, soluble sulfate and chlorides, sieve analysis, Atterberg limits, resistivity and pH, consolidation/collapse characteristics, and R-evalue. Geotechnical Design Report DMJM Page 6 of 14 914/01 • N&M will perform data compilation and engineering analysis of the information obtained from the background review, subsurface evaluation, and laboratory testing. Our engineering analyses will include the analysis of seismic design criteria, liquefaction and groundwater conditions, collapsible soils, anticipated embankment settlement, fill embankment stability (both static and pseudo -static), geologic/geotechnicai constraints, recommendations for pavement structural section; temporary excavation and shoring, over excavation, fill placement and relative compaction of fill, and corrosion potential of the subsurface soils. • N&M will prepare a .draft and final Geotechnical Design Report (GDR). The Geotechnical Design Report will be prepared in metric and in accordance with Caltrans "Guidelines for Geotechnical Design Reports." After Caltrans and the other agencies have reviewed our draft report, comments will be addressed and the GDR will be finalized. Foundation Report • N&M will compile data and engineering analysis of the information obtained from the background review, subsurface evaluation, and laboratory testing. Our engineering analyses will include the analysis of seismic design criteria, corrosion potential of the soils at the bridge and retaining wall locations, foundation types and footing elevations for the bridge and retaining walls, allowable bearing capacities, groundwater conditions, anticipated fill settlement and evaluation of differential settlement between the bridge structure and approaches, and other design criteria for the bridge and retaining wall foundations. • N&M will prepare a draft and a final Foundation Report. The Foundation Report and Log of Test Boring sheet(s) will be prepared in will be prepared in metric and in accordance with the Caltrans "Bridge Design Aids Manual," the "OSFB Information and Procedure Guide," and Caitrans "Guidelines for Foundation Recommendations and Reports." The report will provide recommendations for the design and construction of the bridge foundations and retaining walls. In addition, liquefaction, corrosion, and special design considerations will be addressed. Subsequent to review of our draft report by Caltrans and other agencies, comments will be addressed and the bridge foundation report will be finalized. Assumptions • This scope does not include any sampling, testing, or chemical analysis of hazardous materials, should they be encountered. These services can be provided, if requested, as an additional scope of work. • The exploratory fieldwork for the Geotechnical Design Report and Foundation Report will be performed concurrently with one field mobilization effort. • Traffic control will not be required for this project and that there will be no restrictions on the time -of -day the fieldwork can be performed. • Caltrans encroachment permits and any other permits required for right -of -entry to any portion of the site for performance of our fieldwork will be provided, at no cost. • The fieldwork will not encroach on railroad right-of-way and that encroachment permits from the railroad will not be required. We have also assumed that railroad flagging protection will not be required for this project. Task 4 - Draft PS&E (66%) DMJM Page 7 of 14 9/4/01 4.1 Title Sheet DMJM+HARRIS will prepare a title sheet according to the City standard format. The title sheet will include vicinity and location map of the project, and a key map and line index of all drawings. Assumptions One title sheet will be prepared for this project. 4.2 General Notes: DMJM+HARRIS will include the latest version of the City's required General Notes in these Plans. Construction notes and other necessary notes will also be included in these sheets. Assumptions It is anticipated that three sheets will be required for the notes. 4.3 Typical Cross Sections: DMJM+HARRIS will prepare typical cross sections representing the extension of the 26 Street. This sheet will also include pavement structural section and other necessary details at the project limits to join existing pavements. Assumptions it is anticipated that one typical section sheet will be prepared for this project. 4.4 Street improvement Plans: DMJM+HARRIS will incorporate the comments received from the City on the GAD to prepare the draft street improvement plans. ,These plans will include centerline geometry, curve information for centerline and the curbs, width of existing and proposed segments of the street, existing and proposed right of way lines, profile of the centerline and top of the curbs, and stationing of the centerline throughout the project. it will also provide top of the foundation and top of the wail elevations of proposed retaining walls. The typical section of the retaining walls will be provided in the construction details. Assumptions Two sheets of street improvement plans have been estimated for this project. 4.5 Construction Details: DMJM+HARRIS will prepare necessary construction details for the construction of the extension of 26 Street. The scale of the details will vary depending on the nature of the detail. Assumptions Three construction detail sheets have been estimated for this project. 4.6 Drainage Plan: DMJM+HARRIS will prepare drainage plans for the extension of 26th Street. The plans will provide location of proposed ditches and include necessary details for any drainage structure. No modifications to the existing storm drains on 26"' Street are anticipated for the project. Assumptions • No modifications to the existing storm drain systems on 2e Street are included in this project. • A total of three drainage plan details are estimated for this project. 4.7 Pump Station Plans: Since the impacts to the existing pump station is not known at this time, . and the improvements may range from upgrading the pump(s) to building a completely new facility, DMJM+HARRIS will prepare a separate scope of work for this task based on the recommendation of the pump station evaluation report discussed in Task 3.2. 4.8 Stage Construction & Traffic Handling Plan: This task has been eliminated during the contract negotiations. DMJM+HARRIS will provide provisions in the specification for the contractor to prepare the traffic handling and stage construction plans and obtain city approval prior to the construction. DMJM Page 8 of 14 9i4t01 7 • 4.9 Construction Area Sign Plans: DMJM+HARRIS will prepare a construction area sign plan to provide the advance warning signs for vehicles entering the construction zone on Atlantic and Bandini Boulevards. Caitrans standards will be followed for the format of these plans. Assumptions + One plan sheet for the construction area sign has been estimated for the project. 4A0 Signing and Stripping Plan: DMJM+HARRIS' Subconsuitant, LIN Consulting Ina (LCI) will design the signing & stripping for the project. The scope will include: 7 Signing and stripping design will be provided for the new 26°i Street and First Street. • Bandini Boulevard will also be reviewed and designed to ensure proper striping transitions and adequate signing are provided. Assumptions + Two sheets of signing & striping are included for this task. 4.11 Traffic Signal and Lighting: A new traffic signal at the intersection'of First Street and Bandini Boulevard will be designed by LCI. The design tasks of the new traffic signal will involve: • Field check— LCI will conduct field check to verify the existing conditions at the intersection and to identify potential power feed points for the new traffic signal. • Traffic signal design — The design will be prepared in a scale of 1:200 and depict the required traffic signal equipment, conduits, conductors, and pull boxes. Pole schedule, conductor schedule, phasing diagram, details, and project notes will be completed as well. • Traffic signal interconnect - The traffic signal interconnect will be designed along Bandini Boulevard between the new traffic signal at First Street and the existing traffic signal at Atlantic Boulevard. Assumptions • One traffic signal plan will be prepared for the project 4.12 Street Lighting Plan: Roadway lighting design plans will be prepared by our Subconsultant, LCI, at the area where impacted by the proposed new roadway along 26"' Street and First Street. The roadway lighting plans involve: illumination level calculation — Illumination level will be calculated for the proposed lighting design. Illumination level in foot-candles at every 10' interval will be plotted. Lighting illumination level requirements will be based on the City's and Caitrans' requirements for city streets and the entrance to the future NB entrance ramp. • Voltage drop calculation — Voltage drop calculation will ensure proper conductor size is used on the design. Roadway lighting design — The design will depict the installation of new lighting standards, luminaires, conduits, conductors, and pull boxes. Wiring diagrams, lighting control diagrams, and project notes will be developed to enhance the constructability of the design. • Coordinate with the City's utility staff on the power feed points and electrical services for the proposed roadway lighting. Assumptions + Two lighting plans and two detail sheets are estimated for this project. ~ DMJM Page 9 of 14 9/4MI 4.13 Utility Plans: As described in task 3.1, the utility owners will provide existing utility information. AE will verify this Information and obtain additional existing utility information as required. Owner approved verification plans (2 sets minimum for each utility) will be formally transmitted to utility owners accompanied by "verification letter" to owner. Upon receipt of the utility owners' verifications, high and low risk facilities as well as longitudinal encroachments shall be identified. If no conflicts are determined the utility owner shall be notified in writing by a "no conflicts" letter. AE will indicate on the updated utility verification plans all points or locations -that require positive identification and determination as to "physical" and high -risk facility conflicts affecting the proposed project. All locations for potholing potential "physical" conflicts will be shown. These plans will be submitted to the Owner for their review and approval. The Owner will review the pothole location plans for conformance with established uniform policies and procedures for the identification, location and installation or relocation of high and low risk underground facilities within project right of way. The approved utility verification plans with potholing requirements identified for each utility will be formally transmitted to the respective utility owner in the quantities specified, but not less than 2 sets, plus 2 sets for the Owner. AE will coordinate with the Owner's Utility Coordinator prior to the performance of pot -holing surveys. AE will provide for horizontal and vertical location work that conforms to the Caltrans"manual on high & low risk underground facilities within project right of.way. AE will obtain the final survey results on all required utilities for use in preparation of the utility conflict maps. AE will confirm with utility owners that the pot -holing effort will be done on the date specified in the verification plan transmittal and re -confirm this date within a minimum of 2 weeks of the potholing effort. Assumptions: • The City will provide a contractor to perform the actual pot holing and AE will provide surveyors to obtain information on the exposed utilities. Deliverables: • Utility Plans • Copy of miscellaneous correspondences and notifications 4.14 Irrigation Plans: This task has been eliminated during the contract negotiations. 4.15 Right of Way Engineering: DMJM+HARRIS subconsuitant, AE, will prepare legal descriptions and plats for the affected parcels by the project. The City will prepare property appraisal and will proceed with the acquisition process. • AE will obtain copies of title reports.and landnet survey and property base map from the. City. Based on the improvement drawings AE will obtain right-of-way requirements and compute acquisition parcel closures and areas. AE will also prepare legal descriptions and plats for proposed acquisitions. Deliverables: Legal descriptions, plats and parcel closures. 4.16 Bridge Plans At the draft PS&E level the Structures submittal will comprise of a complete set of design drawings Including all "unchecked details". The bridge design will be based on the approved Bridge General Plan and Structure Type. All the bridge design will be performed in accordance with the latest Caltrans bridge design criteria. ®MJM Page 10 of 14 9/4/01 The following publications shall be used as design criteria: "Bridge Design Specifications", "Seismic Design Criteria% California Department of transportation, Division of Structures current edition. 'Bridge plans shall be prepared in accordance with "Bridge Design Detail Manual", "Bridge Design Aids Manual", and "Bridge Memo to Designers", California Department ola Transportation, Division of Structures. Foundation boring and subsurface investigation recommendations will be used for bridge and retaining design. The bridge foundation report will recommend the type of foundation support required (spread footings or piles) and footing elevations. The unit bearing values for footing and/or piles and pile tip elevations for pile foundations would be set forth in the report. Information regarding ground water conditions, slope stability, nature of materials, liquefaction potential, seismic design parameters will be in accordance with Caltrans seismic design criteria. The structural design calculations will be prepared in a report format. It will include: Title Page identifying Project Name, Bridge Name, and Bridge Number • Table of Contents List of Appendices • Design Parameters and its Applicable Codes Various subsections covering each aspect of structure design • References and Bibliography • Appendices listing all computer output and quantity estimates DMJM+HARRIS will prepare the bridge plans containing the following items: General Plan Deck Contours • Foundation Plan • Abutment Layout • Abutment Details • Bent Layout • Bent Details • Typical Sections • Girder Layout .. Girder Reinforcement • Miscellaneous Details • Log of Test Borings 4.17 Specifications: DMJM+HARRIS will prepare special provisions to amend the standard specifications. Special provisions will be prepared in two different sections for this project. Section one will be the roadway special provision. It will be based on the "Standard Specifications for Public Works Construction" (GREENBOOK) and "Additions and Amendments to the Standard Specifications for Public Works (GRAYBOOK), 2000 Edition. Section two will cover the Bridge Construction and will be based on the 1999 edition of "Caltrans Standard Specifications". DMJM+HARRIS will merge these two sections and prepare one set of special provisions for a complete project. 4.18 Quantities and Cost Estimates: DMJM+HARRIS will prepare detailed quantity take off for all construction items corresponding to the standard specifications and consistent with the special provisions. DMJM will prepare the construction cost estimates for the calculated quantities. 4.19 Adjudication Meeting: DMJM+HARRIS will submit a complete draft PS&E package to the City for review. Upon receiving the review comments, DMJM+HARRIS will set up an adjudication meeting to review the comments with the City and the plan checkers. The City will arbitrate the conflicting comments from different reviewers. Task 9- Construction Phase 9.1 Construction Management/Resident Engineer: DMJM+HARRIS will provide a Construction Manager/Resident Engineer for the project. it is our opinion that. this individual will be required full time during the initial phase of the contract. Once the contractor is mobilized and the majority of submittals have been made this individual's time will be reduced to approximately 20 hours per week. This cost effective staffing is possible because of the outstanding nature of other members of the field staff. Should additional hours be required, the RE will be available to meet our commitment of providing the appropriate level of management and administration. 9.2 Provide Inspector. DMJM+HARRIS will provide one full time inspector with the experience to inspect both bridge and roadway items of work. He will be supplemented on an as needed basis to inspect unique items such as electrical work. In addition, we will provide a highly qualified SWPPP inspector on an as needed basis. 9.3 Coordinate soils and materials testing: The DMJM+HARRIS inspector and RE will coordinate soils and materials testing. Both individuals are fully familiar with the quality control/quality assurance requirements contained in both CALTRANS and Public Works standard specifications 9.4 Provide and coordinate construction surveys: Surveying performed by the CM staff and sub - consultants will be coordinated through the use of survey request forms. The RE and Inspector will be particularly sensitive to re -staking. A portion of the Pre -Bid document review will focus on the contractual language regarding surveys, staking and re -staking. 9.5 Review and process shop drawings, traffic control plans, schedules and other submittals: The CM staff will work with the design team to establish time frames for the review of various submittals. The CM staff will then establish a tracking log to insure timely responses are received. The submittal log and the status of submittals will be an item on the weekly contractor meetings. The submittal log along with an aging report will be part of the monthly report submitted to the City. 9.6 Prepare for the City's review and approval Change Orders, Pay Requests and other contractual documentation: The CM staff will work closely with the City to define formats for Change Orders, Pay Requests and other contractual documentation. As with submittals, a loge will be established and maintain to insure timely responses to these issues. The CM staff will also insure all required reviews of these documents are accomplished. The status of these items will also be incorporated in our monthly reports. 9.7 Review and process contractor generated documentation such as Requests for Information: The timelines of responses to Requests for information (RFis) is frequently the basis for delay claims. To minimize this potential issue, the CM team wilt implement a multiple track response plan to insure input from all affected agencies is received as quickly as possible. An RFI log will be ff with the concurrence of the engineer the same day apossible, s rRFIs ecereceived. be responded to by the field sta 9.8 Prepare and maintain Daily Diaries, Weekly and Monthly reports, photos and logs: We recognize the critical nature of historic documentation on a construction project. The RE will be responsible for all documentation including photographs and videotape taking during construction. Project documentation is one of the key items DMJM+HARRIS Corporate staff reviews during field visits. 9.9 Coordinate with City, CALTRANS, utilities, property owners and local agencies: Coordination with all affected parties will be a key issue during both design and construction. QM JM Page 13 of 14 9i4/01 } Property Owners effected by the construction will need to be continuously advised of progress and pending work to minimize the impact on their day -today operations. in addition the likelihood of a Phase 2 construction contract being underway prior to completion of Phase 1 dramatically increases the need for coordination and communication. The RE will host periodic T coordination meetings at the job site. He will also be available to meet at the City as necessary. 9.10 Prepare necessary reports, notices of completion, etc:. The RE will remain with the project through contract closeout. This phase of the work would typically take less than 5% of the project schedule and the follow-up documentation are frequently the most difficult part of the job. The RE is committed to remain on the project until all required actions are completed. 9.11 Oversee construction on behalf of the City: This task represents our commitment to the City of Vernon to act as an extension of the City staff to complete this project in a timely, cost effective manner. The costs associated with this task include the indirect costs related to the administration of our contract with the City. We are committed to providing the City with accurate data concerning the budget and schedule for the management of the construction contract as well as status of construction.
