RESOLUTION NO. 7914
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES
(FIRE STATION NO. 2 - RENOVATION) BY AND BETWEEN
THE CITY OF VERNON AND RRM DESIGN GROUP
WHEREAS, the City's staff has determined that the renovation
and remodeling of Fire Station No. 2 will allow the Fire Department to
continue to provide a high level of fire service to the City for the
benefit of the health and welfare of its citizens; and
WHEREAS, the Vernon Community Services & Water Department, in
conjunction with the Fire Department, have requested that an
architectural firm be retained to develop plans and specifications for
the renovation of Fire Station No. 2 and to provide assistance with the
1construction administration; and
WHEREAS, the Community Services and Fire Departments sent a
Request for Proposal for Renovation and Remodel of Fire Station 42,
4301 Santa Fe Avenue ("RFP") to qualified consultants; and
WHEREAS, responses to the RFP were received from RRM Design
Group, BOA Architects, GKK Dommer and Nicoloff and Associates, Inc.,
all of which were reviewed and evaluated by the Community Services and
Fire Departments; and
WHEREAS, the Community Services and Fire Departments advise
that RRM is a design firm specializing in fire stations and is the most
qualified consultant that meets the Departments' specifications and
requirements; and
WHEREAS, by letter dated February 14, 2002, Bruce V.
Malkenhorst, the City Administrator/City Clerk, recommended that a

professional consulting services agreement be entered into with RRM to
furnish architectural and engineering services at a cost not to exceed
One Hundred Twenty -Two Thousand Four Hundred Fifty Dollars and No
Cents ($122,450.00); and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into a consulting agreement with RRM to provide the
architectural and engineering services for the renovation.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Agreement for Professional Consulting Services (Fire
Station No. 2 - Renovation) with RRM Design Group, a copy of which is
attached hereto as Exhibit "A" and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Agreement for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Agreement to:

duplicate originals, either copy of which may be considered and used as
the original hereof for all purposes, as of this day of February,
2002, in the City of Vernon, California

RECITALS
WHEREAS, the City desires to remodel and renovate Vernon Fire
Station No. 2 located at 4301 Santa Fe Avenue in Vernon, California;
and
WHEREAS, the City desires to retain Consultant for the
remodeling and renovation of Vernon Fire Station No. 2 hereinafter
described; and
WHEREAS, Consultant submitted a proposal to the City dated
September 10, 2001, as revised (hereinafter referred to as "the
Proposal"), which includes a description of the proposed architectural
and engineering services and the cost of the services; and
WHEREAS, Consultant represents that it is qualified to
perform such services under this Agreement for Professional Consulting
Services (hereinafter referred to as "the Agreement"); and

WHEREAS, the City desires to retain Consultant for the
services hereinafter described.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
IFORTHHEREIN:
I. SCOPE OF SERVICES.
Consultant shall perform services as outlined in the
Proposal, including, but not limited to six (6) of the Tasks identified
therein. A copy of the Proposal is attached hereto as Exhibit "A" and
incorporated herein by this reference as though fully set forth at
length. Services not included in the Proposal, but which may be
requested are: Geotechnical Investigations; Hazardous Materials
testing, reports or recommendations for removal; Design, Specification
and/or purchasing of furnishings and specialty equipment such as head -
in phone equipment, data servers and similar Owner purchased items;
Surveying or topographic map; Utility Investigation beyond those
readily accessible from manholes, etc.; Destructive testing of existing
facility; Meetings not specifically listed in Proposal; Record
drawings; Construction Management; and Temporary Facilities Plan. It
is understood and agreed that in the event of a conflict between the
Proposal and this Agreement, the terms of this Agreement shall prevail.
II. PROGRESS REPORTS.
Consultant shall submit progress reports at least once a
month until the work hereunder is completed. Consultant shall meet
with City staff, upon City's request, or as needed, in order to provide
reports or information concerning the services being performed by
Consultant under this Agreement.
III. TIME OF PERFORMANCE.
Consultant's services herewith shall commence upon signing of)

this Agreement and shall be completed according to the Proposal, unless
terminated or extended. Consultant agrees that all services provided
will be conducted by the principal and competent staff members, if any,
under the supervision of the principal, and that services will be
performed and rendered diligently. Consultant shall only perform
additional services during this time period when requested by the City
Administrator and the Director of Community Services & Water.
IV. COMPENSATION.
1. Consulting Costs. The City will pay Consultant
on a time -and -materials basis according to the Fee Schedule, a copy of
which is attached hereto as Exhibit "B" and incorporated herein by this
reference as though fully set forth at length. The total amount to be
paid to Consultant under this Agreement, regardless of any changes in
the Fee Schedule, shall not exceed One Hundred Twenty -Two Thousand Four
Hundred Fifty Dollars and No Cents ($122,450.00).
2.

V. METHOD OF PAYMENT.
Consultant shall submit within thirty (30) days after the
last day of any month in which services have been performed or costs
incurred hereunder an invoice to the City for payment. Invoices shall
contain an itemization of services rendered, directly related job
expenses and subcontract charges incurred by Consultant for which
compensation is due, and an estimate of the percentage completed for
each milestone or task. Consultant shall be responsible for paying any
subcontractors used in the performance of this Agreement.
Subcontractors shall not bill the City directly.

Payment of the invoice shall be made after acceptance and
approval by the City within thirty (30) days of receipt. The City's
approval of the invoice shall not be unreasonably withheld.
VI. CHANGES AND EXTRA SERVICES.
The City reserves the right to request changes in or
additions to the services to be performed by Consultant. All such
changes shall be incorporated in written change orders executed by the
City and Consultant that shall specify the changes ordered and the
parties shall mutually negotiate an adjustment of compensation and
completion time if required thereof.
Any services added to the scope of this Agreement by a change
order shall be executed under all applicable conditions of this
Agreement. Consultant should be paid according to the fee schedule in
Exhibit "B." No claim for additional compensation for services or
extension of time shall be recognized unless contained in a duly
executed change order.
VII. PRODUCTS OF CONSULTING.
1. All products of consulting services, with the
exception of computer software developed by the Consultant, shall
become the property of the City and the original copies shall be
delivered to the City by Consultant before the end of the performance
of this Agreement. Computer software shall remain the property of the
Consultant, except for the City's continued right to use said software
at no extra cost. Copies of all daily field summary reports, field
memoranda, field and laboratory test results, and final reports shall
be made available to the City.
VIII. CONFIDFNTTAT, TMWnPMLTTnM
1. Access to Confidential Information. The City may

1 provide Consultant with, or allow Consultant access to, certain
2 information not available to the public concerning the City, or
3 businesses located in the City. The information may include company
4 information, taxes, sales, value of assets, or other such information.
5 All such information shall be known as "Confidential Information" and
6 may not be used to circumvent the responsibility of either party to
7 this Agreement.
8 2. No Disclosure. Except as expressly permitted,
9 Consultant shall not disclose, permit the disclosure of, release,
10 disseminate, or transfer, whether orally or by any other means, any
11 part of such Confidential Information to any other person or entity,
12 whether corporate, governmental, or individual, without the express
13 prior written consent of an authorized representative of the City.
14 Consultant shall return any written Confidential Information, and all
15 copies made of such items, to the City upon the City's written request,
16 but in any event not later than the date that Consultant has performed
17 all services to be performed pursuant to this Agreement. Consultant
18 hereby agrees that such Confidential Information and any documents
19 provided may be used by Consultant only as authorized by the City.
20 Consultant shall take reasonable measures to avoid any disclosure of
21 any such Confidential Information to any unauthorized person.
22 3. Court Ordered Disclosure. Consultant shall
23 immediately notify the City of any court order or subpoena requiring
24 disclosure of Confidential Information, and shall cooperate with the
25 City's legal counsel in responding to any such order or subpoena.
26 Consultant may only disclose such Confidential Information after legal
27 counsel has exhausted any lawful and timely appeal or challenge.
28 4. Remedies. In addition to any other remedies that

1 it may have at law or in equity, the City shall be entitled to a
2 temporary and permanent injunction by a Court of competent jurisdiction
3 against any breach or threatened breach of the Confidential Information
4 provisions of this Agreement. Consultant acknowledges that in case of
5 such breach or threatened breach, the City would have no adequate
6 remedy at law.
7 IX. INDEMNITY AND INSURANCE.
8 1. Indemnification of City. Consultant shall
9 indemnify, defend, protect and hold the City and its officers, agents
10 and employees, free and harmless from and against any and all claims,
11 demands, losses, damages, liabilities, fines, charges, penalties,
12 orders, judgments and all costs of defense to the extent arising,
13 directly or indirectly, in whole and in part, out of the negligent
14 services or willful misconduct performed under this Agreement, except
15 to the extent arising from or caused by the sole active negligence or
16 willful misconduct of the City, its officers, agents or employees.
17 2. Insurance. Prior to commencing work hereunder,
18 Consultant shall provide the City with proof of insurance providing and
19 maintaining the coverage and endorsements set forth in the Insurance
20 Schedule attached hereto as Exhibit "C" and made a part hereof by
21 reference. Said proof of insurance shall also provide that said policy
22 or policies shall not be canceled or reduced in liability limits
23 without giving at least thirty (30) days prior written notice to the
24 City. If Consultant fails to provide proof of insurance coverage as
25 specified above, the City may, at its sole discretion, terminate this
26 Agreement immediately.
27 Consultant shall not permit a subcontractor or vendor
28 to perform work on City premises unless and until a certificate of

(insurance is obtained showing that such subcontractor or vendor has
workers' compensation coverage. If Consultant employs subcontractors
as part of the services rendered, Consultant's protective coverage is
required. Consultant may include all subcontractors as insureds under
its own policy or shall furnish separate insurance for each
subcontractor, meeting the requirements set forth herein.
X. GENERAL PROVISIONS.
1. Independent Contractor. At all times during the
term of this Agreement, Consultant shall be an independent contractor
and shall not be an employee of the City. The City shall have the
right to control Consultant only insofar as the results of Consultant's
services rendered pursuant to this Agreement; however, the City shall
not have the right to control the means by which. Consultant
accomplishes services rendered pursuant to the Agreement except to the
extent that such services involve the use of City property or
(Confidential Information.
2. Consultant Not Agent. Except as the City may
specify in writing, Consultant shall have no authority, express or
implied, to act on behalf of the City in any capacity whatsoever as an
agent. Consultant shall have no authority, expressed or implied,
pursuant to this Agreement to bind the City to any obligation
whatsoever.
3. Assignment and Subcontracting Prohibited.
Consultant may not assign or subcontract any right or obligation
pursuant to this Agreement except with the express written consent of
the City. Any other attempted or purported assignment of any right or
obligation pursuant to this Agreement shall be void and of no effect.

4. Termination. .This Agreement may be terminated by
the City without cause on fifteen (15) days written notice to
Consultant. Consultant shall be entitled to the compensation earned by
it prior to the date of the termination notice, computed pro rata up to
and including that date, plus compensation for work performed during
the fifteen -day notice period and authorized in the termination notice.
5. Notices. Notices to the parties, unless
otherwise requested in writing shall be sent to:

6. Entire Agreement. This Agreement is the entire
agreement of the parties. Consultant represents that in entering into
this Agreement, it has not relied on any previous representations or
understandings of any kind or nature.
7. Governing Law. The validity, interpretation and
performance of this Agreement shall be controlled and construed under
the laws of the State of California as enacted and in force at the time
this Agreement is fully executed.
8. Amendments. Except as may otherwise be
specifically provided herein, this Agreement may be modified or amended
only by a written document executed by both Consultant and the City and
approved as to form by the City Attorney.
9. Entire Agreement. This Agreement is the entire
agreement of the parties. Consultant represents that in entering into

1 this Agreement, it has not relied on any previous representations or
2 understandings of any kind or nature.
3 10. Benefit of Agreement. This Agreement shall bind
4 and benefit the parties hereto and their heirs, successors, and
5 permitted assigns.
6 11. Forum Selection. Any action brought relating to
7 this Agreement shall be brought and held exclusively in a State Court
8 in the County of Los Angeles, California.
9 12. Recitals. All recitals are incorporated by
10 reference.
11 13. Waiver. Any waiver at any time by either party of
12 its rights with respect to a default under this Agreement, or with
13 respect to any other matters arising in connection with this Agreement,)
14 shall not be deemed a waiver with respect to subsequent default or
15 other matter.
16 14. Attorneys Fees. In the event that it becomes
17 necessary for either party to this Agreement to enforce any of the
18 provisions of this Agreement, the parties agree that a court of
19 competent jurisdiction may determine and fix reasonable attorneys fees
20 to be paid to the successful litigant.
21 15. Force Majeure. Neither Party shall be considered
22 in to be in default in any of its obligations under this Contract when
23 a failure of performance shall be due to an uncontrollable force. The
24 term "uncontrollable force" shall mean any cause beyond the control of
25 the party affected, including, but not restricted to, flood,
26 earthquake, storm, fire, lightening, epidemic, war, riot, civil
27 disturbance or disobedience, labor dispute, labor material shortage,
28 sabotage, federal, state, or municipal action, statute, ordinance, or

regulation, embargoes of the United States Government or any other
government, which by exercise of due diligence such party could not
reasonably have been expected to avoid and by exercise of due diligence
has been unable to overcome. Either party rendered unable to fulfill
any of its obligations under this Agreement by reason of an
uncontrollable force, shall give written notice within five (5)
Business Days of such fact to the other party and shall exercise due
diligence to remove such inability with all reasonable dispatch.
IN WITNESS WHEREOF, the parties have caused this Agreement to
be executed by and through their authorized officers on the date, month'
and year first written above.

We are pleased to submit RRM Design Group's proposal for architectural and engineering services for
the City of Vernon's Fire Station #2 Renovation and Remodel. As a design firm specializing in fire
stations, RRM brings two key elements to the project: An expert level of knowledge in the functional and
operational aspects of fire stations, and recent relevant experience in the remodel/renovation of a fire
station.
RRM Design Group just completed the renovation of three existing fire stations for the City of Santa
Cruz. By assigning the same project manager, we bring that experience to your project. One of the
biggest challenges in a renovation is to determine what is worth saving and from a construction
standpoint what is easier (less costly) to replace than repair. We are very conscious in the early design
stages to reveal as much of the existing building conditions as possible. This helps the team make more
informed decisions in respect to budget and extent of repair/remodel during the design phases. We look

Mary McGrath, AlA
Principal -in -Charge — 50% participation
As Principal -in -Charge of several fire station projects, Mary will provide the project team leadership
through the entire project from the early management phase through construction. Her role includes
advising the architectural design team on technical issues, ensuring that the project design goals are
met, meeting the design requirements dictated by City Hall, and being ultimately responsible for
completing the project on time and on budget. She will be the RRM team's lead spokesperson and will
represent RRM and the client at public meetings. Mary has performed this role on various project types
and scales from small fire stations to multi -million public safety facilities. She has acted as Principal -in -
Charge on many significant projects and is comfortable in the role of project "visioning" and in the
creation of construction documents that follow the vision.
Candice Wong, AIA
Project Manager/Architect — i00% participation
As a highly experienced and qualified fire station Project Architect and Project Manager, Candice will
coordinate the activities of the different design disciplines — architecture, structural, mechanical, and
electrical to ensure that the design concepts form a cohesive and build -able design solution for the
renovation project. She will work closely with the Project Team to determine what is needed to
complete design development, the approval processes and production of construction drawings, and
then lead the effort to fulfill these goals. Candice recently completed the renovation of three (3) City of
Santa Cruz fire stations and the bdministrative office building. She will bring this recent experience to
your project. Candice's collaborative approach to design with owners, other design professionals,
building contractors, and adjacent property owners leads to buildings in which the various building
systems work seamlessly together.
David Chocon
Assistant Protect Manager/Local Liaison - 60% participation
As Project Designer and Local Liaison, David will work closely with the Project Architect and the
Principal -in -Charge to use his local presence to ensure that all the City's needs are met in a timely
manner. David's skills in building permit processes, architectural presentation graphics, and his close
proximity to the Vernon Fire Station will be utilized in the investigative work, permit processing, and
design assistance throughout the preparation of the construction documents. David is very familiar
with state procedures and the procedures of many southern California municipalities regarding
architecture and building, he will responsible for becoming the RRM expert in Vernon building
procedures. David is located in our San Pedro office.
Scott Graefen
Landscape Architect
Scott is a Landscape Architect with significant experience in landscape design of exterior public areas
such as fire stations, parks and beaches. Having worked on an assortment of fire stations and other
civic design projects for over 10 years, Scott is familiar with the processes of community involvement,
consensus -building, and value -oriented design. He will primarily be involved in developing the site
improvements and landscape.

II. PROJECT UNDERSTANDING AND APPROACH
PROJECT UNDERSTANDING
The City of Vernon Fire Department has identified a need to remodel and renovate their Fire Station
No. 2. Based on the preliminary programming as summarized in the RFP Scope of Work, the station,
as it currently stands, adequately meets the operational needs of the Fire Department. The remodel
and renovation will be primarily non-structural although some of the requested work will require some
structural engineering. The major areas of focus for the project include improvements to meet ADA
access requirements, a faSade/entryway redesign to match City Hall, and upgraded/modified
electrical/mechanical systems. More specifically, the renovation will address the following:
Exterior.
• New faSade (dryvit or similar) to match new City Hall building.
• Add new operable windows in new openings.
• Remove and replace all exterior doors and frames.
• Replace and reconfigure entry glass door and windows.
• Replace all glass facing the street with new frames and dual pane glass.
• Replace host tower with new pre-engineered tower.
• Remove finger planter in front drive.
• Remove all asphalt and concrete drives. Repave all with concrete.
• Remove existing landscape and irrigation system. Replace with new landscape to match City
Hail and new irrigation system.
• Replace all exterior lighting with photo eye system.
• Remove existing canopy at kitchen patio. Replace with new wood canopy.
• Rework entry to meet ADA standards.

• Remove existing exhaust system. Replace with pre-engineered Plymovent vehicle exhaust

the design of joint police/fire facilities to rural fire stations. We understand the specific design features
for fire, including equipment and tum-out protection from exhaust, sleeping quarter design, work-out
rooms, and medical clean-up.
Local Representation: Our design team includes staff from our San Pedro office - close to the City of
Vernon - who is familiar with local issues and can easily manage the day-to-day processes associated
with building permitting, meetings, site visits, and unexpected client concerns. Our team has also been

The Production of a Comprehensive Cost Budget: The proposed project budget will be evaluated
during the first phase of work. It will be reviewed to make sure it includes all known
components of

The Production of Error -Free Construction Documents: Through the completion of multiple public
safety facilities, the RRM project team has developed specific techniques for controlling cost, improving

are carefully formatted to communicate to the contractor in a way that follows the sequence of
construction and divisions of subcontractor trades. RRM's complete management and technical project
team, including the outside mechanical and electrical consultants, has remained intact for over 15 years
and 30 plus fire station projects. RRM will provide a strong presence during the construction phase of
the project.
The Control of Construction Costs: Through extensive Fire Station experience, we have developed a
construction cost database that includes the specialty equipment and systems that must be factored
into the project budget. Also, we have the experience of completing the value engineering and life
cycle cost review that are needed to strike the balance between first cost and long-term durability with
the meeting the project budget as the goal
Objective 3 Complete the Project on Time with Minimum Complications During
Construction
RRM Methods for Success:
Current Workload and Ability to Perform: Our team is currently administering the construction of two
public facilities and wrapping up the construction documents for two others. With these projects in
construction and substantially complete construction documents, it frees up our project team for your
new project. Serving the project from our San Pedro office, we are 30 minutes from the site, and by
joining our local sub -consultants, we are confident of our ability to provide the level of service that your
project will demand.
Aggressive and Complete Construction Services: The construction administration services will be
performed primarily from our San Pedro office--30 minutes from the site. Responsiveness is the key
during this phase. Our team will provide regular site review meetings with an issue -tracking report, a
quick turnaround of submittals, and tough negotiations on costs. The project team has the systems in
place and experience in leading the construction services for this size fire station in the current public
bid and contractor environment.
III. SCOPE OF WORK
The following is the proposed work plan and strategy developed by RRM for the Vernon Fire Station
Renovation. This plan will be guided through the design and planning leadership of Mary McGrath,
AIA, and the architecture team of John Turtchin, AIA and David Chacon, combined with the
design/engineering expertise of the sub -consultant team.
Task 1• Project Management and Pre -design
Approach: _
Participate in a project kick-off meeting with the RRM project team, Fire Chief, City Project Manager
and other Fire Department/City representatives to establish goals and objectives, schedules and to
develop the work plan. The project conceptual programming and budget goals will be documented in
meeting notes. The discussion will focus on project goals and procedures. The goals will be: Budget,
time (phasing), aesthetic, and any changes to the current operations. The procedures will be: key
contacts for information or decisions, anticipated "events" for approval, and regulatory agency
requirements. We will also discuss the overall project schedule and focused schedules for the facility
renovation.

Task 2: Existing Facility Study
Approach:
The RRM team will spend one (1) day in Vernon measuring and verify the existing fire station as
compared to the "as -built" drawings. Based on existing available data, the team will evaluate the
building systems with our team of structural, mechanical, and electrical consultants. This building
survey will include the collection of all the available utility service information and will include a
determination of existing service capacity. This proposal is based on the assumption that existing "as -
built" drawings exist, ones that are detailed and suitable for use in the preparation of construction
documents. Our task in this phase will be to verify the accuracy of the "as -built" documents.
In order to determine the seismic condition of the existing building our structural consultant (Cash &
Associates) will perform a FEMA 178 seismic analysis of the existing building during this phase. This will
allow the City to determine the long term viability of the building prior to the start of the
renovation/remodeling design phase.

Task 21• Conceptual Design and Site Analysis
Approach:
RRM will spend one day meeting with the City of Vernon Fire Department reviewing the program
documents prepared to date. Based on this meeting and using the as -built drawings, RRM will
prepare one conceptual level alternative layout of the proposed remodel. After meeting again to
present the conceptual layout, RRM will revise the conceptual layout based on the City's comments
and prepare three (3) conceptual level front elevations based on the conceptual layout.
The site analysis will be a graphic display of our examination of the site. A Development Factors Plan
will depict the zoning setbacks for use in sitting the generator, pre-engineered hose tower, utility
locations, and vehicle access factors which will affect the building renovation.

Task 3: Schematic Design
Approach:
We will further refine the conceptual design strategies developed above with the Fire Department.
This will include an approach to the structural requirements at the remodeled areas and provide
recommendations on renovating existing mechanical and electrical systems. These designs will be

reviewed and refined responding to Fire Department comments. Then, the exterior scheme will be
refined for the balance of the exterior elevations. The elevations will show material options, roof
designs, building style and colors.
Following development of the exterior design scheme, the RRM design team will produce the
presentation plans, schematic engineering plans, outline specifications, the preliminary cost estimate for
review and approval by the City of Vernon.

Approach:
The RRM architectural staff and the project sub -consultants will use their technical talent and
professional experience in fire station facilities and fire station renovation projects to produce the
complete construction plans. With this being one of four fire stations in the City, a temporary facility
plan may not be needed and is not included in our scope for this project.
Work will be performed to all applicable codes using standard production procedures. The set will
include all plans, material specifications and engineering reports including the following:

a part of the temporary relocation of a company and can assist the City in the preparation of the bid
documents to address issue.

interpretations or recommendations itself. RRM Design Group shall be responsible for its data, interpretations and recommendations, but it will not be
responsible for other parties' interpretations or use of the information developed, or for information provided by others.

TERMINATION, SUSPENSION OR ABANDONMENT. Failure of the Client to make payments to RRM Design Group when due in accordance with this
Agreement shall be considered substantial nonperformance and cause for termination. If the Client fails to make payment when due RRM Design Group for
services and expenses, RRM Design Group may, upon seven (7) days written notice to the Client, suspend performance of services under this Agreement.
Unless payment in full is received by RRM Design Group within seven (1) days of the date of the notice, the suspension shall take effect without further
notice. In the event of a suspension of services, RRM Design Group shall have no liability to the Client for delay, damage, loss of agency approvals, loss of

CLIENT RESPONSIBILITIES. The Client shall provide full information including a program setting forth the Client's design objectives, constraints, and
construction budget criteria as applicable.
The Client shall provide all information it has access to that relates to the site, the Project and may in any way bear upon the services of RRM
Design Group hereunder, including but not limited to, a legal description of the site, site survey, a site plan, the location of utilities and underground
structures at the site, previous geologidgeotechnical reports and. any previous environmental assessments or audits. The Client shall obtain all necessary
authorizations and permits to allow RRM Design Group to have access to the site at reasonable times throughout its performance of this agreement. RRM
Design Group will take reasonable precautions to minimize damage to the site, but unavoidable damage or alteration may occur and Client agrees to
assume responsibility for the same. The Client agrees to assume responsibility for damages due to RRM Design Group's interference with subterranean
structures, such as pipes, tanks and utility lines, that are not correctly shown on the documents provided to RRM Design Group by the Client or any third
party.

City shall reimburse Consultant for incidental expenses incurred by
Consultant, or any subconsultant they may hire in the interest of this
Agreement, at actual cost plus ten percent (10%) to cover Consultant's
overhead and administrative expenses. Reimbursable expenses include,
but are not limited to, reproduction, postage and handling of drawings
and documents, long distance communications, fees paid to authorities
having jurisdiction over the Project, the expense of any additional
insurance requested by the City in excess of that normally carried by
Consultant or its subconsultants, and the following if authorized by
City: travel expenses for work outside of the CITY OF SAN LUIS OBISPO,
renderings and models, and the expense of overtime work requiring
higher than regular rates. Reimbursable automobile travel mileage will
be billed at the current IRS business standard mileage rate.
RRM DESIGN GROUP REPRODUCTIONS.
Photocopies: $.20 per copy. All other types of Consultant
reproductions such as blueprinting, process camera, typesetting and
printing shall be billed at the local vendor's current rate plus ten
percent (10%) to cover Consultant's overhead and administrative
expenses.

The Community Services and Water Department and the Fire Department
submitted request for proposals (RFP) to qualified consultants for the
renovation and remodel of Fire Station No. 2. The Departments have
reviewed and evaluated the RFP's received and are hereby advising that
RRM Design Group, a design firm specializing in fire station
renovations, is the most qualified consultant that meets the
department's specifications and it is hereby recommended that a
Professional Consulting Services Agreement with RRM Design Group be
approved and executed for the renovation of Fire Station No. 2 at a
cost not to exceed $122,450.00.

SUBJECT: AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES WITH
RRM DESIGN GROUP FOR THE FIRE STATION NO.2 RENOVATION
The Department of Community Services and Water in conjunction with the Fire
Department recommends that the City enter into an agreement with RRM Design Group for
architectural and engineering services for the Fire Station No. 2 renovation.
The Department entered into negotiations with the Consultant and agreed to compensate
the firm in accordance with the fee schedule on a time -and -materials basis for a not -to -exceed
One Hundred Twenty Two Thousand, Four Hundred and Fifty dollars and no cents
($122,450.00). The City may need to request changes and extra services to be performed by the
Consultant. These services will be approved only by change orders.
It is recommended that the Agreement for Professional Consulting Services be approved
by the City Council and the Mayor, and City Clerk be authorized to execute the document
pending the insurance. The City Attorney has reviewed the Agreement and will be preparing the
resolution.
